Tolling Agreement
TOLLING AGREEMENT
WHEREAS, the United States of America, on behalf of the United States Army
Corps of Engineers (Corps) may file a complaint against Vampire Holdings LLC
(“potential defendant(s)”) for , inter alia, alleged violations of Sections 301(a), 309, &
404 of the Clean Water Act (“CWA”), 33 U.S.C. Sections 1311(a), 1319, & 1344 and/or
Section 9, 10, or 13 of the Rivers and Harbors Act of 1899, 33 U.S.C. Sections 401, 403,
or 407, and/or Ocean Dumping Act Sections 101 and/or 103 (33 U.S.C. 1411, 1413), at a
site commonly known as 3901 East Garner Road, in Garner, Wake County, North
Carolina, Parcel Identification Number 1740231030.
WHEREAS, the purpose of any such complaint would be to obtain appropriate
injunctive relief and to impose appropriate civil or criminal penalties for potential
defendant’(s) alleged violations of the statute(s) cited above;
WHEREAS, the Corps accepted an after-the-fact (ATF) permit application from
the potential defendant(s) in an attempt to settle the above claims;
WHEREAS, both parties believe that their interests will best be served by
continuing the ATF permit process without the disruption that might be occasioned
should the United States file a complaint in the immediate future;
AND WHEREAS both parties acknowledge the requirement found at 33 C.F.R.
331.11(c) for an applicant for an ATF permit to provide a signed tolling agreement;

THEREFORE, the United States and potential defendant(s) stipulate and agree as
follows:
1. The United States and potential defendant(s) agree that the time between the
acceptance by the Corps of the ATF permit application and the final Corps decision (as
defined at 33 CFR 331.10),plus one year thereafter, will not be included in calculating
any statute of limitations that might be applicable to the alleged statutory violation(s)
described above. Potential defendants agree not to assert, plead, or raise in any fashion
on behalf of any party, whether by answer, motion, or otherwise, any defense or
avoidance based on the running of any statute of limitations that may apply during that
period or any defense or avoidance based on laches or other principle concerning the
timeliness of commencing a civil action, based on the failure of the United States to file
its complaint during that period.
2. Potential defendants further agree not to transfer the property in question
during the pendency of this tolling agreement nor during the pendency of any civil action
brought as described above, without first notifying the United States and giving the
United States a reasonable opportunity to oppose such transfer.
3. Nothing in this tolling agreement shall restrict or otherwise prevent the
United States from filing a complaint regarding any alleged statutory violation(s) not
described above, at any time.
4. This tolling agreement does not constitute any admission of liability on the
part of potential defendants; nor does it constitute any admission or acknowledgment on
the part of the United States that any statute of limitations has run or that any statute of
limitations is applicable to the statutory claims described above.

5. This tolling agreement contains the entire agreement between the parties, and
no statement, promise or inducement made by any party to this agreement, or any agent
of such parties, that is not set forth in this agreement shall be valid or binding. This
tolling agreement may not be enlarged, modified or altered except in writing signed by
the parties. This tolling agreement may be executed in counterparts.

Dear Mr. Pool:
This correspondence confirms your February 23, 2021, onsite meeting with Mr.
David E. Bailey of my staff on your property, located at 3901 East Garner Road, near
Clayton, in Wake County, North Carolina. The purpose of the meeting was to assess
possible unauthorized work you may have undertaken within jurisdictional wetlands on
the subject property.
discharge of fill material within wetlands subject to our regulatory jurisdiction located
adjacent to Little Creek. This activity included placing and grading mixed soil fill
material between two and six vertical feet thick on the subject property between
February and November 2020. Although the full extent of wetlands filled by this activity
has not been determined at this time, it appears that up to 1.25 acres of wetlands may
have been impacted. This activity, undertaken in waters of the United States without
the prior approval from this office in the form of a Department of the Army (DA) permit,
constitutes a violation of Section 301 of the Clean Water Act (33 USC 1311).
As you agreed, you should cease and desist from any further unauthorized work
within waters of the United States. You and Mr. Bailey also generally discussed options
to resolve such unauthorized activities, including removal of all the unauthorized fill
material from wetlands and placement on high ground, seeking after-the-fact
authorization for the unauthorized discharge of fill material via applying for a DA permit,
or a combination of the two options. As discussed, our investigation into this matter
continues and Mr. Bailey of my staff will be in contact with you in the near future to
schedule a meeting to delineate the outer boundaries of wetlands via Atypical Situation
procedures, and further address resolution of this violation.

Failure to comply with this request may result in referral of this matter to the United
States Attorney with a recommendation for appropriate action.

This correspondence confirms your May4, 2021,onsite meeting with Mr.David E.
Baileyof my staff on your property, located at 3901 East Garner Road, near Clayton, in
Wake County, North Carolina. The purpose of the meeting was to follow up on
unauthorized work you have undertaken within jurisdictional wetlands on the subject
property, as documented in our letter to you dated March 1, 2021.
As Mr. Bailey noted during your onsite meeting, we have located the
Administrative Record (AR) for your property, including a record of a Jurisdictional
Determination request submitted by Mr. Jay Keller of Keller Environmental, your
authorized agent, received on June 5, 2018; the Action ID of this AR is SAW-2019-
00228.The ARalso confirms that my staff met with Mr. Keller on July 18, 2018, to
review the wetland delineation for the purposes of a Jurisdictional Determination. The
field approved wetland delineation was surveyed by Aiken & Yelle Associates, PA on
July 31, 2018, and provides the best available information regarding the location and
extent of wetlands on your property prior to the commencement of discharges of
dredged or fill material, as documented in our previous letter. As such, a delineation of
the outer boundaries of wetlands by my staff via Atypical Situation procedures is
unnecessary, and we will rely on the above referenced survey as our enforcement in
this matter proceeds.

Based on our approximation of the footprint of fill material placed at the time of
your onsite meeting with Mr. Bailey on February 23, 2021, approximately 0.38 acre of
wetlands had been filled by your activities. However, Mr. Bailey noted during his visiton
May 4, 2021, that additional fill material had been discharged into wetlands, and
additional discharges and grading via bulldozer was occurring even during this visit.
Based on visual estimation during this site visit, a total of approximately 0.73 acre of
wetlands have now been filled by your activities; please see the attached sketch.We
reiterate that this activity, undertaken in waters of the United States without the prior
approval from this office in the form of a Department of the Army (DA) permit,
constitutes a violation of Section 301 of the Clean Water Act (33 USC 1311).
You should cease and desist from any further unauthorized work within waters of
the United States. You and Mr. Bailey also discussed options to resolve this
unauthorized activity, includingremovalof all the unauthorized fill material from
wetlands and placement on high ground,seeking after-the-fact authorization for the
unauthorized discharge of fill material via applying for a DA permit, or a combination of
the two options.It is our understanding that you intend to seek after-the-fact
authorization for a portion of the unauthorized discharge of fill material via applying for a
DA permit.
Please be aware that, through the permitting process you are required to
demonstrate purpose and need of the project, avoid and minimize your impacts to
wetlands to the maximum extent practicable, and provide compensatory mitigation for
any lost function of the aquatic resources. In addition, when requesting an after-the-fact
DA permit, you are required to complete a Tolling Agreement. Please contact Mr.
Bailey immediately if you plan to apply for after-the-fact DA authorization to discuss the
permitting process. Keep in mind that you will be required to remove all discharged
dredged or fill material and provide restoration to the satisfaction of this office for those
areas of impacted wetlands that you do not receive after-the-fact authorization. Please
provide the Corps a written response within thirty (30) days of the date of this
correspondence detailing your plan for resolving the above-referenced unauthorized
activity; include your intentions to restore wetlands as indicated above, and/or pursue
after-the-fact DA authorization, andyour proposed timeline for each.
Failure to comply with this request may result in referral of this matter to the United
States Attorney with a recommendation for appropriate action.

On September 21, 2022, Stephanie Goss with the Raleigh Regional Office (RRO) of the Division of
Water Resources (DWR) conducted a site visit in response to a complaint of a wetland violation at the
above referenced site. Mr. Murray Pool’s cooperation during the site visit was appreciated.
The following observations and violations were noted during the site inspection (See Attachment 1 for
feature designations):
Item I. Wetland Standards
Title 15A North Carolina Administrative Code 02B .0231(b) requires that:
Liquids, fill, or other solids or dissolved gases may not be present in amounts which may cause adverse
impacts on existing wetland uses;
DWR staff observed approximately 0.73 acres of earthen fill in the wetlandfor a baseball field
(See Photographs 1-2).
Item II. Failure to Secure a 401 Certification
Title 15A North Carolina Administrative Code 2H .0501 requires certifications pursuant to Section 401 of
the Clean Water Act whenever construction or operation of facilities will result in a discharge into
navigable waters, including wetlands, as described in 33 CFR Part 323. Title 15A NCAC 2H .0502 states
any person desiring issuance of the State certification or coverage under a general certification required
by Section 401 of the Federal Water Pollution Control Act shall file with the Director of the North
Carolina Division of Water Resources.

A file review confirmed that a Pre-Construction Notification has not been received by DWR for
this project and that a 401 Water Quality Certification has not been issued.
Requested Response:
You are requested to immediately address the violation in writing within 30 days of receipt of this
letter. This plan must address the wetland impacts as approximately located on Attachment 1.
Please submit a Restoration Plan to this office for review and approval. You are encouraged to secure an
environmental consultant to assist you with your plan development necessary to achieve compliance.
This plan must address the removal of fill in the wetland area.
1.Removal of Fill:The earthen fill in the wetland, as detailed above, must be removed in order to
ensure compliance with the Wetlands Standard Rule Title 15A North Carolina Administrative Code
02B .0231 (b).
2.401 Water Quality Certification
a)If you wish for any impacts to remain in place, you must contact the U.S. Army Corps of
Engineers (USACOE) for information on the type(s) of permit required. Application to DWR for
a 401 Water Quality Certification will also be required.
b)To apply for a 404 permit and 401 certifications, you must complete the Application Form (Pre-
Construction Notification Form). Application forms and instructions are available online:

permitting-branch/application.
3.Erosion control:Please address the control measures that will be used for temporary stabilization/
sediment control while this work is under way. Please provide a schedule with dates by which this
work will be completed. As a part of your restoration plan, it is required that you include a permanent
stabilization plan for the disturbed areas.
4.Schedule: Please indicate in your response a detailed schedule with dates explaining when the
restoration will be accomplished.

This office requires that the violations, as detailed above, be abated immediately and properly
resolved. Environmental damage and violations of North Carolina Administrative Codes have been
documented for the subject site as stated above. Your efforts to undertake activities to bring the
subject site back into compliance is not an admission, rather it is an action that must be taken in
order to begin to resolve ongoing environmental issues.

These violations and any future violations are subject to a civil penalty assessment of up to
$25,000.00 per day for each violation. This office will review your response to this letter as a part of

On January 5, 2023, Stephanie Goss with the Raleigh Regional Office (RRO) of the Division of Water
Resources (DWR) conducted a follow-up site visit at the above referenced site. The purpose of the site
visit was to observe the fill in the wetland onsite (please see the NOV-2022-PC-0545 attached).
Specifically, the site visit and file review revealed the following:
DWR attended a virtual Microsoft Teams Meeting on October 6, 2022. In attendance was Nikki
Thompson withSage Ecological Services, Inc., David Baileywith the US. Army Corp. of
Engineers and Zak Shipman with Shipman Engineering, PLLC. The purpose of the meeting was
to discuss the violation at the above referenced site.
To date, DWR has not received a written response for NOV-2022-PC-0545 and the fill is still
located in Wetland A for approximately 0.73 acres (see Photographs 1 & 2.)

The purpose of this letter is to notify you that the NCDEQ Division of Mitigation Services (DMS) is willing to
accept payment for compensatory mitigation for impacts associated with the above referenced project as
indicated in the table below. Please note that this decision does not assure that participation in the DMS in-
lieu fee mitigation program will be approved by the permit issuing agencies as mitigation for project impacts.
It is the responsibility of the applicant to contact permitting agencies to determine if payment to the DMS will
be approved. You must also comply with all other state, federal or local government permits, regulations or
authorizations associated with the proposed activity including G.S. § 143-214.11.
This acceptance is valid for six months from the date of this letter and is not transferable. If we have not
received a copy of the issued 404 Permit/401 Certificationwithin this time frame, this acceptance will
expire. It is the applicant’s responsibility to send copies of the permits to DMS. Once DMS receives a copy
of the permit(s) an invoice will be issued based on the required mitigation in that permit and payment must
be made prior to conducting the authorized work. The amount of the in-lieu fee to be paid by an applicant is
calculated based upon the Fee Schedule and policies listed on the DMS website.
Based on the information supplied by you in your request to use the DMS, the impacts for which you are
requesting compensatory mitigation credit are summarized in the following table. The amount of mitigation
required and assigned to DMS for this impact is determined by permitting agencies and may exceed the
