general partner of Highwoods Realty Limited Partnership, a North Carolina limited
partnership (the "Partnership"), which is the sole member and manager of HRLP
Morrocroft, LLC, a Delaware limited liability company (the "Manager"), which is the
general partner of HRLP Morrocroft, L.P., a Delaware limited partnership ("HRLP
Morrocroft"), and that as such he is familiar with the corporate records of the
Corporation. The Corporation, the Partnership, the Manager and HRLP Morrocroft are
