        As‐Built & Baseline Monitoring Report – April 2023  AS‐BUILT & BASELINE MONITORING REPORT  Little River ‐ Weaver Mitigation Bank Parcel   Wildlands Holdings III, LLC’s Little River Weaver Nutrient Offset and Buffer Mitigation Bank  The Little River ‐ Weaver Mitigation Bank Parcel (Parcel) is part of Wildlands Holdings III, LLC, Little River  Weaver Nutrient Offset and Buffer Mitigation Bank (Bank). The Bank Parcel Development Package  (BPDP) was approved in June 2022. Two unnamed tributaries (UT1 and UT2) and five ditches (Ditches A‐ E) flow to Little Buffalo Creek, which flows into the Little River and subsequently into the Neuse River.  The primary purpose of the project is to provide riparian buffer mitigation credits and nutrient offset  credits to compensate for unavoidable impacts in the Neuse River Basin 03020201 Hydrologic Unit Code  (HUC) outside the Falls Lake Watershed. The project has been planned, designed, and constructed  according to the BPDP, the Consolidated Buffer Mitigation Rule 15A NCAC 02B .0295 (effective  November 1, 2015), and Nutrient Offset Credit Trading 15A NCAC 02B .0703. The Bank service area is  depicted in Figure 2.  1.0 Introduction  The Parcel was restored to provide ecological and water quality enhancements to the Neuse River Basin  by creating a functional riparian corridor and restoring the riparian buffer along UT1, UT2, and Ditches  A‐E. Prior to planting, the mitigation bank parcel was predominantly open row crop fields.  Approximately 36.63 acres have been protected along the project features by permanent conservation  easement. The conservation easement was recorded on the Parcel in October 2022.  2.0 Parcel Location & Background  2.1 Location and Setting  The Parcel is in Johnston County, approximately eight‐tenths of a mile north of the town of Bagley  (Figure 1). To reach the Parcel from the City of Raleigh, travel east on I‐40 for approximately 10 miles.  Take exit 309 onto US‐70E and continue for 16 miles. Take exit 333 and turn right onto Buffalo Road.  Travel 1.4 miles on Buffalo Road then turn right onto Old Beulah Road and continue for 7.1 miles. Turn  right onto Old Route 22 and travel 0.8 miles then turn right onto Weaver Road. Travel 0.5 miles on  Weaver Road and the Parcel will be accessible by farm roads on the left. (35.5863 N, ‐78.1728 W).   The project is located within the Neuse River Basin 14‐digit HUC 03020201180070 and North Carolina  Division of Water Resources (NCDWR) Subbasin 03‐04‐06. The Parcel was restored for riparian buffer  mitigation credit and nutrient offset credit in the Neuse River Basin HUC 03020201 outside of the Falls  Lake Watershed (Figure 2).  2. 2 Parcel Background  Prior to construction, the Parcel consisted of predominantly open row crop fields typically planted with  corn, cotton, and soybeans. The Parcel also included small, forested areas. In general, this area has  maintained its rural, farming character over the last 60 years with only minor changes in land cover.  Tables 2, 3, and 4 in Appendix A provide detailed information regarding the Project Activity and  Reporting History, Project Contacts, and Project Information and Attributes.   2. 3 Parcel Objectives  The main objective of the Parcel is to reduce nutrient and sediment loading to the Neuse River receiving  waters. By restoring native vegetation up to 200 feet from top of bank of the project features, the  riparian corridor will slow overland flow velocities and provide filtration for flood flows. This will result in  _____________________________________________________________________________________         As‐Built & Baseline Monitoring Report – April 2023  sediment deposition and nutrient absorption in the floodplain, and subsequently their reduction in input  to project features.  3.0 Restoration Activities  Developing the Parcel for mitigation required converting existing agriculture land use practices adjacent  to streams into riparian forest. Riparian area restoration involved hand planting appropriate native tree  species along the riparian corridor. Mechanical site preparation was not required. Areas that are not  becoming populated with volunteer herbaceous vegetation will be seeded with a permanent seed mix  during April of 2023. Vegetation management and herbicide applications may be needed over the first  few years of tree establishment in the riparian restoration areas to prevent encroachment of  undesirable species that may out‐compete the planted native vegetation. A small area of bank on Ditch  C was stabilized by installing straw bales to divert overland flow and live staked. This area was also  limed, fertilized, and seeded with temporary seed. Upslope of Ditch C, straw bales were installed to  diffuse overland flow and prevent rill erosion. This area was also seeded with temporary seed. A culvert  on UT1 was removed and banks were stabilized with seed and matting. Photographs of soil stabilization  and the culvert removal area are included in Appendix E.  The species composition planted was selected based on the desired community type, occurrence of  species in riparian areas adjacent to the Parcel, and best professional judgement. Trees were spaced at 7  feet by 12 feet, which is sufficient to meet the performance standards outlined in the Rule 15A NCAC  02B .0295. Table 6 in appendix A lists the tree species and quantities planted on the Parcel.   The easement was marked using conservation easement placards mounted on t‐posts following the  entirety of the boundary. These signs will be maintained and replaced, if necessary, throughout the  monitoring years.  4.0 Project Credit Potential and Deviations from the Bank Parcel Development Package (BPDP)  Thirty‐six and sixty‐four one‐hundreds acres have been protected under the conservation easement.  Restoration occurred on 33.03 acres, 7.22 of which are being used to generate riparian buffer credit. The  remaining 25.55 acres are used to generate nutrient offset credits (58,087.116 credits). Buffer  preservation on 0.19 acres is also being used to generate riparian buffer credits. Riparian restoration for  buffer credit extends outward 100 feet from the top of bank along UT1 and UT2 and 50 feet outward  from top of bank along Ditch B. For Nutrient offset credits, riparian restoration extends outward 200  feet from top of bank along Ditch A, Ditch C, Ditch D, and Ditch E; from 50 to 200 feet from top of bank  along Ditch B; and from 101 to 200 feet from top of bank along UT1 and UT2. No major changes to  credits were made from the approved BPDP. Credit calculations based on the as‐built survey resulted in  a slight increase in credit area from what was calculated via GIS for use in the BPDP. This equated to an  increase of 17.53 nutrient offset credits and 16.66 buffer credits. A map detailing the credit generation  is provided in Figure 3.   5.0 Monitoring Protocol & Success Criteria  Twenty‐seven 10‐meter by 10‐meter vegetation monitoring plots were installed within the buffer  restoration area to measure the survival of the planted trees (Figure 4). The number of plots required  was determined in accordance with the Carolina Vegetative Sampling Protocol (CVS) Level 2. Vegetation  assessments were completed in December 2022 following the CVS Levels 2 Protocol for Recording  Vegetation, Version 4.2 (Lee et al. 2008). Baseline data shows a planted stem density of 591 stems per  acre (Table 7). This surpasses the requirement of 260 stems per acre at the end of year five monitoring.  Each year a reference photo will be taken from the southwestern corner of each vegetation plot, and all  planted stems will be marked with flagging tape and recorded.         As‐Built & Baseline Monitoring Report – April 2023  Yearly monitoring activities will begin in the fall of 2023 and will commence annually in September or  October for the remainder of the monitoring period. Species composition, density, height, vigor, and  survival rates will be evaluated on an annual basis by plot for the entire Parcel. Wildlands shall submit to  NCDWR an annual monitoring report, no later than December 31st of each year for five consecutive  years and will follow the terms and conditions of the BPDP approved in June 2022. The measure of  vegetative success for the Parcel will be the survival of at least four native hardwood tree species, where  no one species is greater than 50% of the established planted stems, and an established density of at  least 260 planted trees per acre at the end of monitoring year five. Appropriate and desirable native  volunteer species may be included in the Parcel’s density to meet the performance standards with  NCDWR approval.  6.0 Financial Assurance & Long‐Term Management  6.1  Financial Assurance  After completion of the restoration/construction, a separate Performance/Maintenance Bond will be  secured for 100% of the estimated cost to implement the monitoring and maintenance plan, but not less  than $100,000.00. The Performance/Maintenance Bond shall apply at the inception of the monitoring  period for a term of one year, to be extended annually for a minimum of five years. Upon NCDWR  approval, this may be lowered each year based on the adjusted cost to complete the monitoring.   6.2 Parcel Maintenance  Adaptive measures will be developed, or appropriate remedial actions will be implemented if the Parcel  or a specific component of the Parcel fails to achieve the success criteria. Parcel maintenance will be  performed to correct any identified problems that have a high likelihood of affecting project success.  Such items include, but are not limited to, fire, flooding, drought, or insects that cause excess tree  mortality. Any actions implemented will be designed to achieve the success criteria and will include a  work schedule and updated monitoring criteria. Any Parcel maintenance performed will be included in  the monitoring report for that year. A rigorous herbicide schedule may be implemented in the first few  years of tree establishment in the restoration areas to prevent establishment of invasive species that  may out‐compete native vegetation. The only herbicides used on the Parcel will be aquatic approved  herbicides that will be applied in accordance with North Carolina Department of Agriculture rules and  regulations.   The easement boundary will be checked annually as part of monitoring activities. Easement boundary  conditions as well as any maintenance performed will be reported in the annual monitoring reports to  NCDWR. If mowing is deemed necessary by the Sponsor during the monitoring period, the Sponsor must  receive approval from NCDWR prior to conducting any mowing activities within Zone 1 and Zone 2 of  the Neuse buffers to ensure that no buffer violations have occurred.                 _____________________________________________________________________________________ Pursuant to 15A NCAC 02B .0295, a mitigation proposal and a mitigation plan shall be submitted to DWR for written approval prior to conducting any mitigation activities in riparian areas and/or surface waters for buffer mitigation credit. Pursuant to 15A NCAC 02B .0703, a proposal regarding a proposed nutrient load-reducing measure for nutrient offset credit shall be submitted to DWR for approval prior to any mitigation activities in riparian areas and/or surface waters. All vegetative plantings, performance criteria and other mitigation requirements for riparian restoration, enhancement and preservation must follow the requirements in 15A NCAC 02B .0295 to be eligible for buffer and/or nutrient offset mitigation credits. For any areas depicted as not being viable for nutrient offset credit above, one could propose a different measure, along with supporting calculations and sufficient detail to support estimates of load reduction, for review by the DWR to determine viability for nutrient offset in accordance with 15A NCAC 02B .0703. This viability assessment will expire on August 26, 2023 or upon approval of a mitigation plan by the DWR, whichever comes first. This letter should be provided in any nutrient offset, buffer, stream or wetland mitigation plan for this Site. WHEREAS,the preservationof the ConservationEasement Area isrequiredby the LittleRiverWeaver 1 6.15.22TP/MTC Banking instrument("MBl")(DWR #2020-1941v2).The ConservationEasement Area willbe restoredto a naturalvegetatedconditionas providedinand specifiedinLittleRiverWeaver MitigationBank Parcel Bank ParcelDevelopment Package ("BPDP").The LittleRiverWeaver MitigationBank isintendedto be used to compensate for unavoidablebufferimpacts authorizedby permits issuedby the North CarolinaDivisionof Water Resources("NCDWR")and to providemitigationfornutrientoffsetsdue to development (bothexistingand proposed)withinrestrictedareasof the Neuse RiverBasin. Further,for the purpose of providinguninterruptedingressto and egress from the Conservation Easement Area to access Weaver Road (S.R.2144),Grantor grants and conveys unto Grantee,its successorsand assigns,a perpetualnon-exclusiveeasement forvehicularand pedestrianingress,egress, and regressto and from the ConservationEasement Area on,over,and across(1)the Property,(2)any otherright-of-wayappurtenantto the Property,and (3)any otherlandsowned by Grantor. ARTICLE I. DURATION OF EASEMENT ThisConservationEasement shallbe perpetual.ThisConservationEasement isan easement ingross, runs with the land and isenforceableby Grantee againstGrantor,Grantor'spersonalrepresentatives, heirs,successorsand assigns,lessees,agentsand licensees. ARTICLE II. PROHIBITED AND RESTRICTED ACTIVITIES Any activityon,or use of,the ConservationEasement Area inconsistentwith the purpose of this ConservationEasement is prohibited.The ConservationEasement Area shallbe preservedin its naturalconditionand restrictedfrom any development or otheractivitiesthatwould impairor interfere with the conservationvaluesof the ConservationEasement Area. Without limitingthe generalityof the foregoing,the followingactivitiesand uses are expressly 2 6.15.22TP/MTC prohibited,restrictedor reservedas indicatedhereunder: A.Disturbanceof NaturalFeatures.Any change,disturbance,alterationor impairment of the naturalfeaturesof the ConservationEasement Area or any introductionof non-nativeplantsand/or animalspeciesisprohibited. B.Construction.There shallbe no constructingor placingof any building,mobile home, asphaltor concrete pavement,billboardor other advertisingdisplay,antenna,utilitypole,tower, conduit,line,pier,landing,dock or any othertemporary or permanent structureor facilityon or above the ConservationEasement Area. C.Industrial,Commercial and ResidentialUse.Industrial,residentialand/or commercial activities,includingany rightof passageforsuch purposesare prohibitedinthe ConservationEasement Area. D.Agricultural,Grazingand HorticulturalUse.Agricultural,grazing,animal husbandry,and horticulturaluse of the ConservationEasement Area are prohibited. E.Vegetation.There shallbe no removal,burning,destruction,harming,cuttingor mowing of trees,shrubs,or othervegetationon the ConservationEasement Area exceptas providedinthe MBI and BPDP.Mowing of invasiveand herbaceous vegetationfor purposes of enhancing planted or volunteertreesand shrubsapproved inthe MBI and BPDP isallowableonce a yearforno more than five consecutiveyearsfrom the date on page 1 of thisConservationEasement,exceptwhere mowing will negativelyimpact vegetationor disturbsoils.Mowing activitiesshallonly be performed by the Bank Sponsor and shallnot violateany partof item M of Article11. F.Roads and Trails.There shallbe no constructionof roads,trailsor walkways on the ConservationEasement Area;nor enlargementor modificationto existingroads,trailsor walkways. G.Signage.No signsshallbe permittedon or over the ConservationEasement Area,except the postingof no trespassingsigns,signsidentifyingthe conservationvalues of the Conservation Easement Area,signs givingdirectionsor proscribingrules and regulationsfor the use of the Conservation Easement Area and/or signs identifyingthe Grantor as owner of the Conservation Easement Area. H.Dumping or Storage.Dumping or storageof soil,trash,ashes,garbage,waste,abandoned vehicles,appliances,machineryor hazardoussubstances,or toxicor hazardouswaste,or any placement of underground or aboveground storagetanksor othermaterialson the ConservationEasement Area is prohibited. l.Excavation,Dredging or Mineral Use.There shallbe no grading,filling,excavation, dredging,mining or drilling;no removal oftopsoil,sand,gravel,rock,peat,mineralsor othermaterials, and no change inthe topography of the landinany manner on the ConservationEasement Area. 1 Water Qualityand Drainage Pattern.There shallbe no diking,draining,dredging, channeling,filling,leveling,pumping,impounding or relatedactivities,or alteringor tampering with 3 6.15.22TP/MTC water controlstructuresor devices,or disruptionor alterationof the restored,enhanced,or created drainage patterns.In addition,divertingor causing or permittingthe diversionof surfaceor underground water into,withinor out of the ConservationEasement Area by any means,removal of wetlands,pollutingor dischargingintowaters,springs,seeps,or wetlands,or use of pesticideor biocides isprohibited. K.Development Rights.No development rightsthathave been encumbered or extinguished by thisConservationEasement shallbe transferredpursuant to a transferabledevelopment rights scheme or clusterdevelopment arrangement or otherwise. L Subdivision.The Grantorand Grantee agreethatthe ConservationEasement Area currently consistsof fivelandareastotalingapproximately28.77acreswithinthe Property.The Grantormay not furthersubdividethe ConservationEasement Area,exceptwiththe priorwrittenconsentofthe Grantee. IfGrantee grantspermissionforGrantorto furthersubdivideany portionof the ConservationEasement Area,with appropriatepermissionfrom Grantee,Grantormust providethe Grantee the name,address, and telephone number of new owner(s)of allpropertywithinthe ConservationEasement Area,if differentfrom Grantor.No subdivisionof the ConservationEasement Area shalllimitthe rightof ingress and egressover and acrossthe Propertyforthe purposessetforthherein.Further,inthe event of any subdivisionof the Property(whether insideor outsideof the ConservationEasement Area)provision shallbe made to preservenot only Grantee'sperpetualrightsof accessto the ConservationEasement Area,as definedherein,but alsoGrantee'srightof perpetualaccessto any conservationeasements on propertiesadjacentto the Propertywhich form a partof or are includedinthe MBI and/or the BPDP or as otherwiseacknowledged.Creationof a condominium or any de factodivisionof the Conservation Easement Area isprohibited.Lotlineadjustmentsor lotconsolidationwithoutthe priorwrittenconsent of the Grantee isprohibited.The Grantormay convey undividedinterestsinthe ConservationEasement Area.The Grantorshallnotifythe Grantee immediatelyof the name,address,and telephonenumber of any granteeof an undividedinterestinany propertywithinthe ConservationEasement Area. M.Vehicles.The operation of mechanized vehicles,including,but not limitedto, motorcycles,dirtbikes,all-terrainvehicles,carsand trucksisprohibited,otherthan fortemporary access forpurposesof maintainingthe ConservationEasement Area duringthe five-yearmonitoringperiodas describedinthe MBI and/or BPDP. N.Other Prohibitions.Any other use of,or activityon,the ConservationEasement Area which is or may become inconsistentwith the purposes of this grant,the preservationof the ConservationEasement Area substantiallyinitsnaturalcondition,or the protectionof itsenvironmental systems,isprohibited. ARTICLE lil GRANTOR'S RESEVERED RIGHTS The Grantorexpresslyreservesforhimself,hispersonalrepresentatives,heirs,successorsor assigns,the rightto continuethe use of the ConservationEasement Area forallpurposesnot inconsistentwith this ConservationEasement,including,but not limitedto,the rightto quietenjoyment of the Conservation Easement Area,the rightsof ingressand egress,the rightto hunt,fish,and hikeon the Conservation Easement Area,the rightto sell,transfer,giftor otherwiseconvey the ConservationEasement Area,in 4 6.15.22TP/MTC whole or inpartas providedinArticle11,ParagraphL,providedsuch sale,transferor giftconveyance is subjectto the terms of,and shallspecificallyreference,thisConservationEasement. Notwithstandingthe foregoingRestrictions,Grantor reservesforGrantor,successorsand assigns,and the Bank Sponsor,the rightto constructa nutrientoffsetand riparianbuffermitigationbank withinthe ConservationEasement Area,inaccordancewith the MBI and BPDP. ARTICLE IV. GRANTEE'S RIGHTS The Grantee or itsauthorizedrepresentatives,successorsand assigns,the Bank Sponsor and NCDWR, shallhave the rightto enterthe Propertyand ConservationEasement Area at allreasonabletimesfor the purpose of inspectingsaid propertyto determine ifthe Grantor,or hispersonalrepresentatives, heirs,successors,or assigns,iscomplyingwith the terms,conditions,restrictions,and purposesof this ConservationEasement.The Grantee shallalsohave the rightto enterand go upon the Propertyand the ConservationEasement Area for purposes of making scientificor educationalobservationsand studies,and takingsamples.The easement rightsgrantedhereindo not includepublicaccessrights. ARTICLE V ENFORCEMENT AND REMEDIES A.To accomplishthe purposesof thisConservationEasement,Grantee isallowedto prevent any activityon or use of the ConservationEasement Area thatisinconsistentwith the purposesof this ConservationEasement and to requirethe restorationof such areas or featuresof the Conservation Easement Area that may be damaged by such activityor use.Upon any breach of the terms of this ConservationEasement by Grantorthatcomes to the attentionof the Grantee,the Grantee shallnotify the Grantor inwritingof such breach.The Grantorshallhave 30 days afterreceiptof such noticeto correctthe conditionsconstitutingsuch breach.Ifthe breach remains uncured after30 days,the Grantee may enforcethisConservationEasement by appropriatelegalproceedingsincludingdamages, injunctiveand other relief.Notwithstandingthe foregoing,the Grantee reservesthe immediate right, without notice,to obtaina temporary restrainingorder,injunctiveor other appropriatereliefifthe breachof the term of thisConservationEasement isor would irreversiblyorotherwisemateriallyimpair the benefitsto be derivedfrom thisConservationEasement.The Grantorand Grantee acknowledge thatunder such circumstancesdamage to the Grantee would be irreparableand remedies at law willbe inadequate.The rightsand remedies of the Grantee providedhereunder shallbe inadditionto,and not in lieuof,allother rightsand remedies availableto Grantee in connectionwith thisConservation Easement.The costsof a breach,correctionor restoration,includingthe Grantee'sexpenses,court costs,and attorneys'fees,shallbe paid by Grantor,providedGrantor isdetermined to be responsible forthe breach.The Bank Sponsor and NCDWR shallhave the same rightto enforcethe terms and conditionsof the ConservationEasement as the Grantee. B.No failureon the partof the Grantee to enforceany covenant or provisionhereofshall dischargeor invalidatesuch covenantor any othercovenant,condition,or provisionhereofor affectthe rightto Grantee to enforcethe same inthe event of a subsequent breach or default. 5 6.15.22TP/MTC C.Nothing containedinthisConservationEasement shallbe construedto entitleGranteeto bringany actionagainstGrantorforany injuryor change inthe ConservationEasement Area resulting from causes beyond the Grantor'scontrol,including,without limitation,fire,flood,storm,war,actsof God or thirdparties,exceptGrantor'slesseesor invitees;or from any prudentactiontaken ingood faith by Grantorunder emergency conditionsto prevent,abate,or mitigatesignificantinjuryto life,damage to ConservationEasement Area or harm to the ConservationEasement Area resultingfrom such causes. ARTICLE VI MISCELLANEOUS A.Warranty.Grantorwarrants,covenantsand representsthat itowns the Propertyinfee simple,and thatGrantoreitherowns allinterestsinthe Propertywhich may be impairedby the granting of thisConservationEasement or thatthereare no outstandingmortgages,tax liens,encumbrances,or other interestsin the Propertywhich have not been expresslysubordinatedto thisConservation Easement.Grantor furtherwarrants that Grantee shallhave the use of and enjoy allthe benefits derivedfrom and arisingout of thisConservationEasement,and thatGrantorwillwarrant and defend titleto the Propertyagainstthe claimsof allpersons. B.Subsequent Transfers.The Grantor agreesto incorporatethe terms of thisConservation Easement in any deed or other legalinstrumentthat transfersany interestin allor a portionof the ConservationEasement Area.The Grantor agreesto providewrittennoticeto the Grantee of such transferat leastthirty(30)days priorto the date of the transfer.The Grantor and Grantee agree that the terms of thisConservationEasement shallsurviveany merger of the fee and easement interestsin the ConservationEasement Area or any portionthereof and shallnot be amended,modified or terminatedwithoutthe priorwrittenconsentand approvalof NCDWR. C.Assignment.The partiesrecognizeand agree that the benefitsof thisConservation Easement are ingrossand assignableprovided,however thatthe Grantee hereby covenantsand agrees, that in the event ittransfersor assignsthisConservationEasement,the organizationreceivingthe interestwillbe a qualifiedholderunder N.C.Gen.Stat.§121-34 et seq.and §170(h)of the Internal Revenue Code,and the Grantee furthercovenants and agrees that the terms of the transferor assignmentwillbe such thatthe transfereeor assigneewillbe requiredto continuein perpetuitythe conservationpurposesdescribedinthisConservationEasement. D.EntireAgreement and Severability.This MBI,BPDP and thisinstrumentset forththe entireagreement of the partieswith respectto the ConservationEasement and supersedes allprior discussions,negotiations,understandingsor agreements relatingto the ConservationEasement.Ifany provisionisfound to be voidor unenforceableby a courtof competent jurisdiction,the remaindershall continueinfullforceand effect. E.Obligationsof Ownership.Grantor isresponsiblefor any realestatetaxes,assessments, fees,or charges leviedupon the Property.Grantor shallkeep the Propertyfreeof any liensor other encumbrances for obligationsincurredby Grantor.Grantee shallnot be responsiblefor any costsor liabilityof any kind relatedto the ownership,operation,insurance,upkeep,or maintenance of the Property,exceptas expresslyprovidedherein.Nothinghereinshallrelievethe Grantorof the obligation 6 6.15.22TP/MTC to comply with federal,stateor locallaws,regulationsand permitsthatmay applyto the exerciseofthe Reserved Rights. F.Extinguishment.Inthe event thatchanged conditionsrenderimpossiblethe continueduse ofthe ConservationEasement Area forthe conservationpurposes,thisConservationEasement may only be extinguished,inwhole or inpart,by judicialproceeding. G.Eminent Domain.Whenever allor partof the ConservationEasement Area istaken inthe exerciseof eminent domain so asto substantiallyabrogatethe Restrictionsimposed by thisConservation Easement,Grantor and Grantee shalljoininappropriateactionsat the time of such takingto recover the fullvalueof the taking,and allincidentaland directdamages due to the taking. M.Vehicles.The operation of mechanized vehicles,including,but not limitedto, motorcycles,dirtbikes,all-terrainvehicles,carsand trucksisprohibited,otherthan fortemporary access forpurposesof maintainingthe ConservationEasement Area duringthe five-yearmonitoringperiodas describedinthe MBI and/or BPDP. N.Other Prohibitions.Any other use of,or activityon,the ConservationEasement Area which is or may become inconsistentwith the purposes of this grant,the preservationof the ConservationEasement Area substantiallyinitsnaturalcondition,or the protectionof itsenvironmental systems,isprohibited. GRANTEE'S RIGHTS The Grantee or itsauthorizedrepresentatives,successorsand assigns,the Bank Sponsor and NCDWR, shallhave the rightto enterthe Propertyand ConservationEasement Area at allreasonabletimesfor the purpose of inspectingsaidpropertyto determine ifthe Grantor,or hispersonalrepresentatives, heirs,successors,or assigns,iscomplyingwith the terms,conditions,restrictions,and purposesof this ConservationEasement.The Grantee shallalsohave the rightto enterand go upon the Propertyand the ConservationEasement Area for purposes of making scientificor educationalobservationsand studies,and takingsamples.The easement rightsgrantedhereindo not includepublicaccessrights. ARTICLE V ENFORCEMENT AND REMEDIES A.To accomplishthe purposesof thisConservationEasement,Grantee isallowedto prevent any activityon or use of the ConservationEasement Area thatisinconsistentwith the purposesof this ConservationEasement and to requirethe restorationof such areas or featuresof the Conservation Easement Area that may be damaged by such activityor use.Upon aríybreach of the terms of this ConservationEasement by Grantorthatcomes to the attentionof the Grantee,the Grantee shallnotify the Grantor inwritingof such breach.The Grantorshallhave 30 days afterreceiptof such noticeto correctthe conditionsconstitutingsuch breach.Ifthe breach remains uncured after30 days,the Grantee may enforcethisConservationEasement by appropriatelegalproceedingsincludingdamages, injunctiveand other relief.Notwithstandingthe foregoing,the Grantee reservesthe immediate right, without notice,to obtain a temporary restrainingorder,injunctiveor other appropriatereliefifthe breachof the term of thisConservationEasement isor would irreversiblyorotherwisemateriallyimpair the benefitsto be derivedfrom thisConservationEasement.The Grantor and Grantee acknowledge thatunder such circumstancesdamage to the Grantee would be irreparableand remedies at law willbe inadequate.The rightsand remedies of the Grantee providedhereunder shallbe inadditionto,and not in lieuof,allother rightsand remedies availableto Grantee inconnectionwith thisConservation Easement.The costsof a breach,correctionor restoration,includingthe Grantee'sexpenses,court costs,and attorneys'fees,shallbe paid by Grantor,providedGrantorisdetermined to be responsible forthe breach.The Bank Sponsor and NCDWR shallhave the same rightto enforcethe terms and conditionsof the ConservationEasement as the Grantee. B.No failureon the partof the Grantee to enforceany covenant or provisionhereofshall dischargeor invalidatesuch covenantor any othercovenant,condition,or provisionhereofor affectthe rightto Grantee to enforcethe same inthe event of a subsequent breach or default. s 4.26.22TP/MTC C.NothingcontainedinthisConservationEasement shallbe construedto entitleGranteeto bringany actionagainstGrantorforany injuryor change inthe ConservationEasement Area resulting from causes beyond the Grantor'scontrol,including,without limitation,fire,flood,storm,war,actsof God or thirdparties,exceptGrantor'slesseesor invitees;or from any prudentactiontaken ingood faith by Grantorunder emergency conditionsto prevent,abate,or mitigatesignificantinjuryto life,damage to ConservationEasement Area or harm to the ConservationEasement Area resultingfrom such causes. ARTICLE VI MISCELLANEOUS A.Warranty.Grantorwarrants,covenantsand representsthat itowns the Propertyin fee simple,and thatGrantoreitherowns allinterestsinthe Propertywhich may be impairedby the granting of thisConservationEasement or thatthereare no outstandingmortgages,tax liens,encumbrances,or other interestsin the Propertywhich have not been expresslysubordinatedto thisConservation Easement.Grantor furtherwarrants that Grantee shallhave the use of and enjoy allthe benefits derivedfrom and arisingout of thisConservationEasement,and thatGrantorwillwarrant and defend titleto the Propertyagainstthe claimsof allpersons. B.Subsequent Transfers.The Grantor agreesto incorporatethe terms of thisConservation Easement in any deed or other legalinstrumentthattransfersany interestin allor a portionof the ConservationEasement Area.The Grantor agreesto providewrittennoticeto the Grantee of such transferat leastthirty(30)days priorto the date of the transfer.The Grantorand Grantee agree that the terms of thisConservationEasement shallsurviveany merger of the fee and easement interestsin the ConservationEasement Area or any portionthereof and shallnot be amended,modified or terminatedwithoutthe priorwrittenconsentand approvalof NCDWR. C.Assignment.The partiesrecognizeand agree that the benefitsof thisConservation Easement are ingrossand assignableprovided,however thatthe Grantee hereby covenantsand agrees, that in the event ittransfersor assignsthisConservationEasement,the organizationreceivingthe interestwillbe a qualifiedholderunder N.C.Gen.Stat.§121-34 et seq.and §170(h)of the Internal Revenue Code,and the Grantee furthercovenants and agrees that the terms of the transferor assignment willbe such thatthe transfereeor assigneewillbe requiredto continuein perpetuitythe conservationpurposes describedinthisConservationEasement. D.EntireAgreement and Severability.This MBI,BPDP and thisinstrumentset forththe entireagreement of the partieswith respectto the ConservationEasement and supersedes allprior discussions,negotiations,understandingsor agreements relatingto the ConservationEasement.Ifany provisionisfound to be voidor unenforceableby a courtof competent jurisdiction,the remaindershall continueinfullforceand effect. E.Obligationsof Ownership.Grantor isresponsiblefor any realestatetaxes,assessments, fees,or charges leviedupon the Property.Grantor shallkeep the Propertyfreeof any liensor other encumbrances for obligationsincurredby Grantor.Grantee shallnot be responsiblefor any costsor liabilityof any kind relatedto the ownership,operation,insurance,upkeep,or maintenance of the Property,exceptas expresslyprovidedherein.Nothinghereinshallrelievethe Grantorof the obligation 6 4.26.22TP/MTC to comply with federal,stateor locallaws,regulationsand permitsthatmay applyto the exerciseof the Reserved Rights.
