Good morning,
I wanted to follow up on my voicemail since most of us are working remote and you may not get it until next week.
The letter states that a hard copy needs to be submitted but what does this look like? Would this be a letter resolving
the inconsistencies and clarifying those issues? Does the letter need to be notarized or would her signature suffice?
Also the date on the letter says the response is due by 3/11/22. Did you mean 4/11/22?

The Wilmington Regional Office received and accepted a State Stormwater Management Permit Renewal
Application for the subject project on March 21, 2022. A preliminary in-depth review of that information has
determined that the application is not complete and that additional information is needed. To continue the review,
please provide the following additional information in a single, hard copy submittal package:
15A NCAC 02H.1045(3)(a)(ii): Please confirm the following:
a. Section B.1 of the application lists the applicant as Carolina Power and Light Co. DBA Progress
Energy Carolinas, Inc. However, a review of the DEQ database found Duke Energy Progress,
LLC based on a name/ownership name change application that was accepted in June 2016.
Please confirm that the applicant listed on the application is consistent with the DEQ database.
b. The mailing address for the property owner listed in Section BA of the application is not
consistent with the office mailing address on file with the Secretary of State. Please confirm the
mailing address for property owner listed in Section BA of the application is consistent with the
information on file with the Secretary of State.
Please remember to confirm that any revised information is presented consistently throughout the application
documents. Please also remember to provide a hard copy of any updated documents per 15A NCAC 02H.1045(3).

The requested information should be received in this Office by M Arch 11, 2022, or the application will be
returned as incomplete. If additional time is needed to submit the requested information, please email your
extension request prior to this due date to the email address provided below with a justification and a date of when
the requested information will be submitted, which shall be no later than 15 days past the original due date. Please
note that only two letters requesting additional information is allowed in the State Stormwater Program far a
total of 30 days to submit the requested additional information. If the information is not satisfactorily provided
after either the second request or 30 days, the project will be returned. If the project is returned and you wish to
re -submit later, you will need to resubmit all required items at that time, including the application fee.

Effective August 1, 2013 the State Stormwater program was transferred from the Division of "later
Quality (DWQ) to the Division of Energy, Mineral and Land Resources (DEMLR). All previous
references to DWQ will remain in older stormvater permits issued prior to August L 2013 until they are
modified.
On August 5, 2009, the Governor signed Session Law 2009-406. 'fltis law impacted any development
approval issued by the former Division of Water Quality under Article 21 of Chapter 143 of the General
Statutes, which was current and valid at any point between January 1, 2008, and December 31, 2010. The
law extended the effective period of any stonnwater permit that was set to expire during this time frame
to three (3) years from its current expiration date. On August 2, 2010, the Governor signed Session Law
2010-177 which granted an extra year for a total of up to four (4) years extension.
Accordingly, State Stormwater Management Permit g SW8 981209, which was set to expire on
September 25, 2018, is now in effect until September 25, 2022. Please submit the renewal application
(Form SWU-102) and application fee at least 180 days prior to the new expiration date, which would be
March 25, 2022. A copy of the Renewal Application can be obtained from the following website:

All three of the permits indicated, as well as the rest of the Progress Energy/Duke projects, have already been changed in
BIMS. This was facilitated several years ago when Stormwater was stitl a part of Water Quality. Duke Energy sent a letter
directly to Chuck Wakild and it came down to all the regional offices through Matt Matthews. The name change was done
up in Raleigh correcting the name in BIMS.
I was given a copy of the letter as Matt Matthews asked for my help in looking at some other Water Quality permits for
proper facility naming. I'm attaching a copy of the letter for each of you.

III. REQUIRED ITEMS
A request to transfer a permit will not be approved by the Division of Water Quality (DWQ) unless all
of the applicable required items listed below are included with the submittal. Failure to provide the
listed items may result in processing delays or denial of the transfer.
1. This completed and signed form. This certification must be completed and signed by both the
current permit holder and the new applicant if this is a change of ownership,
2. Legal documentation of the property transfer to a new owner.
3. A copy of any recorded deed restrictions, covenants, or easements, if required by the permit.
4. The designer's certification (DWQ Engineer and Designer Certification Forms are available from
each DWQ Regional office), if required by the permit and if not already submitted to DWQ.
5. If the proposed permittee is a firm, partnership, association, institution, corporation, limited liability
company, or other corporate entity, provide documentation showing the authority of the named
representative to act on behalf of the proposed permittee.
6. The $40.00 processing fee. If this is an initial transfer from the original permittee the processing
fee is not required. Subsequent ownership transfers will require the $40.00 processing fee.

Certain environmental programs established under the Clean Air Act and Clean Water Act require that the
owners and operators of each affected facility or supplier comply with these programs by appointing individuals
to specific positions and assigning responsibilities to specific functions. Certain programs also require that the
selection of a Representative be made by an agreement binding on the owners and operators of the affected
facility or supplier. The following federal programs and applicable state implementing regulations necessitate
this Internal Correspondence:
Acid Rain Program;
Cross State Air Pollution Rule;
Mercury and Air Toxics Standards Program;
Greenhouse Gas Mandatory Reporting Rule;
Federally Enforceable Permits and Compliance Certifications; and,
National Pollutant Discharge Elimination System, and other water -related regulatory programs.
This Internal Correspondence authorizes the persons, positions, and any successors in their positions, named in
the following programs and responsibility descriptions to act on behalf of Duke Energy Carolinas, LLC, Duke
Energy Indiana, Inc., Duke Energy Kentucky, Inc., Duke Energy Florida, Inc., Duke Energy Progress, Inc., Duke
Energy Ohio, Inc., Duke Energy Beckjord, LLC, Duke Energy's Gas Operations, Duke Energy's Nuclear
Operations, or a subsidiary thereof, with respect to the described positions and responsibilities related to
compliance with these programs.
As company officers, we are acting on behalf of the facilities', Duke Energy's Gas Operations' and Duke
Energy's Nuclear Operations' owners and operators in making these appointments. In the case of facilities co -
owned with other companies, or operated on behalf of other companies, we make these appointments

The Representatives assume responsibility for each program's compliance requirements including:
Signing certain documents required by each program's provisions;
Providing applicable program correspondence and electronic reports to the EPA;
Acting as the EPA's primary point of contact for the programs; and,
Assuring sufficient emissions allowances are transferred into and held within the facilitiesfunit accounts
for compliance purposes.
2. Designated Representatives, Alternate Desianated Representative, Authorized Account
Representative and Alternate Authorized Account Representative Responsibilities
Under the Acid Rain Program, the Cross State Air Pollution Rule, the Mercury and Air Toxics Standards
Program and the Greenhouse Gas Mandatory Reporting Rule, a Designated Representative, (DR), must be
named and an Alternate Designated Representative, (ADR), may be named for each facility. For general
allowance accounts established under the US EPA's system, an Authorized Account Representative, (AAR),
must be appointed to oversee the accounts. An Alternate Authorized Account Representative, (Alt. AAR), may
be appointed in addition. Applicable to each of the individuals appointed as DR, ADR, AAR and Alt. AAR, the
following provisions apply:
The duties of the Representatives or Alternate shall be those specified within the Clean Air Act or other
applicable federal or state law as Implemented by the applicable regulations. The Representatives or
Alternate shall represent and legally bind Duke Energy to the extent specified by applicable laws and
regulations. Duke Energy shall provide appropriate support to the Representatives or Alternate to allow
them to carry out their duties hereunder;
The regulations for the above programs allow for the Alternate Representative to act if the
Representatives are unavailable or otherwise unable to perform their duties. In the event that a
submission, application, or action is required of the Representatives and the Representatives are
unavailable, the facilities' owners and operators authorize the Alternate Representative to act on their
behalves; and,
In addition, the Representatives or Alternate are authorized, if permitted under the relevant regulations
and emission programs, to name one or more employees of Duke Energy or its affiliates as Agents for
the purpose of discharging some or all of their rights and responsibilities regarding the facilities and/or

general allowance accounts. The Representatives, the Alternate and their Agents are the ody
Individuals that can transfer allowances into and out of the accounts.
Duke Energy, by granting all necessary authority to the Representatives, the Alternate and Agents to carry out
the duties and responsibilities of said positions, agrees to be fully bound by and liable for any actions, inactions
or submissions made by the Representatives, the Altemate and/or Agents acting in their respective capacities
as such, and further agrees to be bound by any orders issued to the Representatives, the Alternate or Agents by
the EPA or any other federal or state regulatory agency or a court having appropriate jurisdiction over the
account(s). Notwithstanding the foregoing, Duke Energy retains the right to contest the validity of any such
order in accordance with law.
The Representatives and the Alternate shall not be liable to Duke Energy, whether in contract, tort, negligence,
strict liability or otherwise for the costs, damages, fines and penalties associated with his actions or failure to act
under this Agreement except for any costs, damages, fines or penalties caused by the Intentional, wrongful
conduct or gross negligence of the Representatives and/or Alternate which materially affects Duke Energy.
The Representatives and Alternate Representative may authorize report coordinators & Agents as permitted by

4. Clean Air Act Title V Permits and Compliance Certification Proaram
All CAA Title V affected facilities are to be represented by an individual who meets the definition of "Responsible
Official" (RO). All Title V Permit required reports or correspondence are to be signed by a RO. The specific
responsibilities of the RO include:
Signing and certifying all Title V submittals (including permit applications, reports, and annual
compliance certifications);
Assuring the necessary resources are committed to the facility to provide for operation in compliance
with all regulatory and permit requirements; and,
Verification of on -going compliance or resolving any non-compliance.
The following individuals have been selected and authorized on behalf of the facilities' owners and operators.
For the regulated facilities owned or operated by Duke Energy Carolinas, LLC, Duke
Energy Indiana, Inc., Duke Energy Kentucky, Inc., Duke Energy Florida, Inc. and Duke
Energy Progress, Inc., or a subsidiary thereof, and Duke Energy Beckjord, LLC, RO
responsibilities will be performed by the incumbent Managers or Vice Presidents, or their
successors.
40 CFR 70.2, and related state regulations, allow the appropriate officers of the corporation
to directly delegate RO responsibilities to an individual who is in charge of the overall
operation of a facility and meets the specific requirements of the regulations. In addition,
the appropriate officers also may obtain RO delegation approval through correspondence
with the proper State agencies. These additional delegations shall be coordinated with the
Manager, Environmental Programs Group.
Any report that is submitted by a RO also may be submitted by an individual who is his
superior within the organization. If a Manager or Vice President is unavailable, then the
person appointed to temporarily fill his role, his successor, or designee, will act on his
behalf.
Correspondence to and from State Agencies
Responsible Officials are authorized to sign all correspondence that the facility Title V permit requires to be
certified.
Facility Affected Decommissioned Units
A separate Responsible Official, such as a Manager from the decommissioned unit, may sign and submit
required reports as well as other required documents.
5. National Pollutant Discharoe Elimination System Program and Other Water -Related i leAulasoo r
Programs
NPDES Applications
NPDES permit applications shall be signed and certified by:
1) a "Responsible Corporate Officer" (CO); or,
2) the position of Manager (such as a station manager, plant manager, general manager, production manager,
etc.) of one or more operating facilities from which the permitted discharge(s) originates. The CO must delegate
these responsibilities to personnel in Manager -level positions for them to be authorized for permit application
signatory responsibilities in accordance with applicable corporate procedures. (40 CFR 122.22)
A CO is defined as a president, secretary, treasurer, or vice-president in charge of a principal business function,
or other person who performs similar functions for the corporation.

information requested by the Permit Issuing Authority requiring facility certification, shall be signed and certified
by the CO or delegated Manager or by a duly authorized representative of the CO or Manager such as station
superintendent, operations manager, etc. (40 CFR 122.22)
The authorization must be in writing by the CO or Manager. The duly authorized representative position must
have responsibility for the overall operation of the permitted facility or have overall responsibility for
environmental matters for the company.
Other Related information
The NPDES Compliance or Water Programs Managers, their respective designees, or when unavailable and as
last resort to avoid noncompliance, the Environmental Coordinators, may submit other reports, information, or
correspondence to the Permit Issuing Authority where certification Is not requested by the agency, or is
unnecessary per normal practice and/or precedent. Events and associated correspondence that qualify in this
category may be variable and specific to the State regulatory agency with oversight and thus, specific examples
cannot be given that would be accurate in all situations. Reporting and signatory practices as outlined by the
direct permitting authority are to be followed. The following responsibilities have been assigned and authorized
on behalf of the facilities' owners and operators.
For the regulated facilities owned or operated by Duke Energy Carolinas, LLC, Duke
Energy Indiana, Inc., Duke Energy Kentucky, Inc., Duke Energy Florida, Inc. and Duke
Energy Progress, Inc., or a subsidiary thereof, and Duke Energy Beckjord, LLC, CO
responsibilities will be performed by Managers, Vice Presidents, successors, or designees
of the generating organization.
If a Manager or Vice President is unavailable, then the person appointed to temporarily fill
his role, his successor, or designee, will act on his behalf. This change shall be
coordinated with the Managers, regional Environmental Services, Permitting & Compliance
and regional EHS CCP, Permitting & Compliance Groups, as applicable. Permitting and
compliance under NPDES and other water regulatory program requirements should
continue under the existing processes that apply to the facilities.
Any application or report that needs to be submitted by a CO or Manager also may be
submitted by an individual who is his superior within the organization.
Correspondence to and from State Agencies
Responsible Corporate Officers are authorized to sign all correspondence that the facility NPDES permit
requires to be certified.
Other Water -Related Permit Applications, Permit Reports, or Regulatory Information Required by
Various Water Regulatory Programs
Applications, reports and other related information shall be signed in accordance with the above procedures
unless the applicable requirements allow otherwise.

6. Nuclear Site Air and Water Environmental Compliance
Reports, permit applications and other documents required under the air and water
programs for the non -co -located nuclear sites of Brunswick, Catawba, Harris, McGuire,
and Oconee will be signed by the Site Vice President. If allowed by permit and/or
regulation, the Site Vice President can authorize the Plant Manager as the signatory.
For the co -located sites of Crystal River and H B Robinson, the air prog ram documents will
be signed by the steam fleet or regulated combined cycle and combustion turbine fleet
responsible officials who meet the requirements in section 4 above. Also for these sites,
the water program documents will be signed by the relevant nuclear unit or fossil unit
officials consistent with the requirements established in section 5 of this document.

PLAN OF MERGER AND COMPLETE LIQUIDATION
of
PEC MGP, LLC
with and into
CAROLINA POWER & LIGHT COMPANY
d/b/a PROGRESS ENERGY CAROLINAS, INC.
The purpose of this Plan of Merger and Complete Liquidation is to effect the merger of
PEC MGP, LLC, a North Carolina limited liability company (the "Merging Company"), into
Carolina Power & Light Company, d/b/a Progress Energy Carolinas, Inc., a North Carolina
corporation (the "Surviving Corporation") in accordance with the applicable provisions of the
North Carolina General Statutes.
1. Purpose of Mercer. The Merging Company is a wholly -owned subsidiary of the
Surviving Corporation and the Surviving Corporation is the sole member of the Merging
Company. The Merging Company and the Surviving Corporation intend that this merger shall
achieve the effects enumerated in Section 57C-9A-23 of the North Carolina Limited Liability
Company Act, whereby the Merging Company's separate existence ceases and the Merging
Company is completely liquidated.
2. Effective Time. The merger shall become effective upon the filing and acceptance
of the Articles of Merger with the North Carolina Secretary of State (the "Effective Time").
3. Terms and Conditions. The terms and conditions of the merger are as follows:
Upon the terms and subject to the conditions of this Plan of Merger, at the Effective Time, (i) the
Merging Company shall merge with and into the Surviving Corporation pursuant hereto, and the
Surviving Corporation, which shall retain its corporate name, Carolina Power & Light Company,
and which shall do business under its assumed name, Progress Energy Carolinas, Inc., shall
retain its corporate identity and shall continue to be governed by the laws of the State of North
Carolina, and (ii) the merger shall have the effects set forth herein and in the applicable
provisions of the North Carolina General Statutes.
4. Cancellation of Membership Interests. At the Effective Time, all membership
interests in the Merging Company shall be cancelled by virtue of the merger and without any
further action on the part of the holder thereof.

All three of the permits indicated, as well as the rest of the Progress Energy/Duke projects, have already been changed•in
BIMS. This was facilitated several years ago when Stormwater was still a part of Water Quality. Duke Energy sent a letter
directly to Chuck Wakild and it came down to all the regional offices through Matt Matthews. The name change was done
up in Raleigh correcting the name in BIMS.
I was given a copy of the letter as Matt Matthews asked for my help in looking at some other Water Quality permits for
proper facility naming. I'm attaching a copy of the letter for each of you.

We can check these applications via email but we can not transfer until we have original signatures and all the other
information that is supposed to be submitted with the application. Like Deeds, SOS registration or changes etc. Just by
looking at these I am not sure they are entirely correct. In order for this to just be a name change they would have
actually had to just change their name on the SOS. They did provide the signature authority document, which is very
important.
This might be an actual new transfer to a new entity.
Also, there is only "no fee" for the first transfer. We will
transfer of the property and permit.
I will look into it.
