WITNESSETH:
That the Grantor, in consideration of Ten Dollars ($I0.00) and other valuable
considerations to it paid by Grantee, the receipt and sufficiency of which is hereby
acknowledged, has bargained and sold, and by these presents does grant, bargain, sell and
convey unto the Grantee, and their successors and assigns, the following described real property,
lying and being in Stump Sound Township, Onslow County, State of North Carolina, including
all improvements constructed on, affixed to, or located upon the real property, and further
including any easements or rights -of -way of record benefiting the real property. The real

Being all of that 16.977 acre tract of land as shown on that certain plat entitled,
"LOT RECOMBINATION FOR W. K. MORGAN, SR. & WIFE, MARY
MORGAN, 16.977 ACRE ON U.S. HIGHWAY 17", prepared by Charles F.
Riggs & Associates, Inc. and recorded in Map Book 58, page 178, Slide M-1251,
Onslow County Registry, reference to which is made for a more particular
description.

TO HAVE AND TO HOLD the aforesaid real property with all privileges and
appurtenances !hereunto belonging to the Grantee, and its successors and assigns forever. The
said Grantor does covenant that it is seized of said real property, and has the right to convey the
same in fee simple; that it will warrant and defend the title to the real properly against the claims
of all persons whomsoever, and that the real property is free from encumbrances except that this
conveyance is subject to outstanding ad valorem taxes, restrictive covenants. and easements of
record, if any.
THIS DEED is intended to be, and is, an absolute conveyance of the title to the aforesaid
real property to the Grantee and is not now intended as a mortgage, trust conveyance or security
of any kind; that it is the intention of the Grantor to convey to the Grantee all of the Grantor's
right, title and interest absolutely in and to the said real property;
THIS DEED is not given as a preference against any other creditor of the Grantor, and
there is no other person, firm, corporation or entity other than the Grantor, having an interest,
either directly or indirectly, in the said real property; that the property is not subject to any
umecorded leases or otherwise subject to the rights of any tenant or lessee; and that there are no
creditors whose rights would be prejudiced by the conveyance of' the said real property to the
Grantee;
THIS DEED is an absolute conveyance, the Grantor having conveyed said real property
to the Grantee for a fair and adequate consideration, such consideration, in addition to that above
recited, being a credit in full satisfaction of the Purchase Money Promissory Note dated
December 31, 2020 in the original principal amount of Five Hundred Seventy -Five Thousand
Dollars ($575,000.00) which is secured by Purchase Money Deed of Trust of even date recorded
in Book 5350, Pages 584-587, Onslow County Registry;
The Grantor declares and acknowledges (1) that the satisfaction by the Grantee of the
Promissory Notes in return for transfer of title to the real property to the Grantee is fair and
reasonable consideration; and (2) that this Deed is given in lieu of a foreclosure action being
completed by the Grantee.
Grantor declares that in the execution and delivery of this Deed, that it was not under any
misapprehension as to the effect of this conveyance; that this conveyance is freely and fairly
made without any coercion or duress on the part of the Grantee; that it entered into this Deed
without reliance upon any inducement or representation of the Grantee not contained herein; and
that this Deed is given for full and fair consideration.
Grantee, by accepting this Deed, acknowledges that the Grantor has satisfied all
obligations secured by the Purchase Money Deed of Trust executed by 3&A South Development,
LLC, a North Carolina Limited Liability Company, to N. Boyd Tisdale and/or R. K. B.
McConnell, either of whom may act independently, Trustee for W. Kenneth Morgan, Sr. and
wife, Mary B. Morgan, dated December 31. 2020 and recorded in Book 5350, Pages 584-587,
Onslow County Registry, North Carolina and the aforementioned Purchase Money Promissory
Note secured thereby.
