i, the undersigned natural person of the age of twenty-one
(21) years or more, do hereby make and acknowledge these ARTICLES OF
INCORPORATION, for the purpose of forming a corporation not for profit,
under by and virtue of Chapter 55A of the General Statutes of the State
of North Carolina, and pursuant thereto, do declare:
ARTICLE I - NAME
The name of this corporation is WILLOW BROOK RUN PROPERTY
OWNERS'S ASSOCIATION, INC.
ARTICLE II - TERM OF EXISTENCE
The period of duration of this corporation is perpetual.
ARTICLE III - PURPOSES OF THE CORPORATION
The general purpose for which the corporation is organized
are:
1. To organize and operate a homeowners association for the
purpose of maintaining and improving the quality of life, recreation,
social involvement, health and general welfare of its members.
2. To provide services, facilities and supplies to its
members in furtherance of the primary purpose.
3. To acquire real and personal property and to maintain and
manage the same incidental and/or necessary to the purposes of a home-
owner's association, including the maintenance and development of roads,
waters systems, sewage systems, recreational facilities, protective
services and such other properties or activities as may from time to
time be approved by the membership.
4. To enforce and otherwise implement the Restrictive
Covenants, Conditions, Restrictions and Affirmative obligations
established for the development.
5. In the furtherence of the objects and purposes above set
forth, the corporation shall have full power and authority to purchase,
lease and otherwise acquire, hold, mortgage, convey, and otherwise
the laws of the State of North Carolina now in effect or as they may be
from time to time amended.
ARTICLE IV - QUALIFICATIOIq AND ADMISSION OF MEMBERS
The corporation shall have members which may be divided into
such classes as shall be provided in the By -Laws. All members shall be
accepted, appointed, elected or designated and all terms and conditions
of membership including, but not limited to, the establishment of
membership dues, shall be as provided in the By -Laws of this cor-
poration.
ARTICLE V - MANAGEMENT OF CORPORATION
The affairs of this non-profit corporation shall be managed by
a Board of Directors which shall be elected by the members of the
corporation, in the manner provided in the By -Laws but consisting of no
less than three (3) members of the corporation.
ARTICLE VI - DISTRIBUTION OF EARNINGS AND ASSETS
No part of the net earnings of the corporation shall enure to
the benefit of any officer, director, or member of the corporation,
provided, however, that reasonable compensation may be paid for services
rendered to or for the benefit of the corporation, effecting one or more
Of its purposes. Upon dissolution of the corporation, no member,
director or officer of the corporation, Or any private individual, shall
be entitled to share in the distribution of the assets of the
corporation, but such assets, after all of its liabilities and
obligations have been discharged, or adequate provisions made therefor,
shall be donated, transferred, delivered, or conveyed by the Directors,
to one or more organizations selected by the Directors, engaged in
activities similar to those of this corporation, that have qualified
under Section 501(c)(3) or corresponding provisions of the Internal
Revenue Code, and have qualified under Chapter 105, Sections 125 and
130.11 of the General Statutes of the State of North Carolina.

ARTICLE IX - BY-LAWS
The By -Laws of this non-profit corporation shall be made,
amended or rescinded, by the majority vote of its members.
ARTICLE X - AMENDMENTS TO THE ARTICLES OF INCORPORATION
Amendments to these Articles of Incorporation may be proposed
by any member at any regular or special meeting of the corporation, but
shall be adopted and made effective only upon the affirmative vote of
sixty per cent (60%) of the members of the corporation.
