TO HAVE AND TO HOLD the aforesaid lot or parcel of land, including all improvements located thereon, and
all privileges and appurtenances thereto belonging to the Grantee in fee simple. Together with all right,
title, and interest of Grantor in and to any rights -of -way abutting or adjoining the Property, and all rights
privileges, easements, and appurtenances thereto belonging and not elsewhere herein excepted.
The Grantor covenants with the Grantee that Grantor is seized of the premises in fee simple and has the
right to convey the same in fee simple, that title is marketable and free and clear of all encumbrances, and
that Grantor will warrant and defend the title against the lawful claims of all persons whomsoever except

The undersigned, REBECCA ADKISON, executes this North Carolina General Warranty Deed as
manager of SOUTHEAST LAND HOLDINGS, LLC. This conveyance is in furtherance of the winding up of the
affairs of the company after its dissolution in accordance with 57D-6-07. The authority for her execution
on behalf ofthe Limited Liability Company is by and through a Resolution of SOUTHEAST LAND HOLDINGS,
LLC dated on or about January 18, 2022 and duly executed by all members and managers of the Company.

THE POINT AND PLACE OF BEGINNING is that existing 3/4" iron pipe (buried) situated
between a power pole and guy wire on the northern right-of-way of NC Highway 67
("Reynolda Road"), witnessing the common corner (front) with that property described in
Plat Book 0061, Page 0079, Forsyth County Registry. Said POINTAND PLACE OF BEG INNING
has NC GRID coordinates N:889832.625 and E:1595594.551.
Proceeding thence from said POINT AND PLACE OF BEGINNING North 242 15' 50" East a
distance of 166.02 feet to an existing 3/4" iron pipe; thence North 602 15' 23" West a
distance of 146.42 feet to an existing 3/4" iron pipe; thence North 479 47' 46" West a
distance of 218.75 feet to an existing 1" found iron pipe (%" above ground); thence North
002 00' 06" West a distance of 176.02 feet to an existing iron stake (buried), a control
corner, having NC GRID coordinates N:890379.616 and E:1595373.636 witnessing the
northwest corner of the 29.441 acre tract described herein; thence South 89914' 44" East
a distance of 1021.61 feet to a 3" iron pipe; thence South 899 05' 18" East a distance of
66.62 feet to a toy car wheel and axle in fence; thence South 899 30' 36" East a distance
of 576.87 feet to an existing %" iron pipe (control corner) witnessing the northeast corner
of the 29.441 acre tract described herein. For reference, said northeast corner has NC

less, according to the map of survey prepared by Kinder Land Surveying under the
supervision of Franklin G. Kinder, surveyor, NCPLS #4462, on December 09, 2021 revised
January 10, 2022 that is entitled "Plat of Survey Showing 29.441 Total Ac." prepared for
COC Investments LLC. A copy of said map is attached hereto as a part and in aid of this
description.
This survey was prepared using NC Grid coordinates determined by NAD83(2011) using a
combined grid factor(s) 0.99996517
THIS CONVEYANCE IS SUBJECT TO the following:
All public roadway rights of way and public utility easements
Easements, restrictions, covenants and all other matters of record.
Taxes for the year 2021, to the extent not yet paid, and subsequent years.
Zoning and regulatory matters
AND BEING FURTHER SUBJECT TO rights of others as may exist in and to the use of the
60 foot easement for road right of way identified and described in Deed Book 0621, Page 137;

RESOLUTION TO SELL REAL PROPERTY
SOUTHEAST LAND HOLDINGS, LLC
The undersigned, being all of the members and managers of SOUTHEAST LAND
HOLDINGS, LLC a North Carolina limited liability company (the "Company'), hereby waive
notice and meeting and do now consent to and adopt the following pursuant to the Company's
Operating Agreement:
We, the undersigned, do hereby certify that:
Company is the fee simple owner of a certain tract or parcel of land containing
approximately 29.62 acres, including certain improvements located thereon, identified as tax
parcel #5899-60-3203 and commonly known as 6775 and 6785 Reynolda Road, Pfafftown, North
Carolina 27040 in Forsyth County, North Carolina (the "Premises).
The undersigned hereby certify that the following representations regarding the Company
are true, accurate and complete to the best of their knowledge:
• Company is a limited liability company which has been administratively dissolved by
action of the Secretary of State of North Carolina.
• Company has full power and authority to own its properties and to transact the business in
which it is presently engaged in connection with the winding up of the affairs of the
Company.
• Company has full power and authority to execute and deliver the Closing Documents
(defined below).
• Consummation and performance by Company of the transactions contemplated by this
Resolution have been duly and validly authorized by all necessary actions (including,
without limitation, approval by the Members).
• The consummation and performance by Company of the transactions contemplated by
this Resolution do not conflict with the Company's Articles of Organization or Operating
Agreement. This Resolution has been duly and validly executed and delivered on behalf
of the Company.
• The members listed below represent 100% of the Membership Interest of the Company.
• This Resolution now stands or record in the books of the Company, is in full force and
effect, and has not been modified, suspended or revoked in any manner whatsoever.
Company has agreed to sell the Property to JOE DOBBIN (or his assignee) for the sum of
$850,000.00 pursuant to the terms of a written contract dated , 2021 (the "Purchase
Contract"). In connection with the closing contemplated herein, the undersigned have reviewed
the Purchase Contract, the North Carolina General Warranty Deed, FIRPTA Certification,
Indemnity Agreement and Lien Waiver, Assignment and Assumption of Lease and 1099
Reporting Data Sheet (the "Closing Documents").

NOW, THEREFORE, BE IT RESOLVED,
That the Company is authorized to sell the Property as set forth herein.
REBECCA ADKISON, as the manager of the Company, shall be and is hereby
authorized, empowered and directed for and on behalf and in the name of this
Company (1) to execute and deliver to Buyer the Closing Documents, including
any additional document that the closing attorney may determine to be necessary,
desirable, expedient or proper in order to consummate sale of the Property
described above.
RESOLVED FURTHER, that the sale of the Property is in furtherance of the
winding up of the business affairs of the Company following dissolution.
4. RESOLVED, FURTHER, that these resolutions may be signed in any number of
separate copies, each of which shall be effective as an original, but all of which
taken together shall constitute one document. An electronic transmission by PDF
or other electronic transmission of this document or any related document shall be
deemed an original and shall be admissible as evidence of the document and the
signer's due execution.
4. It is understood by the undersigned that the closing attorney and title company
will rely upon the representations contained herein. As such, the undersigned will
indemnify such parties against any claim or loss resulting from any false statement
contained herein.
IN TESTIMONY WHEREOF, I have hereunto set my hand and attest that date set
opposite my signature is the date of execution. I further certify that I have read all of the
provisions of this Resolution, and I personally and on behalf of the Company certify that all
statements and representations made in this Resolution are true and correct.
