(herein the "Trustee") after first being duly sworn, certifies to Mocksville Development Partners, LLC as to the following regarding the Anne Hanes Willis Living Trust created under agreement dated December 18, 1974 as well as to the separate trusts created thereunder each of which has identical terms as are identified as follows: U/A DTD 12-18-1974 of Anne Hanes Willis For Mildred W. The Trust was modified by court order in a special proceeding filed in the General Court of Justice, Superior Court Division, Forsyth County, File 03 SP 2108 which modification is not relevant to the real estate transaction to which this Certification applies. The powers of the Trustee to sell interests in real estate located in Davie County, North Carolina owned in common by each Trust are set out in Article III and in Article VI1 of the Trust. 7. Subsection C of Article III of the Trust is as follows: Following the tenth anniversary of this Agreement and the death of the Grantor — or at any time prior thereto that neither Grantor nor any of his children are living and competent to give the written direction herein above provided for — the Trustee shall exercise its own discretion (taking into account the expressed opinion and desires of the Grantor herein above set out) in selling or otherwise disposing of any of such properties, provided that it shall first notify each then living child of the Grantor and each then adult issue of any deceased child of the Grantor who shall then be a beneficiary hereunder, and if all of such individuals are competent shall object to the proposed sale or other disposition within a period of twenty days following the giving of such notice, then the Trustee shall not enter into such sale or other disposition. 8. The Trustee has received an offer to sell the Trusts' interest in real property located in Davie County, North Carolina. Pursuant to the provisions of Article III, Subsection C of the Trust, more than twenty days have passed since the Trustee has notified each beneficiary of the Trust entitled thereto of the material terms of the proposed Purchase and Sale Contract between the Trusts and other owners of an interest in the real property and Covenant Development Partners, LLC (predecessor in interest to Mocksville Development Partners, LLC), and none have objected. 9. Following the expiration of the time for submitting an objection by any beneficiary of the Trust entitled to do so, the Trustee, in the exercise of its reasonable discretion, has full power and authority without the necessity of consent of anyone to exercise its sole discretion to sell the Trusts' interest in real property located in Davie County, North Carolina and to enter into and consummate the sale thereof as the binding act of each Trust. 1 Article VI incorporates by reference statutory powers NCGS 32-27 as those powers then existed. 1196 0354 10. The Trustee has concluded, in the exercise of its discretion, that the sale of the real property in accordance with the negotiated terms set out in a Purchase and Sale Contract with Covenant Development Partners, LLC as buyer and as disclosed to the beneficiaries of the Trusts is fair, reasonable, and in the best interest of each beneficiary of the Trusts. 11. The Trust, by its terms, is irrevocable. No single person has the power to revoke the Trust. 12. There are no -co trustees. The Trustee has full power to execute documents legally binding the Trust. 13. The Trust has a Tax ID number which is redacted. 14. The Trust has not been revoked, modified, or amended in any manner that would cause the representations in this certification of trust to be incorrect.
