ASSIGNMENT
THIS ASSIGNMENT, made this the day of February, 2015, by and between
GREENE ENVIRONMENAL SERVICES, LLC, a North Carolina limited liability
company, whose mailing address is 963 Highway 258 South, Snow Hill, NC and
NORTH CAROLINA WILDLIFE HABITAT FOUNDATION, a North Carolina non-
profit corporation, whose mailing address is P.O. Box 29187, Greensboro, North Carolina
27429 -9187 ( "NCWHF ").
WITNESSETH:
WHEREAS, Wayne Evans, Jamie Evans, and Fred Evans heretofore executed and
delivered to Greene Environmental Services, LLC a Conservation Easement upon certain
lands therein described, dated February 14, 2013 and recorded in Book 1603, Page 743-
753 in the office of the Register of Deeds of Edgecombe County, North Carolina; and
WHEREAS, Greene Environmental Services has agreed to transfer and assign
said Conservation Easement to NCWHF, and
WHEREAS, NCWHF has agreed to accept such transfer and assignment.
NOW, THEREFORE, Greene Environmental Services, LLC, as aforesaid, in
consideration of One Dollar ($1.00), has assigned, bargained and sold and does hereby
assign, bargain, sell and convey unto NCWHF, its successors and assigns, all right, title

and interest of Greene Environmental Services, LLC in and to said Conservation
Easement and in and to the lands therein described and conveyed, together with all rights
and powers therein given to Greene Environmental Services, LLC except as specifically
set forth herein Said Conservation Easement is incorporated herein by reference as if set
out herein in full.
TO HAVE AND TO HOLD the same to it, NCWHF, its successors and assigns,
in the same manner and to the same extent as Greene Environmental Services, LLC now
holds the same.
NCWHF hereby acknowledges receipt of the Conservation Easement and accepts
its on the terms and conditions contained herein
NCWHF acknowledges that Greene Environmental Services, LLC reserved unto
itself a right of entry to the property described in the Conservation Easement sufficient
for Greene Environmental Services, LLC to perform enhancement and restoration to
riparian resources and such activities described in the Conservation Easement and all
other obligations of Greene Environmental Services, LLC as set forth therein
IN TESTIMONY WHEREOF, the parties hereto have caused this instrument to
be executed on their behalves on the day and year first above written
