Accordingly, we are forwarding the attached NPDES discharge permit. This permit is issued pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement between North Carolina and the U.S. Environmental Protection Agency dated October 15, 2007 (or as subsequently amended). Summary of Changes in Renewal Permit from Existing Permit 1) Total Chromium Compliance Limits have been removed and Monitoring reduced to Monthly in this permit. Total Chromium is a pollutant parameter of interest. The RPA evaluation indicates no potential to exceed the water quality standard. Consequently, there is no justification to have compliance limits. But with the continued non -domestic contributor monitoring will remain at a reduced frequency. Terms and conditions exist to re -open this permit if the reported data warrants re-evaluation for compliance limits. 2) Total Nickel Compliance Limits have been removed and Monitoring reduced to Monthly in this permit. Total Nickel is a pollutant parameter of interest. The RPA evaluation indicates no potential to exceed the water quality standard. Consequently, there is no justification to have compliance limits. Total Mercury is a chronic pollutant parameter and as such its compliance limit is subject to accumulative effects. Consequently, a monthly average compliance limit must be determined and implemented. EPA guidelines also require two limits be imposed so the daily maximum limit will remain. This is an addition to further clarify the Total Nitrogen Allocation and its terms and conditions. 5) A Total Nitrogen Load Limit has been changed in this permit. As part of the approved trade the annual Total Nitrogen Load Limit was reduced to 33,070 Ib/yr with an effective date retroactive back to January 1, 2010. 6) A Total Residual Chlorine (TRC) footnote has been corrected in this permit. This is a correction to update the text to (1) clarify what compounds constitute TRC compliance and to (2) define reporting protocol in lieu of the recognized detection limit. 7) A. Total Mercury test Method has been noted in this permit. This defines the.Total Mercury measurement test requirement as Method 1631 E. If any parts, measurement frequencies or sampling requirements contained in this permit are unacceptable to you, you have the right to an adjudicatory hearing upon written request within thirty (30) days following receipt of this letter. This request must be in the form of a written petition, conforming to Chapter 150E of the North Carolina General Statutes, and filed with the Office of Administrative Hearings (6714 Mail Service Center, Raleigh, North Carolina 27699-6714). Unless such demand is made, this decision shall be final and binding. Please note that this permit is not transferable except after notice to the Division. The Division may require modification or revocation and reissuance of the permit. This permit does not affect the legal requirements to obtain other permits which may be required by the Division of Water Quality or permits required by the Division of Land Resources, the Coastal Area Management Act or any other federal or local governmental permits that may be required. Because of the nutrient trade with the Johnston County facility (NC0030176) your permit was potentially impacted by a public hearing held in September 2009 for several NPDES permits including Johnston County. For consistency the Division determined the issuance of your permit should coincide with the issue date and effective date of the Johnston County Permit. Your permit expiration date will remain aligned with your subbasin next renewal date, April 30, 2013. Stream samples shall be grab samples collected 3/Week from June to September and 1/Week during the remaining months of the year. lnstream monitoring is provisionally waived in light of the Permittee's participation in the Lower Neuse Basin Association. lnstream monitoring shall be conducted as stated in this permit should the Permittee end its participation in the Association. 2. Total Nitrogen Load is the mass quantity of Total Nitrogen (TN) discharged in a given period of time and • requires Total Monthly Flow (TMF). See condition A. (3.}. Calculation of Total Nitrogen Load. 3. The monthly average effluent BOD5 and Total Suspended Residue concentrations shall not exceed 15% of the respective influent value (85% removal). 4. Total Residual Chlorine compliance is required for chlorine or chlorine derivative used for disinfection. The Division shall consider all effluent TRC values reported below 50 ug/I to be in compliance with the permit. However, the Permittee shall continue to record and submit all values reported by a North Carolina certified laboratory (including field certified), even if these values fall below 50 ug/I. 5. For a given wastewater sample, Total Nitrogen (TN) = TKN + (NO3 N + NO,-N) where TKN is Total Kjeldahl Nitrogen, and (NO3-N + NOZ N) is Nitrate and Nitrite Nitrogen.. 6. Compliance with this limit shall be determined in accordance with conditions A. (4.) Annual Limits for Total Nitrogen. and A. (5.) Total Nitrogen Allocations. 7. The quarterly average for total phosphorus shall be the average of composite samples collected weekly during the calendar quarter (January -March, April -June, July -September, October -December). 8. Chronic Toxicity (Ceriodaphnia dubia) P/F at 90%: January, April, July, and October [ see condition A. (2.)]. Toxicity monitoring shall coincide with metals monitoring. There shall be no discharge of floating solids or visible foam in other than trace amounts. PermitNCO020389 A. (2.) CHRONIC TOXICITY PERMIT LIMIT (Quarterly) The effluent discharge shall at no time exhibit observable inhibition of reproduction or significant mortality to Ceriodaphnia dubia at an effluent concentration of 90016. The permit holder shall perform at a minimum, quarterly monitoring using test procedures outlined in the "North Carolina Ceriodaphnia Chronic Effluent Bioassay Procedure," Revised February 1998, or subsequent versions or "North Carolina Phase II Chronic Whole Effluent Toxicity Test Procedure" (Revised -February 1998) or subsequent versions. The tests will be performed during the months of January, April, July and October. Effluent sampling for this testing shall be performed at the NPDE$ permitted final effluent discharge below all treatment processes. If the test procedure performed as the first test of any single quarter results in a failure or ChV below the permit limit, then multiple -concentration testing shall be. performed at a minimum, in each of the two following months as described in "North Carolina Phase II Chronic Whole Effluent Toxicity Test Procedure" (Revised -February 1998) or subsequent versions. The chronic value for multiple concentration tests will be determined using the geometric mean of the highest concentration having no detectable impairment of reproduction or survival and the lowest concentration that does have a detectable impairment of reproduction or survival. The definition of "detectable impairment," collection methods, exposure regimes, and further statistical methods are specified in the "North Carolina Phase II Chronic Whole Effluent Toxicity Test Procedure" (Revised - February 1998) or subsequent versions. All toxicity testing results required as part of this permit condition will be entered on the Effluent Discharge Monitoring Form (MR-1) for the months in which tests were performed. If reporting pass/fail results use the parameter code TGP3B and DWQ Form AT -I, sending AT-1 (original) to the below address. If reporting Chronic Value results use parameter code THP3B and DWQ FORMAT-3, sending AT-3 (original) to the following address: NC DENR / DWQ / Environmental Sciences Section 1621 Mail Service Center Raleigh, North Carolina 27699-1621 Completed Aquatic Toxicity Test Forms shall be filed with the Environmental Sciences Section no later than 30 days after the end of the reporting period for which the report is made. Test data shall be complete, accurate, include all supporting chemical/physical measurements and all concentration/response data, and be certified by laboratory supervisor and ORC or approved designate signature. Total residual chlorine of the effluent toxicity sample must be measured and reported if chlorine is employed for disinfection of the waste stream. Should there be no discharge of flow from the facility during a month in which toxicity monitoring is required, the Permittee will complete the information located at the top of the aquatic toxicity (AT) test form indicating the facility name, permit number, pipe number, county, and the month/year of the report with the notation of "No Flow" in the comment area of the form. The report shall be submitted to the Environmental Sciences Section at the address cited above. Should the Permittee fail to monitor during a month in which toxicity monitoring is required, monitoring will be required during the following month. Should any test data from this monitoring requirement or tests performed by the North Carolina Division of Water Quality indicate potential impacts to the receiving stream, this permit may be re- opened and modified to include alternate monitoring requirements or limits. If the Permittee monitors any pollutant more frequently then required by this permit, the results of such monitoring shall be included in the calculation and reporting of the data submitted on the DMR, and all AT Forms submitted. NOTE: Failure to achieve test conditions as specified in the cited document, such as minimum control organism survival, minimum control organism reproduction, and appropriate environmental controls, shall constitute an invalid test and will require immediate follow-up testing to be completed no later than the last day of the month following the month of the initial monitoring. Permit NC0020389 A. (3.) CALCULAT ION OF TOTAL NITROGEN LOADS a. The Permittee shall calculate monthly and annual TN Loads as follows: Monthly TN Load (pounds/month) = TN x TMF x 8.34 where: TN = the average Total Nitrogen concentration (mg/L) of the composite samples collected during the month TMF = the Total Monthly Flow of wastewater discharged during the month (MG/month) 8.34 = conversion factor, from (mg/L x MG) to pounds ii. Annual TN Load (pounds/year) = Sum of the 12 Monthly TN Loads for the calendar year b. The Permittee shall report monthly Total Nitrogen results (mg/L and pounds/month) in the discharge monitoring report for that month and shall report each year's annual results (pounds/year) in the December report for that year. A. (4.) ANNUAL LIMITS FOR TOTAL NITROGEN a. Total Nitrogen (TN) allocations and TN Load limits for NPDES dischargers in the Neuse River basin are annual limits and are applied for the calendar year. b. For any given calendar year, the Permittee shall be in compliance with the annual TN Load limit in this Permit if: i. the Permittee's annual TN Load is less than or equal to said limit, or ii. the Permittee is a Co-Permittee Member of a compliance association. c. The TN Load limit in this Permit (if any) may be modified as the result of allowable changes in the Permittee's TN allocation. i. Allowable changes include those resulting from purchase of TN allocation from the Wetlands Restoration Fund; purchase, sale, trade, or lease of allocation between the Permittee and other dischargers; regionalization; and other transactions approved by the Division. ii. The Permittee may request a modification of the TN Load limit in this Permit to reflect allowable changes in its TN allocation. Upon receipt of timely and proper application, the Division will modify the permit as appropriate and in accordance with state and federal program requirements. iii. Changes in TN limits become effective on January 1 of the year following permit modification. The Division must receive application no later than August 31 for changes proposed for the following calendar year. iv. If the Permittee is a member and co-Permittee of an approved compliance association, its TN discharge during that year is governed by that association's group NPDES permit and the TN limits therein. i. The Permittee shall be considered a Co-Permittee Member for any given calendar year in which -it is identified as such in Appendix A of the association's group NPDES permit. ii. Association roster(s) and members' TN allocations will be updated annually and in accordance with state and federal program requirements. Permit NCO020389 (Continued from A. (4.) If the Permittee intends to join or leave a compliance association, the Division must be notified of the proposed action in accordance with the procedures defined in the association's NPDES permit. (1) Upon receipt of timely and proper notification, the Division will modify the permit as appropriate and in accordance with state and federal program requirements. (2) Membership changes in a compliance association become effective on January 1 of the year following modification of the association's permit. ' e. The TN monitoring and reporting requirements in this Permit remain in effect until expiration of this Permit and are not affected by the Permittee's membership in a compliance association. A. (5.) TOTAL NITROGEN ALLOCATIONS a. The following table lists the Total Nitrogen (TN) allocation(s) assigned to, acquired by, or transferred to the Permittee in accordance with the Neuse River nutrient management rule (T15A NCAC 02B .0234) and the status of each as of permit issuance. For compliance purposes, this table does not supercede any TN limit(s) established elsewhere in this permit or in the NPDES permit of a compliance association of which the Permittee is a Co-Permittee Member. A. (6.) LAGOON FREEBOARD HEIGHT REQUIREMENT A minimum of 2 feet of freeboard height must be maintained in the lagoons (currently used for equalization/sludge holding). There is one major non -categorical industrial discharger, PGI Nonwovens, that utilizes 33% of the existing treatment capacity, a pretreatment program is in place. The Benson Plant discharges treated domestic/industrial wastewater to Hannah Creek, a class C Nutrient Sensitive Water (NSW) water in the Neuse River Basin. This portion of Hannah Creek that receives the Benson facility discharge is impaired for low oxygen. A permit modification for 1.9 MGD was approved and issued in January 2006 with a new 50% reduced compliance limit for ammonia nitrogen and with no increase in total pounds of annual total nitrogen discharge. The ammonia as nitrogen limits meet water quality standards but were reduced to sustain the total oxygen consumption loading at a level less than the 1.5 MGD oxygen consumption loading capacity.. The Authorization to Construct the 1.9 MGD expansion was issued September 2006 and provided advance technology to improve nutrient reduction and other increased capacity treatment processes. The NPDES renewal application requested a renewal permit for the 1.9 MGD capacity. The signed Engineering Certificate for -the 1.9' MGD capacity has been received. Hannah Creek is impaired, an ambient station was installed upstream of the Benson facility. Subsequent instream (2008 report) studies have shown the oxygen impairment- and fecal coliform variation in Hannah Creek were from other sources not the Benson treatment facility. The DMR data indicates no reported effluent dissolved oxygen levels below the water quality minimum standard. The treatment process uses a bar screen, a grit chamber, and three extended oxidation ditches to provide aerobic and anaerobic zones for nutrient reduction. Two lagoon serves as a equalization basin. The wastewater exists the ditches, goes through a clarifier"system, and then through a final tertiary filter. The filtered water is chlorinated, dechlorinated, aerated, and then discharged. A third lagoon is used to separate and store sludge. The permittee has an approved sludge management plan. The facility has a permit to irrigate local sport fields with designated reuse water. The Permittee plans on adding other reuse water opportunities. Fad_ Sht�et t+iPDFS, �N'C0. w"01389 e Water Quality Considerations - Nitrogen The Environmental Management Commission adopted Nutrient Management Strategy rules in December 1997, classifying the entire Neuse River Basin as Nutrient Sensitive Waters. The point source rule (T15A NCAC 2B .0234) sets Total Nitrogen (TN) discharge limits for all point source dischargers larger than 0.5 MGD. The rule also allows dischargers to form a group compliance association and work together to reduce nitrogen; this option allows the association members added flexibility in controlling nitrogen discharges. At the same time, the association is subject to a group NPDES permit ensuring that the association and its individual members are accountable if they exceed the applicable nitrogen limits. Under the rule, there are three types of TN limit in the Neuse: 1. the individual limits in the dischargers' individual permits, 2. the aggregate limit in an association's group NPDES permit, and 3. the individual allocations/limits for each Association member, also in that association permit. A discharger may be subject to the first type of limit, or to the second and third, but never to all three at the same time. The discharger is first subject to the TN limit (if any) in its individual NPDES permit. If becomes a co-permittee to a compliance association's group NPDES permit, it is then governed by the TN limits in that permit. If the association complies with its group TN limit in a given year, all members are deemed to be in compliance with their individual allocations/ limits in the group permit. If the association exceeds its limit, the members then become subject to their individual allocations/ limits as well. Regardless of which permit governs a TN discharge, allocations/ limits will likely change over time as the dischargers purchase, sell, trade, lease, or otherwise transfer nitrogen allocations. The Division will modify the affected permits as necessary to .ensure that the limits are kept up to date and reflect any such transactions. VIOLATIONS 2006-2008 There were six permit violations: 1) Two violations exceeded the month average flow limit 2) One violation exceeded the daily max mercury limit 3) Three pH violations, one greater than 9.0s.u. and two less than 6.0 s.u. PERMITTING STRATEGY Reasonable Potential Analysis (RPA) The Division conducted EPA -recommended analyses to determine the reasonable potential for toxicants to be discharged by this facility, based on DMR data from April 2006.to April 2008, four effluent HWA from 2005 to 2007, and from the three PPA submitted with the renewal application. Evaluations were conducted for arsenic, beryllium, cadmium, chromium, copper, cyanide, lead, mercury, molybdenum, nickel, phenols, selenium, silver, toluene, and zinc. Results suggest reasonable potential for the facility to discharge copper, mercury, and zinc at concentrations above prevailing water quality standards. Copper and zinc are also action level toxicants but the Permittee has passed all quarterly chronic toxicity tests. Therefore, copper and zinc monitoring will remain unchanged in the,, permit. Mercury has exceeded it existing daily limit and the RPA suggest reasonable potential to continue to exceed prevailing water quality standards. Mercury is a chronic pollutant parameter so compliance will be amended to add a monthly average weekly maximum limit. To meet EPA criteria for dual limits the mercury daily maximum limit will remain. Method 1631E is required for a# mercury testing. Chromium and nickel were limited by the permit but there have been no limit violations. The RPA results suggests no reasonable potential to exceed prevailing water quality standards. Therefore, chromium and nickel will be reduced to monthly monitoring and the limts removed. Arsenic, beryllium, cadmium, cyanide, lead, phenols, selenium, silver, and toluene RPA results suggest no reasonable potential to exceed ,prevailing water quality standards. PF,gcg : 2 o i 5 Therefore, there will be no .action to include these metals in this permit. Molybdenum does not currently have a water quality standard. These metals will continue.to be monitored in. the pretreatment areas where required and the PPA. Data review DMRs were reviewed for the period of April 2006 to. April 2008. The facility passed the twelve toxicity tests submitted since April 2005. Three of the submitted second species, pimepha/es prome/as, chronic toxicity results were Chv >100. The fourth, second species, test result was ,Chv = 82.2. Will ..continue quarterly chronic toxicity testing. Priority Pollutant Analysis The results of three PPA were submitted with the permit renewal application. See RPA Analysis for results. Will continue to require submittal of PPA annually. Instream Data The Permittee joined the Lower Neuse Basin Association in 2004. The Association is responsible for all instream monitoring for its members. As a result the Permittee requested and was granted a wavier for instream monitoring. A modified permit was issued in 2004 reflecting the wavier condition. The narrative will be corrected to reflect the current instream sample locations and the locations added to the map. Will continue the same wavier condition in this permit. Effluent Limitations and Monitoring Requirements BOD During the current permit cycle no violation occurred. BOD is a primary pollutant parameter for domestic waste effluent, BOD monitoring/limits will continue, minimum 85% removal criteria will continue. TSS During the current permit cycle no violation occurred. TSS is a primary pollutant parameter for domestic waste effluent, TSS monitoring/limits will continue, minimum 85% removal criteria will continue. PH During the current permit cycle three violations occurred. The pH is a primary pollutant parameter for domestic waste effluent, pH monitoring/limit range will continue. Disolved Oxygen (DO) During the current permit cycle no violation occurred. DO is a primary parameter of concern, the DO monitoring/limit will continue. Fecal Coliform During the current permit cycle no violations occurred. Fecal Coliform is a primary bacteria parameter and as such its monitoring/limits will continue. I - U Fact 4�zheet Pago 3 of 5 Ammonia as Nitrogen (NH3-N) During the current permit cycle no violations occurred. Ammonia as nitrogen is a primary toxicant parameter and oxygen consumer. The 1.9 MGD ammonia as nitrogen limits were established to set the oxygen consumption loading to be the same as the 1.5 MGD oxygen consumption loading. The monitoring /limits will continue. Total Phosphorus (TP) During the current permit cycle no violations occurred. TP is a rwtrient of concern and. is limited by the nutrient rules, the TP monitoring/limit will continue. Mercury During the current permit cycle one violation occurred., The RPA indicates Mercury compliance may be an issue. Mercury monitoring/limit will continue with the chronic limit defined as a weekly average. Per EPA guidelines a monthly average was added. Total Nitrogen (TN) Total Nitrogen (TN = (NO2-N + NO3-N) + TKN) is a nutrient of interest and is required .to calculate the monthly TN Load and the annual TN Load, and as such monitoring will continue. TN Load The permit includes nutrient limits consistent with the Nutrient Management Strategy rule T15A NCAC 2B .234). Under the new rule the Permittee received a TN Load limit of 33,790 Ib/yr, a calendar year. Effective January 1, 2009 the Permittee was granted approval to sell 720 Ib/yr and reduced its TN Load limit to 33,070 Ib/yr, a calendar year. The 33,070 /b/yr limit is effective I/Z/10. The Permittee is a member of the Neuse River Compliance Association at this time. So long as it remains a co-permittee member, it is deemed to be in compliance with the TN Load limit in this permit, and its TN Load discharge is governed instead by the Association group NPDES permit, issued December 30, 2002. Chronic Toxicity The effluent consistently passes its quarterly chronic toxicity test. To stay in compliance with Division standards quarterly chronic toxicity test will continue. Effluent Monitorina Reauirements Zinc. Cooper. Nickel. and Chromium Zinc and copper are action level parameters and as such are evaluated against the toxicity test results. The RPA for zinc and copper suggest potential to. exceed water quality standards. Will continue to monitor 2/Month and compare against toxicity test. Nickel and chromium RPA suggest no potential to exceed water quality standards. Nickel and chromium are part of the pretreatment program. Will remove limits and reduce monitoring requirements to monthly. Temperature Temperature is a parameter of concern. There are applicable water quality standards including, measurements in the receiving stream. Historical data suggest no water quality issues, monitoring protocol will continue. Conductivity Conductivity is a parameter of concern for any discharge with industrial influent. The impact to the receiving stream is a point of interest, monitoring protocol will continue. Special Condition Requirements Lagoon Freeboard Height Requirement The Lagoon freeboard height is a narrative safety_ limit established for.this facility. Further details on the applicable transport factor and impact to the Neuse River estuary were also included. SUMMARY OF PROPOSED CHANGES In keeping with Division policies the following will be incorporated into the permit: 0 Effluent limitation and monitoring requirements for chromium will change. Limits will be removed and monitoring reduced to monthly. 0 Effluent limitations and monitoring requirements for nickel will change. Limits will be removed and monitoring reduced to monthly. 0 Effluent limitation for mercury will be amended. The limit is chronic so therefore a weekly monthly average and Fnenthly aveFage limit will be imposed and the daily limit Femoved remain. 0 Effluent limit for annual TN Load will be modified to show adjusted limit. 0 Special condition summarizing annual Total Nitrogen Load Allocation will be added. 0 TRC footnote was amended to state reporting protocol. 0 Mercury measurement Method 1631 E was noted. SCHEDULE FOR PERMIT ISSUANCE Because this permit included a nutrient trade with Johnston County (NCO030176), and the Johnston County permit was part of three permit renewals involved in a public hearing, the Division determined this permit should be issued at the same time as the Johnston County permit. The Johnston County permit was released for issuance in March 2010. Consequently, the Benson facility approved permit will be issued to correspond to Johnston County approved permit issuance using the identical issue date and effective date The expiration date will remain aligned with the subbasin scheduled renewal date. Completed in April 1987, the 7Q10, 30Q2, and winter 7Q10 were estimated at 0 cfs, 0.09 cfs, and 0.06 cfs, respectively, based on the flow characteristics at nearby partial -record sites on Black Creek near Four Oaks (station id 02088090, drainage area 79 sgmi). Where no or insufficient data exists to allow a site -specific low -flow analysis for a point of interest, the low -flow characteristics are determined by assessing a range of low -flow yields (expressed as flow per sqmi drainage area, or cfsm) at nearby locations where estimates have previously been determined. The "most recent" low -flow information published for this area is USGS Water -Resources Investigations Report 98-4135, "Low -flow characteristics and discharge profiles for selected streams in the Neuse River basin, North Carolina" (Weaver, 1998). This report provides low -flow characteristics (based on data through 1996) for USGS continuous- and partial -record sites in the Neuse River basin where sufficient data is available for analyses However, the report does not provide statistical relations for estimating low -flow characteristics at ungaged locations. There is no online version of the report available, but ordering information for the report is available at http://pubs.er.usgs.gov/usgspubs/wri/wri984135. Several points for considerations... (1) In Table 7 of the above referenced report, there are several nearby partial -record sites in the Hannah Creek basin where records of miscellaneous measurements have been previously particularly from the mid-1950's through mid-1970's. However, only one site on Hannah Creek near Blackman (station id 02088240, drainage area 34.7 sgmi) had sufficient data for a low -flow analysis and publication of the annual 7Q10 discharge in the report. However, the 30Q2 and winter 7Q10 for this site were not published due to concerns about widely varying estimates noted in the analyses. Based on the available data at this and the other nearby partial record site, there is enough evidence to support a 7Q10 of zero flow for your point of interest on Hannah Creek. (2) To determine a range for 30Q2 and winter 7Q10, the low -flow characteristics at four other partial records sites in the Neuse (02088090) and adjacent Cape Fear (02106648, 02106681, and 02106760) in vicinity of the Hannah Creek basin that can be considered. Expressing these estimates as low -flow yields (again, flow per square mile of drainage area, or cfsm) provides some indication of the yield that could potentially be applicable to your location. The 30Q2 low -flow yields at these four nearby sites range from about 0.004 to 0.06 cfsm (average about 0.039 cfsm). Similarly, the winter 7010 low -flow yields at these four nearby sites range from 0 to about 0.04 cfsm (average about 0.019 cfsm). Applying the average of the above yields to the drainage area (10.5 sgmi) used in the previous request results in the 30Q2 and winter 7Q10 flow estimates at about 0.4 cfs and 0.2 cfs, respectively. These updated estimates are about 4 times higher than those determined in the previous estimates, but take into account the flow characteristics at four nearby sites as opposed to the 1 site used solely in the previous determination. The difference in estimates further reinforces the concern about being able to estimate these statistics with any reasonable degree of confidence. This is a situation where only the annual 7Q10 of zero flow can be provided with an acceptable degree of confidence and where additional data is needed to further clarify the 30Q2 and winter 7Q10 estimates. Until such data were to become available, it is appropriate to state that the 30Q2 is likely in the range from about 0.1 to 0.4 cfs and the winter 7Q10 is likely in the range from about 0.05 to 0.2 cfs. (3) As for the average annual flow, yields for this statistic at the nearby partial -record sites range from 1.1 to 1.2 cfsm. Applying this range to the drainage area (10.5 sgmi) results in average annual flow estimates between 11 and 13 cfs. (4) As you consider the above information, please be aware of the following note. The above data are based on periods of record ending in the 1996 water year, well in advance of the drought conditions that have occurred since publication of the report. In some North Carolina basins, the low -flow conditions observed during the 1998-2002 and current (2007-08) droughts have resulted in lower low -flow statistics. No formal statewide investigation has been completed to document the changes in low -flow statistics since the drought. However, where updated analyses have been completed for selected stations, the changes in pre -drought versus updated 7Q10 discharges have shown varying percentage changes of decline. I is between the screw pumps and the central oxidation ditch. Technically if the plant discharges 1.97 MGD this would be rounded to 2.0 MGD. This is cited for informational purposes only to the consultant since this is a flow balance for the schematic. The renewal application states design 1.9 MGD. 2) Is there an effluent meter if yes where is it located physically on the schematic. 3) The schematic shows a flow exiting the grit chamber, going to the equalization pond, and then returning back to the screw pump area, in essence bypassing the effluent meter. This may not be important if an effluent meter is providing the reported flow to the state. See 4) for more comments. 4) The Permittee is required to collect composite samples at both the influent and effluent streams to allow compliance calculation of 85% removal. Typically this is done adjacent or in concert with the influent meter for the influent sample. Have same problem as cited in 3) potentially bypassing influent sampling. However, not shown on schematic. Please indicate physical location of both the influent and effluent composite samplers. Note: Not discussed but may need to check, the influent meter provides the proportional signal to the composite sampler. 5) The oxidation ditch 1 & 3 both show symbols for new structures, what are the structures? 6) The schematic indicates the two existing lagoons are dedicated to specific activities. RECITALS A. Seller is the owner of a certain annual mass loading limit for total nitrogen ("TN Allocation") according to the Neuse River Basin Nutrient Sensitive Waters Management Strategy: Wastewater Discharge Requirements adopted by the North Carolina Environmental Management Commission ("EMC") in 15A NCAC 2B.0234. B. Seller desires to sell 360 pounds (as measured at the Estuary) of said TN Allocation (Seller's "Offered TN Allocation"). The 360 pounds as measured at the Estuary is equal to 720 lbs as measured at the point of discharge in Johnston County. C. Purchaser has determined that it is in the best interests of its rate payers to acquire the Offered TN Allocation offered for sale by Seller to facilitate the future expansion of its waste water flow. Seller has determined that it no longer has a need for that portion of the Offered TN Allocation it has offered to sell and that it is in its best interest to sell the same. NOW, THEREFORE, for and in consideration of the foregoing recitals, the mutual promises and covenants contained herein, and the earnest money referred to below, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: ARTICLE I: PURCHASE OF PORTION OF SELLER'S TN ALLOCATION 1.1. Purchase of Portion of Seller's TN Allocation. Seller hereby agrees to sell and Purchaser agrees to purchase Seller's Offered TN Allocation, together with all Seller's rights to and uses for said Seller's Offered TN Allocation. ARTICLE II: PURCHASE PRICE 2.1 Purchase Price. The Purchase Price ("Purchase Price") of the Seller's Offered TN Allocation shall be ONE HUNDRED SEVENTY-SIX THOUSAND EIGHT HUNDRED AND N0/100 ($176,800.00) DOLLARS. 2.2 Reduction in Seller's Allocation. The Purchase Price is based upon the Seller being able to transfer to Purchaser at closing an allocation amount of 360 lbs/yr of TN at the Estuary in compliance with the requirements set out in this Agreement. In the event Seller is unable for any reason to transfer an allocation of 360 lbs/yr of TN at the Estuary, Purchaser shall have the right, in 1 its sole discretion, to terminate this agreement or proceed with the purchase of such lesser number of lbs/yr as Seller is then able to transfer at a Purchase Price to be calculated based on FOUR HUNDRED NINETY ONE and 11/100 ($491.11) DOLLARS per "estuary" pound, which Purchase Price shall be paid in cash at closing as set forth hereinbelow. ARTICLE III: CLOSING DATE 3.1. Closing. The closing of the purchase shalt occur within seven (7) calendar days following receipt from DENR pursuant to 15A NCAC 2H.0107(c) of a draft permit and/or other written communication indicating that DENR has determined to issue the revised NPDES Permit to the Purchaser including the above -described 360 lbs/yr of TN allocation at the Estuary (the "Regulatory Approval"). In no event shall the Seller be obligated to close if the Regulatory Approval is not obtained by Purchaser and the transaction completed on or before December 31, 2008. 3.2 pnMent of Purchase Price. Parties hereby acknowledge that the Town of Benson is indebted to Johnston County in the amount of One Hundred Seventy -Six Thousand Eight Hundred and No/100 ($176,800.00); And upon transfer of the TN Allocation to Purchasers, both parties agree that this debt is paid in full. 3.3 Bill of Sale and Additional Documentation. Seller shall deliver to Purchaser at Closing a Bill of Sale and the parties shall also execute and deliver at Closing any other documents reasonably identified by Purchaser or Seller as necessary or appropriate to complete and evidence the transaction contemplated hereby. ARTICLE IV: CONDITIONS PRECEDENT The obligations and liabilities of the Parties hereunder shall be in all respects conditioned upon satisfaction of each of the following conditions precedent, the failure of any of which, unless waived by such Party, shall entitle that Party, in addition to its other rights and remedies provided in this Agreement, if any, to terminate this Agreement by written notification given to the other Party on or before the Closing Date. Upon such termination due to failure of Seller to. be able -to complete the transaction, Purchaser shall be entitled to return of the Earnest Money then being held by Seller. Termination by Seller due to Purchaser's default (including, but not limited to failure to close on or before December 31, 2008 other than due to conditions or circumstances set forth in Section 4.1) shall entitle Seller to retain the Earnest Money as liquidated damages. 4.1 As To Purchaser. a. Authorizations and Approvals. The Purchaser shall have obtained the Regulatory Approval and Purchaser shall have obtained assurances to its reasonable satisfaction that Seller has the requisite legal authority to complete the transaction contemplated herein. b. There shall have been no change in statutes or regulations and no administrative or legal decision or opinion by any court or any administrative agency materially 2 affecting Purchaser's ability to acquire, hold, and use Seller's Offered TN Allocation for the purposes described herein, or affecting Seller's ability to transfer Seller's Offered TN Allocation. C. Accuracy of Representations and Warranties. All representations and warranties made by Seller in this Agreement shall be true and accurate in all material respects. 4.2 As To Seller a. Authorizations and Approvals. The Seller shall be satisfied as to the content and scope of Purchaser's Regulatory Approval and that Purchaser has the requisite legal authority to complete the transaction contemplated herein. b. No Change in Seller's TN Allocation. At the contemplated time for closing,. if the Offered TN Allocation Seller is able to sell and convey is less than 360 lbs/yr at the Estuary, or Seller is otherwise prevented from completing this transaction as contemplated, Seller, in its sole discretion, may terminate the transaction or if authorized by applicable governmental authority, close the purchase as described in Paragraph 2.2 herein. C. Change in Laws. There shall have been no change in statutes or regulations and no administrative or legal decision or opinion by any court or any administrative agency materially affecting Seller's ability to sell the Offered TN Allocation for the purposes described herein, or affecting Seller's ability to transfer Seller's Offered TN Allocation. d. _Accuracy of Representations and Warranties. Seller shall have received approvals satisfactory to it that its lenders have consented to and authorized the transaction and its completion as herein contemplated. ARTICLE V: REPRESENTATIONS AND WARRANTIES OF PURCHASER To induce Seller to enter into this Agreement and to sell the Property as herein provided, Purchaser hereby makes the representations and warranties set forth in this Section, upon each of which Purchaser acknowledges and agrees that Seller is entitled to rely and has relied. 5.1 Authori . This Agreement has been duly executed and delivered by Purchaser, constitutes the valid and binding agreement of Purchaser and is enforceable in accordance with its terms. 5.2 No Default — Laws or Other Ageements. The execution and delivery of and the performance by Purchaser of its obligations hereunder do not and will not contravene, or constitute a default under, any provisions of applicable law or regulation, or any agreement, judgment, injunction, order, decree or other instrument binding upon Purchaser or result in the creation of any lien or other encumbrance on any asset of Purchaser. ARTICLE VI: SELLER'S COVENANTS 6.1 Cogperation With Purchaser. Seller shall cooperate with and assist, and shall take no action that might impede, Purchaser in obtaining the Legal Authorizations and Regulatory Approvals, provided that Seller shall not be obligated to incur any expense in doing so. 6.2 Maintenance of TN Allocation. Seller shall use commercially reasonable efforts to maintain and avoid loss of any of Seller's Offered TN Allocation, and shall take no action that might reduce its value. In the event Seller becomes aware of any action or event that potentially may cause loss, totally or partially, of Offered TN Allocation, Seller shall promptly notify Purchaser of such action or event. ARTICLE VII: PURCHASER'S COVENANTS 7.1 Governmental Approvals. Purchaser shall submit its request to modify its NPDES Permit to DENR as soon as possible after the Effective Date, but in no event later than November 15, 2008 in order to obtain the Regulatory Approval and shall use its best efforts to obtain its Legal Authorization on or before December 15, 2008. The failure of DENR to issue the Regulatory Approval described in Paragraph 3.1 on or before December 31, 2008 shall not constitute an event of default for either party, but shall afford either party the ability to elect to terminate this Agreement under Article IV hereof as an unsatisfied Condition Precedent. ARTICLE VM: MISCELLANEOUS 8.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties hereto and it is understood and agreed that all undertakings, negotiations, representations, promises, inducements and agreement heretofore entered into between these parties are superseded hereby. This Agreement may not be changed orally, but only by an agreement in writing signed by both Purchaser and Seller. 8.2 Waiver. No waiver of any of the provisions to this Agreement shall be valid unless in writing and signed by the party against whom it is sought to be enforced. 8.3 Assiment and Succession. The provisions of this Agreement shall inure to the benefit of and be binding,upon the parties hereto and their respective heirs, personal representatives, successors and assigns. Closing shall not terminate the obligations of the parties that are by their terms intended to survive closing. 8.4 Severability. Items noted during the inspection included the following: Construction of a new 14 feet sidewall depth, 15 feet in diameter secondary clarifier, mixed liquor effluent collection box and a new flow splitter box downstream of the existing oxidation ditches were under way; Sidewalls for the influent structure, grit chamber, mechanical bar screen, and diversion box have been raised above the 100-year flood plain. The existing secondary clarifiers and the oxidation ditches sidewalls will be raised in 2008; The existing 4-7.5 hp brush rotor drives in oxidation ditches # 1 and #3 will be replaced with 4-15 hp drives. Oxidation ditches # 1 and #3 will also contain one new 15 hp rotor each with new brushes. All three -filter lift pumps will be upgraded and expanded to 30 hp each rated at 2300 gpm; Two existing screw pumps will be replaced with two new 5 hp 1,750 gpm screw pumps; a new 30" D.I. parallel effluent outfall line has been installed and is in use. The new outfall line is 5 feet offset from the existing 21" effluent outfall line and a new yard hydrant and water meter for the reclaim water irrigation system has been installed. When in operation, the effluent reclaim water spray irrigation system will apply up to 1.97 MG per year on the 1.65 acres of land beside the oxidation ditch number 3. 2. Waste sludge from the modified BNR plant is discharged to the existing 3,247,000 gallon capacity aerated basin for long-term sludge stabilization and storage. Periodically, the sludge is allowed to settle in the basin and the supernatant is withdrawn and recycled back to the plant headworks for reprocessing. The stabilized sludge which meets pollutant limits and Class B pathogen reduction and vector attraction reduction requirements is later disposed of in accordance with Non -Discharge Permit No. WQ0012514.
