required for an ownership change request. Articles of incorporation are not sufficient for an
ownership change but can be provided for a name change.
3. Information to document facility, industrial activities, stormwater discharges, or outfall changes
as noted in item IV above (if appropriate)
Why is this information needed?
Regulations in 40 CFR §122.63 allow for minor modifications to NPDES permits for a change of
ownership or operational control of a facility, provided that information supports that no other change
in the permit are necessary.
Why does this form need to be mailed in?
Permittees and applicants must fulfill signatory requirements in the NPDES federal
regulations in 40 CFR §122.22 (please see those regulations for guidance). Until NCDEQ's
electronic submission process meets Cross -Media Electronic Reporting (CROMERR)
requirements, this original signed (not digital signature) form must be mailed to the
address below. The uploaded copy is stored as part of the permit record in the Division's
digital repository.

JOE IVEY, Substitute Trustee, hereinafter referred to as "Grantor"; and WILSON REAL ESTATE AND
ASSETS, L.L.C., hereinafter referred to as "Grantee".
WITNESSETH:
WHEREAS, on or about May I4, 2019, Wilson Biofuels, L.L.C. (the "Debtor") executed a Promissory
Note Secured by Deed of Trust in the original principal amount of $2,000,000.00 (the "Note") in favor of Wilson
Real Estate and Assets, L.L.C. (the "Lender"). The Note was modified on February 5, 2020 by that certain Loan
Modification Agreement in the amount of $2,500,000.00. The Note was further modified on May 7, 2020 by that
certain Loan Modification Agreement in the amount of $3,000,000.00.
WHEREAS, the Note is secured by that certain Deed of Trust from Wilson Biofuels, L.L.C., as Grantor to
Lance Fife, as Trustee, in favor of the Lender recorded on May 24, 2019 in Book 2786, Page 198-203 of the
Wilson County Registry (the "Deed of Trust).

WHEREAS, Grantor was appointed Substitute Trustee under the Deed of Trust pursuant to that certain
Substitution of Trustee Indenture, recorded in Book 2868, Page 434-435 of the Wilson County Registry.
WHEREAS, the Lender confirmed in writing to Grantor that, pursuant to N. C. Gen. Stat. §45-
21.16(c)(a), within thirty (30) days prior to the date of the Notice Of Hearing To Permit Foreclosure Under Deed
Of Trust And To Sell Real Estate, the Debtor was sent by first-class mail at Debtor's last known address, a
written statement of the amount of principal and interest that the Lender claimed in good faith was owed as of the
date of the written statement, a daily interest charge based on the contract rate as of the date of the statement, and
the amount of other expenses the Lender contended it was owed as of the date of the written instrument;
WHEREAS, pursuant to instructions from the Lender, Grantor initiated a Special Proceeding before the
Clerk of Superior Court of Wilson County, in File No. 20 SP 164, and a Notice of Hearing was duly served upon
all parties entitled to notice, whereupon a hearing was held before the Clerk of the Superior Court of Wilson
County, North Carolina, on June 15, 2021 (the "Hearing"), and, after the hearing and a finding upon all issues
required to be decided under N. C. Gen. Stat. §45-21. l 6(d), an Order was entered granting the right to sell the
property;
WHEREAS, after due advertisement as required by law and the Deed of Trust, due and timely notice
having been given to all parties entitled to notice of the Hearing, Grantor, on July 8, 2021, at 12:00 P.M., did
expose for sale the land and all improvements thereon as described in the Deed of Trust and the Notice of Sale
(the "Property'') and did sell same at public auction at the Wilson County Courthouse, in Wilson, North Carolina,
whereupon Grantee became the last and highest bidder for the sum of $2,738,500.00 total;
WHEREAS, on July 8, 2021, the undersigned Substitute Trustee filed his Report of Sale as required by
law, said sale thereafter remained open for more than ten (10) days and no upset bid was filed with the Clerk of
Superior Court within the required time; and
NOW, THEREFORE, in consideration of premises and the payment of said purchase price by Grantee,
the receipt of which is hereby acknowledged, and pursuant to the authority vested in him as Substitute Trustee by
the terms of the Deed of Trust, Grantor does hereby bargain, sell, grant and convey unto the Grantee, its
successors and assigns, subject to any and all superior liens, including taxes and special assessments, the Property
being in Wilson County, North Carolina, the same being more particularly described as follows:
TRACT 1: BEGINNING at a point in the center line of State Road #1680, which road runs from U.S.
Highway 301 from the north to Swift & Company to the south, said point of beginning being the intersection of
the northerlymost property line of the Matthis and Miller property with the center line of said State Road #1680;
thence from said point of beginning with and along the said Matthis and Miller northerly property line N. 84 deg.
30 min. W. 680.24 feet to an iron stake in the easterly right-of-way of the Seaboard Coast Line Railroad,
cornering; thence with and along the easterly right-of-way line of said railroad N. 28 deg. 35 min. E. 239.15 feet.
to an iron stake, cornering; thence S. 84 deg. 30 min. E. 602.32 feet to a point in the center of State Road #1680,
cornering; thence with and along the center of said road S. 9 deg. 41 min. W. 220.59 feet to the point of
beginning, containing 3.38 acres; and being the southerlymost property of Brown Oil Company lying between
State Road #1680 on the east and north of the Matthis and Miller property; and being bounded by the Seaboard
Coast Line track on the West and being part of the property conveyed unto Brown Oil Company, Inc. by deed of

wife, and T. L. Herring, Jr. and wife, by deed from Brown Oil Company, Inc. dated March 20, 1969, and
recorded in Book 1028, Page 27, of the Wilson County Registry, and then by deed dated January 11,1979, from
T. L. Herring, Unmarried, to T. L. Herring, Jr. and wife, Jean F. Herring, and recorded in Book 1168, Page 322,
Wilson County Registry. This being all of Tract 2 on the Recombination Plat entitled "Recombination Plat
Property of Triangle BiofueIs Industries", dated April, 2007, prepared by Green Engineering.

deed book 811 at page 302 and being more particularly described as follows:
Commencing at an existing iron pipe found on the westerly right-of-way line of N.C.S.R.1680, said iron
pipe having North Carolina Grid (N.A.D. 83) coordinates ofN(y) = 712,655.54 and E(x)=2,321,664.15 feet: the
point of beginning; thence S. 04' 37' 14" W — 149.97 feet with and along the westerly right-of-way line of
N.C.S.R. 1680 to an existing iron pipe; t hence N 89' 36' 25" W — 571.86 feet to an existing iron pipe in the
easterly right-of-way Iine of C.S.X. Railroad; thence N 23129' 02" E—162.58 feet with and along the easterly
