Dear Mr. Conner:
The Wilmington Regional Office received a complete, modified Stormwater Management Permit
Application for Wallace Conner Outparcels on March 10, 2010. Staff review of the plans and
specifications has determined that the project, as proposed, will comply with the Stormwater
Regulations set forth in Title 15A NCAC 2H.1000. We are forwarding Permit No. SW8 980716
Modification dated March 16, 2010, for the construction of Wallace Conner Outparcels.
This permit shall be effective from the date of issuance until May 27, 2013, and shall be subject to the
conditions and limitations as specified therein. Please pay special attention to the Operation and
Maintenance requirements in this permit. Failure to establish an adequate system for operation and
maintenance of the stormwater management system will result in future compliance problems.
If any parts, requirements, or limitations contained in this permit are unacceptable, you have the right
to request an adjudicatory hearing upon written request within Thirty (30) days following receipt of this
permit. This request must be in the form of a written petition, conforming to Chapter 150E of the
North Carolina General Statutes, and filed with the Office of�Administrative Hearings, P.O. Drawer
27447, Raleigh, NC 27611-7447. Unless such demands are made this permit shall be final and
binding.

North Carolina as amended, and other applicable Laws, Rules, and Regulations

FOR THE
construction, operation and maintenance of a wet detention pond in compliance with the
provisions of 15A NCAC 2H..1000 (hereafter referred to as the "stormwater rules') and
the approved stormwater management plans and specifications and other supporting
data as attached and on file with and approved by the Division of Water Quality and
considered a part of this permit.
This permit shall be effective from the date of issuance until May 27, 2013, and shall be
subject to the following specified conditions and limitations:
1. DESIGN STANDARDS
This permit is effective only with respect to the nature and volume of stormwater
described in the application and other supporting data.
This stormwater system has been approved for the management of stormwater
runoff as described in Section 1.7 of this permit. The stormwater control has been
designed to store and treat the runoff from 218,206 square feet of impervious
area.
4. The tract and each outparcel will be limited to the amount of built -upon area
indicated in Section 1.7 of this permit, and per approved plans.
5. All stormwater collection and treatment systems must be located in either
dedicated common areas or recorded easements. The final plats for the project
will be recorded showing all such required easements, in accordance with the
approved plans.
6. The runoff from all built -upon area within the permitted drainage area of this
project must be directed into the permitted stormwater control system. A permit
modification must be submitted and approved prior to the construction of
additional built -upon area from outside of the approved drainage area.

It. SCHEDULE OF COMPLIANCE
1. The stormwater management system shall be constructed in its entirety,
vegetated and operational for its intended use prior to the construction of any
built -upon surface.
2. During construction, erosion shall be kept to a minimum and any eroded areas of
the system will be repaired immediately.
3. The permittee shall at all times provide the operation and maintenance
necessary to assure the permitted stormwater system functions at optimum
efficiency. The approved Operation and Maintenance Plan must be followed in its
entirety and maintenance must occur at the scheduled intervals including, but not
limited to:
a. Semiannual scheduled inspections (every 6 months).
b. Sediment removal.
C. Mowin.9 and revegetation of slopes and the vegetated filter.
d. Immediate repair of eroded areas.
e. Maintenance of all slopes in accordance with approved plans and
specifications.
f. Debris removal and unclogging of outlet structure, orifice device, flow
spreader, catch basins and piping.
g. Access to the outlet structure must be available at all times.
4. Records of maintenance activities must be kept and made available upon
request to authorized personnel of DWQ. The records will indicate the date,
activity, name of person performing the work and what actions were taken.

Prior to the sale of any lot, the following deed restrictions must be recorded:
a. The following covenants are intended to ensure ongoing compliance with
State Stormwater Management Permit Number SW8 980716, as issued
by the Division of Water Quality under NCAC 2H.1000.
b. The State of North Carolina is made a beneficiary of these covenants to
the extent necessary to maintain compliance with the Stormwater
Management Permit.
C. These covenants are to run with the land and be binding on all persons
and parties claiming under them.
d. The covenants pertaining to stormwater may not be altered or rescinded
without the express written consent of the State of North Carolina, Division
of Water Quality.
e. Alteration of the drainage as shown on the approved plans may not take
place without the concurrence of the Division of Water Quality.
f. The maximum built -upon area per lot, in square feet, is as follows:

This allotted amount includes any built -upon area constructed within the
lot property boundaries, and that portion of the right-of-way between the
front lot line and the edge of the pavement. Built upon area includes, but is
not limited to, structures, asphalt, concrete, gravel, brick, stone, slate,
coquina and parking areas, but does not include raised, open wood
decking, or the water surface of swimming pools.
g. All runoff on the lot must drain into the permitted system. This may be
accomplished through providing roof drain gutters, which drain to the
street, grading the lot to drain toward the street, or grading perimeter
swales and directing them into the pond or street. Lots that will naturally
drain into the system are not required to provide these measures.
h. Built -upon area in excess of the permitted amount will require a permit
modification.
i. Each lot within the subdivision whose ownership is not retained by the
permittee, must submit a separate Offsite Stormwater Management Permit
application package to the Division of Water Quality and receive a permit
prior to any construction on the lot.
6. A copy of the recorded deed restrictions must be submitted to the Division within
30 days of the date of recording the plat, and prior to selling lots. The recorded
copy must contain all of the statements above, the signature of the Permittee, the
deed book number and page, and the stamp/signature of the Register of Deeds.
7. Decorative spray fountains will be allowed in the stormwater treatment system,
subject to the following criteria:
a. The fountain must draw its water from less than 2' below the permanent
pool surface.
b. Separated units, where the nozzle, pump and intake are connected by
tubing, may be used only if they draw water from the surface in the deepest
part of the pond.
c. The falling water from the fountain must be centered in the pond, away from
the shoreline.
d. The maximum horsepower for the fountain's pump is based on the
permanent pool volume. The maximum pump power for a fountain in this
pond is 1/8.

8. The facilities shall be constructed as shown on the approved plans. This permit
shall become voidable unless the facilities are constructed in accordance with the
conditions of this permit, the approved plans and specifications, and other
supporting data.
9. Upon completion of construction, prior to issuance of a Certificate of Occupancy,
and prior to operation of this permitted facility, a certification must be received
from an appropriate designer for the system installed certifying that the permitted
facility has been installed in accordance with this permit, the approved plans and
specifications, and other supporting documentation. Any deviations from the
approved plans and specifications must be noted on the Certification. A
modification may be required for those deviations.
10. If the stormwater system was used as an Erosion Control device, it must be
restored to design condition prior to operation as a stormwater treatment device,
and prior to occupancy of the facility.
11. The permittee shall submit to the Director and shall have received approval for
revised plans, specifications, and calculations prior to construction, for any
modification to the approved plans, including, but not limited to, those listed
below:
a. Any revision to any item shown on the approved plans, including the
stormwater management measures, built -upon area, details, etc.
b. Project name change.
C. Transfer of ownership.
d. Redesign or addition to the approved amount of built -upon area or to the
drainage area.
e. Further subdivision, acquisition, or sale of all or part of the project area.
The project area is defined as all property owned by the permittee, for
which Sedimentation and Erosion Control Plan approval or a CAMA Major
permit was sought.
f. Filling in, altering, or piping of any vegetative conveyance shown on the
approved plan.
12. The permittee shall submit final site layout and grading plans for any permitted
future areas shown on the approved plans, prior to construction. If the proposed
BUA exceeds the amount permitted under this permit, a modification to the
permit must be submitted and approved prior to construction.
13. A copy of the approved plans and specifications shall be maintained on file by
the Permittee for a minimum of ten years from the date of the completion of
construction.
14. Prior to the sale or lease of any portion of the property, an access/maintenance
easement to the stormwater facilities shall be granted in favor of the permittee if
access to the stormwater facilities will be restricted by the sale or lease of any
portion of the property.
15. The permittee must maintain compliance with the proposed built -upon area and
ensure that the runoff from all the built -upon is directed into the permitted system.
16. The Director may notify the permittee when the permitted site does not meet one
or more of the minimum requirements of the permit. Within the time frame
specified in the notice, the permittee shall submit a written time schedule to the
Director for modifying the site to meet minimum requirements. The permittee
shall provide copies of revised plans and certification in writing to the Director
that the changes have been made.

17. The permittee must maintain the current permitted drainage area. No additional
runoff from outside of the permitted drainage area boundary may enter the
permitted stormwater facilities without first applying for and receiving a permit
modification.
III. GENERAL CONDITIONS
This permit is not transferable except after notice to and approval by the Director.
At least 30 days prior to a change of ownership, or a name change of the owner
or of the project, or a mailing address change, the permittee must submit a
completed and signed Name/Ownership Change form to the Division of Water
Quality, accompanied by the appropriate documentation as listed on the form.
The approval of this request will be considered on its merits and may or may not
be approved.
2. The permittee is responsible for compliance with all permit conditions until such
time as the Division approves the transfer request. Neither the sale of the project,
nor the conveyance of common area to a third party shall be considered an
approved request to transfer the permit.
3. Failure to abide by the conditions and limitations contained in this permit may
subject the Permittee to enforcement action by the Division of Water Quality, in
accordance with North Carolina General Statute 143-215.6A to 143-215.6C.
4. The issuance of this permit does not preclude the Permittee from complying with
any and all statutes, rules, regulations, or ordinances which may be imposed by
other government agencies (local, state, and federal) which have jurisdiction.
5. In the event that the facilities fail to perform satisfactorily, including the creation of
nuisance conditions, the Permittee shall take immediate corrective action,
including those as may be required by this Division, such as the construction of
additional or replacement stormwater management systems.
6. The permittee grants DENR Staff permission to enter the property during normal
business hours for the purpose of inspecting all components of the permitted
stormwater management facility.
7. The permit may be modified, revoked and reissued or terminated for cause. The
filing of a request for a permit modification, revocation and reissuance or
termination does not stay any permit condition.
8. Unless specified elsewhere, permanent seeding requirements for the stormwater
control must follow the guidelines established in the North Carolina Erosion and
Sediment Control Planning and Design Manual.
9. Approved plans and specifications for this project are incorporated by reference
and are enforceable parts of the permit.

Certification Requirements:
1. The drainage area to the system contains approximately the permitted
acreage.
2. The drainage area to the system contains no more than the permitted
amount of built -upon area.
3. All the built -upon area associated with the project is graded such that the
runoff drains to the system.
4. The outlet/bypass structure elevations are per the approved plan.
5. The outlet structure is located per the approved plans.
6. A trash rack is provided on the outlet/bypass structure.
7. All slopes are grassed with permanent vegetation.
8. Vegetated slopes are no steeper than 3:1.
9. The inlets are located per the approved plans and do not cause short-
circuiting of the system.
10. The permitted amounts of surface area and/or volume have been
provided.
11. Required drawdown devices are correctly sized per the approved plans.
12. All required design depths are provided.
13. All required parts of the system are provided, such as a vegetated shelf,
and a forebay.
14. The overall dimensions of the system, as shown on the approved plans,
are provided.

Recently, this office conducted an internal review of the annual reports filed for all Limited Liability
Companies in North Carolina. Unfortunately, the review indicates that the above referenced limited
liability company is not in compliance with the North Carolina Limited Liability Company Act and is
delinquent in delivering one (1) annual report(s).
The Secretary of Slate is authorized by N.C.G.S. 57C-6-03 to administratively dissolve a limited liability
company if one or more grounds for dissolution exist. Please note that while the dissolution process has
not yet been concluded, this Notice is the first step of the dissolution process. In order to prevent
administrative dissolution, the limited liability company must file the appropriate annual report(s) within
sixty (60) days from the date of this Notice.
Determining Annual Reports Due
You may view a listing of annual reports previously submitted to the Secretary of State's Office by
clicking the link to the Corporations Division web pages at www.sosnc.com. You will need to search for
your company by name, then click "File Annual Report Online." This will bring you to a listing of annual
reports submitted. From this page you will be able to see if an annual report was submitted but not filed
due to an error which to date has not been corrected and/or determine how many annual reports are
required to become compliant. The due date for filing a Limited Liability Companys annual report is on
or before April lificcnth of each year the entity is of record.

top of the page and follow the directions. The Fee is $202.00.
Paper Filing
You may also print a pre -populated form from the same web page by clicking 'Print a pre -populated
annual report form." If there are any changes, cross out the old information and enter the correct
information, then mail the report and fees to the Corporations division at the address on the bottom of the
form. The fee is $200.00.

Only complete application packages will be accepted and reviewed by the Division of Water Quality (DWQ).
A complete package includes all of the items listed below. A detailed application instruction sheet and BMP

package should be submitted to the appropriate DWQ Office. (The appropriate office may be found by locating

High Density Developments with Outparcels
Deed Restrictions & Protective Covenances
In accordance with Title 15 NCAC 2H.1000 and S.L. 2006-246, the Stormwater Management
Regulations, deed restrictions and protective covenants are required for High Density Developments
with Outparcels where outparcel lots will be subdivided from the main tract and sold. Deed restrictions
and protective covenants are necessary to ensure that the development maintains a "built -upon" area
consistent with the design criteria used to size the stormwater control facility.

The following covenants are intended to ensure ongoing compliance with State Stormwater
Management Permit Number SW8-980716 , as issued by the Division of Water

2. The State of North Carolina is made a beneficiary of these covenants to the extent necessary to
maintain compliance with the stormwater management permit.

These allotted amounts include any built -upon area constructed within the property boundaries,
and that portion of the right-of-way between the lot lines and the edge of the pavement. Built
upon area includes, but is not limited to, structures, asphalt, concrete, gravel, brick, stone, slate,
coquina and parking areas, but does not include raised, open wood decking, or the water
surface of swimming pools.
7. The runoff from all built -upon area within the outparcel or future development area must be
directed into the permitted stormwater control system.
8. Built -upon area in excess of the permitted amount will require a permit modification.
9. The connection from the outparcel's collection system into the stormwater control shall be made
such that short-circuiting of the system does not occur.
10. For those outparcels or future development areas whose ownership is not retained by the
permittee, the new owner shall submit a separate offsite stormwater permit application to the
Division of Water Quality and receive a permit prior to construction.

SECTION 1. PRINCIPAL OFFICE: The principal office of the Corporation shall be
located at 320 Salter Path Road, Pine Knoll Shores, North Carolina 28512 .

but need not be, identical with the principal office.
SECTION 3. OTHER OFFICES: The Corporation may have offices at such other
places either within or without the State of North Carolina, as the Board of
Directors may from time to time determine, or as the affairs of the
Corporation may require.
ARTICLE II
MEETING OF THE SHAREHOLDERS
SECTION 1. PLACE OF MEETING: All meetings of Shareholders shall be held at the
principal office of the Corporation or at such other place, either within or without
the State of North Carolina, as shall be designated in the notice of the meeting or
agreed upon by a majority of the Shareholders entitled to vote thereat.
SECTION 2. ANNUAL MEETINGS: The Annual Meeting of the Shareholders shall be held
at 2:00 o'clock p.m. on the second Tuesday in February each year, if not a legal
holiday and if a legal holiday, then the next day following not a legal holiday, for
the purposes of electing Directors of the Corporation and for the transaction of
such other business as may be properly before the meeting.
SECTION 3. SUBSTITUTE ANNUAL MEETING. If the Annual Meeting shall not be held
on the day designated by these Bylaws, a substitute Aumual Meeting may be called
in accordance with the provisions of Section 4 of this Article. A meeting so called
shall be designated and treated for till purposes as the Annual Meeting.
SECTION 4. SPECIAL MEETINGS. Special Meeting of the Shareholders may be
called at any time by the President, Secretary or Board of Directors of the
Corporation, or by any shareholder pursuant to the written request of the
holders of not less than one -tenth (1/10) of all the shares entitled to vote
at the meeting.
SECTION 5. NOTICE OF MEETINGS: Written or printed notice stating the time and place
of the meeting shall be delivered not less than ten (10) nor more than fifty (50)
days before the date hereof, either personally or by mail, by or at the direction of
the President, the Secretary, or other person calling the meeting, to each
Shareholder of record entitled to vote at such meeting.
In the case of an Annual or Substitute Annual Meeting, the notice of
meeting need not specifically state the business to be transacted thereat
unless it is a matter, other than election of Directors, on with the vote of
Shareholders is expressly required by the provisions of the North Carolina
Business Corporation Act. In the case of a special Meeting, the notice of
meeting shall specifically state the purpose or purposes for which the
meeting is called.
When a meeting is adjourned for thirty (30) days or more, notice of the

such meeting., and shall be subject to inspection by any Shareholder at any
time during the usual business hours. This list shall also be produced and
kept open at the time and place of the meeting and shall be subject to
inspection by any shareholder during the whole time of the meeting.
SECTION 7. QUORUM: The holders of a majority of the shares entitled to vote,
represented in person or by proxy, shall constitute a quorum at meetings of
Shareholders, If there is not a quorum t the opening of a meeting of
Shareholders, such meeting may be adjourned from time to time by the
vote of a majority of the shares voting on the motion to adjourn; and, at
any adjourned meeting at which a quorum is present, any business may be
transacted which might have been transacted at the original meeting. The
Shareholders at a meeting at which a quorum is present may continue to
do business until adjournment, notwithstanding the withdrawal of enough
Shareholders to leave less than a quorum.
SECTION 8. VOTING OF SHARES: Each outstanding share having voting rights shall be
entitled to one vote on each matter submitted to a vote at a meeting of
Shareholders.
Except in the election of Directors, the vote of a majority of the shares
voted on any matter at a meeting of Shareholders at which a quorum is
present shall be the act of the Shareholders on that matter, unless the vote
of a greater number is required by law or by the Charter or Bylaws of this
Corporation.
Voting on all matters except the election of Directors shall be by voice
vote or by a show of hands unless the holders of one -tenth (1/10) of the
shares represented at the meeting shall, prior to the voting on any matter,
demand a ballot vote on that particular matter.
SECTION 9. INFORMAL ACTION BY SHAREHOLDERS: Any action which may
be taken at a meeting of the Shareholders may be taken without a meeting
if a consent in writing, setting forth the action so taken, shall be signed by
all of the persons who would be entitled to vote upon such action at a
meeting, and filed with the Secretary of the Corporation to be kept in the
Corporate Minute Book.
ARTICLE III
DIRECTORS
SECTION 1. GENERAL POWERS: The business and affairs of the Corporation shall be
managed by the Board of Directors or by such Executive Committees as the Board
may establish pursuant to these Bylaws.
SECTION 2. NUMBER, TERM, AND QUALIFICATIONS: The number of Directors of the
Corporation shall be not less than three (3) nor more that five (5), unless all the
stock of the Corporation is owned of record by one or two shareholders in which
case the number of Directors may be fewer than threee but not fewer than the
number of such shareholers. Each Director shall hold office until his death,
resignation, retirement, removal, disqualification, or his successor is elected and
qualifies. Directors need not be residents of the State of North Carolina or
Shareholders of the Corporation.
SECTION 3. ELECTION OF DIRECTORS: Except as provided in Section 6 of this
Article, the Directors shall be elected at the Annual Meeting of
Shareholders; and those persons who receive the highest number of votes
shall be deemed to have been elected.
If any Shareholder so demands, election of Directors shall be by ballot.
SECTION 4. CUMULATIVE VOTING: Every Shareholder entitled to vote at an
election of Directors shall have the right to vote the number of shares
standing of record in his name for as many persons as there are Directors
to be election and for whose election he has a right to vote, or to cumulate
his vote by giving one candidate as many votes as the number of such
Directors multiplied by the number of votes as the number of such
Directors multiplied by the number of his shares shall equal, or by
distributing such votes on the same principal among any number of such
candidates. This right of cumulative voting shall not be exercised unless
some Shareholder or proxy holder announces in open meeting, before the
voting for the Directors starts, his intention so to vote cumulatively; and if
such announcement is made, the chair shall declare that all shares entitled
to vote have the right to vote cumulatively and shall thereupon grant a
recess of not less than one (1) nor more than four 94) hours, as he shall
determine, or of such other period of time as is unanimously then agreed
upon.
SECTION 5. REMOVAL: Directors may be removed from office with or without cause by a
vote of Shareholders holding a majority of the shares entitled to vote at an election
of Directors. Ftowever, unless the entire Board is removed, an individual Director
may not be removed if the number of shares voting against the removal would be
sufficient to elect a Director if such shares were voted cumulatively at an annul
election.
If any Directors are so removed, new Directors may be elected at the same
meeting.
SECTION 6. VACANCIES: A vacancy occurring in the Board of Directors may be
filled by a majority of the remaining Directors, though less than a quorum
or by the sole remaining Director; but a vacancy created by an increase in
the authorized number of Directors shall be filled only by election of an
annual meeting or at a Special Meeting of Shareholders called for that
purpose. The Shareholders may elect a Director at any time to fill any
vacancy not filled by the Directors.
SECTION 7. CHAIRMAN: There may be a Chairman of the Board of Directors selected by
the Directors from their number at any meeting of the Board. The Chairman shall
preside at all meetings of the Board of Directors, and perform such other duties as
may be directed by the Board.
SECTION 8. COMPENSATION: The Board of Directors may compensate Directors
for their services as such and may provide for the payment of all expenses
incurred by Directors in attending Regular and Special Meetings of the
Board.
SECTION 9. EXECUTIVE COMMITTEE: The Board of Directors may, by resolution by a
majority of the number of Directors fixed by these Bylaws, designate two (2) or
more Directors to constitute an Executive Committee, which ommittee to the
extent provided in such resolution, shall have and may exercise all of the authority
of the Board of Directors in the management of the Corporation.
ARTICLE IV
MEETINGS OF THE DIRECTORS
SECTION 1. REGULAR MEETINGS: A Regular Meeting of the Board of Directors
shall be held immediately after, and at the same place as the Annual
Meeting of Shareholders. In addition, the Board of Directors may provide,
by resolution, the time and place, either within or without the State of
North Carolina, for the holding of additional Regular Meetings.
SECTION 2. SPECIAL MEETINGS: Special Meetings of the Board of Directors may
be called by or at the request of the President or Secretary, or any two (2)
Directors. Such meetings may be held either within or without the State of
North Carolina.
SECTION 3. NOTICE OF MEETINGS: Regular Meetings of the Board of Directors
may be held without notice.
The person or persons calling a Special Meeting of the Board of Directors
shall, at least ten (10) days before the meeting, give notice thereof by any
usual means of communication. Such notice need not specify the purpose
for which the meeting is called. Attendance by a Director at a meeting
shall constitute a waiver of notice of such meeting, except where a
Director attends a meeting for the express purpose of objecting to the
transaction of any business because the meeting is not lawfully called.
SECTION 4. QUORUM: A majority of the Directors fixed by these Bylaws shall
constitute a quorum for the transaction of business t any meeting of the
Board of Directors.
Once a quorum has assembled, the withdrawal of any member of the
Board from that meeting shall not prevent the continued carrying on of the
business of the meeting, though a quorum may not them remain.
SECTION 5. MANNER OF ACTION: Except as otherwise provided in this section and in
Article VI the act of the majority of the Directors present a meeting to which a
quorum is present shall be the act of the Board of Directors.
SECTION 6. INFORMAL ACTION BY DIRECTORS: Action taken by the Directors
without a meeting is nevertheless Board action if written consent to the ction in
question is signed by all of the Directors and filed with the minutes of the
proceedings of the Board, whether done before or after the action so taken.
ARTICLE V
OFFICERS
SECTION 1. NUMBER: The officers of the Corporation shall consist of a President, a
Vice -President, a Secretary, a Treasurer, and such Vice -Presidents,
Assistant Secretaries, Assistant Treasurers and other officers as the Board
of Directors may from time to time elect. Any two or more offices may be
held by the same person, except the offices of Secretary and President.
SECTION 2. ELECTION AND TERM: The officers of the Corporation shall be elected by
the Board of Directors. Such elections may be held at any Regular or Special
Meeting of the Board. Each officer shall hold office witil his death, resignation,
retirement, removal, disqualification, or his successor is elected and qualifies.
SECTION 3. REMOVAL: Any officer or agent elected or appointed by the Board of
Directors may be removed by the Board without cause; but such removal
shall be without prejudice to the contract rights, if any, of the person so
removed.
SECTION 4. COMPENSATION: The compensation of all officers of the Corporation
shall be fixed by the Board of Directors.
SECTION 5. PRESIDENT: The president shall act as Chairman of the Board of
Directors and shall preside over all of its meetings and may call it into
session at any time after first giving proper notice, and he shall also
preside at all meetings of Shareholders and shall perform such other duties
as shall be assigned him by the Board of Directors from time to time. He
shall, when present, preside at all meetings of Shareholders, He shall sign,
with any other proper officer, certificates for shares of the Corporation and
any deeds, mortgages, bonds, contracts, or other instruments which may
be lawfully executed on behalf of the Corporation, except where required
or permitted by law to be otherwise signed and executed and except where
the signing and execution thereof sluall be delegated by the Board of
Directors to some other officer or agent; and, in general, lie shall perform
all duties incident to the office of President and such other duties as may
be prescribed by the Board of Directors from time to time.
SECTION 6. VICE-PRESIDENT: The Vice -Presidents in order of their election,
unless otherwise determined by the Board of Directors shall, in the absence or
disability of the President, perform the duties and exercise the powers of that
office. In addition, they shall perform such other duties and have such other
powers as the Board of Directors shall prescribe.
SECTION 7. SECRETARY: The Secretary shall keep accurate records of the acts and
proceedings of all meetings of Shareholders and Directors. He shall give
all notices required by law and by these Bylaws. He shall have general
charge of the corporate books and records and of the corporate seal, and he
shall affix the corporate seal to any lawfully executed instrument requiring
it. He shall have general charge of the stock transfer books of the
Corporation and shall keep at the registered or principal office of the
Corporation, a record of Shareholders showing the name and address of
each Shareholder and the number and class of the shares held by each. He
shall sign such instruments as may require his signature, and in general,
shall perform all duties incident to the office of Secretary and such duties
as may be assigned him from time to time by the President or by the Board
of Directors.
SECTION 8. TREASURER: The Treasurer shall have custody of all funds and securities
belonging to the Corporation and shall receive, deposit or disburse the same under
the direction of the Board of Directors. He shall keep full and accurate accounts
of the finances of the Corporation in books especially provided for that purpose;
and he shall cause a true statement of its assets and liabilities as of the close of
each fiscal year and of the results of its operations and of changes in surplus for
each fiscal year, all in reasonable detail, including particulars as to convertible
securities then outstanding, to be made and filed at the registered or principal
office of the Corporation within four (4) months after the end of such fiscal year.
The statement so filed shall be kept available for inspection by any Shareholder
for a period of ten (10) years; and the Treasurer shall mail or otherwise deliver a
copy of the latest such statement to any Shareholder upon his written request
therefore. The Treasurer shall, in general, perform all duties incident and such
other duties as may be assigned to him from time to time by the President or by
the Board of Directors.
SECTION 9. ASSISTANT SECRETARIES AND TREASURERS: The Assistant
Secretaries and Assistant Treasurers shall, in the absence or disability of
the Secretary or the Treasurer, respectively, perform the duties and
exercise the powers of those offices, and they shall, in general, perform
such other duties as shall be assigned to them by the Secretary or the
Treasurer, respectively, or by the President or the Board of Directors.
SECTION 10. SECRETARY TREASURER: The Secretary/treasurer shall perform all
the duties of the Secretary and the Treasurer as prescribed herein.
SECTION 11. BOND: The Board of Directors may by resolution require any or all
officers, agents and employees of the Corporation to give bond to the
Corporation with sufficient sureties, conditioned on the faithful
performance of the duties of their respective offices or positions, and to
comply with such other conditions as may from time to time be required
by the Board of Directors.
ARTICLE VI
CONTRACTS, LOANS AND DEPOSITS
SECTION 1. CONTRACTS: The Board of Directors may authorize any officer or
officers, agent or agents, to enter into any contract or execute and deliver
any instrument on behalf of the Corporation, and such authority may be
general or confined to specific instances.
SECTION 2. LOANS: No loans shall be contracted on behalf of the Corporation and no
evidences of indebtedness shall be issued in its name unless authorized by a
resolution of the Board of Directors. Such authority may be general or confined to
specific instances.
SECTION 3. CHECKS AND DRAFTS: All checks, drafts, or other orders for the
payment of money issued in the name of the Corporation shall be signed
by such officer or officers, agent or agents, of the Corporation and in such
manner as shall from time to time be determined by resolution of the
Board of Directors.)
SECTION 4. DEPOSITS: All funds of the Corporation not otherwise employed shall
be deposited from time to time to the credit of the Corporation in such
depositories as the Board of Directors shall direct.
ARTICLE Vll
CERTIFICATES FOR SHARES AND THEIR TRANSFER
SECTION 1. CERTIFICATES FOR SHARES: Certificates representing shares of the
Corporation shall be issued, in such. form as the Board of Directors shall
determine, to every Shareholder for the fully paid shares owned by him.
These certificates shall be signed by the President or any Vice -President
and the Secretary, Assistant Secretary, Treasurer or Assistant Treasurer.
They shall be consecutively numbered or otherwise identified; and the
name and address of the person to whom they are issued, with the number
of shares and date of issue, shall be entered on the stock transfer book of
the Corporation. No treasury shares shall be issued except upon
unanimous approval of all members of the Board of Directors.
SECTION 2. TRANSFER OF SHARES: Transfer of shares shall be made on the stock
transfer books of the Corporation only upon surrender of the certificates the shares
sought to be transferred by the record holder thereof or by his by authorized agent,
transferee, or legal representative. All certificates surrendered for transfer shall be
canceled before new certificates for the transferred shares shall be issued.
SECTION 3. CLOSING TRANSFER BOOKS AND FIXING RECORD DATE: For the
purpose of determining Shareholders entitled to notice of or to vote at any meeting
of Shareholders or any adjournment thereof or entitled to receive payment of any
dividend, or in order to make a determination of Shareholders for any other
purpose, the Board of Directors may provide that the stock transfer books be
closed for a stated period not to exceed, in any case, fifty (50) days. If the stock
transfer books shall be closed, for the purpose of determining Shareholders
entitled to notice of or to vote at a meeting of Shareholders, such books shall be
closed for at least ten (10) days immediately preceding such meeting.
In lieu of closing the stock transfer books, the Board of Directors may fix
in advance a date as the record date for any such determination of
Shareholders, such record date in any case to be not more than fifty (50)
days, and, in case of a meeting of Shareholders, not less than ten (10) days
immediately preceding the date on which the particular action, requiring
such determination of Shareholders, is to be taken.
If the stock transfer books are not closed and no record date is fixed for the
determination of Shareholders entitled to notice of or to vote at a meeting
of Shareholders, or Shareholders entitled to receive payment of a dividend,
the date on which notice of the meeting is mailed or the date on which the
resolution of the Board of Directors declaring such dividend is adopted, as
the case may be, shall be the record date for such determination of
Shareholders.
SECTION 4. LOST CERTIFICATE: The Board of Directors may authorize the issuance of a
new share certificate in place of a certificate claimed to have been lost or
destroyed, upon receipt of an affidavit of such fact from the person claiming the
loss or destruction. When authorizing such issuance of a new certificate, the
Board may require the claimant to give the Corporation a bond in such sum as it
may direct to indemnify the Corporation against loss from any claim with respect
to the certificate claimed to have been lost or destroyed; or the Board may, by
resolution reciting that the circumstances justify such action, authorize the
issuance of the new certificate without requiring such a bond.
ARTICLE VIII
INDEMNIFICATION
SECTION 1. INDEMNIFICATION: In addition to the indemnification otherwise
provided by law, the Corporation shall indemnify and hold harmless its
directors and officers against all liability and litigation, expense, including
reasonable attorneys' fees, arising out of their activities in any of the
foregoing capacities or in any capacity in which they are or were serving,
at the Corporation's request in another corporation, partnership, joint
venture, trust or other enterprise; provided, however, that the Corporation
shall not indemnify a director or officer against liability or litigation
expense that he may incur on account of his activities which were at the
time taken known or believed by him to be clearly in conflict with the best
interests of the Corporation. The Corporation shall also indemnify the
director or officer for reasonable costs, expenses, and attorneys' fees in
connection with the enforcement of the right to indemnification granted
herein, if it is determined in accordance with Section 2 of this Article that
the director or officer is entitled to indemnification hereunder.
SECTION 2. DETERMINATION: Any indemnification under Section I shall be paid
by the Corporation in any specific case only after a determination that the
director or officer did not act in a manner, at the time the activities were
taken, known or believed by him to be clearly in conflict with the best
interests of the Corporation. Such determination shall be made (a) by the
affirmative vote of a majority (but not less than two) of all the directors of
the Corporation who are not or were not parties to the action, suit, or
proceeding out of which the liability or expense for which indemnification
is to be determined arose, or arose is not asserted ("disinterested
directors"), even though less than a quorum, or (b) if a majority (but not
less than two) of disinterested director so direct, by independent legal
counsel in a written opinion, or (c) by the vote of a majority of all of the
voting shares other than those owned or controlled by directors or officers
who were parties to such action, suit or proceeding or against whom such
claim is asserted, or by a unanimous vote of all of the voting shares, or (d)
by a court of competent jurisdiction.
SECTION 3. ADVANCED EXPENSES: Expenses incurred by a director or officer in
defending a civil or criminal claim, action, suit or proceeding may, upon
approval of a majority (but not less than two) of the disinterested directors,
even though less than a quorum, be paid by the Corporation in advance of
the final disposition of such claim, action, suit or proceeding upon receipt
of an undertaking by or on behalf of the director or officer to repay such
amount unless it shall ultimately be determined that his is entitled to be
indemnified against such expenses by the Corporation.
SECTION 4. RELIANCE AND CONSIDERATION`. Any director or officer who at
any time after adoption of this Article serves or has served in any of the
aforesaid capacities for or on behalf of the Corporation shall be deemed to
be doing or to have done so in reliance upon, and as consideration for, the
right of indemnification provided herein. Such right shall inure to the
benefit of the legal representatives of any such person and shall not be
exclusive of any other rights to which such person may be entitled apart
from the provisions of this Article.
SECTION 5. INSURANCE: The Corporation may purchase and maintain insurance on
behalf of its directors and officer and those persons who were serving at
the request of the Corporation in any capacity in another corporation,
partnership, joint venture, trust or other enterprise against any liability
asserted against him and incurred by him in any such capacity, or arising
out of his status as such, whether or not the Corporation would have the
power to indemnify him against such liability under the provisions of this
Article or otherwise, Any full or partial payment made by an insurance
company tinder any insurance policy covering any director or officer made
to or on behalf of an indemnification under this Article shall relieve the
Corporation of its liability for indemnification provided for in this article
or otherwise to the extent of such payment, and no insurer shall have a
right of subrogation against the Corporation with respect to such payment.
ARTICLE IX
MISCELLANEOUS
SECTION 1. DIVIDENDS: The Board of Directors may from time to time declare,
and the Corporation may pay dividends on its outstanding shares in the
manner and upon the terms and conditions provided by law and by its
charter.
SECTION 2. SEAL: The corporate seal of the Corporation shall consist of two (2)
concentric circles between which is the name of the Corporation and in the
center of which is inscribed SEAL; and such seal, as impressed on the
margin hereof, is hereby adopted as the corporate seal of the Corporation.
SECTION 3. WAIVER OF NOTICE: Whenever any notice is required to be given to
any Shareholder or Director under the provisions of the North Carolina
Business Corporation Act or under the provisions of the Charter or Bylaws
of the Corporation, a waiver thereof in writing signed by the person or
persons entitled to such notice, whether before or after the time stated
herein, shall be equivalent to the giving of such notice.
SECTION 4. FISCAL YEAR: Unless otherwise ordered by the Board of Directors, the
fiscal year of the Corporation shall be the calendar year.
SECTION 5.. AMENDMENTS: Except as otherwise provided herein, these Bylaws
may be amended or repealed and new Bylaws may be adopted by the
affirmative vote of a majority of the outstanding shares of the common
capital stock of the Corporation at any regular or Special Meeting of
Shareholders.
Except by the unanimous affirmative vote of all outstanding shares of the
said stock, the Shareholders shall have no power to adopt a Bylaw:
(1) requiring more than majority of the voting shares for a quorum at a
meeting of Shareholders or more than a majority of the votes cast to
constitute action by the Shareholders, except where higher percentages are
required by law or by these Bylaws;
(2) providing for the management of the Corporation otherwise than by
the Board of Directors or its Executive Committees;
(3) increasing or decreasing the number of Directors;
(4) classifying and staggering the election of Directors;

d. Stormwater runoff is proposed to be treated by the existing retention pond on site permitted in SW8-
980716
e. 218,206 square feet of new BUA will be collected
f. The project has no buffers.
g. The project has no areas of environmental concern
h. There is no off site runoff coming onto the site or into the proposed BMP
i. Road construction access across other property is not necessary to access this project.

2. The rational method was used for the design.
IV. Coastal Stormwater Regulations
The North Carolina Division of Environmental Management implemented new coastal Stormwater regulations
in coastal counties in 1995. These rules allow for a development to be considered under various options. This
project is submitted for as a minor modification to high density development under the 1995 rules.
