The southeastern corner of the property is bounded by Beaver Creek with, two, adjacent wetland areas. The general land

The applicant contracted with S &EC to complete a wetland delineation and Jordan Watershed Buffer evaluation for the
entire property to identify the natural resources so that the project designers could design a site plan that would minimize
impacts to wetlands, streams and'b`uffers to the maximum extenfpracticable The proposed,project includes two (2)
impact areas to jurisdictional wetlands, streams and riparian buffers Impact' #1A includes a wetland impact for lot
till This, proposed impact will result in 0 011 acres of permanent, wetland impact necessary, fora 10' utility easement
located at the rear of the townhomes, and the fill slopes associated with a retaining wall These impacts have been
minimized by utilizing a retaining wall. Impact #1B includes a wetland impact for a stormwater facility. This
proposed impact'will result in 0 088 acres "of permanent wetland impact necessary for the construction of the
stormwater BMP and its outfall Impact #2 includes a stream crossing necessary to provide sanitary sewer to the
development ;This, proposed impact will result,in 107 linear feet of temporary perennial stream. Temporary impacts
include the open -cut and a coffer dam on the north side of impact, with a pump around to minimize sedimentation
downstream during construction Post construction, the stream channel will be brought back to original elevation
and the banks will be stabilized'
Furthermore, the applicant is °aware�of,the regional conditions associated with the Nationwide Permits 18 & 29
With respect to the minor discharges (NWP 18- Regional Cond►tions�section =4.0) this NWP is not being used in
conjunct►on,with a NWP 14 to create uplands. With respect to residential developments (NWP 29- Regional
Conditions section -4 0) the applicant is proposing impacts to a ,wetland for a,stormwater,facility, but'is proposing
NWP 18 for those impacts, there are no impact associated with single- family recreation facilities, there are no
permanent wetland'or stream frlls.proposed within the,floodway/floodplain, the stream classification for this project is
WS -IV, NSW (i.e. not Outstanding Resource Waters, High Quality Waters, Coastal Wetlands or wetland adjacent to
these waters) and any riprap utilized will be placed only on the banks or below the original stream bed elevation

addition to typical erosion control measures, the Erosion Control Plan includes cofferdams placed, on the upstream side -of

We,have- rewewed,the `Draft Internal Policy, Cumulative impacts,and the 401 Water,Quahty Certification and Isolated
Wetlands Programs" document prepared by the NC Division of Water Quality on April 10, 2004, version 2 1. The draft
states that many private developments are unlikely to cause cumulative impacts, including projects such as urban in -fill,
mostresidentia/ subdivisions and small commercial developments aswell as agricultural and sduwcu/tura/ operations The '
Hempstead at Beaver Creek project is•a residential development. The property is located within the Town of Apex
ETJ, therefore the adjacent, properties that have potential for development will have the following regulations to
protect downstream waters 1) the Water Supply, Watershed Protection 'Program which limits development
densities as well as requires protective riparian buffers, 2) the Jordan Watershed Riparian Buffer Protection
regulations, these regulations require limited development Within the riparian buffer area in addition to c%ffus& flow"
requirements at`a minimum, and' could require Best Management Practices that control nitrogen if diffuse flow
cannot,be achieved, and finally 3) the Phase 11 NPDES Stormwater Permit Program, this program includes
permitting requirements for, Municipa/ Separate Storm 'Sewer °Systems (MS4s), in addition to post- construction
stormwater management requirements. We anticipate that the DWR will advise us if any additional information is
,needed

17, APPROVALS CONTINGENCY. Seller acknowledges that Purchaser is seeking
with respect to Purchaser's development of the Property (i) site plan approval for the Property
(the "Site Plan Approval ") from the Town of Apex, North Carolina (the "Town ") substantially
in conformance with the site plan attached hereto as Exhibit "C", and (ii) approval by the Town

of the construction drawings for the development of the Property based on such approved site
plan (the "Drawings Approval'; and, together with the Site Plan Approval, the "Approvals").
in furtherance of the foregoing, from and after the Effective Date through and 'including
September 30, 2014 (such period being referred to herein as the "Approvals Period "), Purchaser
shall promptly commence, diligently apply for, and at all times thereafter use, all commercially
reasonable and good faith efforts to obtain the Approvals. Purchaser shall deliver to Seller a
copy of the application and other forms or documents submitted in connection with the,Site Plan
Approval process and /or the Drawings Approval process. Seller will cooperate with Purchaser's
efforts (at no cost, however, to Seller) to obtain the Approvals by, among other'tfiings, promptly
(within, 5 business days following any request) s'Igning� all documents, letters, applications,,plats,
surveys and other similar documents which are in form and content reasonably acceptable to
Seller and - required to obtain the Approvals. Purchaser shall notify Seller of all meetings in
connection with the Approvals, including, without'limitation, any meetings with the Town or any
local community groups (individually, a "Meeting ", and 'collectively, the "Meetings " ), at least
five (5) business days prior to any Meeting, unless such Meeting is scheduled within five (5)
business days of the Meeting date in which event Purchaser shall ,give Seller prompi notice
thereof. In the event Purchaser fails to obtain the Approvals within tht initial App royls,Period,
Purchaser may extend the Approvals Period for one (1) thirty (30) day period (the "First
Approvals Extension Period ") by sending Seller written notice of such extension prior to the
expiration of the initial. Approvals Period and.delivering to Escrow Agent prior to the expiration
of the initial Approvals Period the First Approvals Extension Period Deposit. If Purchaser has
extended the Approvals Period for the First Approvals Extension Period and fails to obtain the
Approvals within the First Approvals Extension Period,'Purchaser may thereafter f irther extend
the Approvals Period for an additional thirty (30) day period (the "Second Approvals Extension . - -�
Period") by sending Seller written notice of such =extension prior to the expiration of the First
Approvals Extension Period and delivering to Escrow Agent prior to the expiration ofthe First
Approvals Extension Period the Second Approvals Extension Period Deposit. If Purchaser has
