Enclosed please find completed Form NDPONC 06-16 for change in ownership of
the above referenced permit from Valley Proteins, Inc. to Darling Ingredients,
Inc.
In support of same, we also provide the following:
Deed of August 51988 transferring approximately 524 acres in Anson
County, NC to Valley Proteins, Inc. representing the transfer of ownership
of property governed by the above referenced non -discharge permit.
Articles of conversion of Valley Proteins, Inc. (a Virginia Corporation) to
Valley Proteins, LLC dated April 28, 2022.
Permit Transfer Agreement dated May 2, 2022 authorizing transfer of
ownership of said permit to Darling Ingredients, Inc.
We have also been advised by DEQ staff that this application must be submitted
in lieu of the permit renewal application and the processing of the enclosed name
change application will result in an extended expiration date. Thus, on this
advice and understanding, we are not submitting a standard renewal application
at this time for renewal of the subject permit set to expire on June 30, 2023. If
this understanding is incorrect, please so advise me on receipt of this
correspondence.

PERMIT TRANSFER AGREEMENT
This Agreement is entered into as of Aj-
1,2/ 2022 (the "Effective Date") by VALLEY PROTEINS, LLC, as
successor to VALLEY PROTEINS, INC. following its conversion from a corporation to a limited liability
company, and DARLING INGREDIENTS INC. (collectively, "Parties") to transfer operating permits for
facilities currently permitted under Valley Proteins, Inc. to. Darling Ingredients Inc.
Darling Ingredients Inc. acquired Valley Proteins, LLC on May 2, 2022. Valley Proteins, LLC is now a
wholly owned subsidiary of Darling Ingredients Inc. Darling Ingredients Inc. is transitioning operations at
Valley Proteins, LLC facilities to Darling Ingredients Inc.
The Parties hereby transferthe operating permit(s) of Valley Proteins, Inc. (now operating as Valley
Proteins, LLC) to Darling Ingredients Inc., as referenced on Attachment A hereto. To effect this transfer,
Darling Ingredients Inc. agrees, as of the Effective Date, to assume the liabilities and responsibilities
under the referenced operating permit(s) and Valley Proteins, Inc. (now operating as Valley Proteins,
