RESOLUTION OF LIMITED PARTNERS
The undersigned, being the Limited Partners and the General Partner of James Family
Limited Partnership, a North Carolina limited partnership, (the "Company"), after careful
deliberation and consideration, take the following action and adopt the following resolutions by
signing their written consent hereto.
WHEREAS, the Company has agreed to sell certain of its assets to CANOPY
COMMERCIAL HOLDINGS, LLC; and
WHEREAS, the Limited Partners deem it advisable and in the best interest of the
Company to sell the assets, as described above;
NOW, THEREFORE, BE IT RESOLVED, that the Company, by its General Partner,
Beatrice J. Brown, is authorized to take such actions as necessary to:
1. Cause the Company to sell and transfer certain assets of the Company more particularly as
shown on Attachment B to CANOPY COMMERCIAL HOLDINGS, LLC.
