THIS STORMWATER EASEMENT AND DETENTION POND MAINTENANCE
AGREEMENT ("Agreement"), made this day of March, 2021, by and between Westport
Storage Members' Association, Inc, a North Carolina non-profit corporation (the
"Association"), whose mailing address is 4500 Fish Factory Road SE, Southport, North Carolina
28461 and Rig Toy Storage, Inc , a North Carolina corporation ("Big Toy Storage"), whose
mailing address is 57525 U S Highway 117, Wallace, North Carolina 28466
RECITALS
WHEREAS, the Association owns tracts of real property located in Brunswick County,
North Carolina descnbed as PHASE 1 and TRACT lA as depicted and described on that Map of

Recombination for Westport Storage Members' Association, Inc and Big Toy Storage, Inc dated
June 18, 2020 recorded in Map Cabinet I ai Page`j& Brunswick County Register of Deeds (the
"Map") 1 PACT I A and PHASE 1 were recombined as TRACT IA-R on the Map, which property
is referred to herein as the "Association Property", and
WHEREAS, Big Toy Storage owns the tracts of undeveloped real property located in
Brunswick County, North Carolina depicted and described as TRACT 2A and TRAC 12B on the
Map (individually and collectively, the "Big Toy Storage Property"), and
WHEREAS, Big Toy Storage has constructed a stormwater infiltration pond, drainage
pipes and associated improvements located on a portion of the Association Property and the Big
Toy Storage Property (collectively, the "Stormwater Facilities") that serve the Association
Property and the Big Toy Storage Property, and
WHEREAS, Big Toy Storage requires from the Association and the Association has agreed
to grant a twenty foot (20') wide easement on, over, under and across TRAC1 1A and PHASE 1
as depicted and described on the Map ("the Drainage Area") for stormwater drainage and to grant
access over and across the Association Property and Drainage Area for the benefit of the Big Toy
Storage Property upon the terms set forth below
NOW, THEREFORE, in consideration of the sum of One Dollar ($1 00) and other valuable
consideration paid by Big Toy Storage to the Association, the receipt of which is hereby
acknowledged, the parties agree as follows

The foregoing recitals are true and correct and incorporated as are fully set forth
the Association hereby grants, sells and conveys unto Big Toy Storage, subject to
the terms of this Agreement, a perpetual, non-exclusive, appurtenant twenty (20) foot wide
drainage casement (the "Easement") over, upon, under, in and through the Association Property
described as follows
Located in Smithfield rownslup, 13runswick County, North Carolina and beginning at an
existing iron rod located at the northeast comer of Phase 1, Big Toy Storage recorded in
Map Book 25, Page 239, Brunswick County Register of Deeds and also the northeast
comer Westport Storage Members' Association, Inc recorded in Deed Book 4300, Page
789, Brunswick County Registry and shown on a map of recombination for Westport
Storage Members' Association, Inc and Big Toy Storage, Inc recorded in Map Cabinet

East-264 65 feet from the northwest comer of Phase 1, Big Toy Storage and the northwest
comer of Westport Storage Members' Association, Inc Running thence, from the point of
beginning, North 86 degrees 37 minutes 42 seconds East — 10 00 feet to a point, thence,
South 03 degrees 10 minutes 10 seconds East — 331 79 feet to a point, thence, South 87
degrees 15 minutes 53 seconds West— 13 83 feet to an iron rod, thence, North 36 degrees
14 minutes 20 seconds West — 19 31 feet to a point, thence, North 53 degrees 45 minutes
40 seconds East — 5 21 feet to a point, thence, North 03 degrees 10 minutes 10 seconds
West — 31260 feet to a point in the northern line of Westport Storage Members'
Association, Inc , thence, North 86 degrees 37 minutes 42 seconds Fast — 10 00 feet to the
point of beginning containing 6616 square feet more or less All bearings are in angular
relation to magnetic north (MB 25, PG 239) and all distances are horizontal field
measurements
The Association grants the Easement to Big Toy Storage for the following purposes (a) for direct
surface water Flow drainage from TRACT 2A over, in, under, across and through the Drainage
Area into the Pond, (b) to construct, install, reconstruct, operate, use, maintain, repair, replace,
extend or improve the Stormwater Facilities to the extent necessary to accommodate the
development of the Big Toy Storage Property, and (c) for purposes of operating, inspecting,

mmntaming, repairing, replacing, extending, adding to or improving the Drainage Area and
Stormwater Facilities
3 The Association further grants to Big Toy Storage a perpetual, non-exclusive and
appurtenant easement for ingress and egress over, upon, in, through and across the Association
Property to the extent necessary to access the Drainage Area and Stormwater Facilities to exercise
its rights under this Agreement In exercising such rights of ingress and egress to and over the
Association Property, Big Coy Storage shall provide reasonable advance notice to the Association
of the proposed activities and shall limit times of ingress and egress to reasonable business hours
4 fhe Association shall not construct or place any structure, budding or other surface
improvements, including but not limited to plants, trees, shrubs, gates and fencing in the Drainage
Area or obstruct it in any way The Association also shall not construct, locate, or install a fence
or other barrier along any boundary of the Drainage Area
5 All costs and expenses for the operation, repair, maintenance and improvements to
the Drainage Area and Stormwater Facilities, including but not limited to, mowmg, tiuruning,
dredging, treating, testing or other maintenance requirements, periodic engineer recertification,
pern it renewal fees and repair, replacement or improvement of the Drainage Area or Stormwater
Facilities and related appurtenances will be shared pro rata between the Association and Big Toy
Storage based upon the amount of impervious surface area allocated to the Association Property
and to the Big Toy Storage Property divided by the total impervious surface area allocated to the
Association Property and the Big Toy Storage Property as stated on the Map The Association
shall reimburse Big roy Storage for its share of such costs and expenses within fourteen (14) days

after the Association receives from Big roy Storage written nonce of the amount of such costs and
expenses
6 1 he Association shall not allow or cause, either directly or indirectly, the release or
discharge of any hazardous materials or other environmental contaminates into the Storrnwater
Facilities in violation of applicable environmental laws As used herem, "hazardous materials or
other environmental contaminates" shall include, without limitation, any fossil fuel byproducts
such as brake dust, copper and oil, fecal coliform bacteria, and mercury or other metals
7 Each of the Association and Big Toy Storage shall indemnify and hold the other
harmless from and against all claims, demands, liabilities, damages, judgments, suits, actions,
losses, harm, (collectively, "Claims') asserted against or incurred by said party for bodily injury,
personal injury and/or property damages to the extent such Claims are due to any action or inaction
of the other party or its employees, agents or contractors in exercise of the rights granted to each
party hereunder
9 Big Toy Storage may, from time to time, assign or delegate to any third party having
an interest in the Big 'I oy Storage Property the rights, benefits and obligations of Big 7 oy Storage
under tlus Agreement
9 The benefits and burdens of tlus Agreement shall run with the Association Property
and Big Toy Storage Property and be binding upon and inure to the benefit of the Association and
Big I oy Storage and their respective heirs, successors and assigns The rights and obligations set
forth in this Agreement are appurtenant to and intended to run with the Association Property and
the Big Toy Storage Property

10 In the event of any litigation, arbitration, or other proceeding brought to enforce or
interpret this Agreement, the prevailing party shall receive an award of its reasonable attorneys'
fees and costs
I I This Agreement shall be governed and construed under the laws of the State of
North Carolina without regard to conflicts of law provisions
12 This Agreement constitutes the entire agreement between the parties and may not
be modified, altered or terminated except in writing by the then owners of all portions of the
properties affected thereby
13 Whenever possible, each provision of this Agreement will be interpreted in such
manner as to be effective and valid under applicable law, but if any provision of this Agreement
is to be prohibited by or invalid under applicable law, such provision will be ineffective only to
the extent of such prohibition or invalidity, without invalidating the remainder of this Agreement
14 Waiver by either party of any one default will not be deemed to be a waiver of any
other default under this Agreement Any remedy or election under this Agreement will not be
deemed exclusive, but, instead, whenever legally permissible, will be cumulative with all other
remedies at law or in equity
15 The Association covenants and warrants that it is lawfully served and possessed of
the Association Property, that it has good, right and lawful authority to convey said easements for
the purposes herein expressed, and that Association, for its heirs, successors and assigns, covenants
that it will warrant and defend said easements against any and all claims and demands whatsoever,
except for encumbrances of record
