The Wilmington Regional Office received a complete Stormwater Management Permit
Application for Compass Landing Apartment Homes on January 12, 2011 Staff review
of the plans and specifications has determined that the protect, as proposed, will comply
with the Stormwater Regulations set forth in Title 15A NCAC 2H.1000 and Session Law
2008-211. We are forwarding Permit No. SW8 101117 dated January 13, 2011, for the
construction of the subject protect
This permit shall be effective from the date of issuance until January 13, 2021, and shall
be subject to the conditions and limitations as specified therein. Please pay special
attention to the Operation and Maintenance requirements in this permit. Failure to
establish an adequate system for operation and maintenance of the stormwater
management system will result in future compliance problems.
Please be aware that it is the responsibility of the permit holder, Compass Landing
Apartment Homes, LLC, to notify DWQ of any changes in ownership and request an
ownership/name change for the stormwater permit However, please be reminded
that if the contract between Compass Landing Apartment Homes, LLC and Conner-
W, LLC is dissolved, cancelled or defaults, and DWQ is not notified by Compass
Landing Apartment Homes, LLC to transfer the permit, then the responsibility for
permit compliance reverts back to the property owner As the current property
owner, Conner-W, LLC must notify DWQ immediately of the permit ownership
change and submit a completed Name/Ownership form to DWQ within 30 days.
Otherwise Conner-W, LLC may be considered to be operating a stormwater
treatment system without a valid permit This is a violation of NC General Statue
143-215 1 and may result in appropriate enforcement action including the
assessment of civil penalties of up to $25,000 per day, being taken against the
property owner, Conner-W, LLC.

In accordance with the provisions of Article 21 of Chapter 143, General Statutes of
North Carolina as amended, and other applicable Laws, Rules, and Regulations
PERMISSION IS HEREBY GRANTED TO

FOR THE
construction, operation and maintenance of one (1) wet detention pond in compliance
with the provisions of 15A NCAC 2H 1000 and Session Law 2008-211 (hereafter
collectively referred to as the "stormwater rules') the approved stormwater management
plans and specifications and other supporting data as attached and on file with and
approved by the Division of Water Quality and considered a part of this permit.
This permit shall be effective from the date of issuance until January 13, 2021, and shall
be subject to the following specified conditions and limitations
I. DESIGN STANDARDS
1 This permit is effective only with respect to the nature and volume of stormwater
described in the application and other supporting data.
2 This stormwater system has been approved for the management of stormwater
runoff as described in Section 1.8 on page 3 of this permit. The stormwater
control has been designed to handle the runoff from 519,975 square feet of
impervious area.
3. A 50' wide vegetative buffer must be provided adjacent impounded structures,
streams, rivers and tidal waters
4 A vegetated filter strip is not required for this pond as it has been designed for a
90% total suspended solids removal efficiency.
5 The tract will be limited to the amount of built -upon area indicated on page 3 of
this permit, and per approved plans The built -upon area for the future
development is limited to 23,256 square feet.
6. All stormwater collection and treatment systems must be located in either
dedicated common areas or recorded easements. The final plats for the project
will be recorded showing all such required easements, in accordance with the
approved plans.

7. The runoff from all built -upon area within the permitted drainage area(s) of this
project must be directed into the permitted stormwater control system.

II. SCHEDULE OF COMPLIANCE
1 The stormwater management system shall be constructed in its entirety,
vegetated and operational for its intended use prior to the construction of any
built -upon surface.
2 During construction, erosion shall be kept to a minimum and any eroded areas of
the system will be repaired immediately
3. The permittee shall at all time provide the operation and maintenance necessary
to assure the permitted stormwater system functions at optimum efficiency. The
approved Operation and Maintenance Plan must be followed in its entirety and
maintenance must occur at the scheduled intervals including, but not limited to -
a. Semiannual scheduled inspections (every 6 months).
b. Sediment removal.
c Mowing and re -vegetation of slopes and the vegetated filter.
d Immediate repair of eroded areas.
e. Maintenance of all slopes in accordance with approved plans and
specifications.
f Debris removal and unclogging of outlet structure, orifice device, flow
spreader, catch basins and piping
g. Access to the outlet structure must be available at all times.
4. Records of maintenance activities must be kept and made available upon
request to authorized personnel of DWQ. The records will indicate the date,
activity, name of person performing the work and what actions were taken

5 Decorative spray fountains will be allowed in the stormwater treatment system,
subject to the following criteria -
a. The fountain must draw its water from less than 2' below the permanent
pool surface.
b Separated units, where the nozzle, pump and intake are connected by
tubing, may be used only if they draw water from the surface in the
deepest part of the pond.
c. The falling water from the fountain must be centered in the pond, away
from the shoreline.
d The maximum horsepower for a fountain in this pond is 1/2 horsepower
The facilities shall be constructed as shown on the approved plans. This permit
shall become void unless the facilities are constructed in accordance with the
conditions of this permit, the approved plans and specifications, and other
supporting data.
Upon completion of construction, prior to issuance of a Certificate of Occupancy,
and prior to operation of this permitted facility, a certification must be received
from an appropriate designer for the system installed certifying that the permitted
facility has been installed in accordance with this permit, the approved plans and
specifications, and other supporting documentation. Any deviations from the
approved plans and specifications must be noted on the Certification A
modification may be required for those deviations
8. If the stormwater system was used as an Erosion Control device, it must be
restored to design condition prior to operation as a stormwater treatment device,
and prior to occupancy of the facility.
9. Access to the stormwater facilities for inspection and maintenance shall be
maintained via appropriate recorded easements at all times.
10 The permittee shall submit to the Director and shall have received approval for
revised plans, specifications, and calculations prior to construction, for any,
modification to the approved plans, including, but not limited to, those listed
below -
a Any revision to any item shown on the approved plans, including the
stormwater management measures, built -upon area, details, etc
b. Project name change.
C. Transfer of ownership
d. Redesign or addition to the approved amount of built -upon area or to the
drainage area.
e. Further development, subdivision, acquisition, lease or sale of any, all or
part of the project area. The project area is defined as all property owned
by the permittee, for which Sedimentation and Erosion Control Plan
approval or a CAMA Major permit was sought
f Filling in, altering, or piping of any vegetative conveyance shown on the
approved plan
11. Prior to the construction of any permitted future areas shown on the approved
plans, the permittee shall submit final site layout and grading plans to the
Division for approval.
12 A copy of the approved plans and specifications shall be maintained on file by
the Permittee at all times

14 The Director may notify the permittee when the permitted site does not meet one
or more of the minimum requirements of the permit Within the time frame
specified in the notice, the permittee shall submit a written time schedule to the
Director for modifying the site to meet minimum requirements. The permittee
shall provide copies of revised plans and certification in writing to the Director
that the changes have been made.
III. GENERAL CONDITIONS
This permit is not transferable to any person or entity except after notice to and
approval by the Director In the event of a change of ownership, or a name
change, the permittee must submit a completed Name/Ownership Change Form
signed by both parties, to the Division of Water Quality, accompanied by the
supporting documentation as listed on page 2 of the form The approval of this
request will be considered on its merits and may or may not be approved
2 The permittee is responsible for compliance with all permit conditions until such
time as the Division approves the transfer request. Neither the sale of the project
nor the transfer of common area to a third party constitutes an approved transfer
of the stormwater permit.
3 Failure to abide by the conditions and limitations contained in this permit may
subject the Permittee to enforcement action by the Division of Water Quality, in
accordance with North Carolina General Statute 143-215.6A to 143-215 6C.
4 The issuance of this permit does not preclude the Permittee from complying with
any and all statutes, rules, regulations, or ordinances, which may be imposed by
other government agencies (local, state, and federal) having jurisdiction.
5. In the event that the facilities fail to perform satisfactorily, including the creation of
nuisance conditions, the Permittee shall take immediate corrective action,
including those as may be required by this Division, such as the construction of
additional or replacement stormwater management systems.
6 The permittee grants DENR Staff permission to enter the property during normal
business hours for the purpose of inspecting all components of the permitted
stormwater management facility.
7. The permit remains in force and effect until modified, revoked, terminated or
renewed The permit may be modified, revoked and reissued or terminated for
cause. The filing of a request for a permit modification, revocation and re -
issuance or termination does not stay any permit condition

8 Unless specified elsewhere, permanent seeding requirements for the stormwater
control must follow the guidelines established in the North Carolina Erosion and
Sediment Control Planning and Design Manual.
9. Approved plans and specifications for this project are incorporated by reference
and are enforceable parts of the permit
10. The permittee shall notify the Division of any name, ownership or mailing address
changes at least 30 days prior to making such changes.
11. The permittee shall submit a permit renewal request at least 180 days prior to the
expiration date of this permit The renewal request must include the appropriate
documentation and the processing fee.

application package should be submitted to the appropriate DWQ Office. (The appropriate office may be
found by locating project on the interactive online map at http•//portal.ncdenr org/web/wq/ws/su/maps )
Please indicate that the following required information have been provided by initialing in the space provided

Please find attached the information requested in your letter dated January 6, 2011 to continue with the
stormwater review:
1. During the submittal meeting it was discussed whether or not the design for the pool had
been finalized and if the pool layout would be included with this permit. At that meeting, it
was determined that the pool design had not been finalized and that the associated BUA
would be listed as future BUA and the pool area would only be shown on the plans as
"future". In the set of plans submitted on January 5, 2011, the pool area is no longer labeled
as future and the BUA is now defined. Please either label the pool area as future on the
plans or reallocate the BUA to reduce the future BUA accordingly in the application
documents.
The plans have been revised, removing the pool layout and replacing with a generic
area noted as Future Pool Area.
2. On plan sheet 5, please ensure the following information is accurate and consistent:
a. On the pond cross-section A -A, the outer -most baffle around the pond appears to
be set at an elevation of 19 on the forebay side of the pond and at 20.8 on the main
pond side. This outer -most baffle must be set no lower than the top of the provided
storage volume, 20.8 ft. Please revise this cross-section.
The pond cross-section A -A has been revised to reflect the plan view above this
detail sheet 5 of 13, allowing for the installation of vegetation around the
forebay to the temporary pool elevation of 20.&
b. The baffle separating the forebay from the main pond does not have to beset at the
temporary pool elevation. Only those baffles used to increase the flow path must be
set at the temporary pool elevation. If the forebay baffle is to remain at the
temporary pool elevation, please indentify a weir at the permanent pool elevation

information has determined that the application is not complete The following
information is needed to continue the stormwater review:

2. Please re-evaluate the forebay design based on the following:
a. The sediment storage provided in both the forebay and main basin is not considered
part of the permanent pool volume. According to the signed O&M agreement, the
forebay sediment removal elevation is set at 14 and the bottom elevation is set at
13. The calculations indicate that the forebay volume includes the sediment storage
volume between elevation 14 and 13. Please remove the sediment storage volume
in the forebay from the forebay volume and permanent pool volume.
The information provided on the initial O&M agreement was incorrect, however
forebay depth has since been revised. The new depth is now represented correctly
on the O&M agreement for the forebay.
b. The forebay is required to be at least 18% of the entire permanent pool volume.
Based on the entire permanent pool volume (154,508 cf), it appears that the
forebay is too small.
The forebay has been changed to a depth of 7 feet from permanent pool to
increase the volume within the forebay.

a. The outer most baffle around the forebay appears to be set at an elevation of 19.
The baffle must be set no lower than the top of the provided storage volume, 20.8
ft. The left hand side of this detail has the baffle placed correctly. Please ensure this
detail is accurate.
The baffle between the forebay and main basin has been revised and is now
shown to be constructed to an elevation 20.8.
b. The sediment storage available in the main basin is identified as 12", however other
documentation indicates that 15" of storage is provided.
Both the plans and documentation now indicate 15" of sediment storage within
the main basin. The bottom of the main basin is at 10.15 with the clean out depth
of elevation of 9.0.
c. Please identify the sediment storage provided in the forebay.
The Operation and Maintenance Agreement supplement has been revised to
reflect the proposed depth of the forebay and corresponding cleanout elevations.
7. Please submit a second copy of the plans. Only one set of plans was submitted on
December 15, 2010.
Two sets of the revised plans are attached with this submittal.
8. Please submit a $500 fee for the additional review required for this application.

The Wilmington Regional Office received an Express Stormwater Management Permit
Application for Compass Landing Apartment Homes on December 15, 2010 A preliminary
review of that information has determined that the application is not complete. The following
information is needed to continue the stormwater review
On the wet detention basin supplement, please ensure the following information
is accurate and consistent
a Please identify the temporary pool surface area at the top of page 2
b. The permanent pool surface area appears to be slightly different than
presented in the calculations.
c The temporary pool volume listed on page 1 and 2 are not consistent
d. The permanent pool volume listed on page 2 does not appear to consider
both the main basin and the forebay
2 Please re-evaluate the forebay design based on the following
a. The sediment storage provided -in both the forebay and main basin is not
considered part of the permanent pool volume_According to the signed O&M
agreement, the forebay sediment removal elevation is set at 14 and the
bottom elevation is set at 13 The calculations indicate that the forebay
volume includes the sediment storage volume between elevation 14 and 13.
Please remove the sediment storage volume in the forebay from the forebay
volume and permanent pool volume —
b. The forebay is required to be at least 18% of the entire permanent pool —
volume Based on the entire permanent pool volume (154,508 cf), it appears
that the forebay is too small
3 Please demonstrate how the average depth was determined Please note that
when using Option 2 to determine the average depth, the surface area at the
bottom of the shelf includes both the main basin and the forebay.
4 Please ensure the proposed impervious area listed in the calculations is
accurate The parking area does not appear to be consistent with the Information
presented in the application Please also consider including the future
impervious surface allocation to prevent confusion.
5 Please demonstrate on the plans how the club house will be accessed and
ensure the additional sidewalk has been included in the impervious area

I. General Information
Compass Landing Apartment Homes located off Old Fashion Way in Newport,
Carteret County is a 22.1 acre tract. The wetlands have been delineated and approved by
the U.S. Army Corps of Engineers (please see attached wetlands plat). This tract is being
proposed as a three hundred and twelve (312) unit multi -family apartment project
associated parking, club house and pool. There are thirteen (13) three-story building each
with twenty-four (24) units.
The project is to be serviced by the Town of Newport for both water and sewer. Access
to the project via state or town roads, therefore construction across other property is not
necessary or proposed.
II. Stormwater Information
The project is located within the White Oak River basm and currently drains westerly
to Shoe Branch Class C, 21-6, a tributary of the Newport River. This project is being

submitted as a high density residential commercial project under the current Coastal
Stormwater Rules. Stormwater will be treated by a wet detention pond to 90% TSS.
III. Erosion and Sedimentation Control Measures
The following measures are proposed for the site. If it becomes evident that additional
erosion and sedimentation control measures are needed, they shall be installed
immediately. It is intended that all grading and excavation activities within a certain area
will be protected as soon as that activity is complete.
1. Sediment Fence - Sediment fence will be utilized as necessary in locations as shown on
plans or as deemed necessary by the engineer to insure that off -site sedimentation is
controlled.
2. Seeding - All disturbed areas will be seeded within 14 days following construction in
accordance with the seeding schedule shown on the plans.
3. Stone Construction Entrance - Stone construction entrance will be used to reduce
transport of sediment off site.
4 Sediment Basins- The detention pond to be constructed will serve as a sediment basin
during construction. This project requires a storage sediment rate at 3600 cf/acre of
disturbance and required surface area is based on the 10-year storm. Sediment volume
from the earth disturbing activities draining to the pond is estimated to be 68,400 cubic
feet based on 19.0 acres of disturbance. The forebay will have 24,527 cf and the main
basin 129,880 cf of sediment storage capability totaling 154,508 cf exceeding the
required volume. The surface area required of 18,142 sf is also exceeded providing a
total surface area of 24,550 sf. Upon completion and stabilization of project the pond
shall be cleaned to the original design depth.
IV. Maintenance Plan
1. All erosion and sediment control measures shall be checked for stability and effective
operations following every runoff producing rainfall event or at least once per week.
Repairs required shall be completed immediately to the dimension and functions
indicated on the plans.
2. Sediment shall be removed form behind the sediment fencing when it becomes 0.5 feet
deep at the fence. The fence shall be replaced or repaired as necessary to maintain a
barrier.
3 All seeded areas shall be fertilized, seeded and mulched within 14 calendar days of
disturbance. Disturbed areas shall be fertilized, reseeded and mulched as necessary
according to the Contract documents to establish and maintain a dense vegetative
cover
V. Construction Sequence
1. Remove and/or relocate existing obstructions.
2. Install gravel construction entrance and silt fencing at specified locations.
3. Complete clearing and grubbing operations.
4. Excavate, rough grade and temporarily see stormwater detention basin.
5. Rough grade parking areas and begin preparation of building sites.
6. Seed and mulch all areas of disturbance not to be paved within 14 days of land
disturbance
7. Install drop inlets and storm drainage piping with sedimentation control measures.
8. Install utilities
9. Fine grade drive and parking area and place stone base course.
10. Construct buildings.
11. Pave drive and parking areas.
12. Perform final grading, see and mulch all remaining disturbed areas.
13. Remove accumulated sediment from stormwater detention basin and perform final
grading of basin.
14. Install wet detention basin vegetation as specified on pond landscaping plan.
VI. Design Assumptions
1. Design storm is ten years for both culvert design and sediment control.
2. The rational method was used for the design.

The land and soils within the west portion of the Compass Pointe - Taft Tract (1 acre) were evaluated on a
qualitative basis to determine the general potential for on -site stormwater treatment usage Current NCDENR-
DWQ "Stormwater Management' rules and regulations (NCAC 15-2H- 1000) were used as guidelines in making
this evaluation New and revised NCDENR-DWQ coastal stormwater rules became effective October 1, 2008 and
are more rigorous than previous rules This is a general evaluation that consisted of transects across the tract, free-
style soils mapping and shallow borings, and qualitative estimates of the land and soil properties No quantitative
on -site or specific testing was completed as part of this evaluation that may be required for NCDWQ stormwater
permitting
Coastal stormwater may be treated by infiltrative devices, detention treatment basins, or an equivalent alternative
method when the proposed project is greater than 1 acre in size, has >12% to >24% built upon area, or >10,000
sqft built upon area for a single residential tract This tract appears to be located >'% mile from Class S A Waters
and drains in a southeastern direction to Class C Waters of Deep Creek and the Newport River (see USGS topo
and DWQ maps) Immediate surface and subsurface drainage appears to be in a northwestern direction to a
wetland slough A high density protect within this tract and proximity should be defined as >24% built upon area

natural soil without a seasonal water table before fill material is utilized, ---historic fill materials (<1977) can be
used as natural soils if it meets the minimum site criteria stated above; --stormwater runoff must be controlled and
treated on -site for a 1.5 inch rainfall, or the difference in run-off from pre / post development conditions for the 1
year 24 hr annual storm event (-3 8 inches), whichever is greater Detention stormwater ponds are to be designed

This tract is located on typical maritime coastal plain geomorphic setting, with ridge / slough topography, and sandy
sediments The tract consists of deep fine to medium sandy sediments, with possible loamy sand spodic or argillic
horizons at +24" or greater depths General surface elevations range from -15 - 26 ft (amsl, see Stroud & USGS
topo maps)
The enclosed land & soils map shows the land/soil types found (see sods map) The following is a brief description
of the land and soil types found, and potentials for stormwater treatment usage
The "Green" Areas (see map) are well to excessively well drained, with deep uniform fine to medium sand
textures The estimated seasonal high static water table ranges between +60 - 75 inches from the present surface,
pending location and based upon soil wetness indicators and general elevations Estimated permeability is 5 - 10
min/in or +6 - 12 in/hr to +80 inch depths from present surface, based upon soil texture and structure Soil types
found are similar to Kureb, Kenansville, or Baymeade General surface elevations range between >24 - 26 ft, and
with seasonal high static water table near a -19 ft elevation (Stroud topo map) These soil areas should be usable
for stormwater infiltration with basin bottoms at the -21 ft elevation level (pending location) to maintain a 2 ft
separation from seasonal high water table We recommend a long-term loading rate for stormwater infiltration that
is'/2 or less of the averaged estimated soil hydraulic conductivity, or -8 in/hr for these soil types Detention ponds

agency over stormwater systems and have final review, approval, and permitting authority These and other
regulatory agencies must be contacted for their reviews, general concurrences, and required permits before
initiating any development activities We recommend NCDWQ and appropriate agencies to review a pre -
application plan for their general concurrence as to site locations for final design considerations Representative
soil logs are provided as an attachment to this report

Attachment to Agreement for Purchase and Sale of Real Property By and Between
Income Investments -Poole Road, LLC ("Buyer") and
Conner-W, LLC ("Seller")
1. Buyer will be responsible for all costs associated with Due Diligence.
2. Unless waived, Buyer's obligation to close is contingent upon receipt by Buyer of all
permits and allocations necessary for construction of the apartment units.
3. Except as hereinafter provided, prior to closing and in the event Buyer applies for any
conditional use permits, special use permits, annexation requests, utility applications, etc,
Seller will agree, at no costs to Seller, to sign as Owner of the Property, with Buyer as
Petitioner. Seller agrees to return the signed documents to Buyer within 3 business days
of any such presentation and request.
4. Within Ten (10) days of execution of this Agreement, Seller shall provide Buyer with
copies of any title insurance policies, title opinions, surveys, wetlands delineations or
surveys, soil studies, and environment reports of any kind related to the subject property.
5. Buyer agrees to work with Seller and Seller's designated engineering firm, Stroud
Engineering, to design the water and sewer for the Subject tract in such a fashion as to
reasonably and practically serve the future needs of Seller for its related land holdings
consisting of approximately 300 acres. Seller will be responsible for the differential cost
between the design and installation of water and sewer as compared to the cost if the
water and sewer were being designed and installed only to serve the" Subject Property"
It is contemplated that the sanitary sewer will have to be installed at a greater depth and
pcasibiy a larger pipe size than would otherwise be requirod in order to serve Seller's
remaining land. Likewise, it is contemplated that the water service would have to be
designed with a larger service line than would be required to serve only the "Subject
Property".
Buyer agrees for Seller to have input with these designs and Buyer's consent and
agreement will not be unreasonably withheld.
Any differential cost obligated by Seller shall be paid pro rata as the Buyer pays his site
work contractor for each payment request and each payment request will be submitted on
Form G702 entitled "APPLICATION AND CERTIFICATE FOR PAYMENT' and

6. Contemporan uely with the execution of the Agreement, Buyer shall
deliver to Seller the sum of One Bundred and Ho/100 Dollars ($100.00)
(the "Independent Consideration"), which amount the parties agree
is consideration for Seller's execution and delivery of the Agreement
and for Seller's agreemeatz-to be bound by the provisions of the Agreement.
This Independent Consideratiopr_issin addition to, and independent of,
any other consideration or payment made to Seller notwithstanding any
other provision of the Agreement to the contrary. The Independent
Consideration is non-refundable, shall be retained by Seller even if the
Agreement is terminated, and shall not be applied to the purchase price
at Closing.
7. Buyer's obligations hereunder are conditioned upon: (a) the Property directly abutting Old
Fashioned Way; (b) upon Old Fashioned Way being a public road maintained by the Town of
Newport; (c) upon Old Fashioned Way being at least sixty (60) feet in width and extending
from the boundary of the Property to the unnamed Service Road ("Service Road") shown on
Exhibit A -I; and (d) upon the Service Road being a public road. In the event Old Fashioned
Way and the Service Road are not public roads for their full length from the boundary of the
Property in the location of the entrance to the Property as shown on Exhibit A to U.S.
Highway No. 70, Seller shall own and convey to Buyer at closing, a non-exclusive, perpetual
right of way and easement sixty (60) feet in width for the purposes of ingress, egress, regress,
access, the installation and maintenance of utilities, further subdivision and the right to
dedicate roads to public authorities over said Old Fashioned Way and the Service Road from
the boundary of the Property in the location of the entrance to the Property as shown on
Exhibit A to U.S. Highway No. 70. The Property as defined in Paragraph l (a) of the
Agreement shall include the foregoing easement. In the event of a subsequent dedication by
Buyer to applicable public authorities of the easement described above, Seller agrees to join in
such dedication by Buyer of said easement to public authorities and to perform any upgrades
and maint uired for such dedication and acccvtance.

Seller also and convey to Buyer at closing, a non-exclusive, perpetual right of way
and easement saVA60}-feet in width for the purposes of ingress, egress, regress, access, the
installation and maintenance of utilities, further subdivision and the right to dedicate roads to
public authorities (in the event Seller does not dedicate such easement to public authorities
within twelve months after closing) over that portion of Old Fashioned Way extending
southwardly from the northern line of the Service Road to Nine Foot Road as said Old
Fashioned Way and said easement are shown on Exhibit A-1. The Property as defined in
Paragraph I (a) of the Agreement shall include the foregoing easement. Buyer is not obligated
to maintain said easement or any road in same.
8. The Property as defined in Section 1(a) of the Agreement shall include, and Seller shall
convey to Buyer at closing, a twenty (20) foot wide non-exclusive, perpetual right of way and
easement for the purposes of emergency ingress, egress, regress, and access to and from U.S.
Highway No. 70 in the location shown on Exhibits A and A-1 and depicted thereon as "20'
Secondary Emergency Access to Service Road at Dollar General Store" and "Proposed
Secondary Emergency Access 20'" (hereinafter collectively called "Emergency Access
Road"). Buyer shall pay the cost of placing rock in said Emergency Access Road and
maintaining said Emergency Access Road in an all-weather passable condition from time -to -
time. Buyer agrees to construct and maintain a secure gate arrangement on the Emergency
Access Road with appropriate cautionary signage that prevents ingress and egress except for
fire trucks and other emergency vehicles which would have access to the locking mechanism
on said gate to the end that no parties other than emergency vehicles would be able to pass
through the gate. Buyer's obligations hereunder are conditioned upon the Town of Newport
and all applicable governmental authorities approving said Emergency Access Road without
requiring that it be paved and approving Buyer's construction of 312 apartment units upon the
Property for Buyer's Intended Use based upon the existence of said Emergency Access Road
designed and maintained as above provided. Buyer's obligations hereunder are condition upon
Buyer receiving from the Town of Newport written approval of the use of the Property as

described above based upon the existence of said Emergency Access Road as described,
constructed and maintained in the manner described above.
9. There have been discussions between Buyer and the Town of Newport with respect to the
ability of Buyer to construct 312 apartment units for its httended Use upon the 22.11 acres
shown on Exhibit A. The issue is whether that number of units exceeds the density
restrictions of the Town of Newport. Seller agrees that in the event the Town of Newport
requires that Buyer's site be 25.6 acres in order for Buyer to construct 312 apartment units for
Buyer's Intended Use, Seller will convey to Buyer at closing as part of the Property, the
"shaded" area shown on Exhibit A in addition to the 22.11 acres shown on Exhibit A. In that
event, the shaded area also will be a part of the Property as described in Section I (a) of the
Agreement. The conveyance of the shaded area by Seller to Buyer will be for no additional
consideration.
10. Seller represents that the Agreement has been, and that all instruments executed by Seller to
perform Seller's obligations under the Agreement will be, duly authorized by appropriate
Seller action and are and will be enforceable against Seller in accordance with their terms. At
closing, Seller will provide to Buyer an original or a certified copy of entity resolutions of
Seller executed by all of Seller's members and managers authorizing Seller to sell the Property
on the terms set forth in the Agreement. Such resolutions shall name the party authorized to
execute the closing documents on behalf of Seller.
11. Buyer and Seller have dealt with Chalk and Gibbs (Buff Chalk) as a Broker. Seller agrees to
pay the broker's fee to Chalk and Gibbs (Buff Chalk). Except as set forth above, Buyer and
Seller agree to indemnify and hold each other harmless from any and all claims of brokers by,
through or under the indemnifying party for fees arising out of the sale of the Property to
Buyer. Buyer and Seller represent and warrant to each other that except as to the Broker
specified above, they have not employed any broker to be involved in this transaction.
12. Seller will have prepared and pay the cost of a survey of all of the Property and the production
of a plat thereof, including the 22.11 acre tract, the shaded area referred to in Paragraph 9
hereof, and the easement, Old Fashioned Way and the Service Road as described in
Paragraph 7 hereof to the extent that they are not a public road. Buyer will pay for the portion
of the cost of the survey which relates to describing the Emergency Access Road described in
Paragraph 8 hereof. The survey will be provided to Buyer on or prior to thirty (30) days after
the last party executes the Agreement. In the event the Town of Newport regulations so
require, Seller will obtain any required approval for the Property to be subdivided and
conveyed to Buyer.
13. Seller shall own and the Property will be conveyed together with and subject to a non-
exclusive, perpetual easement twenty (20) feet in width (except said easement shall be twenty-
seven (27) feet in width at the triangular area depicted as "X" on Exhibit A-1 and located north
of the area depicted as "Possible Gap") in, to and over the "Proposed 20' Drainage Easement"
as same is shown on Exhibit A-1 from the Property to Penny Road (Howard Road). That
easement is for the benefit of the Property and the Cove Condominium property. That
easement is for the purposes of drainage and includes the right to construct, maintain, pipe and
repair ditches and pipes located within said drainage easement. The benefit of the drainage
easement to the Property is a part of the Property as described in Paragraph 1(a) of the
Agreement.
14. Buyer's rights in this Agreement may be assigned.
15. The date upon which the last party signs this Agreement shall be the date set forth beside the
initials of the parties as shown below.

I. General Information
Compass Landing Apartment Homes located off Old Fashion Way in Newport,
Carteret County is a 22.1 acre tract. The wetlands have been delineated and approved by
the U.S Army Corps of Engineers (please see attached wetlands plat). This tract is being
proposed as a three hundred and twelve (312) unit multi -family apartment project
associated parking, club house and pool. There are thirteen (13) three-story building each
with twenty-four (24) units.
The project is to be serviced by the Town of Newport for both water and sewer. Access
to the project via state or town roads, therefore construction across other property is not
necessary or proposed.
II. Stormwater Information
The project is located within the White Oak River basin and currently drains southerly
to the Newport River, Class C, Index 06/01/56 21-(1). This project is being submitted as a
high density residential commercial project under the current Coastal Stormwater Rules
Stormwater will be treated by a wet detention pond to 90% TSS.
III. Erosion and Sedimentation Control Measures
The following measures are proposed for the site. If it becomes evident that additional
erosion and sedimentation control measures are needed, they shall be installed
immediately It is intended that all grading and excavation activities within a certain area
will be protected as soon as that activity is complete
1. Sediment Fence — Sediment fence will be utilized as necessary in locations as shown on
plans or as deemed necessary by the engineer to insure that off -site sedimentation is
controlled.
2. Seeding — All disturbed areas will be seeded within 14 days following construction in
accordance with the seeding schedule shown on the plans.
3. Stone Construction Entrance — Stone construction entrance will be used to reduce
transport of sediment off site
4. Sediment Basins- The detention pond to be constructed will serve as a sediment basin
during construction. This project requires a storage sediment rate at 3600 cf/acre of
disturbance and required surface area is based on the 10-year storm. Sediment volume
from the earth disturbing activities draining to the pond is estimated to be 68,400 cubic
feet based on 19.0 acres of disturbance. The forebay will have 24,527 cf and the main
basin 129,880 cf of sediment storage capability totaling 154,508 cf exceeding the
required volume. The surface area required of 18,142 sf is also exceeded providing a
total surface area of 24,550 sf. Upon completion and stabilization of project the pond
shall be cleaned to the original design depth.
IV. Maintenance Plan
1. All erosion and sediment control measures shall be checked for stability and effective
operations following every runoff producing rainfall event or at least once per week
Repairs required shall be completed immediately to the dimension and functions
indicated on the plans.
2. Sediment shall be removed form behind the sediment fencing when it becomes 0 5 feet
deep at the fence. The fence shall be replaced or repaired as necessary to maintain a
barrier.
3 All seeded areas shall be fertilized, seeded and mulched within 14 calendar days of
disturbance. Disturbed areas shall be fertilized, reseeded and mulched as necessary
according to the Contract documents to establish and maintain a dense vegetative
cover
V. Construction Sequence --

1. Remove and/or relocate existing obstructions.
2. Install gravel construction entrance and silt fencing at specified locations.
3. Complete clearing and grubbing operations.
4. Excavate, rough grade and temporarily see stormwater detention basin.
5. Rough grade parking areas and begin preparation of building sites.
6. Seed and mulch all areas of disturbance not to be paved within 14 days of land
disturbance.
7. Install drop inlets and storm drainage piping with sedimentation control measures.
8. Install utilities.
9. Fine grade drive and parking area and place stone base course.
10. Construct buildings.

12. Perform final grading, see and mulch all remaining disturbed areas
13. Remove accumulated sediment from stormwater detention basin and perform final
grading of basin.
14. Install wet detention basin vegetation as specified on pond landscaping plan.
VI. Design Assumptions
1. Design storm is ten years for both culvert design and sediment control
2. The rational method was used for the design.
