on September 7, 2006 Staff review of the plans and specifications has determined that the project, as proposed, will comply with the Stormwate� Regulations set forth in Title 15A NCAC 2H 1000 We are limited to 115,658 square feet and is included in the 309 134 square feet of impervious area draining to the wet detention pond 4 All stormwater collection and treatment systems must be located in either dedicated common areas or recorded easements The final plats for the project will be recorded showing all such required easements in accordance with the approved plans 5 The runoff from all constructed in its entirety vegetated and operational for its intended use prior to the construction of any built -upon surface 2 During construction erosion shall be kept to a minimum and any eroded areas of the system will be repaired immediately 3 The permittee shall at all times provide the operation and maintenance necessary to assure the permitted stormwater system functions at optimum efficiency The approved Operation and Maintenance Plan must be followed in its entirety and maintenance must occur at the scheduled intervals including but not limited to a Semiannual scheduled inspections (every 6 months) b Sediment removal c Mowing and revegetation of slopes and the vegetated filter d Immediate repair of eroded areas e Maintenance of all slopes in accordance with approved plans and specifications f Debris removal and unclogging of outlet structure orifice device flow spreader catch basins and piping g Access to the outlet structure must be available at all times Page 3 of 7 State Stormwater Management Systems Permit No SW8 060842 4 Records of maintenance activities must be kept and made available upon request to authorized personnel of DWQ The records will indicate the date activity name of person performing the work and what actions were taken 5 Decorative spray fountains will be allowed in the stormwater treatment system subject to the following criteria a The fountain must draw its water from less than 2 below the permanent pool surface b Separated units, where the nozzle pump and intake are connected by tubing may be used only if they draw water from the surface in the deepest part of the pond c The falling water from the fountain must be centered in the pond away from the shoreline d The maximum horsepower for a fountain in this pond is 1/4 horsepower 6 The facilities shall be constructed as shown on the approved plans This permit shall become voidable unless the facilities are constructed in accordance with the conditions of this permit the approved plans and specifications and other supporting data 7 Upon completion of construction prior to issuance of a Certificate of Occupancy and prior to operation of this permitted facility, a certification must be received from an appropriate designer for the system installed certifying that the permitted facility has been installed in accordance with this permit the approved plans and specifications and other supporting documentation Any deviations from the approved plans and specifications must be noted on the Certification A modification may be required for those deviations 8 If the stormwater system was used as an Erosion Control device it must be restored to design condition prior to operation as a stormwater treatment device and prior to occupancy of the facility 9 Access to the stormwater facilities shall be maintained via appropriate easements at all times 10 The permittee shall submit to the Director and shall have received approval for revised plans specifications and calculations prior to construction for any modification to the approved plans, including but not limited to those listed below a Any revision to any item shown on the approved plans including the stormwater management measures built -upon area details etc b Project name change c Transfer of ownership d Redesign or addition to the approved amount of built -upon area or to the drainage area e Further subdivision acquisition lease or sale of all or part of the project area The project area is defined as all property owned by the permittee for which Sedimentation and Erosion Control Plan approval or a CAMA Major permit was sought f Filling in, altering or piping of any vegetative conveyance shown on the approved plan 11 The permittee shall submit final site layout and grading plans for any permitted future areas shown on the approved plans prior to construction 12 A copy of the approved plans and specifications shall be maintained on file by the Permittee for a minimum of ten years from the date of the completion of construction Page 4 of 7 State Stormwater Management Systems Permit No SW8 060842 13 The Director may notify the permittee when the permitted site does not meet one or more of the minimum requirements of the permit Within the time frame specified in the notice the permittee shall submit a written time schedule to the Director for modifying the site to meet minimum requirements The permittee shall provide copies of revised plans and certification in writing to the Director that the changes have been made III GENERAL CONDITIONS This permit is not transferable except after notice to and approval by the Director In the event of a change of ownership or a name change the permittee must submit a formal permit transfer request to the Division of Water Quality accompanied by a completed name/ownership change form documentation from the parties involved and other supporting materials as may be appropriate The approval of this request will be considered on its merits and may or may not be approved The permittee is responsible for compliance with all permit conditions until such time as the Division approves the transfer request 2 Failure to abide by the conditions and limitations contained in this permit may subject the Permittee to enforcement action by the Division of Water Quality in accordance with North Carolina General Statute 143-215 6A to 143-215 6C 3 The issuance of this permit does not preclude the Permittee from complying with any and all statutes rules regulations or ordinances which may be imposed by other government agencies (local state and federal) having jurisdiction 4 In the event that the facilities fail to perform satisfactorily including the creation of nuisance conditions the Permittee shall take immediate corrective action including those as may be required by this Division such as the construction of additional or replacement stormwater management systems 5 The permittee grants DENR Staff permission to enter the property during normal business hours for the purpose of inspecting all components of the permitted stormwater management facility 6 The permit may be modified revoked and reissued or terminated for cause The filing of a request for a permit modification revocation and reissuance or termination does not stay any permit condition 7 Unless specified elsewhere permanent seeding requirements for the stormwater control must follow the guidelines established in the North Carolina Erosion and Sediment Control Planning and Design Manual 8 Approved plans and specifications for this project are incorporated by reference and are enforceable parts of the permit 9 The permittee shall notify the Division any name ownership or mailing address changes within 30 days Permit Highway West in Calabash, North Carolina The proposed development on the site consists of mim-storage buildings, roads and parking areas, and the installation of water and sewer to serve the business requirements The site is currently undeveloped and consists of sparsely wooded areas with sandy topsoil with elevations ranging around 34 MSL The site will be graded to meet the proposed plans Construction is scheduled to begin as soon as all permits and approvals are obtained STORMWATER MEASURES The stormwater runoff from the site is estimated using the rational method The site is not located near SA waters, thus the first inch (1") of rainfall is accounted for in the design The stormwater will be directed to an on -site wet detention pond via a stormwater collection system EROSION CONTROL MEASURES A graveled construction entrance and silt fencing will be installed prior to any disturbance to prevent significant amounts of sediment from leaving the site These measures should be sufficient during the clearing and grubbing phase, and the installation of the stormwater detention pond The proposed stormwater pond maybe utilized for sediment storage during rough grading of the site After construction of the stormwater collection system, block and gravel inlet protection will be installed around the catch basins The block and gavel inlet protection may be used for sediment storage during final grading of the site These measures shall be inspected regularly, and the accumulated sediment removed to prevent the conveyance of sediment to any off -site areas The primary additional membership interests without the consent of all Members ARTICLE FIVE ACCOUNTING Section 5 1 Books and Records At all times during the continuation of the Company, the Members shall keep or cause to be kept true and full books of account and all other records necessary for recording the Company's business and affairs The books of the Company shall be maintained on the cash (accrual if required by federal tax law) basis and in accordance with Treasury Regulations Section 1 704-1(b) et seq , as amended Such books of account shall be maintained at all times at the principal office of the Company, and such books of account and records shall be open to the inspection and examination of any member in person, or by his duly authorized representative, at all reasonable times Section 5 2 Fiscal Year. provision of this Article Seven, if there is a net decrease in Company minimum gain during any fiscal year or other period, prior to any other allocation pursuant hereto, each Member shall be specially allocated items of Company income and gain for such year (and, if necessary, subsequent years) in an amount and manner required by Treasury Regulation Section 1 704-2(f) or Section 1 704-2(1) The items to be so allocated shall be determined in accordance with Treasury Regulations Section 1704-2 (b) Qualified Income Offset An_y Member who unexpectedly received as ad3ustment, allocation or distribution described in Regulations Section 1 704-1(b)(2)(ii) (5) or (6) that causes or increases a negative balance in his capital account (in excess of any amount that Member is obligated to restore) shall be allocated items of income and gain sufficient to eliminate such increase or negative balance caused thereby, as quickly as possible, to the extent required by such Treasury Regulation (c) Gross Income Allocation In the event any Member has a deficit capital account at the end of any Company fiscal year which is in excess of the sum of (i) the amount such Member this Section 7 2(d), such allocation shall be made to the other Member(s) entitled to receive such allocation hereunder (e) Curative Allocations Any allocations of items of income, gain or loss pursuant to Sections 7 2(a)-(d) hereof shall be taken into account in computing subsequent allocations pursuant to this Article 7, so that the net amount of any items so allocated and the income, losses, and other items allocated to each Member pursuant to this Article 7, shall to the extent possible be equal to the net amount that would have been allocated to eacn Member had no allocations with respect to any property contributed to the capital of the Company shall, solely for tax purposes, be allocated among the Mempers so as to take account of any variation between the adjusted basis of such property to the Company for federal income tax purposes and its fair market value at the time of its contribution Allocations pursuant to this Section 7 2(g) are solely for purposes of federal, stated, and local taxes and shall not affect, or in any way be taken into account in computing, any Member's capital account or share of income, losses, other items, or distributions pursuant to any provision of this Agreement kPTICLT EIGPT DISTRIBUTIONS Sectior 8 1 Cash Flow D str-outions (a) The net cash f!ok of the Combanv snail ne d-stributed to the Memoers at such times and in sucn amounts as determined by Memoers owning a maDority of the Profit- sharing Percentages, provided, nowever, that the Company snail distribute amounts to the Members annually (pro -ata in accordance with their respective Profit -snaring Percentages) at least sufficient for the Members to pay their federal ana state income taxes on their shares of Company income, as determined in good faith by the company accountant All cash flow d-stributions shall be in proportion to the Member's Profit-sharing Percentages unless all Members otherwise consent (b) In the case of the liquidation or termination of the Company, distributions shall be made in accordance with Section 10 1 nereof ARTICLE NINE POWERS, RIGHTS AND DOTIES OF THE MEMBERS Section 9 1 Management Except as herein expressly provided to the contrary, all aecisions affecting the business of the Company shall be made by Members owning a majority of the Profit-sharing Percentages The Members shall manage and control the affairs of the Company in a prudent and reasonable manner to carry out the business of the Company set forth herein Section 9 2 Powers A Member, acting with the consent of the owners of a maDority of the Profit-sharing Percentages, shall have the authority to (a) negotiate, enter into, and execute leases and contracts, and to incur obligations for and on behalf of the Company in connection with the business of the Company, (b) borrow money for and on behalf of the Company in connection with the Company's business and to pledge the credit and property of the Company for such purposes, (c) execute on behalf of the Company any and all documents or instruments that are appropriate in carrying out the purposes of the Company, and, (d) cause all things to be done on behalf of the Company appropriate to accomplish the Company purposes Section 9 3 Ma-ior Decisions The Compary shall not take or agree zo take any of the follow-ng actions without the consent of ail of the Members (a) The admissior of anv oerson as a member, (b) Selling, transferring or otherwise disposing of all or substantially all of the Company's assets, (c) Mak-ng capital expenditures exceeding $10,000 in anv one year, or (d) Merging the Company into or w-th anotner limited liability company Section 9 4 Meetings Meetings of the Members shall be held on five (5) days' notice or on such snorter notice as may be mutually agreeable to the Members, on the call of Members owning a majority of the Profit-sharing Percentages Notice of the time and place of each meeting shall be given to each member in writing by the Member or Members calling the meeting Section 9 5 Liability of Members No Member shall be personally liabre, responsible, or accountable in damages or otnerwise to the other Members or to the Company for any acts performed by him within the scope of the authority conferred upon him by this Agreement, except for acts of gross negligence or willful misconduct Tne Company indemnifies and agrees to defend and hold each Member wholly harmless from and against any judgment, fines, amount paid in settlement, expenses (including attorney's fees) and other damages incurred by that Member in any civil, criminal, or investigative proceeding in which he is involved or threatened to be involved by reasons of his being a member in the Company, provided that his gross negligence or willful wrongdoing was not the cause of such expense or damage Section 9 6 Expenses The Company shall reimburse each member for all reasonable expenses, if any, incurred in connection with the organization of this Company and the management and operation of said company No Member shall receive a salary or otherwise be compensated for his personal services to the Company unless such compensation is approved by the owners of a majority of the Profit-sharing Percentages ARTICLE TEN DISTRIBUTIONS UPON DISSOLUTION Section 10 1 Distribution of Net Proceeds Uoon Dissolution Upon the sale of substantially all of the property of the Company, or upon termination of the Company, distribution of the net proceeds of such sale or the distributable proceeds of liquidation shall be distributed to the Members in the following priority (a) First, in repayment of all loans, and a'_1 _nterest accrued thereon, from Members to the Company, (b) Second, to the Members it accoraance pith tneir tnen cap-tal account balances (after reflect�na the gain or loss on any such sale and any net profit or net loss and all otner capital account adjustments for sucn year in the capital accounts in accordance with Article VI hereof) ARTICLE ELEVEN WITHDRAWAL OF P MEMB--R Section 11 1 Withdrawal of a Member A Member shall not voluntarily withdraw from the Company ARTICLE TWELVE TRANSFER OF A COMPANY INTEREST Section 12 1 Sale of Interest of a Member P Member may not sell or transfer all or any part of his Company interest except on the following conditions (a) The Company interest of the selling Member shall first be offered in writing (which writing includes the identity of the proposed purchaser) to the other Members to purchase pro rate based on their Profit- sharing Percentages or otherwise by agreement of such other Members, at the price and on the terms at whicn it is proposed to be sold and the other Members shall have a period of thirty (30) days to ether re]ect the offer or accept the offer with respect to the whole Company interest offered If any Member does not elect to purchase his pro rata portion of the offered interest, the Members electing to purchase shall acquire such portion pro rata based on their Profit- sharing Percentages (b) If the Company interest offered by the selling Member is not purchased by the other Members, then the selling Member may sell such interest to a third person or third persons during the three (3) month period following the expiration of the thirty (30) day period referred to in subsection (a) above, but at a price and on terms no more favorable than the price and terms offered to the other Members After the expiration of the three (3) month period, no portion of the Company interest of the selling Member shall be sold without first being reoffered in accordance with subsection (a) above (c) Notwithstanding the foregoing, a Member may, upon notice to the other Members, freely transfer his Company interest, or any portion thereof, to a member of his immediate family By "immediate family" it is meant such Member's spouse, ch_ldren, granach_ldren, parents, or the trustee of a trust solely for the oenefrt of sucn persons The transferee of the Company _nterest of a Member shall be subject to all the terms, conditions, restrictions, and obllaat-ons of tnis Agreement, inciva_ng the provisions of this Article For purposes of apblying Section-4 3 hereof, the original Member who made a transfer pursuant to tnis Section 12 2(c) snail be treatea as continuing to own the transferred interest (d) Any assignment (including, w_thout limitation, anv transfer or sale of a Member's interest permissible unaer Section 12 l(c)) shall be effective to give the assignee only the right to receive the share of income, losses, and distributions to which the assignor would otherwise be entitled and shall not be effective to constitute the assignee as a "Substitute Member" An assignee wno does not become a Substitute Member snail have no vct-ng rights, no right to examine Company books and records, and no other rights of any kind wnatsoever except as described in the preceding sentence Any assignee of the interest of a Member shall be admitted as a Substitute Member of the Company only after the following conditions are satisfied (L) all of the Members, other than the assignor, consent in writing to the admission of the assignee as a Substitute Member, (ii) the duly executed and acknowledaed written instrument of assignment has been filed with the Company, setting forth the intention of the assignor that the assignee become a Substitute Member, (iii)the assignee has consented in writing in a form satisfactory to the Member, other than the assignor, to be bound by all of the terms of this Agreement in the place and stead of the assignor, (iv) the assignor and assignee have executed and acknowledged such other instruments as the Members may deem necessary or desirable to effect such admission Any assignee of a Company interest who does not become a Substitute Member and desires to make a further assignment of such Company shall be subject to all the provisions of this Article Twelve to the same extent and in the same manner as any Member desiring to make an assignment of his interest (e) Any sale or transfer or purported sale or transfer of the Company interest of the selling member shall be null and void unless made strictly in accordance with the provisions of this Article The transferee of the Company interest of the selling Member, whether a Subs:_tute Member or not, snail be sup3ect to all provision of this Agreement to the contrary, no interest in the Company may be transferred unless (i) such transfer will not cause a termination of the Company for federal tax purposes within the meaning of Section 708 of the Code, and (ii) such interest is registered under the applicable federal and state securities laws and regulations or the Company is furnished witn an opinion of counsel (at the transferor's expense) satisfactory to the Members that such registration is not required, and (iii) the Members determine that such transfer will not adversely affect the Company Section 12 a Death or Bankruptcy Upon the death or bankruptcy of a Member, the Company shail have the option of purchasing such deceased or bankrupt Member's entire interest _n the Company for an amount equal to such deceased or bankrupt Member's capital account balance at the time of his death or bankruptcy The Company shall make such election only with the consent of all Members other than the deceased or bankrupt Member or his successors Notice of the exercise of such option must be provided to the deceased or bankrupt Member or his successors within sixty (60) days of the other Members learning of such event The purchase price must be tendered to the deceased or bankrupt Member or his successors within thirty (30) days after the end of such sixty-day period For purposes of this Section, "bankruptcy", shall mean the commencement of proceedings by or against a member under any insolvency, bankruptcy, creditor adDustment, or debtor rehabilitation law, which proceeding is not dismissed within sixty days from the date of its commencement ARTICLE THIRTEEN DISSOLUTION AND TERMINATION OF THE COMPANY Section 13 1 Right to Dissolve the Company No individual Member shall have the right to cause a dissolution of the Company Section 13 2 Events of Dissolution The Company shall be dissolved (a) upon the mutual consent of all members, or (b) upon the sale by the Company of all its right, title and interest in and to all or substantially all its assets and the receipt by the Company of the purchase price in full, or (c) in any event at midnight on the 31st day of December 2056 Section 13 3 Windinq-Up the Company In the event of a dissolution of the Company, a reasonable time shall be allowed for the oraerly liqu-dation of the assets of the Compan} and the discharge of 1-ab-titles to creditors so as to enable the Members to minrm�ze the normal losses attendant upon a lioaidation The Members shall cortinue to share profits or losses during the 1-quidation in the same proportion as before dissolution The proceeds from liquidation of Company assets snali be applied as follows (a) pavment to creditors of the Company, other tnan Members, in the order of priority provided by law, and the establishmenz of a reserve for any unforseen liabilities or obligations, and (b) in accordance with Section 10 1 hereof ARTICLE FOURTEEN MISCELLANEOUS Section 14 1 Notices All notices or other communications required or permitted to be given pursuant to this Agreement snall be in writing and shall be mailed by first-class mail, certified or registered, postage prepaid, to the address of the Members as set forth herein Any Member may change its address by giving notice in writing stating its new address to the otner Members Section 14 2 Amendments This Agreement may not be modified or amended except with the written consent of all Members Section 14 3 Captions The captions and headings as used in this Agreement are used for convenience and reference only, and do not constitute substantive matter to be considered in construing the terms of this Agreement Section 14 A Variations in Pronouns All personal pronouns used in this Agreement, whether used in masculine, feminine, or neuter gender, shall include all other genders, singular shall include plural, and vice versa, and shall refer solely to the parties signatory thereto except where otherwise specifically provided Section 14 5 Cumulative Remedies Each right, power, and remedy provided for herein or now or hereafter existing at law, in equity, by statute, or otherwise shall be cumulative and concurrent and shall be in addition to every other right, power, or remedy provided for herein or now or hereafter existing at law, in equity, by statute, or otherwise Section 14 6 Applicable Law This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina Section 14 7 Entire Agreement This Agreement is the entire agreement among the parties with respect to the subDect
