The Wilmington Regional Office received a complete Stormwater Management Permit
Application for Plantation Storage on September 7, 2006 Staff review of the plans and
specifications has determined that the project, as proposed, will comply with the Stormwate�
Regulations set forth in Title 15A NCAC 2H 1000 We are forwarding Permit No SW8 060842
dated October 6, 2006, for the construction of the subject protect
This permit shall be effective from the date of issuance until October 6 2016, and shall be
subject to the conditions and limitations as specified therein Please pay special attention to
the Operation and Maintenance requirements in this permit Failure to establish an adequate
system for operation and maintenance of the stormwater management system will result in
future compliance problems
If any parts requirements, or limitations contained in this permit are unacceptable you have
the right to request an adtudicatory hearing upon written request within sixty (60) days
following receipt of this permit This request must be in the form of a written petition,
conforming to Chapter 150E of the North Carolina General Statutes and filed with the Office of
Administrative Hearings P O Drawer 27447, Raleigh NC 27611-7447 Unless such demands
are made this permit shall be final and binding

This permit shall be effective from the date of issuance until October 6, 2016, and shall
be subject to the following specified conditions and limitations
I DESIGN STANDARDS
This permit is effective only with respect to the nature and volume of stormwater
described in the application and other supporting data
2 This stormwater system has been approved for the management of stormwater
runoff as described in Section 16 on page 3 of this permit The stormwater
control has been designed to handle the runoff from 309 134 square feet of
impervious area
3 The tract will be limited to the amount of built -upon area indicated on page 3 of
this permit and per approved plans The built -upon area for the future
development is limited to 115,658 square feet and is included in the 309 134
square feet of impervious area draining to the wet detention pond
4 All stormwater collection and treatment systems must be located in either
dedicated common areas or recorded easements The final plats for the project
will be recorded showing all such required easements in accordance with the
approved plans
5 The runoff from all built -upon area within the permitted drainage area of this
project must be directed into the permitted stormwater control system

1 The stormwater management system shall be constructed in its entirety
vegetated and operational for its intended use prior to the construction of any
built -upon surface
2 During construction erosion shall be kept to a minimum and any eroded areas of
the system will be repaired immediately
3 The permittee shall at all times provide the operation and maintenance
necessary to assure the permitted stormwater system functions at optimum
efficiency The approved Operation and Maintenance Plan must be followed in
its entirety and maintenance must occur at the scheduled intervals including but
not limited to
a Semiannual scheduled inspections (every 6 months)
b Sediment removal
c Mowing and revegetation of slopes and the vegetated filter
d Immediate repair of eroded areas
e Maintenance of all slopes in accordance with approved plans and
specifications
f Debris removal and unclogging of outlet structure orifice device flow
spreader catch basins and piping
g Access to the outlet structure must be available at all times

4 Records of maintenance activities must be kept and made available upon
request to authorized personnel of DWQ The records will indicate the date
activity name of person performing the work and what actions were taken
5 Decorative spray fountains will be allowed in the stormwater treatment system
subject to the following criteria
a The fountain must draw its water from less than 2 below the permanent
pool surface
b Separated units, where the nozzle pump and intake are connected by
tubing may be used only if they draw water from the surface in the
deepest part of the pond
c The falling water from the fountain must be centered in the pond away
from the shoreline
d The maximum horsepower for a fountain in this pond is 1/4 horsepower
6 The facilities shall be constructed as shown on the approved plans This permit
shall become voidable unless the facilities are constructed in accordance with
the conditions of this permit the approved plans and specifications and other
supporting data
7 Upon completion of construction prior to issuance of a Certificate of Occupancy
and prior to operation of this permitted facility, a certification must be received
from an appropriate designer for the system installed certifying that the permitted
facility has been installed in accordance with this permit the approved plans and
specifications and other supporting documentation Any deviations from the
approved plans and specifications must be noted on the Certification A
modification may be required for those deviations
8 If the stormwater system was used as an Erosion Control device it must be
restored to design condition prior to operation as a stormwater treatment device
and prior to occupancy of the facility
9 Access to the stormwater facilities shall be maintained via appropriate
easements at all times
10 The permittee shall submit to the Director and shall have received approval for
revised plans specifications and calculations prior to construction for any
modification to the approved plans, including but not limited to those listed
below
a Any revision to any item shown on the approved plans including the
stormwater management measures built -upon area details etc
b Project name change
c Transfer of ownership
d Redesign or addition to the approved amount of built -upon area or to the
drainage area
e Further subdivision acquisition lease or sale of all or part of the project
area The project area is defined as all property owned by the permittee
for which Sedimentation and Erosion Control Plan approval or a CAMA
Major permit was sought
f Filling in, altering or piping of any vegetative conveyance shown on the
approved plan
11 The permittee shall submit final site layout and grading plans for any permitted
future areas shown on the approved plans prior to construction
12 A copy of the approved plans and specifications shall be maintained on file by
the Permittee for a minimum of ten years from the date of the completion of
construction

13 The Director may notify the permittee when the permitted site does not meet one
or more of the minimum requirements of the permit Within the time frame
specified in the notice the permittee shall submit a written time schedule to the
Director for modifying the site to meet minimum requirements The permittee
shall provide copies of revised plans and certification in writing to the Director
that the changes have been made
III GENERAL CONDITIONS
This permit is not transferable except after notice to and approval by the Director
In the event of a change of ownership or a name change the permittee must
submit a formal permit transfer request to the Division of Water Quality
accompanied by a completed name/ownership change form documentation
from the parties involved and other supporting materials as may be appropriate
The approval of this request will be considered on its merits and may or may not
be approved The permittee is responsible for compliance with all permit
conditions until such time as the Division approves the transfer request
2 Failure to abide by the conditions and limitations contained in this permit may
subject the Permittee to enforcement action by the Division of Water Quality in
accordance with North Carolina General Statute 143-215 6A to 143-215 6C
3 The issuance of this permit does not preclude the Permittee from complying with
any and all statutes rules regulations or ordinances which may be imposed by
other government agencies (local state and federal) having jurisdiction
4 In the event that the facilities fail to perform satisfactorily including the creation
of nuisance conditions the Permittee shall take immediate corrective action
including those as may be required by this Division such as the construction of
additional or replacement stormwater management systems
5 The permittee grants DENR Staff permission to enter the property during normal
business hours for the purpose of inspecting all components of the permitted
stormwater management facility
6 The permit may be modified revoked and reissued or terminated for cause The
filing of a request for a permit modification revocation and reissuance or
termination does not stay any permit condition
7 Unless specified elsewhere permanent seeding requirements for the stormwater
control must follow the guidelines established in the North Carolina Erosion and
Sediment Control Planning and Design Manual
8 Approved plans and specifications for this project are incorporated by reference
and are enforceable parts of the permit
9 The permittee shall notify the Division any name ownership or mailing address
changes within 30 days

IV DEED RESTRICTIONS AND PROTECTIVE COVENANTS
The following italicized deed restrictions and protective covenants are required to be recorded for all
subdivisions, outparcels and future development prior to the sale of any lot If lot sizes vary significantly, a table
listing each lot number, size and the allowable built -upon area for each lot must be provided as an attachment
1 The following covenants are intended to ensure ongoing compliance with state stormwater management permit
number as issued by the Division of Water Quality These covenants may not
be changed or deleted without the consent ofthe State
2 No more than square feet of any lot shall be covered by structures or impervious materials
Impervious materials include asphalt gravel concrete brick stone slate or similar material but do not include wood
decking or the water surface of swimming pools
3 Swales shall not be filled in piped or altered except as necessary to provide driveway crossings
4 Built -upon area in excess of the permitted amount requires a state stormwater management permit modification prior to
construction
5 All permitted runofffrom outparcels or future development shall be directed into the permitted stormwater control
system These connections to the stormwater control system shall be performed in a manner that maintains the integrity
and performance of the system as permitted

The Wilmington Regional Office received a Stormwater Management Permit Application for
Plantation Storage on August 15, 2006 A preliminary review of that information has
determined that the application is not complete The following information is needed to
continue th stormwater review
Please configure the pond s inlet pipe discharge invert elevation at or above the
maximum sediment elevation (currently 27 25 ) and provide inlet protection
Please change the trash guard on the outlet structure to 4 on center
3 / Please add a note to Sheet #C4 for the outlet structure detail that a pump will be
/ provided to draw down the pond in emergencies or for maintenance
Please note that this request for additional information is in response to a preliminary review
The requested information should be received by this Office prior to September 11, 2006, or
the application will be returned as incomplete The return of a protect will necessitate
resubmittal of all required items, including the application fee
If you need additional time to submit the information, please mail or fax your request for a time
extension to the Division at the address and fax number at the bottom of this letter The
request must indicate the date by which you expect to submit the required information
The construction of any impervious surfaces, other than a construction entrance under

Please find below remedies to the comments on the stormwater plan submitted for Plantation
Storage
1 Please configure the pond's inlet pipe discharge invert elevation at or above the maximum

The bottom elevation of the forebay is now 25 00 ft, with a sediment removal elevation
of 26 50 ft The invert elevation of the pond's inlet pipe is 26 29 ft, just below the
required maximum sediment elevation Per your phone conversation with Elizabeth
Nelson of our firm, this proposed inlet pipe configuration should be satisfactory Also,
inlet protection is unnecessary because the inlet pipe is completely submerged in water
2 Please change the trash guard on the outlet structure to 4' on center
The pond outlet structure detail has been modified so that the trash guard rebar is
located 4" on center
3 lease add a note to Sheet # C4 for the outlet structure detail that a pump will be provided to
draw down the pond in emergencies or for maintenance

The following statement was added to the pond outlet structure detail "The basin may
be drained by removal of the 4" PVC plug in the outlet structure or by means of a gas
powered mud hog -type pump "

PROJECT NARRATIVE
for
Plantation Storage
Calabash, Brunswick County, NC
The site is an 8 87-acre tract located on Ocean Highway West in Calabash, North Carolina The proposed
development on the site consists of mim-storage buildings, roads and parking areas, and the installation of water
and sewer to serve the business requirements The site is currently undeveloped and consists of sparsely
wooded areas with sandy topsoil with elevations ranging around 34 MSL The site will be graded to meet the
proposed plans Construction is scheduled to begin as soon as all permits and approvals are obtained
STORMWATER MEASURES
The stormwater runoff from the site is estimated using the rational method The site is not located near SA
waters, thus the first inch (1") of rainfall is accounted for in the design The stormwater will be directed to an
on -site wet detention pond via a stormwater collection system
EROSION CONTROL MEASURES
A graveled construction entrance and silt fencing will be installed prior to any disturbance to prevent significant
amounts of sediment from leaving the site These measures should be sufficient during the clearing and
grubbing phase, and the installation of the stormwater detention pond The proposed stormwater pond maybe
utilized for sediment storage during rough grading of the site After construction of the stormwater collection
system, block and gravel inlet protection will be installed around the catch basins The block and gavel inlet
protection may be used for sediment storage during final grading of the site These measures shall be inspected
regularly, and the accumulated sediment removed to prevent the conveyance of sediment to any off -site areas
The primary permanent erosion control measures that will remain after the temporary measures are removed
will be permanent grassing

between JENNING8 D EDGE and BETT`' JO EDGE,(referred to
collectively as the "Members," and sometimes individually as
"Member")
BACKGROUND STATEMENT
It is the mutual desire of the parties hereto to operate a
limited liability company under the laks of North Carolina to
engage in the investment of real estate
STATEMENT OF AGREEMENT
NOW, THEREFORE, in consideration of the prem_ses and of the
mutual covenants and conditions herein contained, the parties
hereto agree to operate a limited liability company under the
laws of the State of North Carolina, pursuant to the following
terms and conditions
ARTICLE ONE
FORMATION, NAME AND PRINCIPAL OFFICE
Section 1 1 Formation The members hereby organize a
limited liability company (the "Company") in accordance with and
pursuant to the Limited Liability Company Act of the State of

DURATION OF THE COMPANY
The Company shall commence on date of the filing of its
articles of organization in the office of the Secretary of State
of North Carolina and shall continue until 31 December 2056
unless sooner terminated as hereinafter provided
ARTICLE FOUR
CAPITAL AND CONTRIBUTIONS
Section a 1 Capital The capital of the Company shall be
the aggregate amount of the capital contributions made to it by
the Members
Section a 2 Initial Contributions Upon execution of this
Agreement and the commencement of the Company, the Members shall
make initial capital contributions to the Company, the nature and
value of which shall be as set forth in Exhabit A attached hereto
and incorporated herein All capital contributions other than
cash shall be valued at their fair market values as of the date
of contribution
Section 4 3 Additional Capital Except as provided in
Section 4 4 hereof, no Member shall be obligated to make
additional capital contributions to the Company unless the
Company is unable to borrow funds on reasonable terms necessary
for it to operate in its normal manner, as determined in good
faith by Members owning a ma3ority of the Profit-sharing
Percentages (as hereinafter defined) in such case, the
necessary funds shall be contributed by the Members pro rats
based on their respective Profit-sharing Percentages If a
Member fails to make a required capital contribution within
thirty days after notice thereof from the other Members, then the
Company may pursue collection thereof by all legal means as an
obligation owing to the Company wn_cn obligat_ons shail bear
interest at the maximum legal rate of interest from the pate of
written notice ana shall include all costs of such collect-oni
including legal fees
Section 4 4 Restoration of Neaative Capital Account
Balances Upon Liau_dau on If a Member nas a aeficit balance _n
his capital account upon liquidation of the Company or of such
Member's Company _nterest (after taking into account all capital
account adjustments for the Company year during which such
liquidation occurs), such Member shall restore the amount of such
aeficit balance to the Company upon the earlier of (a) the
liquidation of the Company, (b) the liquidation of such Member's
company interest, or (c) the end of the year during which the
liquidation occurred, all in accordance with Treasury Regulation
Section 1 704-1(b) (2) (ii) (b) (3)
Section 4 5 Loans to the Company The amount of a loan, if
any, made to the Company by a Member shall not be considered a
contribution to the capital of the Company nor shall the making
of such loan entitle such Member to an increased share of the
profits or losses to be made pursuant to the provisions of this
Agreement All such loans shall be aocumented by a promissory
note of the Company and shall bear interest at the rate, and be
subDect to the other terms, agreed to by the lending Member and
the Company
Section 4 6 Admission of Additional Members The Company
shall not issue additional membership interests without the
consent of all Members
ARTICLE FIVE
ACCOUNTING
Section 5 1 Books and Records At all times during the
continuation of the Company, the Members shall keep or cause to
be kept true and full books of account and all other records
necessary for recording the Company's business and affairs The
books of the Company shall be maintained on the cash (accrual if
required by federal tax law) basis and in accordance with
Treasury Regulations Section 1 704-1(b) et seq , as amended
Such books of account shall be maintained at all times at the
principal office of the Company, and such books of account and
records shall be open to the inspection and examination of any
member in person, or by his duly authorized representative, at
all reasonable times
Section 5 2 Fiscal Year. The fiscal year of the Company
shall be the calendar year
Section 5 3 Annual Statements Annual statements of the
operations of the Company shall be prepared, including a balance
sheet, statement of operations, and such supporting statements as
the Members deem relevant

other filings, forms or other information requ-rea by feaeral law
or state taxing and regulatory authorities Tnis information
shall also show each member's d_strrbutrve share of each class of
income, gain, loss or aeduction Tn_s information snall be
furnished to the Members as soon as possible after the close of
the Company's taxable year
Section 5 6 Dispute in the event of a dispute among the
Members with respect to the aetermination of the net cash flow,
net profit, net losses or capital account balances of the
Company, an inaeoendent certified public accountant shall be
engaged by the Company at the Company's expense whose computation
of such items shall be binding upon all the Members
ARTICLE SIX
CAPITAL ACCOUNTS
An individual capital account shall be establishea and
maintained for each Member for the date the Company was formed
Unless otherwise specifically provided herein, all references to
"capital accounts" shall be references to "book" capital accounts
and not "tax" capii�al accounts Book and tax capital accounts
shall be maintained in accordance with Treasury Regulations
Section 1 704-1(b) as those regulations may be amended from time
to time No Member shall De entitled to withdraw any oars of his
capital account or to receive any distributions except as
specifically provided herein No interest shall be paid on any
capital invested in the Company except as expressly provided
herein
The capital account of each Member shall be (i) increased by
his initial and authorized additional capital contributions (at
their fair market values as of the date of contribution) and by
his share of the Company's net profit and items of income which
are either nontaxable or otherwise not taken into account for
federal income tar purposes and (ii) decreased by nis share of
Company net losses, distributions, and items of expense or cost
which are either nondeductible or otnerwise not taken into
account for federal income tax purposes, all unless otherwise
prescribed by Treasury Regulation Section 1 704-1(b), as amended
Z1PTICLE SEVEN
PROFITS AND LOSSES
Section - i In Genera! Tne ne_ oroflt or net loss of the
Company shall oe credited or charged to the Members at the ena of
each calendar year in the following proportions (the "Profit-
sharing Percentages")

The allocation of such items shall be determined for each
calendar years and shall be prorated for any fractional part of a
calendar year For purposes of this Agreement, "net profit" or
"net loss" shall be determined in accordance with the accrual
method of accounting, consistently applied, and as required by
the regulations promulgated under Section 704 of the Code
Section 7 2 Special Pllocations The following special
allocations shall be made in the following oraer and priority
(a) Minimum Charge Gain -Back Notwithstanding any other
provision of this Article Seven, if there is a net
decrease in Company minimum gain during any fiscal
year or other period, prior to any other allocation
pursuant hereto, each Member shall be specially
allocated items of Company income and gain for such
year (and, if necessary, subsequent years) in an
amount and manner required by Treasury Regulation
Section 1 704-2(f) or Section 1 704-2(1) The items
to be so allocated shall be determined in accordance
with Treasury Regulations Section 1704-2
(b) Qualified Income Offset An_y Member who unexpectedly
received as ad3ustment, allocation or distribution
described in Regulations Section 1 704-1(b)(2)(ii)
(5) or (6) that causes or increases a negative
balance in his capital account (in excess of any amount
that Member is obligated to restore) shall be allocated
items of income and gain sufficient to eliminate such
increase or negative balance caused thereby, as quickly
as possible, to the extent required by such Treasury
Regulation
(c) Gross Income Allocation In the event any Member has a
deficit capital account at the end of any Company
fiscal year which is in excess of the sum of (i) the
amount such Member is obligated to restore pursuant to
any provision of this Agreement and (ii) the amount
sucn Members is deemed to be obligated to restore
pursuant to the penultimate sentences of Treasury
Regulation Section 1 704-2(g)(1) and 1 704-2(1)(5),
each such Member shall be specifically allocated items
of Compap\ income and gain �r the amount of such excess
as ouicxl} as poss.oie, provided that an allocatior
pursuant to th-s Section 7 2(c) shall be made only if
and to the extent tnat sucr Memoer would have a deficit
capital account it excess of such sum after all other

(d) Section 704(b) Limitation Notwithstanding any otner
provision of this Agreement to the contrary, no
allocation of any item of income or loss snail be made
to a Member if such allocation would not have "economic
effect" pursuant to Treasury Regulation Section 1 704-
1(p)(2)(ii) or otherwise be in accordance with his
interest in the Company within the meaning of Treasury
Regulation Section 1 704-1(b)(3) and 1 704-2 To the
extent an allocation cannot be made to a Member due to
the application of this Section 7 2(d), such allocation
shall be made to the other Member(s) entitled to
receive such allocation hereunder
(e) Curative Allocations Any allocations of items of
income, gain or loss pursuant to Sections 7 2(a)-(d)
hereof shall be taken into account in computing
subsequent allocations pursuant to this Article 7, so
that the net amount of any items so allocated and the
income, losses, and other items allocated to each
Member pursuant to this Article 7, shall to the extent
possible be equal to the net amount that would have
been allocated to eacn Member had no allocations e-ver
been made pursuant to Section 7 2(a)-(d)
(f) Tax Allocations Code Section 704(c) In accordance
with Code Section 704(c) and the Treasury Regulations
thereunder, income, gain, loss, and deduction with
respect to any property contributed to the capital of
the Company shall, solely for tax purposes, be
allocated among the Mempers so as to take account of
any variation between the adjusted basis of such
property to the Company for federal income tax purposes
and its fair market value at the time of its
contribution Allocations pursuant to this Section
7 2(g) are solely for purposes of federal, stated, and
local taxes and shall not affect, or in any way be
taken into account in computing, any Member's capital
account or share of income, losses, other items, or
distributions pursuant to any provision of this
Agreement

DISTRIBUTIONS
Sectior 8 1 Cash Flow D str-outions
(a) The net cash f!ok of the Combanv snail ne d-stributed
to the Memoers at such times and in sucn amounts as
determined by Memoers owning a maDority of the Profit-
sharing Percentages, provided, nowever, that the
Company snail distribute amounts to the Members
annually (pro -ata in accordance with their respective
Profit -snaring Percentages) at least sufficient for the
Members to pay their federal ana state income taxes on
their shares of Company income, as determined in good
faith by the company accountant All cash flow
d-stributions shall be in proportion to the Member's
Profit-sharing Percentages unless all Members otherwise
consent
(b) In the case of the liquidation or termination of the
Company, distributions shall be made in accordance with
Section 10 1 nereof
ARTICLE NINE
POWERS, RIGHTS AND DOTIES OF THE MEMBERS
Section 9 1 Management Except as herein expressly
provided to the contrary, all aecisions affecting the business of
the Company shall be made by Members owning a majority of the
Profit-sharing Percentages The Members shall manage and control
the affairs of the Company in a prudent and reasonable manner to
carry out the business of the Company set forth herein
Section 9 2 Powers A Member, acting with the consent of
the owners of a maDority of the Profit-sharing Percentages, shall
have the authority to
(a) negotiate, enter into, and execute leases and
contracts, and to incur obligations for and on behalf
of the Company in connection with the business of the
Company,
(b) borrow money for and on behalf of the Company in
connection with the Company's business and to pledge
the credit and property of the Company for such
purposes,
(c) execute on behalf of the Company any and all documents
or instruments that are appropriate in carrying out the
purposes of the Company, and,
(d) cause all things to be done on behalf of the Company
appropriate to accomplish the Company purposes
Section 9 3 Ma-ior Decisions The Compary shall not take or
agree zo take any of the follow-ng actions without the consent of
ail of the Members
(a) The admissior of anv oerson as a member,
(b) Selling, transferring or otherwise disposing of all or
substantially all of the Company's assets,
(c) Mak-ng capital expenditures exceeding $10,000 in anv
one year, or
(d) Merging the Company into or w-th anotner limited
liability company
Section 9 4 Meetings Meetings of the Members shall be
held on five (5) days' notice or on such snorter notice as may be
mutually agreeable to the Members, on the call of Members owning
a majority of the Profit-sharing Percentages Notice of the time
and place of each meeting shall be given to each member in
writing by the Member or Members calling the meeting
Section 9 5 Liability of Members No Member shall be
personally liabre, responsible, or accountable in damages or
otnerwise to the other Members or to the Company for any acts
performed by him within the scope of the authority conferred upon
him by this Agreement, except for acts of gross negligence or
willful misconduct
Tne Company indemnifies and agrees to defend and hold each
Member wholly harmless from and against any judgment, fines,
amount paid in settlement, expenses (including attorney's fees)
and other damages incurred by that Member in any civil, criminal,
or investigative proceeding in which he is involved or threatened
to be involved by reasons of his being a member in the Company,
provided that his gross negligence or willful wrongdoing was not
the cause of such expense or damage
Section 9 6 Expenses The Company shall reimburse each
member for all reasonable expenses, if any, incurred in
connection with the organization of this Company and the
management and operation of said company No Member shall
receive a salary or otherwise be compensated for his personal
services to the Company unless such compensation is approved by
the owners of a majority of the Profit-sharing Percentages
ARTICLE TEN
DISTRIBUTIONS UPON DISSOLUTION
Section 10 1 Distribution of Net Proceeds Uoon Dissolution
Upon the sale of substantially all of the property of the
Company, or upon termination of the Company, distribution of the
net proceeds of such sale or the distributable proceeds of
liquidation shall be distributed to the Members in the following
priority
(a) First, in repayment of all loans, and a'_1 _nterest
accrued thereon, from Members to the Company,
(b) Second, to the Members it accoraance pith tneir tnen
cap-tal account balances (after reflect�na the gain or
loss on any such sale and any net profit or net loss
and all otner capital account adjustments for sucn
year in the capital accounts in accordance with
Article VI hereof)
ARTICLE ELEVEN
WITHDRAWAL OF P MEMB--R
Section 11 1 Withdrawal of a Member A Member shall not
voluntarily withdraw from the Company
ARTICLE TWELVE
TRANSFER OF A COMPANY INTEREST
Section 12 1 Sale of Interest of a Member P Member may
not sell or transfer all or any part of his Company interest
except on the following conditions
(a) The Company interest of the selling Member shall first
be offered in writing (which writing includes the
identity of the proposed purchaser) to the other
Members to purchase pro rate based on their Profit-
sharing Percentages or otherwise by agreement of such
other Members, at the price and on the terms at whicn
it is proposed to be sold and the other Members shall
have a period of thirty (30) days to ether re]ect the
offer or accept the offer with respect to the whole
Company interest offered If any Member does not elect
to purchase his pro rata portion of the offered
interest, the Members electing to purchase shall
acquire such portion pro rata based on their Profit-
sharing Percentages
(b) If the Company interest offered by the selling Member
is not purchased by the other Members, then the selling
Member may sell such interest to a third person or
third persons during the three (3) month period
following the expiration of the thirty (30) day period
referred to in subsection (a) above, but at a price and
on terms no more favorable than the price and terms
offered to the other Members After the expiration of
the three (3) month period, no portion of the Company
interest of the selling Member shall be sold without
first being reoffered in accordance with subsection (a)
above
(c) Notwithstanding the foregoing, a Member may, upon
notice to the other Members, freely transfer his
Company interest, or any portion thereof, to a member
of his immediate family By "immediate family" it is
meant such Member's spouse, ch_ldren, granach_ldren,
parents, or the trustee of a trust solely for the
oenefrt of sucn persons The transferee of the Company
_nterest of a Member shall be subject to all the terms,
conditions, restrictions, and obllaat-ons of tnis
Agreement, inciva_ng the provisions of this Article
For purposes of apblying Section-4 3 hereof, the
original Member who made a transfer pursuant to tnis
Section 12 2(c) snail be treatea as continuing to own
the transferred interest
(d) Any assignment (including, w_thout limitation, anv
transfer or sale of a Member's interest permissible
unaer Section 12 l(c)) shall be effective to give the
assignee only the right to receive the share of income,
losses, and distributions to which the assignor would
otherwise be entitled and shall not be effective to
constitute the assignee as a "Substitute Member" An
assignee wno does not become a Substitute Member snail
have no vct-ng rights, no right to examine Company
books and records, and no other rights of any kind
wnatsoever except as described in the preceding
sentence Any assignee of the interest of a Member
shall be admitted as a Substitute Member of the Company
only after the following conditions are satisfied
(L) all of the Members, other than the assignor,
consent in writing to the admission of the
assignee as a Substitute Member,
(ii) the duly executed and acknowledaed written
instrument of assignment has been filed with the
Company, setting forth the intention of the
assignor that the assignee become a Substitute
Member,
(iii)the assignee has consented in writing in a form
satisfactory to the Member, other than the
assignor, to be bound by all of the terms of this
Agreement in the place and stead of the assignor,
(iv) the assignor and assignee have executed and
acknowledged such other instruments as the Members
may deem necessary or desirable to effect such
admission
Any assignee of a Company interest who does not become a
Substitute Member and desires to make a further assignment of
such Company shall be subject to all the provisions of this
Article Twelve to the same extent and in the same manner as any
Member desiring to make an assignment of his interest
(e) Any sale or transfer or purported sale or transfer of
the Company interest of the selling member shall be null and void
unless made strictly in accordance with the provisions of this
Article The transferee of the Company interest of the selling
Member, whether a Subs:_tute Member or not, snail be sup3ect to
all the terms, condluons, restr_ctions, and oniigations of t`ils
Article
Section 12 2 Pleaae A Member may pledge nis Company
interest to secure a oeb: or other obligation without invoxing
the provisions of Section 12 1, but any _nterest proposed to be
sold pursuant to a pledge shall be subDect to all of the terms of
this Arricle
Section 12 3 Further Restrictions on Transfer
Notwitnstanding any provision of this Agreement to the contrary,
no interest in the Company may be transferred unless (i) such
transfer will not cause a termination of the Company for federal
tax purposes within the meaning of Section 708 of the Code, and
(ii) such interest is registered under the applicable federal and
state securities laws and regulations or the Company is furnished
witn an opinion of counsel (at the transferor's expense)
satisfactory to the Members that such registration is not
required, and (iii) the Members determine that such transfer will
not adversely affect the Company
Section 12 a Death or Bankruptcy Upon the death or
bankruptcy of a Member, the Company shail have the option of
purchasing such deceased or bankrupt Member's entire interest _n
the Company for an amount equal to such deceased or bankrupt
Member's capital account balance at the time of his death or
bankruptcy The Company shall make such election only with the
consent of all Members other than the deceased or bankrupt Member
or his successors Notice of the exercise of such option must be
provided to the deceased or bankrupt Member or his successors
within sixty (60) days of the other Members learning of such
event The purchase price must be tendered to the deceased or
bankrupt Member or his successors within thirty (30) days after
the end of such sixty-day period For purposes of this Section,
"bankruptcy", shall mean the commencement of proceedings by or
against a member under any insolvency, bankruptcy, creditor
adDustment, or debtor rehabilitation law, which proceeding is not
dismissed within sixty days from the date of its commencement
ARTICLE THIRTEEN
DISSOLUTION AND TERMINATION OF THE COMPANY
Section 13 1 Right to Dissolve the Company No individual
Member shall have the right to cause a dissolution of the
Company
Section 13 2 Events of Dissolution The Company shall be
dissolved (a) upon the mutual consent of all members, or (b) upon
the sale by the Company of all its right, title and interest in
and to all or substantially all its assets and the receipt by the
Company of the purchase price in full, or (c) in any event at
midnight on the 31st day of December 2056
Section 13 3 Windinq-Up the Company In the event of a
dissolution of the Company, a reasonable time shall be allowed
for the oraerly liqu-dation of the assets of the Compan} and the
discharge of 1-ab-titles to creditors so as to enable the Members
to minrm�ze the normal losses attendant upon a lioaidation The
Members shall cortinue to share profits or losses during the
1-quidation in the same proportion as before dissolution The
proceeds from liquidation of Company assets snali be applied as
follows (a) pavment to creditors of the Company, other tnan
Members, in the order of priority provided by law, and the
establishmenz of a reserve for any unforseen liabilities or
obligations, and (b) in accordance with Section 10 1 hereof
ARTICLE FOURTEEN
MISCELLANEOUS
Section 14 1 Notices All notices or other communications
required or permitted to be given pursuant to this Agreement
snall be in writing and shall be mailed by first-class mail,
certified or registered, postage prepaid, to the address of the
Members as set forth herein Any Member may change its address
by giving notice in writing stating its new address to the otner
Members
Section 14 2 Amendments This Agreement may not be
modified or amended except with the written consent of all
Members
Section 14 3 Captions The captions and headings as used
in this Agreement are used for convenience and reference only,
and do not constitute substantive matter to be considered in
construing the terms of this Agreement
Section 14 A Variations in Pronouns All personal pronouns
used in this Agreement, whether used in masculine, feminine, or
neuter gender, shall include all other genders, singular shall
include plural, and vice versa, and shall refer solely to the
parties signatory thereto except where otherwise specifically
provided
Section 14 5 Cumulative Remedies Each right, power, and
remedy provided for herein or now or hereafter existing at law,
in equity, by statute, or otherwise shall be cumulative and
concurrent and shall be in addition to every other right, power,
or remedy provided for herein or now or hereafter existing at
law, in equity, by statute, or otherwise
Section 14 6 Applicable Law This Agreement shall be
governed by and construed in accordance with the laws of the
State of North Carolina
Section 14 7 Entire Agreement This Agreement is the
entire agreement among the parties with respect to the subDect
matter hereof, and no representations or covenants, whether oral
or written, have been made regarding the sub3ect matter hereof
except. as provided herein
Section 14 E Severaniiitv Every provision of this
Agreement _s intenaed to be severable, and if any term or
provision hereof shall be declared illegal, inoalid, or in
confl_ct with the North Carolina Limited Liability Company Act,
or the ourposes of this Agreement for any reason wnatsoever, such
term or provision shall be ineffectual and voia, and the valio�ty
of the remainder of tnis Agreement shall be not be affected
thereby

DLSCRIPTION
The site is a 8 87-acre tr ict located on Ocean Highwa) West in Calabash North Carolina The
proposed development on the site consists of mini -storage buildings, roads and parking areas,
and the installation of water and sewer to serve the business requirements The site is currently
undeveloped and consists of sparsely wooded areas with sandy topsoil with elevations ranging
around 34 MSL The site will be graded to meet the proposed plans Construction is scheduled
to begin as soon as all permits and approvals are obtained
STORMWATER MEASURES
I he stormwater runoff from the site is estimated using the rational method The site is not
located near -SA w ers, thus the first inch (] ) of rainfall is accounted for m the d iestes gn The
stormwater will be directed to an on -site wet detention pond via vegetative swales
EROSION CONTROL MEASURES
Runoff will be directed to temporary sedimentation basins during construction of the site
Temporan diversion will direct runoff to the basins and shall be established prior to the
remaining gilding activities on the site A graveled construction entrance will be installed to
prevent any significant amounts of sediment from leaving the site These measures shall be
inspected regularly and the accumulated sediment removed to prevent the comevance of
sediment to any off -site areas The pnmary permanent erosion control measures that will remain
after the tempoian measures are removed will be permanent grassing
CONSTRUCTION SEQUENCE
The Contractor will install the gravel construction entrance prior to beginning any clearing and
grading operations Erosion control measures will be installed prior to beginning any clearing
-ind grading operations The site will be graded to proposed grades The run-off will be directed
toward the sedimentation basins during the grading process The paiking aiea will be paved
The disturbed areas will be landscaped and seeded upon completion, and as soon as possible
The wet detention basins foiebav will be restored to original depth and design grades after
completion of all other construction
