THIS QUITCLAIM DEED, made and entered into as of the it +c day of

INC., a North Carolina corporation ("Grantor's, and VANGUARD PROPERTIES II, L.L.C., a
Delaware Limited Liability Company, having an address of 200 Randolph Avenue, Huntsville, AL
35901 ("Grantee"). The designations Grantor and Grantee as used herein shall include such
parties, their heirs, successors and assigns and shall include singular, plural, masculine, feminine
or neuter, as required by context.
WITNESSETH, that the Grantor, for a valuable consideration of $10.00 paid by the
Grantee, the receipt of which is hereby acknowledged, has and by these presents does quitclaim
to the Grantee all that certain lot or parcel of land situated in Alexander County, North Carolina
and more particularly described in Exhibit A attached hereto and incorporated herein by
reference (the "Property'.
TO HAVE AND TO HOLD the Property, and all improvements thereon and all
Privileges and appurtenances thereto belonging, to the Grantee, so that neither Grantor nor
Grantor's successors and/or assigns shall or will hereafter claim or demand any right of title to
the said premises or any part thereof; but shall by these presents be excluded and forever barred.
AND THE GRANTOR MAKES NO WARRANTY, express or implied, as to the title
to the Property herein described.

For title history, subject matter property was acquired by Taylorville Development
Corporation, a North Carolina corporation, by two (2) separate deeds, one deed from C.
A. Dad and wife, Katie L. Deal, dated February 27, 1959 recorded in Book 58 at Page
336 of the Alexander County Registry for 89.02 acres together with another dad from
John P. Jolly aid Mattis Jolly dated May 15, 1964 recorded in Book 74 at Page 195 of
the Alexander County Registy, this being a deed for 32.03 acr+m. Taylorsvilte
Development Corporation deeded ace property to Harper Furniture Company, a North
Carolina corporation, by dead dated November 30, 1970 recorded in Book 155 at Page
130 of the Alexander County Registry. In 1976 Articles of Merger were filed with the
North Carolina Secretary of State on November 16, 1976 merging f[arper Furniture
Company into Lenoir Chair Company. As part of this verger, Lenoir Chair Company
dragged its trams to Broyhill Furniture Industries, Inc., all as set forth in merger
documents filed November 16, 1976 with the North Carolina Secretary of State. Broyhill
Furniture Industries, Inc. (formerly Lenoir Chair Company and formerly Harper Furniture
Company) conveyed this property to Newar, Inc., a North Carolina corporation, on
February 18, 1979 by deed recorded in Book 211 at Page 365 of the Alexander County
Registry. On February 19, M79 at 8:00 AM, them was filed with the North Carolina
Secretary of Efate Articles of Amendment to the Charter of Broyhill Furniture Industries,
Inc. changing the name of the corporation to Broyhill Management Corporation. On
February 19, 1979 at 8:01 AM, Articles of Amendment were filed with this North
Carolina Secretary of State for Newci, Inc. changing its name to Broyhill Furniture
Industries. Inc., said name having just been made available as the former Broyhill
Furniture fndustries, Inc. had fast changed its name to Broybill Managamem Corporation.
There have been no conveyances of the subject matter property, other than partial out
conveyances and easements. or changes in corporate name states since this last change on
February 1979- Broy1dB Furniture Industries, Inc. is a North Carolina corporation in
good standing with the North Carolina Secretary of State at the piesmt time.
