TreeHouse Foods, Inc. ("TreeHouse") is transferring ownership and operational responsibility of
the Bay Valley Foods, LLC Faison Processing Facility from its subsidiary, Bay Valley Foods, LLC to
Meal Preparation, Inc. effective May 31, 2022. Meal Preparation, Inc. will be a subsidiary of Bay
Valley Foods, LLC, whose ultimate parent company is TreeHouse Foods, Inc.
Bay Valley Foods, LLC holds an authorization to discharge stormwater associated with industrial
activity under Stormwater General Permit NCG060000 (Permit No. NCG060288); after May 31, 2022
Meal Preparation, Inc. will be the owner and operator of the facility and entity responsible for the
referenced permit. Meal Preparation, Inc. has no immediate intent to change the facility's
operations and processes and will acknowledge full responsibility for complying with the
Stormwater General Permit. Furthermore, no changes in staff roles and responsibilities are
foreseen. As such, Bay Valley Foods, LLC requests that the NC Division of Energy, Mineral and Land
Resources transfer Permit No. NCG060288 to Meal Preparation, Inc. with an effective date of Mav
31, 2022. The ownership change is related to reorganization efforts within TreeHouse Foods, Inc.
associated with the company's strategic plan for simplification and growth.
TreeHouse requests the courtesy of a reply communication providing a copy of the updated
permit record, acknowledging the responsible entity change has been made forthe subject
permit. In the event no confirmation or formal objection notice is received, TreeHouse will
assume there is no objection to the change in responsible entity. If an email letter and updated
permit record can be provided in addition to any paper copies sent via regular mail, we would

Why is this information needed?
Regulations in 40 CFR §122.63 allow for minor modifications to NPDES permits for a change of
ownership or operational control of a facility, provided that information supports that no other change
in the permit are necessary.
Why does this form need to be mailed in?
Permittees and applicants must fulfill signatory requirements in the NPDES federal
regulations in 40 CFR §122.22 (please see those regulations for guidance). Until NCDEQ's
electronic submission process meets Cross -Media Electronic Reporting (CROMERR)
requirements, this original signed (not digital signature) form must be mailed to the
address below. The uploaded copy is stored as part of the permit record in the Division's
digital repository.
