outline plans for meeting future wastewater treatment,utilization,or disposal needs by either expansion of the existing system,
elimination or reduction of extraneous flows,or water conservation and shall include the source of funding for the improvements.
If expansion is not proposed or is proposed for a later date,a justification shall be made that wastewater treatment needs will be
met based on past growth records and future growth projections, and as appropriate, shall include conservation plans or other
measures to achieve waste flow reductions.
❑ Yes(the hydraulic capacity greater than 80%)—Proceed to the next question.

for a later date,a justification shall be made that wastewater treatment needs will be met based on past growth records and future
growth projections, and as appropriate, shall include conservation plans or other specific measures to achieve waste flow
reductions.

MEMORANDUM OF AGREEMENT
BETWEEN
THE NORTH CAROLINA DEPARTMENT OF TRANSPORTATION, AND THE NORTH
CAROLINA DEPARTMENT OF PUBLIC SAFETY
THIS AGREEMENT ("MOA") is made and entered into on the last date set forth in the
signature acknowledgments below ("Effective Date"), by and between the North Carolina
Department of Transportation ("NCDOT"), and the North Carolina Department of Public Safety
("NCDPS"), collectively referred to herein as the"Parties."
WITNESSETH
WHEREAS, NCDPS owns, operates, and maintains a Wastewater Treatment Facility
("Facility") located in the Premises of Washington Correctional Center("Washington C.C."), as
described more fully below and located on NCDPS owned land; and
WHEREAS, as of the Effective Date, 100% of the wastewater conveyed to the Facility is
generated by NCDOT; and
WHEREAS, NCDOT needs to operate and maintain the Facility for the purpose of processing its
wastewater; and
WHEREAS, the Parties desire to transfer the operation and maintenance of the Facility from
NCDPS to NCDOT at no cost for the mutual operational benefit of both parties; and
WHEREAS, in the event NCDOT no longer has a need for the Facility, operations and
maintenance responsibilities shall revert to NCDPS.
NOW, THEREFORE, in consideration of the Facility, as described herein, and the promises and
undertakings contained in the terms and conditions hereinafter set forth, NCDPS does hereby
transfer the operation and maintenance to NCDOT, for and during the term and under the terms
and conditions herein set forth, that certain Premises and improvements located thereon.
THE TERMS AND CONDITIONS OF THIS LEASE ARE AS FOLLOWS:
1. Premises: The "Premises" shall consist of the "Wastewater Treatment Facility," as more
particularly shown on a map captioned"NCDPS —Inmate Training and Wastewater
Treatment Facility" and attached hereto and incorporated herein as Attachment A —
Facility Map. The Premises does not include the land under which the Premises is located
or other surrounding buildings on the property of Washington C.C. which is retained by
NCDPS.
2. Purpose: The purpose of this MOA is to set forth the rights and responsibilities of each
Party regarding the transfer of the Facility to NCDOT and NCDOT's ongoing operation
of the Facility, as it is located on NCDPS land.

3. Term: The term of this MOA shall be for a period of two (2) years commencing on the
Effective Date and expiring two (2) years from the Effective Date (the "Initial Term").
Thereafter, the Parties shall have the option to renew this MOA, upon the terms and
conditions set forth herein for two (2) additional one (1) year terms (each a"Renewal
Term"; collectively, the "Renewal Terms"), which options the Parties shall exercise by
providing written notice of intent to so renew no less than thirty (30) days prior to the
expiration of the Initial Term and, if applicable, the first Renewal Term. The Initial Term
and the Renewal Terms are collectively referred to herein as the "Term."
4. NCDOT Responsibilities and Limitations:
a. Regulatory Compliance. The following responsibilities and limitations apply to
NCDOT:
i. NCDOT shall comply, at its sole cost and expense, with all governmental
laws, rules, ordinances and regulations applicable to the Facility, including
any and all requirements by the NC Department of Environmental Quality
(NCDEQ) and conditions, limitations and compliance codes as stated in the
existing permit, Permit Number: WQ0000265.
ii. NCDOT cannot modify the existing permit without written permission from
NCDPS.
iii. NCDOT cannot modify irrigation spray-fields and other associated
infrastructure without written permission from NCDPS.
iv. NCDOT shall be responsible for renewing the existing permit in a timely
manner, as required by NCDEQ.
v. NCDOT shall be responsible for submitting reports, test results and all
required NCDEQ correspondences, including but not limited to notice of
violation, in a timely manner.
vi. NCDOT shall be responsible for retaining qualified wastewater treatment
operator(s), (referred as `ORC')including a main ORC and a back-up ORC to
operate the treatment facility. The designated ORCs shall keep their operating
licenses and training current as required by NCDEQ.
b. Operation Costs and Expenses. NCDOT shall be responsible for all costs associated
with the operation and maintenance of the Facility, except as provided in Section
5(a), below. This includes, but is not limited to the following:
i. Mowing the grass and other vegetation, including the front yard of the
Washington C.C.;
ii. Maintaining and replacing spread-heads utilized for the spray irrigation;
iii. Maintaining, calibrating and replacing if needed, flow meters, gauges and
associated measuring apprentices;
iv. Maintaining the liner and overall condition for the existing lagoon;
v. Maintaining vegetative cover on the irrigation sites as required by the permit;
vi. Maintaining sludge spray-fields and other infrastructures associated with the
wastewater treatment;

vii. Sampling, monitoring, testing and maintaining on-site laboratory as specified
in the permit;
viii. Any other expense resulting from the operation of the wastewater treatment
facility; and both routine and preventative maintenance; and repair of the
equipment, conduits, lagoon, sewer segments, fences, and other infrastructures
— deemed essential for operating the wastewater treatment facility under full
compliance, as per the existing permit.
c. Liability. As the operator of the Facility, NCDOT is responsible for all acts or
incidents occurring on the Premises. This includes liability for the negligent acts or
omissions of its agents, contractors or employees which may arise or be claimed to
have arisen as a result of the occupation use or operation of the Facility on the
Premises. NCDOT will also be responsible for any necessary repair or renovation in
the event the Premises and the Improvements, or a substantial part thereof, shall be
damaged by fire or other casualty caused by the negligence of NCDOT.
5. NCDPS Responsibilities and Limitations:
a. Water and Electricity. NCDPS agrees to pay for the water and electricity required to
operate the Facility, as long as, there is no significant increase over historical use data.
NCDOT shall consume water at the site, solely for the purpose of operating and
maintaining the Facility.
b. Site Access & Security. NCDPS shall retain and maintain Washington C.C. at a
security level determined to be appropriate based on the discretion of NCDPS.
NCDPS shall provide access to the Washington C.C. to NCDOT, as may be needed, to
facilitate wastewater treatment operation and maintenance directly associated with the
Facility.
6. Transition Plan: To ensure the safe and efficient transition of Facility operations and
management from NCDPS to NCDOT, the Parties shall develop a mutually agreeable
transition plan to affect a full transition of operations within 6 months following the
execution of this MOA. Within 14 business days following the execution of this MOA,
NCDOT shall complete Attachment B- Form NDPONC 06-16 and submit it to NCDEQ,
Division of Water Resources and NCDPS. The subject form is required by NCDEQ to
reflect the "Non-Discharge Permit Ownership/Name Change" from NCDPS to NCDOT.
7. Condition of Premises: NCDPS shall not be responsible for any damage, loss or expense
resulting from the existence on the Premises by NCDOT during their operation of the
facility. NCDPS makes no representations regarding any hazardous material created by
NCDOT or NCDPS on the Premises. NCDOT accepts the Premises at its current
condition and shall not be held liable for any existing deficiencies according to permit
conditions.
8. Right of Reentry and Use of Buildings for Classroom Space: Both Parties shall allow
reasonable access to the Premises and Washington CC when necessary to perform their
respective operations. Neither Party will unreasonably interfere with operations of the
other party on the adjoining property. Upon reasonable notice to NCDOT, NCDPS retains
the right to intermittently use the existing buildings located on the Premises

designated as "Inmate Training Program Site" in Attachment A— Facility Map for
classroom space. NCDPS shall notify NCDOT of any requested access to the Facility.
9. Transfer: NCDOT may not assign, sublet, or otherwise transfer the Facility without
written consent of NCDPS. In the event NCDOT wishes to cease its operation of the
Facility or otherwise transfer operation and maintenance responsibilities to another entity,
NCDPS shall be given notice and first right of refusal to resume operation and
maintenance responsibilities of the Facility.
10. Washington C.C. Operations: The Parties understand that as of the Effective Date of
this MOA, Washington CC is a closed facility. In the event NCDPS, based on its
discretion and in consideration of the operational needs of the agency, must resume
prison operations at Washing CC, NCDPS shall provide reasonable notice to NCDOT. At
that time, the Parties shall develop a mutually agreeable plan to further define the rights,
responsibilities, and limitations of each Party. The plan may include the transfer of
Facility operations from NCDOT back to NCDPS. This MOA may also be modified,
amended, or terminated, as deemed appropriate. In the event NCDOT no longer has a
need for the Facility, operations and maintenance responsibilities shall revert back to
NCDPS upon 30 days written notice.
11. Notices and Consent: Unless otherwise provided herein, all notices or other
communications which may be or are required to be given or made by any party to the
other under this MOA shall be in writing and shall be deemed to have been properly
given and received on the date deposited in the United States mail, registered or certified,
return receipt requested, addressed to the parties as set out below or to such other
address(es) as either party may establish by written notice to the other delivered in
accordance herewith:

12. Amendments:This MOA may be amended by mutual agreement in writing by the

13. Governing Law: The interpretation and performance of this MOA shall be governed by
the laws of the State of North Carolina.
14. Authority: Each person executing this MOA does hereby represent and warrant that that
this agreement was duly approved by the governing bodies of NCDPS and NCDOT and
that each person signing this MOA is duly and validly authorized to do so.
15. Entire Agreement: This instrument contains the entire agreement between the Parties,
and no statement, premise, inducement, representation or prior agreement which is not
contained in this written MOA shall be valid or binding.
IN WITNESS WHEROF, this MOA has been executed, the day and year heretofore set out, on
the part of the North Carolina Department of Transportation ("NCDOT"), and the North Carolina
Department of Public Safety ("NCDPS").
