Today, I have been-formed-tliat the contracts have been developed and that there is a tax issue being negotiated
between the company and the Town of Erwin. We have been told that this issued is expected to be settled within a
month to 6 weeks. The transfer should take place as soon as possible after completion of these negotiations.
Hopefully this helps. I will keep you posted as circumstances unfold.

Dear Ms Wilson:
Thank you and Ms Kramer for meeting with us last week to discus the'permit at the Swift Plant in
Erwin, NC. During the meeting we explained that the Town of Erwin and Swift are finalizing plans
to transfer the WasteWater Treatment Plant, Water Plant and Water Puinp Station to the Town.
Based on our discussions, you agreed that we will continue to operate the plant under the present
permit until the transaction is completed. At that time Swift will issue .a letter explaining that the
plant has been transferred and requesting the permit to be rescinded. The Town will then work with
the agency to properly permit the activities that will be performed at theiplants.
You requested that we supply you copies of any correspondence that supports the plans to transfer
the facilities to the Town of Erwin. I have attached a letter from Swift'`'s Senior VP of Operations,
Tim Driver and letter from The Town that verifies the plans. We do anticipate that the transaction
will be completed within the next two months. I will keep you informed of developments as they
unfold.
Again, thank you and the 'agency for working with Swift and the Town o make these transactions
happen as smoothly as possible.

property from you as described in your conversation and generally being described as
approximately 45 acres containing the sewer and water plant ,operated by the seller and

property or rights necessary to operate the water and sewer plant for the sum of
