This Bill Of Sale made this day of May, 2019, by and between Minute -Man Anchors,
Inc., &/k/a Minutclvlan. Anchors, Inc. (a North Carolina corporation hereinafter referred to as the "O%Nvner"
and as the "Seller".) and M.MAMarurfacturing, Inc. (a North Carolina corporation hereinafter referred to as
the "Buyer");
wrrNESSETH:
That the Owner, pursuant to the Purchase and Sale Agreement of the Owner and Mark Vollari and
Dcanna Vollan, in exchange for pay-ment of $862,092.1.5, receipt ofthe purchase money promissory note for
which is acknowledged, has bargained and sold and by these presents does bargvin, sell and convey to the
Buyer the following:
1Beim; all equipment, machinery. and other tangible personal property, and all fixtures, of
Minute -Mari Anchors, Inc. (afk/a Minute Man Anchors.1ne.), including all of those located
in, at or upon the real property in Henderson County, North Carolina, located at 305 West
Kin- Street, East Flat Rock, N.C., conveyed to the Vollan Family, I..IC by MiIALAC-Nlan
Anchors, Inc., and also including but not limited to all property rig its and items shown on
Exhibit "A" and Exhibit"B" attached hereto and incorporated herein by reference (all said
equipment, machinery, other tangible personal property, fixtures, property rights and item
collectively referred to herein as the "Property").
To have and to hold the Property, to the Buyer and the Buyer's successors in title forever.
The Owner does covenant that the Owner is seized of the Property and has the right to convey the
sarne In fee simple, thatthe property is free and clear of all encumbrances whatsoever, and that the Owner
will warrant and defend the title thereto against the lawful claims of all parties whomsoever.
IN TESTIMONY WHEREOF, the Owner, by and through its Vice -Tresident, D. Scott :Moreno, has
executed this Bill Of Sale this day.
