(Conversion 'to Nonprofit Corporation) Pursuant to §55.10.06 and §55A-2.02 of the General Statutes ofNorth Carolina, the undersigned corporation hereby submits the following Articles of Amendment for the purpose of amending its Articles of Incorporation to covert the corporation from a business corporation incorporated pursuant to Chapter 55 of the General Statutes ofNorth Carolina to a nonprofit corporation incorporated pursuant to Chapter 55A of the General Statutes of North Carolina: 1. : The name of the corporation is Waterway Landing Homeowners Association, Inc. E100se: The Corporation is organized and will be operated consistent with the North Carolina Condominium Act (the "Act') to undertake and perform any and all activities, responsibilities, and obligations applicable to the Corporation set forth in the Act and the Declaration, Bylaws, and these Articles (collectively, "Corporation Documents"). Provided, however, and notwithstanding any power or authority set forth above in this Article, the Corporation shall have the power and authority to engage 9& in activities that meet each of the following requirements: (aa) Such activities are not broader than those activities that may be undertaken by a nonprofit corporation pursuant to the North Carolina Nonprofit Corporation Act; and, (bb) Such activities are not broader than those activities that may be undertaken by the Corporation pursuant to the Declaration; � jii , (cc) Such activities are not broader than those activities that may be undertaken by a condominium association pursuant to the Act. 5. M°mber hips ' : The Corporation shall have members, and the qualifications and rights of members shall be set forth in the Bylaws of the Corporation and the Declaration. S. Dissolution: In the event of dissolution of the Corporation, any net assets remaining after the satisfaction of the Corporation's liabilities shall be transferred and delivered (a) to one (1) or more nonprofit corporations formed under the North Carolina Nonprofit Corporation Act, as shall be selected by the Board of the Corporafion, that are organized generally for purposes similar or related to those set forth in Article 4 hereof, or (b) as otherwise permitted or permitted by law. The Corporation may be dissolved at any time, if such dissolution is undertaken consistent with the North Carolina Nonprofit Act and the North Carolina Condominium Act, and with the required affirmative consent of not less than eighty percent (90%) vote of all members of the Corporation entitled to vote. 9- Reeistered Office and gent: The street and mailing address of the registered office of the Corporation is 1780-1 Chandlers Land, Sunset Beach, Brunswick County, North Carolina 28468; and the name of the registered agent at such address is Jane Harris. 10. To the fullest extent provided bylaw, no director of the Corporation shall be personally liable for monetary damages arising out of an action, whether by or in the right of the Corporation or otherwise, for breach of any duty as a director. 12. Amendments to Articles of Income ration: Amendment of these Articles may only be undertaken consistent with the applicable provisions of the North Carolina Nonprofit Corporation Act. A copy of the inspection report from August 2010 was forwarded to Mr. Lucas as requested. DWQ requested a permit application be submitted or other documentation regarding the built project located at Park Road, Sunset Beach. • As of December 14, 2010, DWQ has not received the requested state stormwater management application or any other documentation. Required Response This office requests that you respond to this letter in writing within 30 calendar days of receipt of this Notice. Your response should be sent to this office at the letterhead address and should address the following items: 1. Please clearly explain why an appropriate Stormwater Permit was not secured. 2. Submit a complete permit application with a completed supplement form, a signed O&M agreement, sealed calculations, and two sets of detailed plans along with the processing fee currently set at $505.00. Please note that a Designer's Certification is also required upon project completion. Thank you for your immediate attention to this matter. This Office is proceeding with an enforcement action including the assessment of civil penalties regarding these violations and any continuing violations that may be encountered. On June 29, 2009, David Cox of the Wilmington Regional Office inspected the site to determine the status of compliance with Stormwater Permit SW8 980521. It was discovered that this permit had expired on December 10, 2008 and that the required Engineer's Certificate was never submitted to this Office. A Notice of Violation was issued on July 13, 2009 to Mr. Dean Walters, CEO of Sea Trail Corporation for Failure to Renew a State Stormwater Permit and Failure to Submit an Engineers Certification. Due to NC Session Law 2009406 signed by the Governor on August 5, 2009, the effective period of this stormwater permit has been extended 3 years from its current expiration date. The extended expiration date is December 10, 2011, and therefore, the stated Failure to Renew a State Stormwater permit is no longer a violation. However, the violation of not submitting a certification of the stormwater system remains valid. The response received by this Office on July 24, 2009 from Sea Trail Corporation did not address this violation and stated only that the project had been sold. This is not a valid response. Even though the property has been sold, the permit was not transferred. Please keep in mind that a permit cannot be transferred until all the' permit conditions have been met. The violations found are: 1. Failure to submit an engineers' certification. A file review revealed that this office has not received an Engineers Certificate of the stormwater system. Permit condition states that upon completion of construction, prior to issuance of a Certificate of Occupancy, and prior to operation of this permitted facility, a certification must be received from an appropriate designer for the system installed certifying that the permitted facility has been installed in accordance with this permit, the approved plans and specifications, and other supporting documentation. Any deviations from the approved plans and specifications must be noted on the Certification. 2. Failure to build according to the approved plan. The orifice pipe outlet structure is not built according to the approved plans, which shows a 2" orifice pipe directing flow into the vegetated filter. It was observed that this orifice pipe directs flow toward the marsh, bypassing the vegetated filter. This system needs to be revised according to the plans. Permit condition requires that the facilities be constructed as shown on the approved plans. Required Response This Office requests that you respond to this letter in writing within 30 calendar days of receipt of this Notice. Your response should address the following items: Provide a written "Plan of Action" which outlines the actions you will take to correct the-violation(s) and a time frame for completion of those actions. 2. On June 29, 2009, David Cox of the Wilmington Regional Office performed an inspection to determine the status of compliance with Stormwater Management Permit SW8 980521. Permit Number SW8 980521 was issued to you on December 10, 1998 for the Sea Trail Waterway Project, located at Indigo Circle, Sunset Beach, Brunswick County, North Carolina. On December 10, 2008 this permit expired and it is a permit condition that it be renewed. During the file review it was also determined that the required Engineers Certificate was never submitted to this office. As a result of the site inspection and DWQ file review, the following violations are noted: I. Failure to Renew State Stormwater Permit Title 15A NCAC 2H .1003 (h) (2) requires that applications for permit renewals to be submitted 180 days prior to the expiration of the permit. On August 4, 2008 an application for a permit renewal was required to be submitted to DWQ. As of the date of this letter, DWQ has not received an application to renew Stormwater Permit SW8 980521. Please be advised that this Act requires that all persons disturbing an area of one or more acres of land must obtain approval of a soil erosion control plan prior to the commencement of said land -disturbing activity (NCGS 113A- 54(d)(4)). The Act further states that this plan must be filed a minimum of 30 days prior to the activity and the approving authority must approve or disapprove the submitted plan within 30 days of receipt. Failure of the approving authority to approve or disapprove the submitted plan within the 30 day period will be deemed approval of the plan if the submitted plan is complete. Commencement or continuation of a land -disturbing activity under the jurisdiction of this Act prior to the approval of an erosion & sediment control plan is a violation of the Act. A copy of any erosion and sediment control plan which could involve the utilization of ditches for the purpose of dewatering or lowering the water table is forwarded by this office to the Division of Water Quality (DWQ). It is suggested that you contact the Division of Water Quality at (910) 395-3900 if the ditches shown on your plan will lower the .water table. We have performed a preliminary review of your submitted plan and have determined that additional information will be necessary before a final review can be completed. Enclosed is a checklist of items that must be submitted before we can complete the review process. Failure to provide the additional information may result in disapproval of your plan.
