COVENANTS AND RESTRICTIONS

THIS DECLARATION OF COVENANTS CONDITIONS AND RESTRICTIONS FOR
BARNETT PROPERTIES, L.L.C., is made as of the _th day of 2007, by
BARNETT PROPERTIES, L.L.C., a North Carolina limited liability company (hereinafter
referred to as "Declarant").
RECITALS:
A. Declarant is the owner of certain real property located in or near Surf City,
Pender County, North Carolina, which property is described and identified as "Preserved
Wetlands" and "Restored Wetlands" areas on EXHIBIT "A" attached hereto and
incorporated herein by reference.
B. Declarant desires to subject such property to the provisions of this Declaration
as a means of conserving certain lands located on the property.

NOW, THEREFORE, Declarant hereby declares that the property described and
identified as "Preserved Wetlands" and "Restored Wetlands" areas on EXHIBIT "A" shall
be subject to the following:
Restrictive Covenant.
The areas described and identified as "Preserved Wetlands" and "Restored
Wetlands" on EXHIBIT "A" (collectively, "Conservation Areas") shall be maintained in
perpetuity in their natural, mitigated, or restored condition. No person or entity shall
perform any of the following activities on such Conservation Areas, except as expressly
permitted by the United States of America, U.S. Army Corps of Engineers, Wilmington
District:
a. fill, grade, excavate or perform any other land disturbing activities;
b. cut, mow, burn, remove, or harm any vegetation;
c. construct or place any roads, trails, walkways, buildings, mobile homes, signs,
utility poles or towers, or any other permanent or temporary structures;
d. drain or otherwise disrupt or alter the hydrology or drainage ways of the
conservation area;
e. dump or store soil, trash, or other waste;
f. graze or water animals, or use for any agricultural or horticultural purpose.
This covenant is intended to ensure continued compliance with the mitigation
condition of a Clean Water Act authorization issued by the United States of America, U.S.
Army Corps of Engineers, Wilmington District, and therefore may be enforced by the United
States of America. This covenant is to run with the land, and shall be binding on the
Declarant, and all parties claiming under it. This covenant is not intended to prevent or
prohibit any activities expressly permitted by the United States of America, U.S. Army
Corps of Engineers, Wilmington District.
Amendment and Modification.
This Declaration may be amended or modified by Declarant at any time with the
express written consent of the United States of America, U. S. Army Corps of Engineers,
Wilmington District, or its successors or assignees.
