Dear Mr Zorda:
In response to the State's letter dated March 26, 2021 (Request for Additional Information), the
following documents are being submitted:
(1) Two (2) copies of corrected application forms section E3 & E4 for five (5) of the six (6)
state stormwater management permits (permit numbers are indicated in footer), to
correct the address for Stepan to match the address on file with the NC SOS corporation
database;
(2) Documentation supporting the title of authorized signatory for the proposed permittee,
Phillip Cline, and documentation supporting that the individual signing the letter is a principal
executive officer of at least the level of vice president of the corporation.
(3) Copy of the press release and notification to suppliers that Stepan Company has
purchased the manufacturing site in Wilmington NC.
(4) Signed and notarized O&M agreement from the proposed permitee for permits SW8
970921, and SW8 080821;
(5) In response to inspection findings:
For permit SW8 080821- a new section F of the application with the option
selected to accept responsibility to resolve compliance issues. A "Plan of Action
and schedule" is also attached.

The above noted response is required to transfer all permits listed above except SW8-090205
(Wilbara Access Road). By email dated 4/8/2021, a request was made and granted to extend
the due date for the permit transfer to allow INVISTA and Stepan to coordinate a response due
to the complexity of mixed land ownership and leasing.

Dear Mr. King and Mr. Cline:
Effective August I, 2013, the State Stormwater program was transferred from the (now former) Division of Water
Quality (DWQ) to the Division of Energy, Mineral and Land Resources (DEMLR). All previous references to
DWQ will remain in older Stormwater permits issued prior to August I, 2013 until they are modified. Please note
that this letter references DEMLR as the Division responsible for issuance of the permit.
The Wilmington Regional Office of the Division of Energy, Mineral and Land Resources (DEMLR) received and
accepted a signed Permit Transfer Application Form for the subject projects on February 2, 2021. The current and
proposed permittees have requested to transfer the permit in accordance with 15A NCAC 02H.1045(1)(a). A
preliminary in-depth review of the documentation submitted with the transfer requests determined that the
applications are incomplete and that additional information is needed.
Since the transfer was submitted under NCAC 02H.1045(])(a) and the proposed permittee did not select the
option in Section F of the application form where they agree to be the entity responsible for addressing any
compliance issues, the project must found be in compliance with the permit prior to approving the transfer. To
continue the review and processing of this transfer request, please provide the following documentation in a
single, hard copy submittal package organized per permit application to complete the application and

Secretary of State's (NC SOS) corporation database. Please confirm the addresses listed in Section E.3 of
the application is consistent with the addresses on file with the NC SOS's corporation database for the
proposed permittee. Section EA of the application is intended for other related addresses and contact
information.
2. 15A NCAC 02H.1045(2)(b): Documentation supporting the title of the authorized signatory for the
proposed permittee, Phillip Cline, Authorized Signatory, Stephan Company, was not provided. If the
designated person is not listed with the documentation provided from the Secretary of State, official
documentation showing the titles and positions held by the signing official must be provided. In the case
of a corporation, the application must be signed by a principal executive officer of at least the level of
vice-president. Please provide one of the following:
i. Official documentation supporting that Phillip Cline is a principal executive officer of at
least the level of vice-president of Stephan Company; or
ii. An originally signed and notarized application by a principal executive officer of at least
the level of vice-president of Stephan Company and official documentation supporting
that individuals title; or
iii. A letter signed by a principal executive officer of at least the level of vice-president of
Stephan Company, supported by official documentation, giving Phillip Cline the
authority to sign on their behalf.

Section 5: Notice of Inspections and Compliance with the Permits:
On March 3, 2021, the Wilmington Regional Office of the Division of Energy, Mineral and Land
Resources (DEMLR) inspected the subject projects to determine the status of compliance with the
permits. DEMLR file review and site inspection revealed that SW8 080821 and SW8 090205 were not in
compliance with the terns and conditions of the permit. The remaining permits, SW8 900411, SW8
97092L SW8 080739 and SW8 130603, were found to be in compliance with the terms and conditions
with the terms. A copy of the completed "Compliance Inspection Report" summarizing the findings of the
recent inspection for each project is attached to this letter. Please either address the following items to
demonstrate compliance with the permit or submit a plan of action that provides a timeline in which the
following compliance issues for each permit will be resolved. If the proposed permittee would like to
accept responsibility for resolving these items, please submit a new Section F of the application with that
option selected.

i. Permit Condition 11.13: A copy of the certification for the most recent version of the
permit could not be found in the file. Please provide a copy of the certification
confirming the site has been constructed in accordance with the approved plans.
b. SW8 090205: Wilbara Access Road/Railwav at INVISTA:
i. Permit Condition 11.8: A copy of the certification for the most recent version of the
permit could not be found in the file. Please provide a copy of the certification
confirming the site has been constructed in accordance with the approved plans.
ii. Permit Condition IIIA: The permitted area appears to have been subdivided and no longer
owned entirely by the permittee.
All of the requested information listed above should be received in this Office by April 13, 2021, or the
application will be returned as incomplete. If additional time is needed to submit the requested information, please
email your extension request prior to this due date to the email address provided below with a justification and a
date of when the requested information will be submitted, which shall be no later than 15 days past the original
due date. Please note that only two letters requesting additional information is allowed in the State Stormwater
Program for a total of 30 days to submit the requested additional information. The Division is allowed 90 days
from the receipt of a complete application to transfer the permit. If the information is not satisfactorily provided
after either the second request or 30 days, the project will be returned. If the project is returned and you wish to
re -submit later, you will need to resubmit all required items at that time, including the application fee.
Please note that if, upon review of the submitted information or upon a deficient compliance inspection of the
project, it is determined that a major modification to the permit is required to resolve the compliance issues, the
transfer application will be returned as incomplete. Upon the issuance of the modified permit, and the successful
completion of any work required by the modified permit and/or the restoration of the site to design condition, the
applicant will need to submit an updated transfer application and a new fee to the Division to start the transfer
process over again.
Please remember that the pernittee is responsible for complying with the terms and conditions of the permit and
the approved plans and specifications until the Division approves the transfer request.

organized under the laws of the State of Delaware, USA, with an address of 175 TownPark

Seller" and together with Equity Seller and U.S. Seller, each a "Seller" and, collectively, the

RECITALS
A. Prior to the date hereof, the Sellers and their respective Affiliates have
undertaken an internal restructuring (the "Restructuring") to effect a legal demerger (juridische
splitsing) as described in a Proposal of Legal Demerger, dated November 17, 2020 (the
"Demerger Proposal"), proposing that INVISTA Polyester B.V., a private limited company
(besloten vennootschap met beperkte aansprakelijkheid) organized under the laws of the
Netherlands, with its corporate seat in Vlissingen, the Netherlands having its place of business at
(5657 EH) Eindhoven, Parmentierweg 4, the Netherlands and registered with the Dutch trade
register under number 22037808 (the "Dutch Entity") (i) retain the Vlissingen Assets and
Liabilities, and (ii) transfer to INV Nylon Chemicals Netherlands B.V. (the "Remaining Entity")
any and all assets, rights, liabilities and obligations not set forth in the Demerger Proposal;
B. Equity Seller directly owns all of the outstanding shares (the "Shares") of
the Dutch Entity;
C. U.S. Seller and Non-U.S. IP Seller each directly own certain assets and are
subject to certain liabilities relating thereto as set forth below;
D. Upon the terms and subject to the conditions contained in this Agreement,
the Buyer set forth below desires to acquire and assume (tile "Acquisition"):

Stepan Announces Acquisition of Aromatic Polyester Polyol Business from INVISTA
January 29, 2021
NORTHFIELD, III , Jan. 29, 2021 /PRNewswire/ -- Stepan Company (NYSE. SCL) today announced that it has purchased INVISTA's aromatic
polyester polyol business and associated assets Included in the transaction are two manufacturing sites, one in Wilmington, NC (United States) and
the other in Vlissingen (the Netherlands), and intellectual property, customer relationships, inventory and working capital. The business acquired has
global sales of approximately $100 million. This acquisition was financed with cash on hand and is expected to be accretive to Stepan's EBITDA
margins.

of the applicable required items listed below are included with the submittal. Failure to provide the
listed items may result in processing delays or denial of the transfer.
