NORTH CAROLINA INDEMNIFICATION AGREEMENT WAKE COUNTY THIS INDEMINIFICATION AGREEMENT (` Agreement") is made on the date indicated on the signature page to this Agreement by M/I Homes of Raleigh, LLC, a Delaware limited liability company (the "Company"), to the Town of Apex, (the ` Town '). Company and the Town are sometimes referred to herein individually as a "party" and together as the `parties. ' BACKGROUND 1. IDENTIFY THE PROPERTY WHERE ROAD IS TO BE CONSTRUCTED. Company is the contract purchaser of that certain tract of real property located at 3120 Olive Farm Road, Apex, NC 27502; PIN 0720075965, (the "Property') as described in the deed recorded in Book 15075, Page 1886 at the Wake County Register of Deeds. 2. Company desires to construct an extension to Horton Ridge Boulevard which shall be in general conformity with construction drawings for the Retreat at Friendship project that have been approved by the Town of Apex (the "Project"). 3. In consideration of Company indemnifying Town for Company's construction activities related to the Project listed in Part 2 of the Background Section of this Agreement, and, subject to the terms of this Agreement Town is wilhng to make application to the United States Army Corps Engineers ("USACE") required for the Project. 4. Company shall be responsible for all conditions, special conditions, requirements, notifications and certifications associated with the Pre -Construction Notification 401/404 Permits, Nationwide Permit 14, and any other required Regional and Nationwide General Permits issued by the United States Army Corps of Engineers ( `USACE') and the N.C. Department of Environmental Quality ("NCDEQ') required for the Project. The Town shall not be responsible 1 310067051.2 for, nor held liable for any additional permit modifications, fees, violations, or other requirements set forth by either permitting agency in conjunction with the Project. NOW, THEREFORE, in consideration of the foregoing, the mutual desires of the parties to this Agreement and other valuable consideration paid to Company, the receipt of sufficiency of which is acknowledged by the Town, Company hereby indemnifies Town as follows: INDEMNIFICATION 1. To the maximum extent allowed by law, Company shall indemnify and save harmless Town from and against all injuries, loss or damages, obligations, penalties, and fines (including but not limited to those levied by NCDEQ) that arise in any manner from, in connection with, or out of construction of the Project as a result of acts of Company or its subcontractors or anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, including any unpermitted work or notices of violation while working under Town's environmental permits. 2. Notwithstanding anything else contained herein, Town shall not require the Company to indemnify defend, or hold harmless the Town against injury, loss or damages, obligations and fines arising out of or proximately caused by or resulting from the negligence or willful misconduct, in whole or in part, of the Town, its officers, officials, independent contractors, agents, employees. GENERAL TERMS 1. The construction of the Project by or on behalf of Company pursuant to this Agreement shall be done in compliance with all laws, ordinances and regulations of the applicable governmental entities. 2. If any provision of this Agreement or the application thereof to any person legal entity, or circumstance shall, for any reason and to any extent, be invalid or unenforceable, the remainder thereof and the application of such provision to other persons, legal entities, and circumstances shall not be affected hereby, but shall be enforced to the greatest extent permitted by law. 3. This Agreement and the enforcement of its provisions shall be governed by and construed under the laws of the State of North Carolina. Each party to this Agreement consents to the exclusive personal jurisdiction by the courts of North Carolina and to venue in Wake County, North Carolina, by any appropriate proceeding at law or in equity against any person or entity violating or attempting to violate this agreement, either to restrain such violation, to enforce personal liability, or to recover damages or by any appropriate proceeding at law or in equity against the land to enforce any lien or charges arising by virtue hereof. 4. This Agreement constitutes the entire and exclusive agreement on this subject matter and supersedes any and all prior agreements, arrangements, and understandings, whether written, oral electronic, or otherwise on this subject matter. No modification of this Agreement shall be binding unless in writing, identified as a modification, signed by the party against which 2 310067051.2 that modification is sought to be enforced. The rights and remedies provided by this Agreement are cumulative and are in addition to any other rights the parties may have by law, statute ordinance or otherwise, and the use of any one right or remedy by any party shall not preclude or waive its right to use any or all other remedies. 5. These mitigation credits are not considered secured, and consequently are eligible to be used for alternate purposes by the Bank Sponsor, until payment in full is received from the Applicant resulting in the issuance of a Mitigation Credit Transfer Certificate by the bank acknowledging that the Applicant has fully secured credits from the bank and the Banker has accepted full responsibility for the mitigation obligation requiring the credits/units. The Banker will issue the Mitigation Credit Transfer Certificate within three (3) days of receipt of the purchase price. Banker shall provide to Applicant a copy of the Mitigation Credit Transfer Certificate and a documented copy of the debit of credits from the Bank Official Credit Ledger(s), indicating the permit number and the resource type secured by the applicant. A copy of the Mitigation Credit Transfer Certificate, with an updated Official Credit Ledger will also be sent to regulatory agencies showing the proper documentation. I have reviewed the above reference project and need the following comments/questions addressed in order to proceed  with the evaluation of the project.     2 1) The PCN states “the project will serve as a road connection to the existing Horton Ridge Blvd in accordance with  the Town of Apex transportation plans.” Please provide some documentation to support the stated purpose  such as providing the referenced transportation plan or a traffic study to support the need for the road;  The Town of Apex Comprehensive Transportation Plan can be reviewed/downloaded at:  https://www.apexnc.org/DocumentCenter/View/26449/Comprehensive‐Transportation‐Plan     The Plan’s Thoroughfare and Collector Street Plan (PDF page 50) is attached  (ApexTransportationPlanMapHortonRidgeBlvd.pdf), with a call out of Horton Ridge Blvd. added by SEI.     2) The PCN states “the road connection was designed to avoid impacts to WOTUS to the maximum extent  practicable, while still containing the required grade and curvatures for safety and connectivity.” Please provide  additional details to support the proposed project compliance with general conditions 23 a and b. For example,  please provide justification to support the proposed location and alignment of the proposed project. Without  additional clarification it appears there are uplands north of impact area B and uplands west of impact area C  that could be utilized while still achieving the project purpose;  The alignment of the road was set based on two pre‐existing street stubs, one from the existing Woodbury  neighborhood to the south, and one from the Friendship Station neighborhood to the east (currently under  construction).  Based on the Town of Apex’s design criteria for minimum curve radii and distance between reverse  curves for a design speed of 40 mph, there is no way to avoid impacts to the wetlands and streams along this corridor,  while still making connections to the existing street stub locations and providing a safe and efficient corridor for drivers.    3) Cumulative permanent stream impacts for this project exceed the 150 linear foot threshold per NWP 14  Regional Condition 3.2, and therefore compensatory mitigation is required. Please submit a compensatory  mitigation plan. The mitigation rule generally prescribes purchasing stream credits first through a mitigation  bank with stream credits available in this HUC, or second through the NC Division of Mitigation Services; please  provide a mitigation acceptance letter from your proposed compensatory mitigation provider. Typically,  compensatory mitigation is required at a 2:1 credit to impact ratio unless otherwise justified based on  evaluation of aquatic function;   Please see attached statement of availability (Horton Ridge Blvd ‐ Wetland SOA 09‐29‐2021.pdf).  4) Cumulative permanent wetland impacts for this project exceed the 0.1acre threshold per Nationwide Permit  General Condition 23c, and therefore compensatory mitigation is required. Please submit a compensatory bank with wetland credits available in this HUC, or second through the NC Division of Mitigation Services; please Based on the cross sections for Area A and Area B rip rap dissipator pads are proposed. Please update the  impact table and impact maps to include the proposed riprap dissipator pads. Additionally, the proposed rip rap  should be in compliance with regional condition 3.5.2 (see attached);  Please see the updated impact maps (Horton Ridge ‐ Prelim Impact Maps.pdf).  Please note that the impact quantities  shown in the PCN tables have not changed because the previous submittal had already included the rip‐rap pad in the  linear footage/square footage of permanent stream impact.  Impact maps and cross sections for Impact Areas A & B  have been updated to show rip‐rap pad as embedded into the stream bed, per Regional Condition 3.5.2.  The darker  shading along the stream corridor indicates the extent of the stream impacts.    3 6) What is the design speed of the proposed road? Would a shift of the road at Impact Area A also shift the road at  Impact Area B? Would a shift of the road at Impact Area B also shift the Road at Impact Area A? Would a shift of  the Road at Impact Area B also shift the Road at Impact Area C?  Design speed is 40 mph for Horton Ridge Blvd.  As mentioned above, the Town of Apex design criteria dictates  how quickly the road can transition from curve to curve and the location of each end’s tie in (south and  east).  As a result, shifting the alignment to reduce impacts at one or multiple locations is not practicable.     Please submit the above information within 30 days of receipt of this Notification or we may consider your application
