curvatures for safety and connectivity.

NORTH CAROLINA INDEMNIFICATION AGREEMENT
WAKE COUNTY
THIS INDEMINIFICATION AGREEMENT (` Agreement") is made on the date
indicated on the signature page to this Agreement by M/I Homes of Raleigh, LLC, a Delaware
limited liability company (the "Company"), to the Town of Apex, (the ` Town '). Company and
the Town are sometimes referred to herein individually as a "party" and together as the `parties. '
BACKGROUND
1. IDENTIFY THE PROPERTY WHERE ROAD IS TO BE CONSTRUCTED.
Company is the contract purchaser of that certain tract of real property located at 3120 Olive Farm
Road, Apex, NC 27502; PIN 0720075965, (the "Property') as described in the deed recorded in
Book 15075, Page 1886 at the Wake County Register of Deeds.
2. Company desires to construct an extension to Horton Ridge Boulevard which shall
be in general conformity with construction drawings for the Retreat at Friendship project that have
been approved by the Town of Apex (the "Project").
3. In consideration of Company indemnifying Town for Company's construction
activities related to the Project listed in Part 2 of the Background Section of this Agreement, and,
subject to the terms of this Agreement Town is wilhng to make application to the United States
Army Corps Engineers ("USACE") required for the Project.
4. Company shall be responsible for all conditions, special conditions, requirements,
notifications and certifications associated with the Pre -Construction Notification 401/404 Permits,
Nationwide Permit 14, and any other required Regional and Nationwide General Permits issued
by the United States Army Corps of Engineers ( `USACE') and the N.C. Department of
Environmental Quality ("NCDEQ') required for the Project. The Town shall not be responsible

for, nor held liable for any additional permit modifications, fees, violations, or other requirements
set forth by either permitting agency in conjunction with the Project.
NOW, THEREFORE, in consideration of the foregoing, the mutual desires of the parties
to this Agreement and other valuable consideration paid to Company, the receipt of sufficiency
of which is acknowledged by the Town, Company hereby indemnifies Town as follows:
INDEMNIFICATION
1. To the maximum extent allowed by law, Company shall indemnify and save
harmless Town from and against all injuries, loss or damages, obligations, penalties, and fines
(including but not limited to those levied by NCDEQ) that arise in any manner from, in connection
with, or out of construction of the Project as a result of acts of Company or its subcontractors or
anyone directly or indirectly employed by any of them or anyone for whose acts any of them may
be liable, including any unpermitted work or notices of violation while working under Town's
environmental permits.
2. Notwithstanding anything else contained herein, Town shall not require the
Company to indemnify defend, or hold harmless the Town against injury, loss or damages,
obligations and fines arising out of or proximately caused by or resulting from the negligence or
willful misconduct, in whole or in part, of the Town, its officers, officials, independent contractors,
agents, employees.
GENERAL TERMS
1. The construction of the Project by or on behalf of Company pursuant to this
Agreement shall be done in compliance with all laws, ordinances and regulations of the applicable
governmental entities.
2. If any provision of this Agreement or the application thereof to any person legal
entity, or circumstance shall, for any reason and to any extent, be invalid or unenforceable, the
remainder thereof and the application of such provision to other persons, legal entities, and
circumstances shall not be affected hereby, but shall be enforced to the greatest extent permitted
by law.
3. This Agreement and the enforcement of its provisions shall be governed by and
construed under the laws of the State of North Carolina. Each party to this Agreement consents to
the exclusive personal jurisdiction by the courts of North Carolina and to venue in Wake County,
North Carolina, by any appropriate proceeding at law or in equity against any person or entity
violating or attempting to violate this agreement, either to restrain such violation, to enforce
personal liability, or to recover damages or by any appropriate proceeding at law or in equity
against the land to enforce any lien or charges arising by virtue hereof.
4. This Agreement constitutes the entire and exclusive agreement on this subject
matter and supersedes any and all prior agreements, arrangements, and understandings, whether
written, oral electronic, or otherwise on this subject matter. No modification of this Agreement
shall be binding unless in writing, identified as a modification, signed by the party against which

that modification is sought to be enforced. The rights and remedies provided by this Agreement
are cumulative and are in addition to any other rights the parties may have by law, statute
ordinance or otherwise, and the use of any one right or remedy by any party shall not preclude or
waive its right to use any or all other remedies.
5. This document may be executed in one or more originals, all of which together shall
constitute one and the same original. It is not necessary to the validity of this document that all of
the parties execute the same execution page.

Location description: The project site is approximately 131 acres located adjacent to Humie Olive Road to the north, Olive
Farm Road to the east, and Little Beaver Creek to the south, near the town of Apex, Wake County, North Carolina.

of the Clean Water Act (CWA)(33 USC § 1344) and/or Section 10 of the Rivers and Harbors Act (RHA) (33 USC § 403). The
waters, including wetlands have been delineated, and the delineation has been verified by the Corps to be sufficiently accurate
and reliable. The approximate boundaries of these waters are shown on the enclosed delineation map dated February 2020.
Therefore this preliminary jurisdiction determination may be used in the permit evaluation process, including determining
compensatory mitigation. For purposes of computation of impacts, compensatory mitigation requirements, and other resource
protection measures, a permit decision made on the basis of a preliminary JD will treat all waters and wetlands that would be
affected in any way by the permitted activity on the site as if they are jurisdictional waters of the U.S. This preliminary
determination is not an appealable action under the Regulatory Program Administrative Appeal Process (Reference 33 CFR Part
331). However, you may request an approved JD, which is an appealable action, by contacting the Corps district for further
instruction.
܆ There appear to be waters, including wetlands on the above described project area/property, that may be subject to Section 404

1. The Corps of Engineers believes that there may be jurisdictional aquatic resources in the review
area, and the requestor of this PJD is hereby advised of his or her option to request and obtain an
approved JD (AJD) for that review area based on an informed decision after having discussed the
various types of JDs and their characteristics and circumstances when they may be appropriate.
2. In any circumstance where a permit applicant obtains an individual permit, or a Nationwide General
Permit (NWP) or other general permit verification requiring "pre- construction notification" (PCN),
or requests verification for a non-reporting NWP or other general permit, and the permit applicant
has not requested an AJD for the activity, the permit applicant is hereby made aware that: (1) the
permit applicant has elected to seek a permit authorization based on a PJD, which does not make
an official determination of jurisdictional aquatic resources; (2) the applicant has the option to
request an AJD before accepting the terms and conditions of the permit authorization, and that
basing a permit authorization on an AJD could possibly result in less compensatory mitigation
being required or different special conditions; (3) the applicant has the right to request an individual
permit rather than accepting the terms and conditions of the NWP or other general permit
authorization; (4) the applicant can accept a permit authorization and thereby agree to comply with
all the terms and conditions of that permit, including whatever mitigation requirements the Corps
has determined to be necessary; (5) undertaking any activity in reliance upon the subject permit
authorization without requesting an AJD constitutes the applicant's acceptance of the use of the
PJD; (6) accepting a permit authorization (e.g., signing a proffered individual permit) or
undertaking any activity in reliance on any form of Corps permit authorization based on a PJD
constitutes agreement that all aquatic resources in the review area affected in any way by that
activity will be treated as jurisdictional, and waives any challenge to such jurisdiction in any
administrative or judicial compliance or enforcement action, or in any administrative appeal or in
any Federal court; and (7) whether the applicant elects to use either an AJD or a PJD, the JD will
be processed as soon as practicable. Further, an AJD, a proffered individual permit (and all terms
and conditions contained therein), or individual permit denial can be administratively appealed
pursuant to 33 C.F.R. Part 331. If, during an administrative appeal, it becomes appropriate to make
an official determination whether geographic jurisdiction exists over aquatic resources in the review
area, or to provide an official delineation of jurisdictional aquatic resources in the review area, the
Corps will provide an AJD to accomplish that result, as soon as is practicable. This PJD finds that
there "may be" waters of the U.S. and/or that there "may be" navigable waters of the U.S. on the
subject review area, and identifies all aquatic features in the review area that could be affected by
the proposed activity, based on the following information:

drainage features and determine if they are subject to the Town of Apex (Town) riparian buffer rules.
Based on the information obtained during the site visit and per the requirements set forth in Section
6.1.11 of the Town Unified Development Ordinance (UDO), I concur with the stream classifications as

*Streams S4, S5 and S10 were all delineated by Spangler Environmental on their sketch map and all fall
within the perennial stream buffer that was not contested on the southern portion of the property;
therefore, call sheets were not required, but features were verified by James Misciagno in the field on
December 6th, 2019.
This on -site determination shall expire five (5) years from the date of this letter. Landowners or affected
parties that dispute a determination made by the Division of Water Resources (DWR) or Delegated Local
Authority in the Jordan Lake watershed may request a determination by the DWR Director.
An appeal request must be made within sixty (60) days of date of this letter or from the date the affected
party (including downstream and/or adjacent owners) is notified of this letter. A request for a
determination by the Director shall be referred to the Director in writing c/o Karen Higgins, DWR —401 &
Buffer Permitting Unit; 1617 Mail Service Center, Raleigh, NC 27699-1617. Otherwise the appeal
procedure will be in accordance with UDO Section 6.1.11.
If you dispute the Director's determination, you may file a petition for an administrative hearing. You
must file the petition with the Office of Administrative Hearings within sixty (60) days of receipt of this
notice of decision. A petition is considered filed when it is received in the Office of Administrative Hearings
during normal office hours. The Office of Administrative Hearings accepts filings Monday through Friday
between the hours of 8:00am and 5:00pm, except for official State holidays.
To request a hearing, send the original and one (1) copy of the petition to the Office of Administrative
Hearings, 6714 Mail Service Center, Raleigh, NC 27699-6714. A copy of the petition must also be served
to the Department of Natural Resources, c/o Mary Penny Thompson, General Counsel, 1601 Mail Service
Center, Raleigh, NC 27699-1601.
This determination is final and binding unless, as detailed above, you ask for a hearing or appeal within

Umbrella Mitigation Banking Instrument: McClenny Acres II Mitigation Site to satisfy the mitigation
requirements related to the above-mentioned project. The project is located within the service area
(HUC 03020201) of the Bank.
Credits may be reserved for a period of 6 months upon the receipt of a non-refundable deposit of 10%
of the purchase price. Should credits not be reserved, they will be sold on a first come, first serve basis.
Credit prices will be guaranteed for a period of 6 months from the date of this letter and are then
subject to change.
An invoice for this transaction will be sent upon your request and we will reserve the credits and price

Re Project: Horton Ridge Boulevard
This document confirms that the Town of Apex (Applicant) for the Horton Ridge Boulevard (Project)
has expressed an interest to utilize 346.30 Stream Mitigation Credits from the EBX sponsored RES
Cape Fear 02 Umbrella Mitigation Bank, specifically 163.20 stream credits from the Dairyland Site and
183.10 from the Cloud & Banner site in the Cape Fear HUC 03030002. As the official Bank Sponsor,
Environmental Banc & Exchange, LLC, attests to the fact that mitigation is available for reservation at
this time.
These mitigation credits are not considered secured, and consequently are eligible to be used for alternate
purposes by the Bank Sponsor, until payment in full is received from the Applicant resulting in the
issuance of a Mitigation Credit Transfer Certificate by the bank acknowledging that the Applicant has
fully secured credits from the bank and the Banker has accepted full responsibility for the mitigation
obligation requiring the credits/units.
The Banker will issue the Mitigation Credit Transfer Certificate within three (3) days of receipt of the
purchase price. Banker shall provide to Applicant a copy of the Mitigation Credit Transfer Certificate and
a documented copy of the debit of credits from the Bank Official Credit Ledger(s), indicating the permit
number and the resource type secured by the applicant. A copy of the Mitigation Credit Transfer
Certificate, with an updated Official Credit Ledger will also be sent to regulatory agencies showing the
proper documentation.

The information you’ve provided here does indeed answer the questions we initially had on the project.
However, after I sent the email below, DWR put the project On Hold on September 23rd (see attached). As stated in the
letter the Division required a response within 30 days. Since none came, we then had to deny the application on
October 26th. (Also attached.)
As stated in that letter, the applicant is now required to Re‐Apply for the project, with a new submittal from scratch via
our application process.

If you can reapply with the information in your original submission plus this new information, this can restart the
process and I would be able to issue the application.
Additionally, please include in that package the responses to the Corp’s request for additional information (in Mr.
Phillips’ email dated October 6th), also, in order for the application package to be considered complete for both agencies’
needs. DWR will need to see these issues fully‐addressed, as well.
Please let me know if you have any questions about the 401 reapplication process.

only states that stream impacts are will be needed for this site but unlike S7 and S2, no buffers will be
impacted? Can you clarify that, as for road projects that is not typically something I see.
You are correct, stream 5 is buffered. but according to the plans and start point within the buffer determination,
stream 5 ends before Impact B. The stream section within the impact area is Corps jurisdictional, but not
buffered.

3‐ The project has no stormwater plan and the part of the application that asks about that (PCN Section E) was
mostly left blank. For linear transportation projects by state or local government entities, the DWR
Transportation Permitting Branch cannot permit linear transportation impacts to streams or buffers without
verification that there is no untreated stormwater being discharged to those resources at those impact sites.
Please see attached updated plans which included stormwater treatment details.

The application for Town of Apex’s Horton Ridge Boulevard was assigned to me. I have a few items that I need to

I have reviewed the above reference project and need the following comments/questions addressed in order to proceed
with the evaluation of the project.

1) The PCN states “the project will serve as a road connection to the existing Horton Ridge Blvd in accordance with
the Town of Apex transportation plans.” Please provide some documentation to support the stated purpose
such as providing the referenced transportation plan or a traffic study to support the need for the road;

The Plan’s Thoroughfare and Collector Street Plan (PDF page 50) is attached
(ApexTransportationPlanMapHortonRidgeBlvd.pdf), with a call out of Horton Ridge Blvd. added by SEI.
2) The PCN states “the road connection was designed to avoid impacts to WOTUS to the maximum extent
practicable, while still containing the required grade and curvatures for safety and connectivity.” Please provide
additional details to support the proposed project compliance with general conditions 23 a and b. For example,
please provide justification to support the proposed location and alignment of the proposed project. Without
additional clarification it appears there are uplands north of impact area B and uplands west of impact area C
that could be utilized while still achieving the project purpose;
The alignment of the road was set based on two pre‐existing street stubs, one from the existing Woodbury
neighborhood to the south, and one from the Friendship Station neighborhood to the east (currently under
construction). Based on the Town of Apex’s design criteria for minimum curve radii and distance between reverse
curves for a design speed of 40 mph, there is no way to avoid impacts to the wetlands and streams along this corridor,
while still making connections to the existing street stub locations and providing a safe and efficient corridor for drivers.
3) Cumulative permanent stream impacts for this project exceed the 150 linear foot threshold per NWP 14
Regional Condition 3.2, and therefore compensatory mitigation is required. Please submit a compensatory
mitigation plan. The mitigation rule generally prescribes purchasing stream credits first through a mitigation
bank with stream credits available in this HUC, or second through the NC Division of Mitigation Services; please
provide a mitigation acceptance letter from your proposed compensatory mitigation provider. Typically,
compensatory mitigation is required at a 2:1 credit to impact ratio unless otherwise justified based on
evaluation of aquatic function;

4) Cumulative permanent wetland impacts for this project exceed the 0.1acre threshold per Nationwide Permit
General Condition 23c, and therefore compensatory mitigation is required. Please submit a compensatory
mitigation plan. The mitigation rule generally prescribes purchasing wetland credits first through a mitigation
bank with wetland credits available in this HUC, or second through the NC Division of Mitigation Services; please
provide a mitigation acceptance letter from your proposed compensatory mitigation provider. Typically,
compensatory mitigation is required at a 2:1 credit to impact ratio unless otherwise justified based on
evaluation of aquatic function;

5) Based on the cross sections for Area A and Area B rip rap dissipator pads are proposed. Please update the
impact table and impact maps to include the proposed riprap dissipator pads. Additionally, the proposed rip rap
should be in compliance with regional condition 3.5.2 (see attached);
Please see the updated impact maps (Horton Ridge ‐ Prelim Impact Maps.pdf). Please note that the impact quantities
shown in the PCN tables have not changed because the previous submittal had already included the rip‐rap pad in the
linear footage/square footage of permanent stream impact. Impact maps and cross sections for Impact Areas A & B
have been updated to show rip‐rap pad as embedded into the stream bed, per Regional Condition 3.5.2. The darker
shading along the stream corridor indicates the extent of the stream impacts.

6) What is the design speed of the proposed road? Would a shift of the road at Impact Area A also shift the road at
Impact Area B? Would a shift of the road at Impact Area B also shift the Road at Impact Area A? Would a shift of
the Road at Impact Area B also shift the Road at Impact Area C?
Design speed is 40 mph for Horton Ridge Blvd. As mentioned above, the Town of Apex design criteria dictates
how quickly the road can transition from curve to curve and the location of each end’s tie in (south and
east). As a result, shifting the alignment to reduce impacts at one or multiple locations is not practicable.
Please submit the above information within 30 days of receipt of this Notification or we may consider your application
