Wildlands Holdings VIII, LLC is wholly owned by Wildlands Engineering, Inc. (Wildlands). The first site developed for the Bank will be the Great Meadow Mitigation Site ("Site")which will include work on Swift Creek, Gideon Swamp, and three unnamed tributaries to Swift Creek in Nash County, NC. The purpose of the Bank is to provide stream and wetland mitigation credits to compensate for impacts to Waters of the United States and/or State Waters within the service area, Hydrologic Unit 03020101 (Tam Pam 01), as depicted in Figure 1.The resulting conservation easement is estimated to be 42 acres. 1.0 Mitigation Bank Introduction and Objectives 1.1 Introduction The Great Meadow Mitigation Site being established under the proposed Bank is located on an active cattle farm. In addition to Swift Creek and Gideon Swamp, the Site contains three unnamed tributaries to Swift Creek that,for the purpose of this project, are referred to as Fisher Branch, Shard Branch, and Fox Branch.The Site is located in the DWR Subbasin 03-03-02. All project streams flow to Swift Creek, which is classified as an Outstanding Resource Water (ORW), Nutrient Sensitive Water(NSW), and Class C water. A review of historic aerials from 1950 to 2016 shows the Site streams have existed in their approximate locations over time. Upper Fisher Branch, Shard Branch, and Fox Branch appear to have been straightened at some point prior to 1950. Current land use at the Site is a mix of agriculture, including active cattle and hay pasture, and forestry(Figure 2). Across the project Site, approximately 100 head of cattle are currently managed.The majority of the property has been in cattle or hay pasture since before 1977. Lower Fisher Branch was cleared before 1950, Gideon Swamp was cleared before 1961, and the remaining floodplains were cleared by 1977.Additional logging in upland areas occurred east of Fox Branch by 2016 but an adequate riparian buffer was left along the left bank of the channel. Some revegetation has occurred on the west floodplain of upper Fisher Branch,the east floodplain of Shard Branch, and the west floodplain and downstream end of Gideon Swamp. However, it appears today that much of the regrowth is Chinese privet. Within the project area,the streams are mostly eroded, alternatingly incised, and severely impacted by livestock access. Wetlands have been degraded due to channel incision, tree clearing, and livestock access. Some stream length is less incised and eroded but still accessed by livestock. The wetlands on the site have been cleared and trampled by livestock. The Sponsor proposes to restore 3,066 linear feet (LF) and enhance 6,840 LF of the site streams.The Sponsor proposes to re-establish 3.747 wetland acres, rehabilitate 1.420 wetland acres, enhance 1.754 wetland acres, and create 0.494 wetland acres.This stream and wetland mitigation will include a conservation easement area that is estimated to total 42 acres. 1.2 Bank Location The proposed Bank (36.131215° N, 77.953729°W) is in northern Nash County approximately six miles northwest of Red Oak(Figure 1, Figure 2).The site is located within within the Hydrologic Unit Code (HUC) 03020101130070 and DWR Subbasin 03-03-02.The project site drains to Swift Creek which drains to the Tar River. To get to the Site from Raleigh, NC take 1-40 to exit 14 for US-64 east. Follow US-64 east to exist 459 in Nashville, NC.Turn left on NC-58 west for 0.2 miles and then right on Taylor's Store Rd. At T intersection,turn left on Cooper Rd. 11901 Cooper Road is approximately 0.2 miles on the right. 1.3 Goals and Objectives The proposed Bank described above will provide numerous ecological benefits within the Cape Fear River Basin. Project benefits include site specific improvements and watershed scale benefits. The project goals and related objectives are described in Table 1. Project goals are desired project outcomes and objectives are activities that will result in the accomplishment of goals.The project will be monitored after construction to demonstrate success. A detailed monitoring program will be described in the forthcoming mitigation plan. Table 1. Each of these subcontractors has substantial experience in stream, wetland, and buffer restoration in North Carolina and a substantial full-time professional staff presence in North Carolina. Upon completion of the review process for the bank prospectus, the Sponsor will submit a detailed mitigation plan and an umbrella mitigation banking instrument (UMBI) for the site. The UMBI will provide detailed information regarding bank operation and the long-term management of the Bank. Once the final mitigation plan is approved and the accompanying instrument executed by members of the Interagency Review Team (IRT), the Sponsor will record a conservation easement on the Bank. 2.2 Landowner Information Table 2 lists the landowner names, parcel identification number(s), deed book numbers, page numbers, and address associated with each parcel on the site. Kinston, NC 28503 2.3 Proposed Service Area The Bank will be established to mitigate impacts to Waters of the United States and/or State Waters within the service area depicted in Figure 1. This service area includes the Tar Pamlico 01 (Hydrologic Unit 03020101) and the cities of Oxford, Henderson, Louisburg, Nashville, and Rocky Mount. 2.4 Need and Feasibility of Mitigation Bank 2.4.1 Need Basinwide The Tar Pamlico 01 basin, as described in the DWR 2014 Tar-Pamlico River Basin Water Quality Plan (WQP), contains significant development in and around the municipalities mentioned above and also Widllands Tar Pamlico 01 Umbrella Mitigation Bank Great Meadow Mitigation Site Draft Prospectus Page 3 has several large, registered agricultural operations. Several federal and state highways run through the basin including US-64, US-1, 1-95, I-85, US-15, and US-158. Developing a mitigation bank will allow unavoidable impacts to Waters of the United States within the service area to be mitigated appropriately and provide a means for the economic growth of this region to continue while ensuring aquatic resources and water quality are maintained. This includes the potential widening for the roads within the watershed. The Sponsor expects Bank customers will include private enterprises and public entities with North Carolina Division of Transportation (NCDOT) as the primary client. Figure 3 depicts the potential projects set forth by NCDOT for fiscal years 2020-2029 within the Tar Pamlico 01 watershed. This includes transportation projects along several state, regional, and transition highways. Local Subbasin The proposed Bank is located in DWR subbasin 03-03-02 and HUC 03020101130070.There are no current local or state watershed plans associated specifically with this subbasin.The watersheds for Fisher Branch, Shard Branch, and Fox Branch are dominated by pasture (43%, 50%, and 12% respectively) and forest(43%, 41%, and 66% respectively) with developed areas making up less than 2% in all cases. The 2018 River Basin Restoration Priorities document indicates that the overall goals for all five CUs are to promote nutrient reduction through stormwater BMPs, promote nutrient and sediment reduction in agricultural areas by restoring and preserving wetlands, streams, and riparian buffers, continue targeted implementation of projects under the Nutrient Offset and Buffer programs, as well as focus DOT sponsored restoration in areas where they will provide the most functional improvement to the ecosystem; and protect to protect, augment, and connect conservation lands.The proposed project will address many of these goals. 2.4.2 Feasibility A Radius Map Report was ordered for the Bank through Environmental Data Resources, Inc. (EDR) and obtained on August 2, 2021. No target properties, nor adjacent landowner properties,were listed in any of the Federal, State, or Tribal environmental databases searched by EDR.A summary of the EDR report is included in the appendix. The Bank is located in a rural watershed where the dominant land uses are agriculture, forest, and residential.The site is not located near any towns and there are no developmental pressures in the area that suggest future changes in land use that might alter the watershed and/or add stressors to the project. Based on the preliminary existing conditions assessments performed at the Bank in 2021, Wildlands is confident that the site has substantial potential for the development of a viable mitigation bank. Although there are no specific planning goals to address other than the 2018 RBRP goals,the mitigation plan will address issues associated with long-term agricultural land use and its effects on the aquatic resources on site. The project will provide substantial uplift to the Swift Creek watershed and the Tar Pamlico River Basin. 3.0 Ecological Suitability of Site 3.1 Bank Site Characterization The Bank Site is currently maintained for livestock pasture with sparsely wooded buffers along the project streams.The Site is a livestock operation with approximately 100 head of free-range beef cattle on site throughout the year and 10 pigs. Cattle have access to pastures and streams. Pastures are fertilized most years during spring or fall and livestock waste is left to break down in place on pastures. Widllands Tar Pamlico 01 Umbrella Mitigation Bank Great Meadow Mitigation Site Draft Prospectus Page 4 Most of the streams and wetlands on site have been heavily impacted by livestock access.The existing conditions of Bank streams are described in Section 3.1.1, existing wetlands are described in Section 3.1.2, and existing vegetation is described in Section 3.1.3.The appendix contains stream determination forms and stream geomorphic data. Figure 4 is a topographic map of the site, Figure 5 illustrates the existing Site conditions, and Figure 6 is a map of the project stream watersheds. 3.1.1 Existing Conditions-Streams Fisher Branch Fisher Branch flows south onto the site through a moderately sloped, unconfined valley with a mixture of mature vegetation, Chinese privet(Ligustrum sinese), and cattle pasture in the riparian area. Livestock have access to all reaches on Fisher Branch. Reach 1 is characterized by mild to moderate incision with a bank height ratio (BHR) of 1.5 (XS1).There are several debris jams made of large woody debris (LWD) acting as temporary grade controls. One debris jam part way down Reach 1, as the stream enters the livestock pasture, caused the stream to abandon its original channel to create an active channel in the pasture.This active channel has no gravel substrate, no bedform, no leafpacks, is trampled by livestock, and is downcutting to meet the original channel. Where not flowing through pasture, the channel is characterized by lateral instability, scour, livestock trampling, and mass wasting of streambanks.The substrate is gravel and there are riffle-pool sequences and evidence of leaf packs in the channel. Fisher Creek Reach 2 is has localized scour, livestock trampling, and less than 50 feet of wooded buffer on portions of the reach.Two exposed bedrock seams control the degree of incision on this reach.The existing culvert is perched approximately six inches on the downstream side, = —_ limiting aquatic organism passage.The substrate is gravel,there is _ - -_ _=- appropriate bedform, and evidence of leaf packs in the channel. LWD is - `= ==� present. Reach 3 is characterized by several debris jams temporarily holding =__= - - _ -_- grade.There is lateral instability and anabranching channels due to debris - - _  3 jams. Livestock have trampled banks and cows wallow in the channel.There - _ _ is a lack of bedform, the bed material is embedded with fines, and fewer leaf packs. LWD is present in the debris dams. Reach 4 enters a more heavily wooded area, and while livestock still access this area,the valley is steeper and the riparian buffer wider than Reaches 1-3.There is periodic Fisher Branch Reach 4 scour and incision. Exposed bedrock acts as grade control.The substrate is gravel and the bedform is present and variable with evidence of leaf packs. Shard Branch Up and downstream of Debris Jam on Shard Branch Shard Branch flows south onto the Site from a - = _._= -= - _ = • large, wooded tract upstream.The right floodplain -_ _ - _ _ is an active livestock grazing pasture, and the left - - - _=- floodplain varies in the width of wooded —. _ vegetation from a single line of trees to 50+feet, -_ , __- --- with the remaining being pasture.Along Reaches _ 1-3, livestock access has caused a mass wasting of - bank material,trampling of banks and streambed, . and a fining of bed material through ongoing trampling and wallowing. The bed material is =-_ - ! = =__ dominated by fines, there is no bedform variability, Widllands Tar Pamlico 01 Umbrella Mitigation Bank Great Meadow Mitigation Site Draft Prospectus Page 5 and little presence of LWD and leaf packs within the channel, other than periodic debris jams. Reach 2 has a greater degree of instability than Reaches 1 and 3, caused by a debris jam changing the flowpath of the channel, similar to Fisher Branch Reach 1, and then downcutting to reconnect to the original flowpath. Reach 4 of Fisher Branch has a bedrock step-pool sequence that starts below the existing crossing and ends near the confluence with Swift Creek.The channel is connected to the floodplain and has LWD,varied bedform, and evidence of leaf packs. While livestock have access to the area,the steepness of the valley has limited their apparent use.The riparian buffer is a combination of hardwood trees and abundant Chinese privet. Sediment °" p,:, along the banks indicates that the last 200 feet of Fox Branch often + inundates when Swift Creek has large storm events. Gideon Swamp Beaver Dam Gideon Swamp Gideon Swamp flows east into the Site.The width of wooded buffer varies with the remaining floodplain being active livestock pasture. Gideon Swamp has localized scour.A beaver dam near the downstream end backwaters Reach 2 by 2-4 feet in depth and also acts as a temporary grade control.The top two feet of the beaver dam have been removed to reveal localized scour on streambanks. Channel substrate is gravel and bedform is diverse where not backwatered from the beaver dam. LWD is present. 3.1.2 Existing Wetlands Existing jurisdictional wetlands along Fisher Branch are impaired by livestock access,the drainage influence of the incised stream channel, and infrequent overbank events.These wetlands contain low density woody vegetation and limited species diversity. Wetlands along Shard Branch Reaches 1 and 3 have appropriately functioning wetland hydrology but are trampled by cattle and contain almost no woody plants.The large wetland on the left floodplain of Shard Creek Reach 2 is devoid of woody vegetation and partially drained Shard Creek Reach 2. Existing wetlands adjacent to Fox Branch and Gideon Swamp are degraded by cattle access, and limited density of woody stem density and diversity. The shrub stratum of wetlands along Gideon Swamp is dominated by Chinese privet. A licensed soil scientist confirmed presence of hydric soil in all existing wetlands (see LSS Report in appendix). There are additional hydric soil areas at the Site which do not have a contemporary wetland hydrology regime.This suggests historic presence of wetlands that have been drained by stream incision.A preliminary hydric soil investigation report conducted by a licensed oil scientist is included in the appendix. Widllands Tar Pamlico 01 Umbrella Mitigation Bank W Great Meadow Mitigation Site Draft Prospectus Page 6 3.1.3 Existing Vegetation All of the Site is currently maintained for livestock pasture with narrow buffers along the project streams.The wooded riparian buffers on site streams are dominated by a mix of American beech (Fagus grandifolia), white oak(Quercus alba), sweet gum (Liquidambar styraciflua), river birch (Betula nigra), sourwood (Oxydendrum arboretum),American elm (Ulmus americana),American sycamore (Platanus occidentalis), red maple (Acer rubrum), silver maple (Acer saccharinum), sweetbay magnolia (Magnolia virginiana), loblolly pine (Pinus taeda), and winged Elm (Ulmus alata). Understory species included green brier(Smilax sp.),American holly(Ilex opaca), multiflora rose (Rosa multiflora), and Chinese privet. The forested areas of the site are dominated by Chinese privet. Vegetation in areas managed in livestock and pasture is dominated by common pasture grasses such as tall fescue (Festuca arundinacea)with soft rushes (Juncus effuses) in wet, low lying areas. Pasture weeds are also present. In most locations, Swift Creek has a limited wooded buffer on the left floodplain.Typically, the Swift Creek buffer width ranges between 5 and 30 feet. Gideon Swamp's buffer condition varies, with some areas having an adequate wooded buffer(>_50 feet), and others having a narrower wooded buffer (as low as 20 feet). Fisher Branch lacks a wooded buffer along the left floodplain of Reaches 1 and 3 but has adequate wooded buffer(>_50 feet), along Reaches 2 and 4. Shard Branch has a moderate wooded buffer along its left bank that varies from a single line of trees on Reach 1 to 100 feet in width. Shard Branch Reaches 1 and 3 have little to no wooded buffer on the right floodplain. Once Shard Branch reaches the confluence with Swift Creek on Reach 4 the buffer is adequate (>_50 feet). Fox Branch ranges in its extent of buffers between 20 feet in width to over 100 feet. 3.1.4 Soils The proposed project is mapped by the Web Soil Survey for Nash County. The primary project area soils are described below in Table 3. Figure 7 provides a soil map of the Site. Wehadkee soils are mapped as the primary soil group in the floodplains of project streams,with a combination of Wickham fine sandy loams and Georgeville loams on the stream terraces, interfluves, and hillsides. Located on the Shard Branch floodplain Source:Web Soil Survey https://websoilsurvey.sc.egov.usda.gov/App/WebSoilSurvey.aspx 3.2 Cultural Resources and Significant Natural Heritage Areas There are several entries in the State Historic Preservation Office's National Register in the vicinity of the Site, but none located on Site parcels or that are expected to be impacted by Site activities.The Widllands Tar Pamlico 01 Umbrella Mitigation Bank W Great Meadow Mitigation Site Draft Prospectus Page 7 archaeological site files at the North Carolina Office of state Archaeology (OSA) have not been reviewed at this time. All appropriate cultural resource agencies will be contacted for their review and comment prior to any land disturbing activity. The NC Natural Heritage Program (NHP) Managed Areas and Significant Natural Areas references Swift Creek Aquatic Habitat with an R1 exceptional rating. It also references the Sandy Creek Game Land three miles west of the site and the Shocco Creek Game Land three miles northwest of the site (Figure 2). 3.3 Threatened and Endangered Species Wildlands searched the US Fish and Wildlife Service (USFWS) and NHP databases for federally protected plant and animal species in Nash County, NC. Currently the red-cockaded woodpecker(Picoides borealis), Michaux's sumac (Rhus michauxii),Tar River spinymussel (Elliptio steinstansana), and dwarf wedgemussel (Alasmidonta heterodon) are federally listed as endangered.The yellow lance (Elliptio laceolata) is federally listed as threatened.A pedestrian survey conducted on April 6, 2021 indicated that the project area provides suitable habitat for the dwarf wedgemussel. No suitable habitat was identified for the red-cockaded woodpecker, Michaux's sumac,Tar River spinymussel, or yellow Lance. Wildlands will conduct a full review of the Site for protected species upon award of the contract and will coordinate with USFWS and NCWRC as necessary based on that review. Table 4. Wildlands will conduct a full review of the Bank for protected species upon approval of the prospectus and will coordinate with USFWS and the North Carolina Wildlife Resource Commission (WRC) as necessary based on that review. 3.4 Floodplain Compliance The Site is represented on the Nash County Flood Map 3720380600J. Swift Creek and Gideon Swamp are mapped in FEMA Zone AE and have associated limited detailed models.There is no mapped floodway. The remaining tributaries show zone AE at their confluences with Swift Creek but are not modeled. Wildlands will coordinate with the Nash County floodplain administrator to obtain a floodplain development permit and meet permit requirements. Widllands Tar Pamlico 01 Umbrella Mitigation Bank Great Meadow Mitigation Site Draft Prospectus Page 8 The project will be designed to avoid adverse floodplain impacts or hydrologic trespass on adjacent properties or local roadways. 3.5 Site Constraints and Access Four internal easement breaks are proposed at the Site to maintain landowner access to adjoining tracts. Ford and culvert crossings are proposed to be fenced and gated if needed for livestock exclusion. Culvert crossings are located at existing culverts. Culverts will be analyzed to determine if they need to be replaced to support the functional uplift of the stream system. Replacement culverts will be designed with the restored stream bed profile to allow for aquatic organism passage.The crossings are summarized and numbered below in Table 5 and displayed on Figure 8. The entire easement area can be accessed for construction, monitoring, and long-term stewardship from Cooper Road.There is one airport (Double S airport) located approximately five miles from the Site.The airport is registered for personal use and has a single, turf runway. 3.5.1 Water Rights The landowner grows pumpkins in a field along Swift Creek, north of Gideon Swamp. During very dry years, she hires someone with an irrigation pump system to put approximately 1-inch of water from Swift Creek on the pumpkin seeds. She did not do it in 2021.There are no known water rights issues. 4.0 Mitigation Work Plan 4.1 Streams The proposed bank will include 9,176 LF of stream restoration and enhancement levels I and II.These approaches were chosen to provide the highest degree of ecological uplift to system. Figure 8 provides an overview of the proposed mitigation activities on the site. Restoration is proposed for Fisher Branch R1 and R3, and Shard Branch R2. For restoration reaches, dimension, pattern, and profile will be designed to allow for frequent overbank flooding, provide stable bank slopes, and enable biological uplift.All of the restoration reaches are perennial streams.The level of impact from livestock access and existing head cuts warrant this level of intervention. Reference streams will be identified and will serve as one of the primary sources of information for restoration designs. Modeling and other detailed analyses will be used as appropriate to develop or verify designs. Generally, stream designs will be based on a design discharge range that, in most cases,will approximate the bankfull discharge but will be selected to meet the objectives of the design. The discharge will be determined through detailed hydrologic analyses using the best available information Widllands Tar Pamlico 01 Umbrella Mitigation Bank W Great Meadow Mitigation Site Draft Prospectus Page 9 such as local or regional stream gage records, empirical regional stream flow measurements, hydrologic modeling results, and reference stream flows. Other discharges (such as baseflow or flows to support instream habitat features)will also be considered during the design process based on the specific project objectives. The majority of stream Priority 1 profile restoration will be achieved by tying into head cuts or existing shallow grade at upstream limits of each reach. A Priority 2 transition zone at the upstream end will only be required on Fisher Branch Reach 1. Reaches within the project will be designed as unconfined alluvial streams (Rosgen C-type streams). Designs will incorporate riffles with a heterogeneous mixture of bed material, pools of varying depth, and rock and log structures to provide grade control. Channel bends will be protected with bioengineering methods such as brush toes, lunker logs, boulder toes, and vegetated soil lifts. Live stakes will be used where streambanks are restored to provide long term bank protection. Enhancement I is proposed on Fox Branch Reach 1.This reach is laterally unstable and moderately incised. Unlike the restoration reaches,the existing channel has bedform diversity and fewer active wallow areas.The riparian buffer is adequate on the left floodplain, but less than fifty feet on the right floodplain. Enhancement I activities will include raising the stream channel, addressing unstable pattern and dimension, adding bedform variability, excluding livestock,treating Chinese privet, and establishing a minimum of 50'wooded riparian buffer on each floodplain. Reaches slated for Enhancement II approach include Fisher Creek Reaches 2 and 4; Shard Branch Reaches 1, 3, and 4; Fox Branch Reach 2; and Gideon Swamp Reaches 1 and 2. These reaches are geomorphically stable in their current condition and generally have lower bank height ratios, low bank slopes, and a lesser degree of erosion.There is a varying degree of wooden riparian buffer on these reaches. Most reaches have at least a single line of trees on one bank. Many of the existing wooded areas are dominated by Chinese privet. Livestock have access to all Enhancement II reaches.The primary enhancement activities include the exclusion of livestock, the reestablishment of a wooded riparian buffer,the treating of Chinese privet in established riparian buffers, and the use of in stream and bank structures to treat headcuts and localized scour. Livestock will be excluded from all streams and native riparian buffers will be planted to a minimum of 50-feet from the proposed top of bank where no canopy currently exists. All streams on site will have buffers extending to the required 50 feet. Supplemental planting may occur in areas of open canopy in order to meet targeted tree densities.The majority of the Site is wooded; care will be taken during construction to minimize clearing limits. 4.2 Wetlands Proposed wetland mitigation includes enhancement and rehabilitation of existing wetlands, re- establishment of historic wetlands, and wetland creation. Wetland enhancement practices will include livestock exclusion, establishment of a native hydrophytic vegetation community, and treatment of invasive species. Wetland hydrology will be restored in re-establishment and rehabilitation areas by Priority 1 construction of an appropriately sized stream channel and surface roughening to increase infiltration. Wetland re-establishment is proposed in areas containing hydric and non-hydric soils.The non-hydric areas proposed for re-establishment typically exhibit soil morphology influenced by saturation, but the depletions comprise a slightly lower percentage of the matrix or begin at a slightly greater depth than required to achieve hydric soil criteria (see LSS Report in appendix). It is likely these soils will support wetland hydrology following Priority 1 stream restoration. Wetland creation is Widllands Tar Pamlico 01 Umbrella Mitigation Bank W Great Meadow Mitigation Site Draft Prospectus Page 10 proposed on the right side of the upstream portion of Fisher Branch Reach 1.This area is currently upland but appears to have a seasonal high water table 16-18 inches below the soil surface and is only slightly deficient in achieving existing wetland criteria.This area is proposed for creation instead of re- establishment because it is on a terrace approximately two feet higher than the adjacent Fisher Branch floodplain. Wildlands expects minor grading could successfully convert this area to jurisdictional wetland. Wetland credit zones are presented in Figure 8. 4.3 Vegetation Plan As described in Section 3.1.2, riparian buffers throughout the project site are largely inadequate and Chinese privet is abundant. Riparian buffer areas that are not currently wooded are in pasture grasses. Planting or supplementing ' f" riparian buffers on project streams will not only improve terrestrial habitat but will contribute to water quality • ` improvements as well. Approximately 70%of the project site is not forested or in privet and will be planted. ` The Site will be planted following construction of the project. r The planting plan will be based on an appropriate nearby Planted riparian buffer reference community and past project experience.The plan will be developed to restore appropriate strata (canopy, understory, shrub, and herbaceous layers). The canopy will be restored through planting of bare root trees.The understory and shrub layers will be restored through a combination of planting bare root, low growth species and installing live stake shrub species.The herbaceous layer will be restored by seeding the disturbed area with a native seed mix with an emphasis placed on creating good soil contact to encourage germination. 5.0 Determination of Mitigation Credits Use of credits from the bank to offset stream and riparian buffer impacts authorized by federal permits or state water quality certifications must be in compliance with the Clean Water Act, Section 404(b)(1) guidelines and other applicable state and federal legislation, regulations, and policies. Prior to the release of credits, the following requirements will be met: IRT approval of the final mitigation plan and execution of the banking instrument, recordation of the conservation easement, and establishment of appropriate financial assurances.A summary of the proposed credits is included in Tables 6 and 7.A 1:1 credit ratio is proposed for restoration. A number of credit ratios are proposed for enhancement level II areas in acknowledgement that different treatment measures are proposed.All stream mitigation credits are designated as warm water stream credits. A proposed credit release schedule is also provided in this Section and follows the current IRT Mitigation Banking Instrument Template. Under no circumstances shall the Bank be debited until the necessary Department of Army(DA) authorization has been received for its construction or the District Engineer(DE) has otherwise provided written approval for the project in the case where no DA authorization is required for construction of the mitigation project.The DE, in consultation with the IRT, will determine if performance standards have been satisfied sufficiently to meet the requirements of the release schedules below. Execution of the UMBI by the Sponsor and the USACE. b. Approval of the final mitigation plan. c. Recordation of the conservation easement and delivery of a title opinion acceptable to the USACE. d. Delivery of the financial assurances described in the mitigation plan. e. 404 permit verification for construction of the site, if required. Widllands Tar Pamlico 01 Umbrella Mitigation Bank W Great Meadow Mitigation Site Draft Prospectus Page 14 5.2 Subsequent Credit Releases All subsequent credit releases must be approved by the DE, in consultation with the IRT, based on a determination that required performance standards have been achieved. For stream projects, a reserve of 10%of a site's total stream credits shall be released after four bankfull events have occurred in separate years, provided the channel is stable and all other performance standards are met. In the event that less than four bankfull events occur during the monitoring period, release of these reserve credits shall be at the discretion of the IRT. As the bank approaches milestones associated with the credit release, Wildlands will submit a request for credit release to the DE along with documentation substantiating achievement of criteria required for release to occur.This documentation will be included with the annual monitoring report. 6.0 Performance Standards and Monitoring Plan The performance criteria for the Site will follow approved performance criteria presented in the October 2016 IRT Mitigation Monitoring Guidance.Annual monitoring and semi-annual site visits will be conducted to assess the condition of the completed project. Specific performance standard components are proposed for stream morphology, hydrology, and vegetation.The stream restoration reaches of the project will be assigned specific performance criteria components for hydrology,vegetation, and geomorphology. The enhancement II reaches will be assigned specific performance criteria components for vegetation only. Performance criteria will be evaluated throughout the (up to) seven years of post- construction monitoring. If all stream,vegetation, and hydrologic performance criteria have been successfully met and at least four bankfull events have occurred during separate years,Wildlands may propose to terminate stream and/or vegetation monitoring after five years with written approval from the USACE and North Carolina Interagency Review Team (IRT). An outline of the performance criteria components follows. 6.1 Stream Morphological Parameters and Channel Stability Dimension Riffle cross sections on the restoration reaches should be stable and should show little change in bankfull area, bank height ratio, and width-to-depth ratio. Riffle cross sections should fall within the parameters defined for channels of the appropriate stream type. If any changes do occur,these changes will be evaluated to assess whether the stream channel is showing signs of instability. Changes in the channel that indicate a movement toward stability or enhanced habitat include a decrease in the width- to-depth ratio in meandering channels or an increase in pool depth.These sorts of bed changes do not constitute a problem or indicate a need for remedial actions. If channel changes indicate a movement toward stability, remedial action will not be taken. In order to assess channel dimension performance, permanent cross sections will be installed on restoration and reaches per the IRT Mitigation Monitoring Guidelines (October 2016). Each cross section will be permanently marked with pins to establish its location. Cross section surveys will include points measured at all breaks in slope, including top of bank, bankfull, edge of water, and thalweg. Cross section and bank pin surveys (if applicable) will be conducted in = monitoring years one,two,three,five, and seven. w Example of a cross section survey Widllands Tar Pamlico 01 Umbrella Mitigation Bank W Great Meadow Mitigation Site Draft Prospectus Page 15 Profile and Pattern Longitudinal profile surveys will be conducted during the as-built survey but will not be conducted during the seven-year monitoring period unless other indicators during the annual monitoring indicate a trend toward vertical and lateral instability. If a longitudinal profile is deemed necessary, monitoring will follow standards as described in the Stream Channel Reference Sites: An Illustrated Guide to Field Technique (Harrelson et. al., 1994)for the necessary reaches. Substrate Channel substrate materials will be sampled with the pebble count method along restoration, and enhancement I reaches. These reaches should show maintenance of coarser materials in the riffle features and smaller particles in the pool features.A reach-wide pebble count will be performed in each restoration reach each monitoring year for classification purposes.A pebble count will be performed at each surveyed riffle cross-section, only during the as-built survey to characterize the pavement. 6.2 Hydrology Stream Four bankfull flow events, occurring in separate years, must be documented on the restoration reaches within the seven-year monitoring period. Stream monitoring will continue until success criteria in the form of four bankfull events in separate years have been documented. Bankfull events will be documented using photographs and either a crest gage or a pressure transducer, as appropriate for Site conditions.The selected measurement device will be installed in the stream within a surveyed riffle cross section. Photographs will also be used to document the occurrence of debris lines and sediment deposition. Where restoration activities are proposed for intermittent streams, monitoring gages will be installed to track the frequency and duration of stream flow events. Continuous surface water flow within the tributaries must be documented to occur every year for at least 30 consecutive days during the seven- year monitoring period. This 30-day period of flow can occur at any point during the year.Additional monitoring may be required if surface water flow cannot be documented due to abnormally dry conditions. Wetland Groundwater monitoring will be conducted for seven years after construction to evaluate the hydrologic state of the restored wetland areas. Wetland groundwater gages will be installed in accordance with the techniques and standards described in the USACE document entitled "Technical Standard for Water- Table Monitoring of Potential Wetland Sites" (ERDC TN-WRAP-05-2,June 2005). Groundwater monitoring gages will be established throughout the wetland area to adequately characterize the different soils,vegetation communities, and surface topographic variations that are found across the site. According to Table 1 in the USACE Mitigation Guidance update, Wehadkee soils have a wetland saturation range of 12-16%of the growing season. Based on this, the final criteria for the wetland hydrology will be groundwater levels within 12 inches of the soil surface for a minimum period of 12%of the growing season. 6.3 Vegetation The final vegetative success criteria will be the survival of 210 planted stems per acre in the riparian corridors at the end of the required monitoring period (year seven).The interim measure of vegetative success for the Site will be the survival of at least 320 native species stems per acre at the end of the � Widllands Tar Pamlico 01 Umbrella Mitigation Bank W Great Meadow Mitigation Site Draft Prospectus Page 16 third monitoring year and at least 260 stems per acre at the end of the fifth year of monitoring. Also, trees must average seven feet in height at the end of the fifth monitoring year, and ten feet in height at the end of the seventh monitoring year. If this performance standard is met by year five and stem density is trending towards success (i.e.,vigor), and invasive species are not threatening ecological success, monitoring of vegetation on the Site may be terminated with written approval by the USACE in consultation with the IRT.The extent of invasive species coverage will also be monitored and controlled as necessary throughout the required monitoring period. Vegetation monitoring quadrants will be installed across the Site to measure the survival of the planted trees.The number of monitoring quadrants required, and frequency of monitoring will be based on the October 2016 IRT Mitigation Monitoring Guidance. Vegetation monitoring will occur in the summer and will follow the CVS-EEP Protocol for Recording Vegetation (2008). 6.4 Other Parameters Photo Reference Stations Photographs should illustrate the Site's vegetation and morphological stability on an annual basis. Cross section photos should demonstrate no excessive erosion or degradation of the banks. Longitudinal photos should indicate the absence of persistent mid-channel bars within the channel or vertical incision. Grade control structures should remain stable. Deposition of sediment on the bank side of vane arms is preferable. Maintenance of scour pools on the channel side of vane arms is expected. Photographs will be taken once a year to visually document stability for seven years following construction. Permanent markers will be established and located with GPS equipment, so that the same locations and view directions on the Site are photographed each year. Photos will be used to monitor restoration and enhancement areas, as well as vegetation plots. Longitudinal reference photos will be established at regular intervals along the channel by taking a photo looking upstream and downstream. Cross sectional photos will be taken of each permanent cross section looking upstream and downstream. Reference photos will also be taken for each of the vegetation plots. Representative digital photos of each permanent photo point, cross section, and vegetation plot will be taken when the stream and vegetation assessments are conducted.The photographer will make every effort to consistently maintain the same area in each photo over time. Visual Assessments Visual assessments should support the specific performance standards for each metric as described above.Visual assessments will be performed along stream reaches on a semi-annual basis during the seven-year monitoring period. Problem areas such as channel instability(e.g. lateral and/or vertical instability, instream structure failure/instability and/or piping, headcuts),vegetation health (e.g. low stem density, vegetation mortality, invasive species, or encroachment), beaver activity, or livestock access will be noted.Areas of concern will be mapped and photographed and will be accompanied by a written description in the annual report. Problem areas will be re-evaluated during each subsequent visual assessment. Should remedial actions be required, a plan of action will be provided in the annual monitoring report. Benthic Macroinvertebrates If required by DWR as part of the project's permitting process, benthic macroinvertebrate sampling will be performed on the restored site. Any required sampling will be performed using DWR Standard Operating Procedures for Benthic Macroinvertebrates (October 2012). Widllands Tar Pamlico 01 Umbrella Mitigation Bank W Great Meadow Mitigation Site Draft Prospectus Page 17 7.0 Maintenance and Long-Term Sustainability 7.1 Maintenance The Bank shall be monitored on a regular basis and a physical inspection of the project shall be conducted at a minimum of once per year throughout the post-construction monitoring period until performance standards are met.These site inspections may identify site components and features that require routine maintenance. Routine maintenance will be conducted to rectify identified deficiencies and may include the activities listed in Table 10. Table 10. Maintenance Plan Component/ Maintenance through project close-out Feature Routine channel maintenance and repair activities may include chinking of in-stream structures to prevent piping,securing loose coir matting,and supplemental installations of live Stream stakes and other target vegetation along the channel.Areas where stormwater and floodplain flows intercept the channel may also require maintenance to prevent bank failures and head- cutting. Beaver dams that inundate the streams channels shall be removed and the beaver shall be trapped. Vegetation shall be maintained to ensure the health and vigor of the targeted community. Routine vegetation maintenance and repair activities may include supplemental planting, pruning, mulching,and fertilizing. Exotic invasive plant species affecting the viability of the Vegetation mitigation shall be controlled by mechanical and/or chemical methods.Any vegetation control requiring herbicide application will be performed in accordance with the NC Department of Agriculture(NCDA) rules and regulations. Site boundaries shall be identified in the field to ensure clear distinction between the bank site Site and adjacent properties. Boundaries may be identified by fence, marker, bollard, post,tree- Boundary blazing,or other means as allowed by site conditions and/or conservation easement. Boundary markers disturbed, damaged,or destroyed will be repaired and/or replaced on an as-needed basis. 7.2 Adaptive Management Upon completion of site construction,the Sponsor will implement the post-construction monitoring protocols and minor remedial actions (routine maintenance) will be performed as needed for the duration of the monitoring period.The Sponsor will notify the USACE immediately if monitoring results or visual observations suggest a trend towards instability, major remedial actions are needed, or that performance standards cannot be achieved. Should major remedial measures be required, the Sponsor will submit a Corrective Action Plan and coordinate with the USACE until authorization is secured to conduct the adaptive management activities.The Sponsor is responsible for funding and/or providing the services necessary to secure any necessary permits to support the proposed major remedial adaptive management actions, to implement the corrective action plan, and to deliver record drawings that depict the extent and nature of the work performed. If the USACE determines that the Bank is not meeting performance standards or the Sponsor is not complying with the terms of the instrument,the USACE may take appropriate actions, including but not limited to: suspending credit sales, utilizing financial assurances, and/or terminating the instrument. 7.3 Long Term Management Provisions The Sponsor will institute a Long Term Management Plan responsible for assessing the condition of the Bank and implementing maintenance provisions to maintain performance of the Bank.The proposed conservation easement will help to ensure that only IRT-allowable activities take place.This easement Widllands Tar Pamlico 01 Umbrella Mitigation Bank Great Meadow Mitigation Site Draft Prospectus Page 18 will be transferred to an IRT-approved non-profit organization once monitoring success criteria have been achieved. Ft 444:M - GO/ °+ S 4 April 9, 2021 1 INTRODUCTION Soil & Environmental Consultants, PA (S&EC, PA) was retained to perform a preliminary evaluation to assess the presence and extent of hydric soils onsite. The project areas are primarily covered with mixed hardwoods and contains several areas in fields planted with herbaceous grass. Soils with hydric indicator F3 were observed on all areas containing hydric soil with the exception of one area on the southern portion of the site which contained soils with hydric indicator F19. METHODOLOGY On March 23rd and 24th, 2021 S&EC, PA staff performed a hydric soil evaluation at the site. Hand auger borings were advanced on the property at locations as appropriate to approximately estimate the location and extent of hydric soils within the project area (Figure 1. Hydric Soils Map). Each soil boring was evaluated to assess the presence or absence of hydric soil indicators. Hydric soil indicators were identified utilizing the NRCS Field Indicators of Hydric Soils in the United States -A Guide for Identifying and Delineating Hydric Soils (Version 8.2, 2018). RESULTS Approximately 50 soil borings were performed within the study area in March of 2021. Soil characteristics were evaluated and all areas identified as containing hydric soils met the hydric soil criteria described below. Soil boring locations are indicated on the attached Figure 1. Hydric Soils Map. All hydric soil areas had a depleted matrix within 10" of the current land surface (F3 Indicator) except for borings 46 and 47 which had soils meeting the criteria for an F19 indicator. Hydric soil areas on the Shard Branch, Fox Branch, and Gideon Swamp are associated with existing wetlands. Indicator F3: Depleted Matrix Technical Description: A layer that has a depleted matrix with 60 percent or more chroma of 2 or less and that has a minimum thickness of either: (a) 2 in. (5 cm) if the 2 in. (5 cm) is entirely within the upper 6 in. (15 cm) of the soil, or (b) 6 in. (15 cm) starting within 10 in. (25 cm) of the soil surface. Indicator F19: Piedmont Floodplain Soils On active flood plains, a mineral layer at least 15 cm (6 inches) thick, starting at a depth <25cm (10 inches) from the soil surface, with a matrix (60 percent or more of the volume) chroma of less than 4 and 20 percent or more distinct or prominent redox concentrations occurring as soft masses or pore linings. 2 All areas evaluated are mapped as the poorly drained Wehadkee soil series (thermic Fluvaquentic Endoaquepts), the well-drained Georgeville (thermic Typic Kanhapludults), and the well-drained Wickham (thermic Typic Hapludults). However, hydric indicators were found within some areas containing each of these mapped soil types. The areas meeting the F3 hydric soil indicator were most like the Wehadkee (Fine-loamy, mixed, active, nonacid, thermic Fluvaquentic Endoaquept) and the areas meeting the F19 indicator were most like the Chewacla (Fine-loamy, mixed, active, thermic Fluvaquentic Dystrudepts) soil series. Non-hydric soils were also observed in these areas (Figure 1. Hydric Soils Map). Representative soil profile descriptions are provided in Table 1. Observations regarding depth to hydric indicators and redoximorphic features in non-hydric soils are provided in Table 2. The site has evidence of accelerated erosion caused by cattle grazing including incised stream channels and rills forming in fields. Borings observed during the site visit commonly had soils with oxidized iron concentrations in the upper portion of the profile and a depleted matrix beginning at 8 to 12 inches below current land surface. This suggests that incised stream channels from increased surface runoff in surrounding fields has drawn down the seasonal high water table within these areas. The presence of these concentrations also indicates reduced conditions associated with wetlands are not present within the upper portion of the profile. The presence of a depleted matrix lower in the profile suggests these reducing conditions could be restored if the water table is raised. 3 Table 1.
