Dear Mr. Mills:
The Washington Regional Office received a Coastal Stormwater Permit Application for the
River Run Apartments project on December 13, 2013. A preliminary review of that
information has determined that the application is not complete. The following
information is needed to continue the stormwater review:
Plan sheet C-5, page 2 of the Wet Detention Basin Supplement and the
calculations are showing different numbers for the following:
• Temporary Pool area (14,198 sf, 12,100 sf. And 14,193 sf)
• Required Perm. Pool area (9,932 sf, 6,952 sf and 9,932 sf)
• SA/DA is shown as 3.5 instead of 5.00 on wet detention
supplement on two places;
• Perm. Pool area provided (11,983 sf, 11,863 sf.;
Please revise incorrect numbers and resubmit back for approval.
The requested information should be received in this Office prior to December 27, 2013,
or the application will be returned as incomplete. The return of a project will necessitate
resubmittal of all required items, including the application fee.
The construction of any impervious surfaces, other than a construction entrance under
an approved Sedimentation Erosion Control Plan, is a violation of NCGS 143-215.1 and
is subject to enforcement action pursuant to NCGS 143-215.6A.

River Run Apartments Narrative
River Run Apartments is being developed as a 48 unit apartment development
consisting of 6 two story buildings along with a community center, amenity areas and
associated drives and parking areas. The site is located off Winfield Road
approximately 400 ft southeast of the intersection of Winfield Street and US Highway 17
in the Town of Chocowinity.
The project site is located in an existing farm field with no blue line streams on a USGS
Quad Map or NRCS Soils Map. The site is 6.14 acres with a proposed disturbed area of
5.55 Acres. The site will be high density with impervious area at 2.28 ac (37.1 % BUA)
and a Wet Detention Pond will be used to meet the Stormwater BMP requirements.

approvals and land disturbing activities necessary to obtain all permits from the appropriate
governmental authorities necessary for the development of the Property. We agree that no
permanent work will be done on the Property until the Property is conveyed to River Run
Apartments, LLC.

This Assignment of Option is entered this 2nd day of Deceinber, 2013. In consideration of
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, FGM
Development, LLC, a North Carolina limited liability company (the "Assignor") hereby assigns to
River Run Apartments, LLC (the "Assignee") all of Assignor's right, title and interest in and to that
Option Agreement between Assignor and Friedman/Ravenwood, LLC dated January 3, 2013 which
is attached hereto as Exhibit A and incorporated herein by reference ("Option") for acquisition of that
approximately 6 acre portion of that 24.92 acre tract located in Chocowinity, Beaufort County, North
Carolina ("Property").
Assignor hereby agrees to indemnify Assignee against and hold Assignee harmless from any
and all cost, liability, loss, damage, or expense, including, without limitation, reasonable attomcy's
tees and costs, originating prior to the date of closing of transfer of title of the Property to Assignee
and arising out of Assignor's obligations prior to such date under the Option. Assignee hereby agrees
to hold Assignor harmless from any and all cost, liability, loss, damage or expense, including,
without limitation, reasonable attomey's fees, originating on or after the date of this Assignment and
arising out of the Assignee's obligations from and after such date under the Option.
This Agreement maybe executed and delivered in any number ofcounterparts, each of which
so executed and delivered shall be deemed to be anoriginal and all of which shall constitute one and
the same instrument.

OPTION AGREEMENT
COUNTY OF BEAUFORT
THIS OPTION AGREEMENT ("Agreement" or "Option"), made and entered into this
the 3 day of January, 2013 by and between FGNI Development, LLC, (hereinafter called
"Buyer"),, and Fried man/Raven wood, LLC, (hereinafter called "Seller");
W ITNESSETH:
That for and in consideration of Two Thousand and No/100 Dollars ($2,000.00) (the
"Option Money") and other good and valuable considerations paid to Seller by Buyer, the receipt
of which is hereby acknowledged, and in further consideration of the mutual promises and
conditions expressed below, Seller hereby grants to Buyer, its successors and assigns, the sole
and exclusive right to purchase, at the price and subject to the terms, conditions and provisions
hereinafter stated, that certain approximately 6 acre portion of the 24:92 acre parcel of land
situated in Beaufort County, North Carolina, being known as 24.92 AC TR 1 Stanley
Friedman et al US 1'7 & SR t142, Chocowinity, North Carolina (Parcel Identification
Number 11015050), and being more particularly shown on the map attached hereto as Exhibit
A, and by reference made it part hereof. (the "Property").
NOW, THEREFORE, the parties hereto agree each with the other as follows:
L. Term. This Option shall become effective as of the date set forth above and shall
exist- and continue through May 31, 2013, at which time it will expire unless by such date the
term is extended as set forth below. (The foregoing time period and any extended term, if any,
shall be deemed the "Option Term"). Buyer shall have the right to extend the Option Term for
an additional amount of Three Thousand Dollars ($3,000.00), which shall be added to the Option
Money. Upon payment of the above sum to Seller prior to 5:00 pan. on May 31, 2013, the
Option Term shall be extended through October 31, 2013. Buyer shall have the right to extend
the Option Term a second time for an additional amount of Ten Thousand Dollars ($10,000.00),
which shall be added to the Option Money. Upon payment of the above sum to Seller prior to
5:00 p.m. on October 31, 2013, the Option Term shall be extended through March 31, 2014.
If Buyer provides written notice to Seller on or before May 31, 2013 that Buyer is not
extending the Option or is not exercising the Option, the Option Money (Two Thousand and
No/100 Dollars ($2,000.00)) shall be nonrefundable. Any additional amounts paid for extensions
of the Option shall be fully refundable to Buyer if the Option is not exercised.
2. Option Money. The Option Money and all additions thereto for extensions of the
Option Term shall be credited against the purchase price of the Property.
3. Exercise of Option. The option herein granted may be exercised only by the
giving of written notice of exercise of the Option to Seller by Buyer, which notice shill be in
accordance with the provisions of Paragraph 16 hereof, and which only be given at anv time
within (he Option Term. If this Option Agreement is not exercised as to the Property during the
Option Term, all rights of Buyer shall cease and terminate and, except as otherwise set forth in
this Agreement, the Option Money shall he retained by the Seller.
4. Purchase Price. The Purchase Price for the Property shall be $30,000 per acre,
less Option Money, payable in cash at closing.
5. Closing Date. Closing on the Property shall be no later than March 31, 2014 or
earlier upon no less than five (5) written days notice to Seller.
6. Title. At Closing, Seller shall deliver to Buyer indefeasible and marketable fee
simple title to the Property, free and clear of any deeds of trust, liens, security interests,
encumbrances or other restrictions other than easements currently existing of record. If Buyer's
title search and/or title insurance commitment reveals any objectionable title matters (in Buyer's
reasonable discretion), Buyer shall have the right to notify Seller in writing of any defect or
condition related to the.title insurance commitment that materially affects the title to the Property
or the use of the Property as a multi -family residential development. Seller shall have five (5)
days after the receipt of such written notice to correct said defects or conditions. If Seller is
unable or unwilling to correct such defects or conditions, and unless Buyer elects to purchase the
Property with the particular defect or condition uncorrected, Buyer shall have the option to
terminate this Agreement and receive a return of the Option Money, regardless of whether the
Option has been exercised. if Seller is unable or unwilling to correct. such defects within said
five (5,) days, Buyer shall then have five (5) days in which to notify Seller of the Buyer's election
to terminate this Agreement. The failure, of the. Buyer to give Seller written notice of its election
to terminatethe Agreement shall constitute a waiver of the condition or defect and shall be
deemed an election to purchase the Property with the particular defect or condition uncorrected.
Title shall be conveyed by a special warranty deed in recordable form with all required
tax stamps affixed conveying marketable indefensible, fee simple (in fact, and insurable so to be)
title, free and clear of all liens and encumbrances save and except only easements of record as of
the date of this Option and exceptions consented to by Buyer as set forth in the foregoing
paragraph, ad valorem taxes for the calendar year of Closing (to be prorated on a calendar year
basis as of the Closing Date), and such state of facts as is revealed by a current and accurate
survey of the Property which reveals items arising after the date of this Option. Except as
consented to by Buyer, Seller shall do frothing which impairs such title to the Property as Seller
now owns during the Option Term.
7. Closing Costs. At Closing. Seller shall pay the cost of the deed preparation, the
excise tax stamps to be placed on the general warranty deed, any instruments which may be
required to clear the title of any, prior liens, and any counsel fees for counsel employed or
retained by Seller. Buyer shall pay for title examination, title policy, surveys, recording fees and
for any counsel fees Buyer incurs in the. transaction.
8. Rezonint. On or before May 1, 2013, Buyer shall cause the Property to be
rezoned a classification that permits the Property to be used for multifamily development of not
less than ten (10) units per acre. Buyer shall be responsible for all fees, costs and other expenses
associated with the rezoning. Seller shall sign all applications and related documents reasonably
required for the rezoning. Seller shall use best efforts to attend rezoning hearings and meetings.
9. Subdivision. On or before Closing, as a condition of Closing. Seller shall
subdivide the Property from [he Larger Parcel at Buyer's sole cost and expense. Seller shall sign
all applications and plats reasonably required for the subdivision.
10. Inspection. Seller does hereby agree to provide access to Buyer and its engineers
and agents to the Property for purposes of undertaking such surveys, inspections or such other
tests and analyses as Buyer may deem necessary and appropriate. At such time as the Option
Contract is terminated by either Buyer or Seller, Buyer shall provide Seller with copies of all
inspections items, due diligence materials, etc. that were prepared by the Buyer or by agents of
the Buyer. Seller consents to Buyer applying for any zoning and/or land use permits relative to
residential zoning, applying for and receiving notice that it has received a reservation of housing
tax credits from the North Carolina Federal Tax Reform Allocation Committee, determining Ilte
permits, approvals and licenses necessary for its use of the Property, performing tests and audits
at the Property, securing any approvals from the State of North Carolina and local municipalities
that Buyer determines necessary , and conducting a survey of the Property. Seller shall
cooperate with Buyer in any applications it files for zoning add/or land use permits: securing of
approvals, licenses and permits; surveying the Property; obtaining title insurance; conducting
tests and audits; and inspecting the property. All expenses associated with the inspection of the
property shall be paid for by Buyer. Buyer does hereby agree to indemnify and hold Seller
harmless from any loss or liability that may occur as a result of such inspection activity that nnay
be undertaken by Buyer, its engineers or agents.
11. Government Approvals. Seller consents to Buyer obtaining (i) water and sewer
approvals and allocations and (ii) all necessary permits from the appropriate governmental
authorities for the construction of a multi -family residential development on the Property.
12. Condemnation. If Buyer elects to close, then Seller, at its discretion, shall have
the option to assign to Buyer the entire proceeds from such taking and Buyer shall be entitled to
pursue the claim and retain all it is aide to collect for such taking. If Buyer elects to close. Seller
may also have the option to terminate this Option Agreement and retain all rights to an eminent
domain claim on the Property.
13. Closing Documents. At Closing, Seller will execute, acknowledge and deliver to
Buyer a general warranty deed with tax stamps affixed conveying title as hereinbefore required,
will deliver such lien waiver or affidavit as Buyer's title insurer may require to insure against any
possible unfiled and unpaid laborer's or nnaterialmen's liens, together with such other papers and
docurents as may be reasonably necessary in connection with the completion of tine closing.
14. Possession. Possession of the Property shall be delivered to Buyer at the time of
Closing. In [he event the Option is exercised, Buyer shall be responsible for its pro-rata share of
the ad valorem properly taxes for the Property, computed on it calendar year basis.

15. Reoresentations of Seller. Seller represents and warrants to Buver that, to the best
of the knowledge of Seller, the following:
it. There is not now, nor has there ever been located in, on, or about the Properly anV,
Pollutants, contaminants, gas or petroleum products, or other hazardous or toxic materials. the
presence of which is either penalized or prohibited or removal required by anv local, state, or
federal government instrumentality or by applicable laws, statutes, or regulations. The parties
acknowledge that Buyer, as a part of its due diligence, will obtain a Phase I Environmental
Audit, at Buyers sole cost and expense, to determine the environmental condition of the
Property. If an environmental condition occurs which adversely affects the Property between the
time of the initial Phase I and any Phase I update, then Buyer shall have the right to terminate
this Agreement and receive a refund of all Option Money, regardless of whether the Option has
been exercised.
b. The Option has been duly executed and delivered by Seller, constitutes the valid
and binding agreement of Seller, and is enforceable in accordance with its terms.
c. To the best of the Sellers knowledge there is no action, suit, or proceeding, pending
or known to be threatened, against Seller, the Property or which would affect the Property.
d. Seller has not filed it petition or an answer seeking reorganization or an
arrangement with creditors or to take advantage of any insolvency or bankruptcy law.
C. Seller has fee simple title to the Property, has the exclusive right of possession of
the Property and there are no leases affecting the Property.
f. Seller has not entered into any agreement, oral or written, other than this
Agreement, with reference to the Property.
g. Seller has not received any notice from any city, county or other governmental
authority of any taking of the Property, or any portion thereof, by eminent domain or similar
proceeding, and no such taking or other condemnation of the Property, or any portion thereof,
shall be threatened or contemplated by any governmental authority.
It. Seller has no knowledge of any change or proposed change in the route, grade or
width of or otherwise affecting, any street or road adjacent to or serving the Property.
16. Notices. Any notice or other communications hereunder shall be in writing and
shall be deemed to have been given (unless otherwise set forth herein), if delivered in person.

17. Entire Aereernent. This Agreement and any exhibits hereto and other documents
incorporated or referred to, herein, contains the entire Agreement of the parties and there are no
representations, inducements or other provisions other than those expressed in writing. All
changes, additions or deletions hereto must be in writing and signed by all the parties. Any and
all references herein to the Seller or Buyer shall be deemed to include their respective successors,
heirs or permitted assigns.
1.8. Assignment. The rights of Buyer hereunder shall be assignable if the principals to
the Option Contract are principals in the entity to which the Option Contract is assigned. Buyer
shall provide Seller with written notice, no linter than five days, from such time as the Option
Contract may be assigned.
19. Default. Should Buyer default raider this Option and if and such default is not
cured within ten (10) days of written notice from Seller to Buyer (or.such additional period of
time as shall he necessary to effect a cure provided Buyer is proceeding.in good.failh with it
cure), there shall be deemed an event of default.hereunder by Buyer. For any event of default by
Buyer hereunder, Seller shall retain the Option Money as its sole and. exclusive remedy.
In the.event Seller shall default hereunder, Buyer may either elect to (i) terminate this
Option and receive a return of the Option Money and file a lawsuit for damages or (ii) seek
specific performance of S611er's obligation to convey title to the Property to Buyer in accordance
herewith.
20. Si us. This Agreement shall be governed in all respects by and construed under
the laws of the State of North Carolina.
21. Memorandum. On request of Buyer, Seller agrees to execute it memorandum of
this Agreement in recordable form, setting forth in general terms the rights granted to Buyer
hereunder pursuant to North Carolina law.

22. Time for Acceptance. If this Agreement is not executed by both Seller and Buycr
on or prior to December 17, 2012, the Option Money shall, at the option of Buyer by written
notice to Seller, be returned to Buyer and this Agreement Shall be null and void.
IN WITNESS WHEREOF, Seller and Buyer, intending to be legally bound, have
executed this Agreement and affixed their seals in duplicate as of the day and year first above
written.

Agreement Conditions
The Buyer is seeking federal funds through the State of North Carolina's HOME Investment Partnership Program to acquire
property owned by the Seller to construct it multifamily rental project (Project). In accordance with the requirements of the
Uniform Relocation Assistance and Real Property Acquisitions Policies Act of 1970, as amended, and all rules and/or
regulations implemented or promulgated thereunder, the Seller is hereby notified that:
Voluntary Sale
1. This sale is voluntary. 'rhe Buyer does not have the power of eminent domain and cannot acquire the proPerty if
negotiations fail to result in an agreement.
2. Because this is a voluntary transaction, the Buyer will he unable to acquire the property offered for sale if
negotiations fail to result in an agreement.
3. The Buyer will inform the Seller of the property's estimated fair market value prior to acquisition.
d. While federal funds will be used in the acquisition of the Sellers property. the Seller WILL NOT be entitled to any
relocation benefits.
S. Any tenant legally occupying the property is eligible to receive relocation assistance and benefits as identified in the
Uniform Relocation Assistance, and Real Property Acquisition Policies Act of 1970, as amended.
Timely Notices
1. The Seller authorizes the Buyer, the funding agency, or a designated representative to provide to each resident (if
any) notices required by I-IUD's instructions.found in I -IUD Handbook 1378,
2. The Seller authorizes the Buyer, the funding agency, or it designated representative to provide or permit to be
provided a notice of denial to any person who wishes to apply to become it tenant. Before signing a lease and
commencing occupancy, the person must be informed of the following:
A. If the Project is funded, the person may be displaced; and,
13. The person would not qualify as a "displaced person" as a result of the Project and would therefore not be
eligible to receive relocation assistance or benefits.
