Box 250,Apex,NC, 27502 NORTH CAROLINA INDEMNIFICATION AGREEMENT WAKE COUNTY THIS INDEMINIFICATION AGREEMENT("Agreement") is made on the date indicated on the signature page to this Agreement by ma Homes of Raleigh,LLC, a Delaware limited liability company (the"Company"),to the Town of Apex, (the"Town"). Company and the Town are sometimes referred to herein individually as a"party"and together as the"parties." BACKGROUND 1. IDENTIFY THE PROPERTY WHERE ROAD IS TO BE CONSTRUCTED. Company is the contract purchaser of that certain tract of real property located at 3120 Olive Farm Road, Apex, NC 27502; PIN 0720075965, (the "Property') as described in the deed recorded in Book 15075,Page 1886 at the Wake County Register of Deeds. 2. Company desires to construct an extension to Horton Ridge Boulevard which shall be in general conformity with construction drawings for the Retreat at Friendship project that have been approved by the Town of Apex (the"Project"). 3. In consideration of Company indemnifying Town for Company's construction activities related to the Project listed in Part 2 of the Background Section of this Agreement, and, subject to the terms of this Agreement, Town is willing to make application to the United States Army Corps Engineers ("USACE")required for the Project. 4. Company shall be responsible for all conditions, special conditions, requirements, notifications,and certifications associated with the Pre-Construction Notification 401/404 Permits, Nationwide Permit 14, and any other required Regional and Nationwide General Permits issued by the United States Army Corps of Engineers ("USACE") and the N.C. Department of Environmental Quality ("NCDEQ") required for the Project. The Town shall not be responsible 1 310067051.2 for,nor held liable for any additional permit modifications,fees,violations, or other requirements set forth by either permitting agency in conjunction with the Project. NOW,THEREFORE, in consideration of the foregoing, the mutual desires of the parties to this Agreement, and other valuable consideration paid to Company,the receipt of sufficiency of which is acknowledged by the Town, Company hereby indemnifies Town as follows: INDEMNIFICATION 1. To the maximum extent allowed by law, Company shall indemnify and save harmless Town from and against all injuries, loss or damages, obligations, penalties, and fines (including but not limited to those levied by NCDEQ)that arise in any manner from,in connection with, or out of construction of the Project as a result of acts of Company or its subcontractors or anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, including any unpermitted work or notices of violation while working under Town's environmental permits. 2. Notwithstanding anything else contained herein, Town shall not require the Company to indemnify, defend, or hold harmless the Town against injury, loss or damages, obligations and fines arising out of or proximately caused by or resulting from the negligence or willful misconduct,in whole or in part,of the Town,its officers,officials,independent contractors, agents,employees. GENERAL TERMS 1. The construction of the Project by or on behalf of Company pursuant to this Agreement shall be done in compliance with all laws,ordinances,and regulations of the applicable governmental entities. 2. If any provision of this Agreement or the application thereof to any person, legal entity, or circumstance shall, for any reason and to any extent, be invalid or unenforceable, the remainder thereof and the application of such provision to other persons, legal entities, and circumstances shall not be affected hereby, but shall be enforced to the greatest extent permitted by law. 3. This Agreement and the enforcement of its provisions shall be governed by and construed under the laws of the State of North Carolina. The Corps of Engineers believes that there may be jurisdictional aquatic resources in the review area, and the requestor of this PJD is hereby advised of his or her option to request and obtain an approved JD (AJD) for that review area based on an informed decision after having discussed the various types of JDs and their characteristics and circumstances when they may be appropriate. 2. In any circumstance where a permit applicant obtains an individual permit, or a Nationwide General Permit (NWP) or other general permit verification requiring "pre-construction notification" (PCN), or requests verification for a non-reporting NWP or other general permit, and the permit applicant has not requested an AJD for the activity, the permit applicant is hereby made aware that: (1)the permit applicant has elected to seek a permit authorization based on a PJD,which does not make an official determination of jurisdictional aquatic resources; (2)the applicant has the option to request an AJD before accepting the terms and conditions of the permit authorization, and that basing a permit authorization on an AJD could possibly result in less compensatory mitigation being required or different special conditions; (3)the applicant has the right to request an individual permit rather than accepting the terms and conditions of the NWP or other general permit authorization; (4) the applicant can accept a permit authorization and thereby agree to comply with all the terms and conditions of that permit, including whatever mitigation requirements the Corps has determined to be necessary; (5) undertaking any activity in reliance upon the subject permit authorization without requesting an AJD constitutes the applicant's acceptance of the use of the PJD; (6) accepting a permit authorization (e.g., signing a proffered individual permit) or undertaking any activity in reliance on any form of Corps permit authorization based on a PJD constitutes agreement that all aquatic resources in the review area affected in any way by that activity will be treated as jurisdictional, and waives any challenge to such jurisdiction in any administrative or judicial compliance or enforcement action, or in any administrative appeal or in any Federal court; and (7)whether the applicant elects to use either an AJD or a PJD,the JD will be processed as soon as practicable. Further, an AJD, a proffered individual permit (and all terms and conditions contained therein), or individual permit denial can be administratively appealed pursuant to 33 C.F.R. Part 331. If,during an administrative appeal, it becomes appropriate to make an official determination whether geographic jurisdiction exists over aquatic resources in the review area, or to provide an official delineation of jurisdictional aquatic resources in the review area, the Corps will provide an AJD to accomplish that result, as soon as is practicable.
