EEP's River Bend BMP site (EEP #668) is a stormwater wetland BMP located in River Bend, North
Carolina within the Neuse River basin CU 03020204. The project was initiated by NCEEP to offset
nutrient loading as a third -party credit provider in the Neuse River basin (15A NCAC 02B .0240).
This site was selected because it will treat a large, fully developed watershed. There was an existing
undersized, under- performing BMP at the site that was expanded and modified for improved water
quality benefit to the receiving water. The current property owner (Town of River Bend) was strongly
supportive of the project. A stormwater treatment wetland works well in the area because of a consistent
water source from the large watershed. The visual appeal of a wetland is a significant benefit as the site is
heavily trafficked. NCSU recommended this site to EEP as it was a rare opportunity to find a location in
the Neuse River Basin that can treat 115 acres at such a low cost and with property owner cooperation.
The stormwater wetland is designed to remove 193.73 lbs /year of nitrogen, generating a 30 -year credit
value of 5811.9 lbs reduction of Total Nitrogen. Additionally, the project is designed to reduce 785.4 lbs
of total phosphorous (TP) over 30 years; however, TP reduction credit is not available in the Neuse River
basin.

Site Constraints: There is a 6 inch water line running through the middle of the
available area, 5 -6 feet deep

Project Notes: This site was selected because it will treat a large, fully developed
watershed. There is currently an undersized, under - performing BMP at the site
that can be expanded and modified for improved water quality benefit to the
receiving water. The current property owner (Town of River Bend) is strongly
supportive of the project.
A stormwater treatment wetland would work well in the area because of a

on one side of the existing water line crossing the site, but it could easily expand
to another cell on the other side of the line since the line is so deep.

THIS AGREEMENT, made and entered into this 25th day of January, 2006,
by and between Town of River Bend, hereinafter referred to as "CONTRACTOR", and
North Carolina Department of Environment and Natural Resources, hereinafter referred to
as "DEPARTMENT';
WITNESSETH:
THAT WHEREAS, the CONTRACTOR has submitted to the DEPARTMENT a
proposal for the.performance of certain technical or professional services; and
WHEREAS, the DEPARTMENT desires to enter into a contract with the
CONTRACTOR to perform the services set out in the proposal;
NOW, THEREFORE, for and in consideration of the mutual promises to each
other, as hereinafter set forth, the parties hereto do mutually agree as follows:
1. . The CONTRACTOR hereby agrees to perform, in a manner
satisfactory to the DEPARTMENT, services for the proper maintenance of a Stormwater
BMP constructed on property owned by the Town of River Bend for a period of thirty (30)
years from the completion of construction, as described in Attachment A which is
incorporated as part of this contract.
2. The services of the CONTRACTOR are to commence on the 1st day
of February, 2006 and shall be undertaken and completed in such sequence as to assure
their expeditious completion in the light of the purposes of this agreement, but in any event,
all of the services required hereunder shall be completed by the 31st day of January, 2036.
3. The DEPARTMENT hereby agrees to pay the CONTRACTOR a sum
of money not to exceed ZERO DOLLARS ($0.00), said sum to be full and complete
compensation for services rendered under this agreement.
(a) Payment for services will be made upon receipt and approval of
invoice(s) from the CONTRACTOR documenting the costs incurred in the performance of
work under this contract.
(b) All travel, lodging, and subsistence costs are included in the
contract total and no additional payments will be made in excess of the contract amount
indicated above. Contractor must adhere to the travel, lodging and subsistence rates
established in the Budget Manual for the State of North Carolina.
(c) Invoices are to be submitted to the Contract Administrator at
least quarterly. Final invoice must be received by the DEPARTMENT within 45 days after
the end of the contract period.
(d) Amended or corrected invoices must be received by the Office
of the Controller within six months after the end of the contract period. Invoices received
more than six months after the end of the contract period will be returned without action.

4. The Contractor shall be considered to be an independent contractor
and as such shall be wholly responsible for the work to be performed and for the
supervision of its employees. The Contractor represents that it has, or will secure at its own
expense, all personnel required in performing the services under this agreement. Such
employees shall not be employees of, or have any individual contractual relationship with
the DEPARTMENT.
5. The CONTRACTOR shall not substitute key personnel assigned to the
performance of this contract without prior approval by the Contract Administrator. The
following individual is designated key personnel for purposes of this contract: John R.
Kirkland.
6. Norie of the work to be performed under this contract which involves
the specialized skill or expertise of the CONTRACTOR or his employees shall be
subcontracted without prior approval of the Contract Administrator. In the event the
CONTRACTOR subcontracts for any or all of the services or activities covered by this
contract: (a) the CONTRACTOR is not relieved of any of the duties and responsibilities
provided in this contract; (b) the subcontractor agrees to abide by the standards contained
herein or to provide such information as to allow the CONTRACTOR to comply with these
standards, and; (c) the subcontractor agrees to allow state and federal authorized
representatives access to any records pertinent to its role as a subcontractor.
7. The CONTRACTOR'shall comply with all laws, ordinances, codes,
rules, regulations, and licensing requirements that are applicable to the conduct of its
business, including those of federal, state, and local agencies having jurisdiction and /or
authority.
8. The CONTRACTOR shall take affirmative action in complying with all
federal and state requirements concerning fair employment and employment of people with
disabilities, and concerning the treatment of all employees without regard to discrimination
by reason of race, color, religion, sex, national origin, or disability.
9. If, through any cause, the CONTRACTOR shall fail to fulfill in timely
and proper manner the obligations under this agreement, the DEPARTMENT shall there
upon have the right to terminate this contract by giving written notice to the CONTRACTOR
of such termination and specifying the reason thereof and the effective date thereof. In that
event, all finished or unfinished documents, data, studies, surveys, drawings, maps, models,
photographs, and reports prepared by the CONTRACTOR shall, at the option of the
DEPARTMENT, become its property, and the CONTRACTOR shall be entitled to receive
just and equitable compensation for any satisfactory work completed on such documents
and other materials. The CONTRACTOR shall not be relieved of liability to the
DEPARTMENT for damages sustained by the DEPARTMENT by virtue of any breach of this
agreement, and the DEPARTMENT may withhold payment to the CONTRACTOR for the
purpose of set off until such time as the exact amount of damages due the DEPARTMENT
from such breach can be determined.
10. This contract may be terminated by either party upon thirty (30) days
notice given in writing by one party to the other. If the contract is terminated, all finished or
unfinished documents and other materials shall, at the option of the DEPARTMENT,
become its property. Termination of the contract by the CONTRACTOR shall not prohibit
the DEPARTMENT from seeking remedy for additional -costs consequential to the
termination, which are incurred by the DEPARTMENT. If the contract is terminated by the
DEPARTMENT as provided herein, the CONTRACTOR will be paid in an amount which
bears the same ratio to the total compensation as the services actually performed bear to
the total services of the CONTRACTOR covered by this agreement; for costs of work

performed by subcontractors for the CONTRACTOR provided that such subcontracts have
been approved as provided herein; or for each full day of services performed where
compensation is based on each full day of services performed, less payment of
compensation previously made. The CONTRACTOR shall repay to the DEPARTMENT any
compensation he has received which is in excess of the payment to which he is entitled
herein.
11. The parties to this contract agree and understand that the payment of
the sums specified in this contract is dependent and contingent upon and subject to the
appropriation, allocation, and availability of funds for this purpose to the DEPARTMENT.
12. The CONTRACTOR shall hold and save the State, its officers, agents,
and employees, harmless from liability of any kind, including all claims and losses, with the
exception of consequential damages, accruing or resulting to any other person, firm, or
corporation furnishing or supplying work, services, materials, or supplies in connection with
the performance of this contract, and from any and all claims and losses accruing or
resulting to any person, firm, or corporation that may be injured or damaged by the
CONTRACTOR in the performance of this contract and that are attributable to the
negligence or intentionally tortuous acts of the CONTRACTOR provided that the
CONTRACTOR is notified in writing within 30 days that the State has knowledge of such
claims. The CONTRACTOR represents and warrants that it shall make no claim of any kind
or nature against the State's agents who are involved in the delivery or processing of
CONTRACTOR goods to the State. The representation and warranty in the preceding
sentence shall survive the termination or expiration of this contract.
13. Any CONTRACTOR receiving at least $15,000 but less than $500,000
in state funds from the DEPARTMENT within any fiscal year is required to file with each
funding state agency a sworn accounting of receipts and expenditures of state funds in the
format approved by the State Auditor. This accounting must be attested to by the
CONTRACTOR fiscal officer and one other authorizing officer of the CONTRACTOR. This
accounting must be filed with each funding state agency within six months after the end of
the CONTRACTOR'S operating year. If the CONTRACTOR receives STATE funds of
$500,000 or more during its fiscal year, it must file with the State Auditor and each funding
agency its audited financial statements in accordance with the standards and formats
prescribed by the State Auditor in Memorandum NGO -2 "Grantee Audit Reports." If the
CONTRACTOR receives $500,000 or more in FEDERAL awards during its fiscal year from
any source, including federal funds passed through the State or other grantors, it must
obtain a single audit or program - specific audit conducted in accordance with the Federal
Office of Management and Budget's Circular A -133 "Audits of States, Local Government
and Non - Profit Organizations." If the above amounts are not met by one single funding
agency, but rather any combination of funding agencies, then the appropriate reports shall
be sent to the Office of the State Auditor and to the DEPARTMENT. Also, a corrective
action plan for any audit findings and recommendations must be submitted along with the
audit report or within the period specified by the applicable OMB Circular or Memorandum.
14. The DEPARTMENT may, from time to time, request changes in the
scope of the services of the CONTRACTOR to be performed under this agreement. Such
changes, including any increase or decrease in the amount of the CONTRACTOR'S
compensation, which are mutually agreed upon by and between the CONTRACTOR and the
DEPARTMENT, shall be incorporated in written amendments to this contract.
15. Any information, data, instruments, documents studies or reports given
to or prepared or assembled by the CONTRACTOR under this agreement may be published
by the CONTRACTOR or its employees, or distributed by the CONTRACTOR to any other
individual or organization. Prior to entering into an agreement to publish, or prior to

publishing, the CONTRACTOR or its employees shall give the DEPARTMENT a reasonable
opportunity to review any such proposed publication solely for the purpose of determining if
the DEPARTMENT wishes to be given credit for its funding role in the preparation of any
such information, data, instruments, documents, studies, or reports. If the DEPARTMENT
determines that it wishes to be given credit, then CONTRACTOR shall take all necessary
steps to assure that credit is given by the publisher. Otherwise, the CONTRACTOR may
proceed to enter into any agreement to publish, or may publish, but shall not acknowledge
any participation by the DEPARTMENT.
16. The CONTRACTOR shall ensure that all publications produced as a
result of this contract are printed double -sided on recycled paper.
17. Upon the entering of a judgment of bankruptcy or insolvency by or
against the CONTRACTOR, the DEPARTMENT may terminate this agreement for cause.
18. Neither party shall be deemed to be in default of its obligations
hereunder if and so long as it is prevented from performing such obligations by any act of
war, hostile foreign action, nuclear explosion, riot, strikes, civil insurrection, earthquake,
hurricane, tornado, or other catastrophic natural event or act of God.
19. The CONTRACTOR shall not assign or transfer any interest in this
agreement.
20. No reports, maps or other documents produced in whole or in .part
under this agreement shall be the subject of an application for copyright by or on behalf of
the CONTRACTOR.
21. The place of this contract, its situs and forum, shall be Wake County,
North Carolina, where all matters, whether sounding In contract or tort, relating to its validity,
construction, interpretation and enforcement shall be determined.
22. The State Auditor shall have access to persons and records as a
result of all contracts and grants entered into by State agencies or political subdivisions in
accordance with General Statute 147 -64.7. The Contractor shall retain all records for a
period of three years following completion of the contract or until any audits begun during
this period are completed and findings resolved, whichever is later.
23. The CONTRACTOR agrees that he shall be responsible for the proper
custody and care of any State owned property furnished him for use in connection with the
performance of his contract and will reimburse the State for its loss or damage.
24. Jeff Jurek is designated as the Contract Administrator (project
administrator) for the State. However, any changes in the scope of the contract which will
increase or decrease the CONTRACTOR'S compensation shall not be effective until they
have been approved by the DEPARTMENT Head or Authorized Agent.

SCOPE OF WORK
A. Introduction
The mission of the NCDENR Ecosystem Enhancement Program (EEP) is to restore,
enhance, and preserve wetlands, streams, and riparian buffer areas, and to reduce the
discharge of nutrients into surface waters throughout North Carolina's 17 major river
basins with the overall goals of improving water quality, in- stream and riparian habitat.
EEP is interested in restoring and protecting the watershed functions of the Trent River
Drainage area, which includes the Town of RIVER BEND (TORB). The construction of
stormwater treatment systems, commonly referred to as Stormwater Best Management
Practices ( Stormwater BMPs) is an accepted method of improving water quality by
reducing nutrient discharges into surface waters of the State. This scope of work (SOW)
will be used to develop a Memorandum of Agreement (MOA) between EEP and TORB
for a Stonmwater BMP to be located on property owned by TORB.
B. Background
The purpose of this SOW is to define and set forth the responsibilities of TORB and EEP
for the design, construction and maintenance of a Stormwater BMP. The entire costs
associated with the design and construction of the Stormwater BMP will be funded by
EEP through other contracts. Maintenance of the Stormwater BMP to ensure proper
function will be the responsibility of TORB and no monies will be paid to TORB. The
Stormwater BMP will be constructed on a parcel of land located near the intersection of
Plantation Drive and Shoreline Drive in River Bend, Craven County, North Carolina.
The project site is identified as PIN # 8- 201 -040 in the Craven County Register of Deeds.
The Project is intended to enhance water quality within the Trent River Drainage Area
(Cataloging Unit # 03020204, Hydrologic Unit 03020204010100) through the reduction
of nitrogen and phosphorous discharges into surface waters within the watershed. This
reduction is to be accomplished through the use of a Stormwater Wetland BMP as
outlined in the RIVER BEND PROJECT STATEMENT, a copy of which is attached
hereto as ATTACHMENT 1. It is anticipated that the Stormwater Wetland BMP will
reduce Total Nitrogen discharges from the 115 acre sub - watershed by approximately
40%, or 194 pounds per year, and Total Phosphorous discharges by approximately 35 %,
or 26 pounds per year.
C. Scope of Work
Tasks and Responsibilities for TOWN OF RIVER BEND
The Project is located entirely on property owned by and within the jurisdiction of
TORB.
The primary responsibilities of TORB during and after construction of the Project will
be:

1. To work cooperatively to develop and implement a design plan that is agreeable to
both entities. Both entities also agree to work cooperatively to develop a remedial
action plan (RAP) that is agreeable to both entities in the event that post - construction
remedial activities are necessary. Details related to the implementation of the RAP
will be jointly discussed by both entities as necessary.
2. To provide a designated contact person from TORB to coordinate and review all
aspects of the Project with EEP and its contractors or consultants. TORB will
respond in writing to any Project approval request within thirty (30) days frow. the
date of request. If TORB fails to respond within thirty (30) days of the request, the
request will be deemed approved by the TORB.
3. To provide and ensure that EEP, its contractors and its consultants will be allowed
reasonable access to the Stormwater BMP Project work site during normal working
hours.
4. To provide for public safety and work place security by keeping work areas closed to
the public as necessary throughout the constructions phases of the Project.
Contractors will follow standard OSHA guidelines and will post the construction site.
5. TORB will designate a contact person and/or Public Information Officer that will
notify or consult with EEP prior to issuing news releases relating to the Project.
6. To meet with EEP and/or its contractors and consultants at least every two months to
review and assess the Project's plans and progress.
6 TORB will submit a Stormwater BMP maintenance and inspection report to EEP
every two (2) years for a period of thirty (30) years at no cost to EEP.
TORB will maintain the Storinwater BMP to ensure functionality for a period of 30-
�v years at no cost to EEP.
Tasks and Responsibilities for Ecosystem Enhancement Program
The primary responsibilities of EEP during and after this project will be:
1. To work cooperatively to develop and implement a design plan that is agreeable to
both entities. Both entities also agree to work cooperatively to develop a remedial
action plan (RAP) that is agreeable to both entities in the event that post- construction
remedial activities are necessary. Details related to the implementation of the RAP
will be jointly discussed by both entities as necessary.
2. To design and construct the stormwater BMP at no cost to TORB.
3. To consult with TORB's designated contact person and/or Public Information Officer
and staff prior to issuing news releases relating to the Project.

4. To meet with TORB staff to review and assess the project's progress, as specified
in Section 3, item No. 5 of this SOW. A minimum of four (4) meetings will be held
with TORB to discuss the Project and receive input. These meetings will be held
after preparation of the Draft Design Plan (30% complete design), after preparation of
the Final Design Plan, prior to the Pre - Construction Meeting and prior to the Post -
Construction Meeting.
5. To obtain any state, federal or local permits necessary for construction of the Project.
D. Timeline and Duration of this Agreement
The Project shall commence on the date a Memorandum of Agreement (MOA) is signed
by all parties. The site maintenance phase of the Project will commence upon completion
of the Stormwater BMP construction. TORB agrees to maintain the constructed
Stormwater BMP site for a 30 -year period and submit site maintenance and inspection
reports to EEP every two (2) years for a period of thirty (30) years following completion
of the construction phase of the project.
E. Limitations
1. The MOA will not transfer the ownership of the land or the management and
maintenance responsibilities for the Project from TORB to EEP. All provisions of the
MOA will be consistent with such understanding.
2. If either party fails to perform or comply with any condition of the MOA, and should
such failure continue more than 30 -days after written notice from the other party, and if
the non - compliant party should not within 30 -days commence to cure the failure with due
diligence, the aggrieved party may terminate the MOA on written notice to the non-
compliant party, termination to be effective not less than 15 days from the date of the
written termination notice.
3. The failure of either party to insist on strict performance of any condition of the MOA
shall not be construed as a waiver of the right to insist on the performance of that
condition in any other instance.
4. The MOA may be modified or terminated by mutual agreement of the parties as long
as such modification or termination is made in writing and signed by authorized officers
or agents for each of the parties.

Project Notes: This site was selected because it will treat a large, fully developed
watershed. There is currently an undersized, under - performing BMP at the site
that can be expanded and modified for improved water quality benefit to the
receiving water. The current property owner (Town of River Bend) is strongly
supportive of the project.
A stormwater treatment wetland would work well in the area because of a
consistent water source from the large watershed. The visual appeal of a wetland
is a significant benefit as the site is heavily trafficked. The BMP could likely fit
on one side of the existing water line crossing the site, but it could easily expand
to another cell on the other side of the line since the line is so deep.
NCSU strongly recommends this site. It is a rare opportunity to find a location in
the Neuse River Basin that can treat 115 acres at such a low cost, with property
owner cooperation.
