Walters Meadows, LLC is currently under contract to purchase 43 +/- acres located at 2496 N Horace
Walters Road, Raeford, NC (PIN #58495001404 & PIN#584950001044).
This land was purchased from Arthur D. Baker by Rubben & Annie McFadgion on August 10, 1988. The
Deed for this purchase is located in the Hoke County Deed Book 282, Page 105 (EXHIBIT A). A one -acre
tract of this land was deeded via Gift Deed to Sakina Gray Ferguson on May 2, 2002 (EXHIBIT B). This
land was passed down to Mr. & Mrs. McFadgion's children in their Last Will & Testament, filed August
15, 2007 (EXHIBIT C).
Both Otis C. McFadgion, Sr. and Ronald McFadgion have passed away, leaving the ownership of the land
to Lynzandra McFadgion Gray and Leroy Baldwin Smith. Leroy Baldwin Smith has signed a Special Power
of Attorney appointing Ms. McFadgion Gray his true and lawful attorney -in -fact, related to the sale of
this property (EXHBIT D).

THIS DEED, made and entered into this loth day of
August, 1988, by and between Arthur D. Baker, first party, and
RUbben McFadgion and wife, Annie B. McFadgion, of Hoke County, -
North Carolina, second parties, whose address is
Route 3 Box 35-A Raeford North Carolina 28376 ,
W I T N E S S E T H•
That whereas said first party was by the Clerk of Court of
Hoke County, North Carolina, duly appointed and is now acting
as Guardian ad Litem of Mattie G. Baker, an incompetent, as
will appear by special Proceeding No. 84 E 71, and whereas,
said incompetent owns the land hereinafter described, and
whereas said first party, as Guardian ad Litem as aforesaid,
filed in the Superior Court of Hoke County a verified petition
showing that the interest of said incompetent would be materi-
ally promoted by the sale of the said lands to said second
parties at the price of Thirty -One Thousand and no/100 Dollars
($31,000.00), and whereas said.reported sale remained open for
more than ten days and no advance bid for the land was filed
with the Court, and whereas, by order entered on the day of
August,. 1988, the Clerk of said Court confirmed said sale and
directed the first party, as Guardian ad Litem, to make,
execute and deliver to said second parties a good and suffi-
cient deed for the lands so sold upon payment of the purchase
price into the office of the Clerk of Court, and whereas said
order and confirmation was approved by a Judge of the Twelfth
Judicial District, and whereas said purchase price has now been
fully paid: l
NOW, THEREFORE, said first party, acting as Guardian ad
Litem of Mattie G. Baker, an incompetent, under authority of
said Order o-f said Court, and in consideration of the said

I, RUBBEN M. MCFADGION, of Hoke County, North
Carolina, do hereby revoke all wills and codicils heretofore
made by me, and do hereby make, publish and declare this my
Last Will. and Testament in manner and form as follows:

I direct my Executrix hereinafter named to pay all of
my legal debts including, but not limited to, estate and
inheritance taxes, and funeral expenses, and to erect at my

I hereby constitute and appoint ANNIE CLAYTON
MCFADGION Executrix of this my Last Will and Testament, and I
do hereby give and grant unto my said Executrix full power and
authority to sell any property or do any act which she deems
necessary for the proper administration of my estate, and I do
direct that no security be required for my said wife as
Executrix hereof upon qualification. And I do further provide
that if my said Executrix be not living at the time of my
death, or decline to serve, or be for any reason unable to act,
or die before my estate is fully administered, then and in
either of said events and thereafter, LYNZANDRA MCFADGION GRAY
shall become and act as Alternate Executrix of this my Last
Will and Testament, with all duties, powers and authority
herein given to the original Executrix.
