Flambeau, Inc., a Wisconsin corporation, duly domesticated to do business in North Carolina,
whose mailing address is 715 Lynn Avenue, Suite 100, Baraboo, WI 53913 (Flambeau, Inc., a
Wisconsin corporation, being successor by merger to Flambeau Products Corporation, an Ohio
corporation, which was successor by merger to Flambeau Airmold Corporation, a North Carolina
corporation), hereinafter sometimes referred to as "Grantor"; and JBB Properties LLC, a New
Jersey limited liability company, whose mailing address is 385 Minoma Lane, Franklin Lakes,
NJ 07417, hereinafter sometimes referred to as "Grantee." The designation Grantor and Grantee
as used herein shall include said parties, their heirs, successors, and assigns, and shall include
singular, plural, masculine, feminine or neuter as required by context.
WITNESSETH:
THAT WHEREAS, W. R. Grace & Co., conveyed to Flambeau A=' old Corporation, the
hereinafter described real property by deed dated April 25, 1994, recorded on April 25, 1994, in
Book 1603, Page 617, Halifax Public Registry; and
THAT WHEREAS, Flambeau Airmold Corporation, a North Carolina corporation,
merged into Flambeau Products Corporation, an Ohio corporation, effective January 1, 1999,
pursuant to the Certificate of Merger Secretary of State, State of Ohio, as evidenced by the

certified copy attached hereto as Exhibit A, consisting of nine (9) pages; and
THAT WHEREAS, Flambeau Products Corporation, an Ohio corporation, was
domesticated to do business in North Carolina, effective May 25, 2000, according to the
Application for Certificate of Authority to transact business filed on May 25, 2000, in the Office
of the Secretary of State of North Carolina.; and
THAT WHEREAS, Flambeau Products Corporation, an Ohio corporation was merged
into Flambeau, Inc., a Wisconsin corporation, effective January 1, 2003, pursuant to the Articles
of Merger filed with the Office of the Secretary of State of North Carolina on February 18, 2009;
and
THAT WHEREAS, Flambeau, Inc., a Wisconsin corporation, was domesticated to do
business in North Carolina, effective September 3, 2004, according to the Application for
Certificate of Authority to transact business filed on September 3, 2004, in the Office of the
Secretary of State of North Carolina.
NOW, THEREFORE, for and in consideration of the sum of Ten ($10.00) Dollars, and
other valuable consideration, paid by Grantee to Grantor, the receipt of which is acknowledged
hereby, the Grantor has bargained and sold and by these presents does bargain, sell, grant and
convey unto the Grantee in fee simple, all that certain tract or parcel of land, together with all
improvements thereon, known as 100 Grace Drive, Weldon, North Carolina, more particularly
described as follows:
All that certain tract or parcel of land, together with all improvements thereon, lying and
being situate in Weldon Township, Halifax County, North Carolina, more particularly described
as follows:. Beginning at the point in the center line of the Seaboard Coastline Railroad right of
way where the same intersects the western margin of NC State Road No. 1710, and running
thence along the center line of said railroad right of way the following thirteen (13) courses and
distances: N. 80°37' W., 357.1 feet; N. 80°12' W., 100 feet; N. 79°38' W., 100 feet; N. 78°47'
W., 100 feet; N. 77051' W., 100 feet; N. 76°44' W., 100 feet; N. 75°28' W., 100 feet; N. 74°09'
W., 100 feet; N. 73°02' W., 100 feet; N. 72°03' W., 100 feet; N. 71a07' W., 100 feet; N. 70°14'
W., 100 feet; and N. 69°24' W., 30.1 feet; thence leaving the center line of said railroad right of
way and running along the eastern line of lands formerly owned by The Wickes Corporation N.
14042' E., 468.3 feet; thence continuing along said line of lands formerly owned by The Wickes
Corporation and along a new made line for Becker Fauns, Inc., N. 14°42' E., 923.7 feet to a stance
in the southern margin of NC State Road No. 1710; thence along the southern margin of NC
State Road No. 1710 S. 83' 37' E., 835.5 feet to a concrete monument; thence continuing along
the western margin of NC State Road No. 1710 the following five (5) courses and distances: S.
14°42' W., 269.3 feet to point of curve; thence along a curve to the left having a radius of 703.56
feet, 464.4 feet to point of tangent; S. 23°07' E., 582.2 feet to point of curve; thence along a curve
to the right having a radius of 788.47 feet, 278.7 feet to point of tangent; and S. 2°52' E., 78.8
feet to the point of beginning, containing 36.714 acres, more or less; and being the identical real
property as shown and designated on that certain map or plat entitled, "PLAT SHOWING
PROPERTY CONVEYED TO W.R. GRACE & CO BY BECKER FARMS, INC.," prepared by
Cyril C. Waters, Registered Surveyor, dated May 22, 1974, recorded in Map Book 16, Page 76,
Halifax Public Registry; SAVE AND EXCEPT that portion of the above described real property
lying within the CSX Railroad (formerly Seaboard Coastline Railroad) right of way as shown on

the above referenced map, containing 1.365 acres, more or less; reference to said reap is made
hereby for greater certainty of description.
The above described real property is the identical real property as shown and designated
on that certain map or plat showing property of JBB Properties LLC, prepared by Jonathan C.
Waters, Professional Land Surveyor, dated January 9, 2019, recorded in Book of Maps 2019,
Page 13 , Halifax Public Registry; reference to said map is made hereby for greater certainty
of description.
To have and to hold the above described tract or parcel of land, together with all
privileges and appurtenances thereunto belonging, to the Grantee in fee simple.
The Grantor covenants with the Grantee that the Grantor is seized of the premises in fee
simple; has the right to convey the same in fee simple; that title is marketable and flee and clear
of all encumbrances, save and except the portion of the real property lying within the CSX
Railroad (formerly Seaboard Coastline Railroad) right of way and the ad 1Jalorenl. taxes for 2019
(which will be prorated between Grantor and Grantee at closing) and subsequent years; and that
Grantor will warrant and defend the title against the lawful claims of all persons whomsoever.
