State Stormwater Management Permit #SW8 970310 for the subject project expired an April 17, 2021. This is a
reminder that permit renewal applications are due 180 days prior to their expiration per 15A NCAC 2H.1045(3).
North Carolina. General Statutes and the Coastal Stormwater rules require that this property be covered under a
stormwater permit. Failure to maintain a permit subjects the owner to assessment of civil penalties.
Please submit a complete permit renewal form along with a $505.00 fee and other submittal requirements within
30 days. The permit renewal form can be found on our website at: hMs://deg.nc.gov/about/divisions/energy
mineral-and-land-resources/stormwater/stormwater-grog am/past-construction-2.
Permits are not automatically transferred when the property ownership changes. If this property has had an
ownership change, a permit transfer application form along with the submittal requirements will also need to be
submitted. This form can also be found on the website provided above.

Thank you for the information. We just wanted to let you know that Dr.
Schimizzi's group has been the
owner since the beginning, the builder just never did the proper
paperwork to transfer the State
Stormwater Permit out of his name, after it was built, into Dr.
Schimizzi's group.
As stated in previous conversations, we are working on getting the
required State Stormwater Renewal
forms and State Stormwater Name / Ownership Change Form completed, signed
and submitted to you
for this project.
As we understand from your e-mail below, if Dr. Schimizzi's group ever
decides to sell and a new owner
obtains the property, then they will have to conform to your last
statement in your e-mail about bushes
and pea gravel.

condition of the infiltration basins at
Prime Rose Business Park and we determined that as long as maintenance is
performed as required
there should not be a problem with the present condition. However, if the
office park ever changes
owners in the future all bushes and pea gravel should be removed from the
infiltration basins and grass
should be established.

PLAN OF MERGER
THIS PLAN OF MERGER is the plan for the merger of SOUTHPOINTE BUILDERS,
INC., a North Carolina corporation (the "Merging Corporation") into SOUTHPOINTE
DEVELOPERS, INC., a North Carolina corporation (the "Surviving Corporation'.
A. Corporations Participating in Merger.
SOUTHPOINTE BUILDERS, INC. (the "Merging Corporation'D will merge into
SOUTHPOINTE DEVELOPERS, INC., which will be the surviving corporation (the "Surviving
Corporation').
B. Name of Surviving Cgporstion.
After the merger, the Surviving Corporation will have the name "SOUTHPOINTE
DEVELOPERS, INC."
C. Merger.
The merger of the Merging Corporation into the Surviving Corporation will be effected
pursuant to the terms and conditions of this Plan. Upon the mergees becoming effective, the
corporate existence of the Merging Corporation will cease, and the corporate existence of the
Surviving Corporation will continue and shall retain its corporate identity and shall succeed to all
of the rights, assets, liabilities, and obligations of Merging Corporation.. The Merger shall become
effective as of the later of 12:01 A.M. on December 31, 2002, or the date of filing of the Articles of
Merger with the North Carolina Secretary of State (the "Effective Time"').
D. Conversion and Exchangg of Shares.
At the Effective Time, the outstanding shares of the corporations participating in the merger
will be converted and exchanged as follows:
1. Surviving Corporation. The outstanding shares of the Surviving Corporation
will not be converted, exchanged, or altered in any manner as a result of the merger and will
remain outstanding as shares of the Surviving Corporation.
2. Merging Qorporation. Each outstanding share of the Merging Corporation
will be converted into and exchanged for one (1) share of common stock of the Surviving
Corporation.
3. Fractional Shares. Fractional shares may be issued be issued. Each
outstanding fractional share of the Merging Corporation will be converted into and
exchanged for the same fraction of a share of common stock of the Surviving Corporation.
4. Surrender of Share Certificates. Each holder of a certificate representing
shares to be converted or exchanged in the merger will surrender such certificate and after
the Effective Time will be entitled to receive in exchange therefor a certificate or certificates
representing the number of shares to which he is entitled under this Flwa. Until sip
surrendered, each outstanding certificate that prior to the Effective Time represented shares
of the Merging Corporation will be deemed for all purposes to evidence ownership of the
consideration to be issued for such shares under this Plan.
E. Additional Terms and Conditions.
Consummation of the Merger is subject to the following terms and conditions:
If at any time the Surviving Corporation shall consider or be advised that any further
assignments, conveyances or assurances in law or in equity are necessary or desirable
to vest, perfect or confirm in the Surviving Corporation the title to any property or
rights of either the Merging Corporation or the Surviving Corporation, or otherwise
to carry out the provisions of this Plan of Merger, the proper officers and directors
of the Merging Corporation or the Surviving Corporation, as the case may be, as of
the Effective Time of the Merger, and thereafter the officers of the Surviving
Corporation on behalf of the Merging Corporation, shall execute and deliver any and
all proper assignments, conveyances and assurances in law or in equity, and shall do
all things necessary or desirable to vest, perfect or confirm title to such property or
rights in the Surviving Corporation, and otherwise to carry out the provisions of this
Plan of Merger.
E. Abandonment.
After approval of this Plan of Merger by the shareholders of the Merging Corporation and
the Surviving Corporation, and at any time prior to the Effective Time, the board of directors of the
Surviving Corporation may, in their discretion, abandon the merger.

Dear Mr. Gay:
The Division of Water Quality issued a Coastal Stormwater Management Permit, Number
SW8970310 to Southpoint Builders, Inc. for an infiltration system to serve Primrose Office Park
on 4/17/1997. This permit expired on 4/17/2007. Section .1003(h) of 15 A NCAC 2H .1000
(the stormwater rules) requires that applications for permit renewals shall be submitted 180
days prior to the expiration of a permit and must be accompanied by a processing fee, which is
currently set at $420.00. If this is still an active project please complete and submit the
enclosed renewal application in a timely manner. If this project has not been constructed and a
permit is no longer needed, please submit a request to have the permit rescinded. If you have
sold the project, or are no longer the permittee, please provide the name, mailing address and
phone number of the person or entity that is now responsible for this permit. Enclosed is a form

The Division of Water Quality issued a Coastal Stormwater Management Permit, Number SW8970310
to Southpoint Biilders, Inc. for an infiltration system to serve Primrose Office Park on 4/17/1997. This
permit expired on 4/17/2007. Section .1003(h) of 15 A NCAC 2H .1000 (the stormwater rules) requires
that applications for permit renewals shall be submitted 180 days prior to the expiration of a permit and
must be accompanied by a processing fee, which is currently set at $420.00. If this is still an active
project please complete and submit the enclosed renewal application in a timely manner. If this project
has not been constructed and a permit is no longer needed, please submit a request to have the permit
rescinded. If you have sold the project, or are no longer the permittee, please provide the name, mailing
address and phone number of the person or entity that is now responsible for this permit. Enclosed is a
