Catfish Creek and the other project features flow into Mountain Creek, which subsequently flows into Little River,the Eno River, and then into Falls Lake.The primary purpose of the project is to provide riparian buffer mitigation credits and nutrient offset credits to compensate for unavoidable impacts in the Neuse River Basin 03020201 Hydrologic Unit Code (HUC)within the Falls Lake Watershed.The project has been planned, designed, and constructed according to the BPDP, the Consolidated Buffer Mitigation Rule 15A NCAC 02B .0295 (effective November 1, 2015), and Nutrient Offset Credit Trading 15A NCAC 02B .0703.The Bank service area is depicted in Figure 2. 1.0 Introduction The Parcel was restored to provide ecological and water quality enhancements to the Neuse River Basin by creating a functional riparian corridor and restoring the riparian buffer along Catfish Creek, two unnamed tributaries (UT1 and Mountain Tributary), and a ditch (Ditch D).The Parcel is located immediately adjacent to the Full Delivery North Carolina Division of Mitigation Services (NCDMS) Catfish Pond Mitigation Site, NCDWR Project Number 2018-0196v1 and NCDMS ID Number 100039 (NCDMS Site) (Figure 1).The Parcel expands the existing conservation easement of the riparian area from 50 feet adjacent to mitigated streams in the NCDMS Site to 100-200 feet. Previously cattle had access to all streams but with the conclusion of construction on the NCDMS Site in March 2020, the first 50 feet from the project streams were restored or enhanced via cattle exclusion, as a forested riparian area. Prior to planting, the mitigation bank parcel was active pasture, open fields, and some woodlands. Approximately 31.54 additional acres have been protected along the project features by the Parcels permanent conservation easement. A conservation easement was recorded on the Parcel in September 2020. 2.0 Parcel Location & Background 2.1 Location and Setting The Parcel is in Durham County, approximately 12 miles north of the city of Durham (Figure 1).To reach the Parcel from the City of Durham,travel north approximately 12 miles on Highway 501/North Roxboro Street.The Parcel is on the left, 1/2 mile north of the North Roxboro Street's intersection with Patrick Road, and just south of its intersection with Mountain Creek(36°9'48.75"N, -78°54'41.24"W). The project is located within the Neuse River Basin 14-digit HUC 03020201020040 and NCDWR Subbasin 03-04-01.The Parcel was restored for riparian buffer mitigation credit and nutrient offset credit in the Neuse River Basin HUC 03020201 within the Falls Lake Watershed (Figure 2). 2. 2 Parcel Background Prior to construction,the Parcel consisted of active pasture used for cattle grazing, open fields, and some woodlands. Cattle had access to all streams but with the conclusion of construction on the NCDMS Site in March 2020,the first 50 feet from the project streams were restored or enhanced via cattle exclusion, as a forested riparian area. In general, this area has maintained its rural, farming character over the last 78 years with only minor changes in land cover.Tables 2, 3, and 4 in Appendix A provide Catfish Pond II Mitigation Bank Parcel Page 2 As-Built& Baseline Monitoring Report—May 2021 detailed information regarding the Project Activity and Reporting History, Project Contacts, and Project Information and Attributes. 2. 3 Parcel Objectives The main objective of the Parcel was to reduce nutrient and sediment loading to the Neuse River receiving waters. Extending the riparian area located outside of the 50-foot conservation easement for the NCDMS Site will create a wider and more functional riparian corridor. By removing cattle access and restoring the vegetation on areas up to 200 feet from the streams and ditch; the project will further reduce nutrient and sediment inputs in the tributaries to Mountain Creek, and subsequently Little River and Falls Lake. 3.0 Restoration Activities Developing the Parcel for mitigation required converting existing agriculture land use practices adjacent to streams into riparian forest and excluding cattle from the areas. Both the Neuse buffer and the nutrient offset restoration areas were replanted with appropriate native tree species within the project corridors.The trees were planted by hand using dibble bars in rows running perpendicular to the channel. Soil was ripped to a depth of 15-18 inches where accessible to reduce soil compaction before planting. The revegetation plan for the Parcel included planting of bare root trees and controlling invasive species growth.The species composition planted was selected based on the desired community type, occurrence of species in riparian areas adjacent to the Site, and best professional judgement.Trees were planted at a density of 568 trees per acre across all creditable areas.Table 6 lists the tree species and quantities planted on the Parcel. Wildlands restored the Neuse River buffers and riparian areas by planting trees from top of bank out to 200 feet along all project streams and Ditch D. Seeding was not deemed necessary, as pasture grasses were already thick from previous land use. Ring spray herbicide treatments will be applied as necessary to aid in tree growth. The easement was marked using conservation easement placards mounted on the fence surrounding the conservation easement, u-posts, and trees following the entirety of the boundary.The fence is offset by approximately two feet outside of the conservation easement boundary.These signs will be maintained and replaced if necessary, throughout subsequent monitoring years. 4.0 Mitigation Potential and Deviations from the Bank Parcel Development Package (BPDP) Since approval of the BPDP, it was discovered that a section of the conservation easement was counted twice in calculating conservation easement acreage and mitigation credits.The conservation easement was calculated as 32.99 acres in the BPDP.The conservation easement recorded at DB/PN is 31.54 acres. The removal of the section that was counted twice (1.45 acres) accounts for the loss in easement area and mitigation credits. Other than this error, there have been no major changes from the BPDP. Of the 31.54 acres protected under the conservation easement, 26.91 acres were restored, of which the sponsor is requesting 7.87 acres be used to generate riparian buffer credit for a total of 342,834 square feet.The remaining 19.04 acres restored riparian areas from 101'-200' along streams and 51'-200' along Ditch D will be used to generate nutrient offset credits, nitrogen (43,287.706 credits) and phosphorus (2,929.052 credits). Mitigation generated from enhancement areas via cattle exclusion within the conservation easement amounts to 2.94 acres (52,041.411 riparian buffer credits). No credit is claimed on 1.69 acres due to a forested area along Ditch D and non-diffuse flow drainage from a pond outside the parcel into Ditch D. In general, riparian buffer restoration area widths on streams extend out to 100 Catfish Pond II Mitigation Bank Parcel Page 3 As-Built& Baseline Monitoring Report—May 2021 feet from top of bank for Neuse River buffer credits and out to 200 feet for nutrient offset credits. A map detailing the credit generation is provided in Figure 3. 5.0 Monitoring Protocol &Success Criteria Twenty-three 10-meter by 10-meter vegetation monitoring plots were installed within the buffer restoration area to measure the survival of the planted trees(Figure 4).The number of plots required was determined in accordance with the Carolina Vegetative Sampling Protocol (CVS) Level 2. Vegetation assessments were completed in March 2021 following the CVS Levels 2 Protocol for Recording Vegetation, Version 4.2 (Lee et al. 2008).The as-built baseline data shows a planted tree density of 604 stems per acre (Table 7).This is well above the 260 stems per acre required at the end of year five monitoring. Each year a reference photo will be taken from the southwestern corner of each vegetation plot, and all planted stems will be marked with flagging tape and recorded. Yearly monitoring activities will begin in the fall of 2021 and will commence annually in September or October for the remainder of the monitoring period. Species composition, density, and survival rates will be evaluated on an annual basis by plot for the entire site. Wildlands shall submit to NCDWR an annual monitoring report, no later than December 31sT of each year for five consecutive years and will follow the terms and conditions of the BPDP approved in September 2020.The measure of vegetative success for the Parcel will be the survival of at least four native hardwood tree species, where no one species is greater than 50%of the established planted stems, and an established density of at least 260 planted trees per acre at the end of monitoring year five. Appropriate and desirable native volunteer species may be included in the Parcel's density to meet the performance standards with North Carolina Division of Water Resources (NCDWR) approval. 6.0 Financial Assurance& Long Term Management 6.1 Financial Assurance After completion of the restoration/construction, a separate Performance/Maintenance Bond will be secured for 100%of the estimated cost to implement the monitoring and maintenance plan, but not less than $100,000.00.The Performance/Maintenance Bond shall apply at the inception of the monitoring period for a term of one year, to be extended annually for a minimum of five years. Upon NCDWR approval,this may be lowered each year based on the adjusted cost to complete the monitoring. A copy of the draft monitoring bond is provided in Appendix E. 6.2 Parcel Maintenance Adaptive measures will be developed, or appropriate remedial actions will be implemented in the event that the Parcel or a specific component of the Parcel fails to achieve the success criteria. Parcel maintenance will be performed to correct any identified problems on the Parcel that have a high likelihood of affecting project success. Such items include, but are not limited to, fire, flooding, drought, or insects that cause excess tree mortality. Any actions implemented will be designed to achieve the success criteria and will include a work schedule and updated monitoring criteria.Any parcel maintenance performed will be included in the monitoring report for that year. A rigorous herbicide schedule may need to be implemented in the first few years of tree establishment in the restoration areas to prevent establishment of invasive species that may out-compete the planted native vegetation. The only herbicides used on the Parcel will be aquatic approved herbicides that will be applied in accordance with North Carolina Department of Agriculture rules and regulations. The easement boundary will be checked annually as part of monitoring activities. Easement boundary conditions as well as any maintenance performed will be reported in the annual monitoring reports to Catfish Pond II Mitigation Bank Parcel Page 4 As-Built& Baseline Monitoring Report—May 2021 NCDWR. This letter should be provided in any future stream,wetland, buffer and/or nutrient offset mitigation plans for this Site. This letter does not constitute an approval of this site to generate mitigation credits. Pursuant to 15A NCAC 02B .0295,a mitigation proposal and a mitigation plan shall be submitted to DWR for written approval prior to conducting any mitigation activities in riparian areas and/or surface waters for buffer mitigation credit. Pursuant to 15A NCAC 02B .0240, a proposal regarding a proposed nutrient load-reducing measure for nutrient offset credit shall be submitted to DWR for approval prior to any mitigation activities in riparian areas and/or surface waters. All vegetative plantings,performance criteria and other mitigation requirements for riparian restoration, enhancement and preservation must follow the requirements in 15A NCAC 02B .0295 to be eligible for buffer and/or nutrient offset mitigation credits. WHEREAS,the preservation of the Conservation Easement Area is required by the Wildlands Holdings V, LLC Catfish Pond II Mitigation Banking Instrument (DWR #2018-0196v2). The Conservation Easement Area will be restored to a natural vegetated condition as provided in and specified in Catfish Pond II Bank Parcel Development Package ("BPDP"). The Catfish Pond II Mitigation Bank is intended to be used to compensate for unavoidable buffer impacts authorized by permits issued by the North Carolina Division of Water Resources (NCDWR) and to provide mitigation for nutrient offsets due to development (both existing and proposed)within restricted areas of the Neuse River Basin. Grantor and Grantee agree that third party rights of enforcement shall be held by the NCDWR and that these rights are in addition to,and do not limit the rights of the parties to the Mitigation Banking Instrument. NOW,THEREFORE,for and in consideration of the covenants and representations contained herein and for other good and valuable consideration, the receipt and legal sufficiency of which is hereby acknowledged, Grantor hereby unconditionally and irrevocably grants and conveys unto Grantee, its heirs, successors and assigns, forever and in perpetuity a Conservation Easement of the nature and character and to the extent hereinafter set forth, over the Conservation Easement Area described on Exhibit A,together with the right to preserve and protect the conservation values thereof,as follows: ARTICLE I. • DURATION OF EASEMENT This Conservation Easement shall be perpetual. • This Conservation Easement is an easement in gross, runs with the land and is enforceable by Grantee against Grantor, Grantor's personal representatives, heirs,successors and assigns, lessees, agents and licensees. The costs of a breach,correction or restoration,including the Grantee's expenses,court costs,and attorneys'fees,shall • be paid by Grantor, provided Grantor is determined to be responsible for the breach. NCDWR shall have the same right to enforce the terms and conditions of this easement as the Grantee. B. No failure on the part of the Grantee to enforce any covenant or provision hereof shall discharge or invalidate such covenant or any other covenant, condition, or provision hereof or affect the right to Grantee to enforce the same in the event of a subsequent breach or default. C. Nothing contained in this Conservation Easement shall be construed to entitle Grantee to bring any action against Grantor for any injury or change in the Conservation Easement Area resulting from causes beyond the Grantor's control, including,without limitation,fire,flood, storm,war, acts of God or third parties, except Grantor's lessees or invitees; or from any prudent action taken in good faith by • Grantor under emergency conditions to prevent, abate, or mitigate significant injury to life, damage to Conservation Easement Area or harm to the Conservation Easement Area resulting from such causes. ARTICLE VI MISCELLANEOUS A. Warranty. Grantor warrants, covenants and represents that it owns the Property in fee simple, and that Grantor either owns all interests in the Property which may be impaired by the granting of this Conservation Easement or that there are no outstanding mortgages, tax liens, encumbrances, or other interests in the Property which have not been expressly subordinated to this Conservation Easement. Grantor further warrants that Grantee shall have the use of and enjoy all the benefits derived from and arising out of this Conservation Easement, and,that Grantor will warrant and defend title to the Property against the claims of all persons. B. Subsequent Transfers.The Grantor agrees to incorporate the terms of this Conservation Easement in any deed or other legal instrument that transfers any interest in all or a portion of the Conservation Easement Area. The Grantor agrees to provide written notice to the Grantee of such transfer at least thirty (30) days prior to the date of the transfer. The Grantor and Grantee agree that the terms of this Conservation Easement shall survive any merger of the fee and easement interests in the Conservation Easement Area or any portion thereof and shall not be amended, modified or terminated without the prior written consent and approval of NCDWR. C. Assignment. The parties recognize and agree that the benefits of this Conservation Easement are in gross and assignable provided, however that the Grantee hereby covenants and agrees, that in the event it transfers or assigns this Conservation Easement,the organization receiving.the interest will be a • qualified holder under N.C.Gen.Stat.§ 121-34 et seq.and§ 170(h)of the Internal Revenue Code,and the Grantee further covenants and agrees that the terms of the transfer or assignment will be such that the transferee or assignee will be required to continue in perpetuity the conservation purposes described in this document. 5 Book9085 - Page 39 Page 6 of 19 D. The wetlands, scenic, resource, environmental, and other natural characteristics of the Conservation Easement Area,and its current use and state of improvement, are described in Section 2 of the Bank Parcel Development Package, dated July 16, 2019, prepared by Grantor and acknowledged by the Grantor and Grantee to be complete and accurate as of the date hereof. Both Grantor and Grantee have copies of the Bank Parcel Development Package. It will be used by the parties to assure that any future changes in the use of the Conservation Easement Area will be consistent with the terms of this Conservation Easement. However,this report is not intended to preclude the use of other evidence to establish the present condition of the Conservation Easement Area if there is a controversy over its use. • b. Baseline Documentation Report. The characteristics of the Conservation Easement Area and the status of improvements and development shall be described in a Baseline Documentation Report (the"Baseline") prepared by the Grantee with the cooperation of the Grantor. NOW,THEREFORE, if Principal, its executors, administrators, successors and assigns shall promptly and faithfully perform the monitoring obligations, according to the terms, stipulations or conditions thereof, then this obligation shall become null and void, otherwise to remain in full force and effect.
