Please remember to submit the following regarding this injection activity:
1) Well Construction Records (GW-1) and Abandonment Records (GW-30) when completed. Please provide
copies of the GW-ls and GW-30s if not already submitted (originals go the address printed on the
form). NOTE: Direct push or Geoprobe wells are considered wells and require construction (GW-1) and
abandonment forms (GW-30). If well construction/abandonment information is the same for the wells, only one form
needs to be completed-just indicate total number of injection points in the Comments/Remarks section of
form. These forms can be found on our website at

2) Injection Event Records (IER). All injections, including air and passive systems require an IER. The IER can be

below. When submitting the above forms, you will need to enter the nine-digit alpha-numeric number on the form

Attached is a NOI for injecting Ivey-Sol at one of our sites in Wilmington, NC starting October 16th• We're still
waiting on the applicant to sign the document (he's out of town today and the next week) but I wanted to send this to
you for a preliminary review to see if you have any issues with the injectate or monitoring schedule. Ivey-Sol is an
NC approved material to inject but since I've never worked with it before I want to make sure you think we're taking

NOTIFICATION OF INTENT (NOi) TO CONSTRUCT OR OPERA TE INJECTION WELLS
The following are ''permitted by rule" and do not require an individual permit when constructed in accordance
with the rules of 15A NCAC 02C .0200. This form shall be submitted at least 2 WEEKS prior to iniection.
AQUIFER TEST WELLS (15A NCAC 02c .0220)
These wells are used to inject uncontaminated fluid into an aquifer to determine aquifer hydraulic characteristics.
IN SITU REMEDIATION (15A NCAC 02C .0225) or TRACER WELLS (15A NCAC 02c .0229):
I) Passive Injection Systems.,; In-well delivery systems to diffuse injcctants into the subsurface. Examples include
ORC socks, iSOC systems, and other gas infusion methods.
2) Small-Scale Injection Operations -Injection wells located within a land surface area not to exceed 10,000
square feet for the purpose of soil or groundwater remediation or tracer tests. An individual permit shall be required
for test or treatment areas exceeding 10,000 square feet.
3) Pilot Tests -Preliminary studies conducted for the purpose of evaluating the technical feasibility of a
remediation strategy in order to develop a full scale remediation plan for future implementation, and where the
surface area of the injection zone wells are located within an area that does not exceed five percent of the land
surface above the known extent of groundwater contamination. An individual permit shall be required to conduct
more than one pilot test on any separate groundwater contaminant plume.
4) Air Injection Wells -Used to inject ambient air to enhance in-situ treatment of soil or groundwater.

I. DESCRIPTION OF PROPOSED INJECTION ACTIVITIES -Provide a briefnarrative regarding the
purpose, scope, and goals of the proposed injection activity. This should include the rate, volume, and
duration of injection over time.
A TC prop oses to remediate im pacted groundwater via in jection of Ivey -sol® Surfactant Enhanced
Remediation (Ivey-Sol). Ive y-Sol a pp lication will cause contaminants in the subsurface to become more
miscible in e.roundwater making them more available for ph vsical mass extraction. Ivev-sol® will be
gravi tv fed into ten existing wells (IW-L IW-2. IW-3 . IW-4 . IW-5 . IW-6 . RW-1. RW-3 . RW-5 . and MW-
53 ). For each well. a total of 250 gallons of in jectate will be fed into the well (5 gallons of Ivey-Sol and
245 gallons of water). Following injection oflve -Sol. the surfactant will remain in place for the prescribed
24-48 hours . after which an extraction event will be p erformed on the injection point. During the extraction.
a pp roximatel y 375 gallons of fluid will be removed from the subsurface (1.5 times the amount in jected ).
This will be performed three times for each injection point. The goal of the injection event will be to reduce
groundwater concentrations to below the North Carolina Groundwater Oualitv Standards.
J. APPROVED INJECT ANTS-Provide a MSDS for each injectant. Attach additional sheets if necessary.
NOTE: Only iryectants approved by the NC Divisi.on of Public Health, Department of Health and Human
Services can be injected Approved injectants can be found online at htt p://de q.nc.eov/about/divisions/water-

ATC will perform injection activities on October 16 through 20. 2017. Note that ATC proposes to utilize already
existing wells at the site,
M. MONITORING PLAN — Describe below or in separate attachment a monitoring plan to he used to determine
if violations of groundwater quality standards specified in Subchapter 02I., result from the injection activity,
ATC will collect samples from wells MW-53. RW-1. RW-3. and RW-5 one month following the injection event.
ATC will also perform a comprehensive monitoring event in November 2017 and January 2018 that will include
all monitorint wells which have historically indigated petroleum impacts (32 wells total f. All samples will be
laboratory analyzed for volatile organic cotnoounds by EPA Method 6200B, In addition. samples collected from
MW-53. RW-1 RW-31 and RW-5 will be analyzed for methylene blue active substances avIBAS) by EPA
Method 5540D to analyze for surfactant related materials. Note that a comprehensive sampling event will be
performed at the site in Seatember 2017. This event will serve as the pre -injection sampling event.

The following are "permitted by rule" and do not require an individual permit when constructed in accordance
with the rules of 15A NCAC 02C .0200. This fo rm shall be submitted at least 2 WEEKS prior to 'in jection.
AQUIFER TEST WELLS (15A NCAC 02C .0220 )
These wells are used to inject uncontaminated fluid into an aquifer to determine aquifer hydraulic characteristics.
IN SITU REMEDIATION (15A NCAC 02C .0225 ) or TRACER WELLS (ISA NCAC 02C .0229 ):
1) Passive Injection S ystems -In-well delivery systems to diffuse injectants into the subsurface. Examples include
ORC socks, iSOC systems, and other gas infusion methods.
2) Small-Scale Injection O perations -Injection wells located within a land surface area not to exceed 10,000
square feet for the purpose of soil or groundwater remediation or tracer tests. An individual permit shall be required
for test or treatment areas exceeding 10,000 square feet.
3) Pilot Tests -Preliminary studies conducted for the purpose of evaluating the technical feasibility of a
remediation strategy in order to develop a full scale remediation plan for future implementation, and where the
surface area of the injection zone wells are located within an area that does not exceed five percent of the land
surface above the known extent of groundwater contamination. An individual permit shall be required to conduct
more than one pilot test on any separate groundwater contaminant plume.
4) Air Injection Wells -Used to inject ambient air to enhance in-situ treatment of soil or groundwater.

I. DESCRIPTION OF PROPOSED INJECTION ACTIVITIES -Provide a brief narrative regarding the
purpose, scope, and goals of the proposed injection activity. This should include the rate, volume, and
duration of injection over time.
ATC pro poses to remediate im pacted groundwater via in jection of Ivey -sol® Surfactant Enhanced
Remediation (Ivev-Sol). Ive v-Sol a pplication will cause contaminants in the subsurface to become more
miscible in groundwater making them more available for ph sical mass extraction. Ivey -sol® will be
gravity fed into ten existing wells (I W-1, IW-2. IW-3 , IW-4 . IW-5 , IW-6 . RW-1, RW-3 , RW-5 , and MW-
53 ). For each well , a total of 250 e.allons of in jectate will be fed into the well (5 e.allons of Ivev-Sol and
245 gallons of water). Following injection oflvey-SoL the surfactant will remain in place for the prescribed
24-48 hours . after which an extraction event will be performed on the injection point. During the extraction.
a pp roximately 375 gallons of fluid will be removed from the subsurface (1.5 times the amount in jected).
This will be performed three times for each injection point. The e.oal of the in jection event will be to reduce
n:r oundwater concentrations to below the North Carolina Groundwater Q uality Standards.
J. APPROVED INJECT ANTS-Provide a MSDS for each injectant. Attach additional sheets if necessary.
NOTE: Only injectants approved by the NC Division of Public Health, Department of Health and Human
Services can be injected. Approved injectants can be found online at http://deg.nc.gov/about/divisions/water-

ATC will perform injection activities on October 16 through 20, 2017. Note that ATC prgposes to utilize already
existing wells at the site.
M. MONITORING PLAN — Describe below or in separate attachment a monitoring plan to be used to determine
if violations of groundwater quality standards specified in Subchapter 02L result from the injection activity.
ATC will collect samples from wells MW-53. RW-1. RW-3_ and RW-5 one months foilowine the infection event.
ATC will also_perform a comprehensive monitorinL event in November 2017 and Januar., 2018 that will include
all monitoring wells which have historically indicated petroleum impacts (32 wells total ). All samples will be

REMEDIATION AND INDEMNIFICATION AGREEMENT
THIS REMEDIATION AND INDEMNIFICATION AGREEMENT (this "Agreement") is
entered into this __filb_ day of Ma y 2011 by and among ConocoPhillips
Company ("CONOCOPHILLIPS"), a Delaware corporation with its principal place of business
located at 600 North Dairy Ashford, Houston, Texas 77079 and MORELAG LLC a subsidiary of
SPRINGER EUBANK COMPANY ("OWNER"), located at 123 Shipyard Boulevard, Wilmington,
North Carolina 28412. The foregoing parties are collectively referred to herein as the "Parties".
Recitals
WHEREAS, OWNER Is the legal owner of all of that certain real property and all
improvements located thereon, generally located and being at 2636 Castle Hayne Road,
Wilmington, North Carolina; Hanover County, Parcel ID 312907.68.0751.000, which property is
more fully described in Exhibit "A" attached hereto (the "Property"), and;
WHEREAS, CONOCOPHILLIPS formerly operated a retail marketing facility located at
2636 Castle Hayne Road, Wilmington, North Carolina (the "Former CONOCOPHILLIPS
Facility"), and;
WHEREAS, on or about May 2, 1995 (the "Closing Date"), CONOCOPHILUPS
conveyed the Property to W K Hobbs Jr. Et Al ("WK HOBBS)") upon which WK HOBBS
executed an agreement that was similar to this Agreement, and;
WHEREAS, on or about July 8, 2004, WK HOBBS conveyed the Property to MORELAG
LLC, and;
WHEREAS, the Property is or may become subject to environmental assessment,
Investigation, response and/or remediation (corlectively "Environmental Work") for petroleum
hydrocarbon contamination which occurred and was found and i(.lentifled before the Closing
Date ("Pre-Closing Contamination"), and;
WHEREAS, CONOCOPHILLIPS, under authority and review of the North Carolina
Department Environment and Natural Resources (the "NCOENR"}, is performing certain
Environmental Work associated with the Pre-Closing Contamination, and;
WHEREAS, CONOCOPHILLIPS may deem it necessary or be required by the NCDENR
to conduct certain Environmental Work at the Property, and;
WHEREAS, OWNER desires an indemnity from CONOCOPHILLIPS for certain matters
arising from the Pre-Closing Contamination and CONOCOPHILLIPS desires the ability to obtain
access to the Property to perform Environmental Work, as needed.
NOW THEREFORE, FOR AND IN CONSIDERATION OF THESE PREMISES and In the
interest of the Parties, the Parties hereby agree as follows:

1.1 CONOCOPHILLIPS expressly agrees to indemnify, defend and hold
harmless OWNER and each of its successors, assigns, hefts, estates, trustees and
administrators including, but not limited to, any accredited financial lending institution making a
loan(s) with the Property being the security for such loan{s);
1.1.1 against and from all claims, loss, cost, damages, liens, expanses
or reasonable attorneys' fees incurred in defending third -party claims {provided CANNER first
tenders defense of those claims to CONOCOPHILLIPS within a reasonable amount of time after
OWNER's receipt} arising out of the Pre -Closing Contamination caused by CONOCOPHILLIPS,
and;
1.1.2 against and from any fine, penalty, sanction, damage, charges,
government orders and demands Imposed for any violations of any law, ordinance, or regulation
arising out of, or attributable to said Pre -Closing Contamination caused by CONOCOPHILLIPS,
and;
1.1.3 against and from any and al] claims, toss, cost, damage, liens,
expense, government orders and demands on or related to the Property caused by
CONCCOPHiLLIPS, its employees, consultants, contractors or agents in implementing,
monitoring, performing or failing to pertarm any Environmental Work to remediate the Pre -
Closing Contamination caused by CCNOCOPHtLLUPS.
1.2 In no event will CONOCOPHILLIPS or its agents or contractors be
responsible for any indirect, incidental or consequential damages including, but not limited to,
business interruption at the Property and diminution of the Property's value, unless required by
applicable law, regulation or ordinance,
1.3 CONOCOPHILLIPS agrees to remediate the CONOCOPHILLIPS caused
Pre -Closing Contamination in accordance with applicable laws and regulations relating to the
Environmental Work. OWNER understands and agrees that it will cooperate In obtaining a risk -
based closure under NCDENR requirements that may include deed recordation of the
Property's environmental condition as a condition of risk -based closure.
2, Other Contamination. In the event the Property is or becomes contaminated with
substances or materials (the "Other Contamination'}, which excludes CONOCQPHiLLIPS
caused Pre -Closing Contarn#nation or such other ConocoPhillips caused contamination, the
following shall apply.
2.1 OWNER shall be responsible for and expressly agrees to indemnify,
defend and hold harmless CONOCOPHILLIPS, its successors and assigns against and from
any claims, loss, coat, damage, liens, expense, government orders and demands on or to the
Property arising from contamination caused by the OWNER or its agents or contractors.
2.2 CONQCOPHiL.LtPS shall not be responsible for any investigation,
abatement, remediation or corrective action arising frorn the Other Contamination.
CONCCOPHILLIPS shall not be responsible for any Investigation, abatement, remediatton or
corrective action arising from contamination caused by the Owner or its agents or contractors.
2.3 OWNER shall notify CONOCOPHILLIPS in writing within five (5) days of
the occurrence or finding of Other Contamination.

2.4 OWNER shat! furnish copies of any correspondence to or from the
NCDENR, or any governmental agency with jurisdiction over the Other Contamination, or any
third party with an interest in the Other Contamination, within fifteen (15) days of receipt from
the governmental agency or third party.
2.5 CONOCOPHILLIPS may require OWNER to conduct a tank and/or line
test, whichever is appropriate, within fifteen (15) days of a suspected release at their (or its) sole
expense and furnish the results of such testing to CONOCOPHILUPS within fifteen (15) days of
receipt of the final report unless OWNER can reasonably demonstrate that the tank(s) and/or
lines are not the source of the Other Contamination.
2.6 In the event of a suspected release, and at the request of
CONOCOPHILLIPS, OWNER will furnish CONOCOPHILLIPS with copies of tank inventory
records, tank and/or line testing and any other available Inventory monitoring information for the
previous twelve (12) months from the date of the suspected release.
2.7 If the occurrence is such that OWNER is unable to completely isolate and
remove the Other Contamination or the Other Contamination becomes commingled with the
Pre-Closing Contamfnation, then OWNER and CONOCOPHILLIPS shalf conduct good faith
negotiations to develop a cost sharing arrangement concerning joint remediation efforts. If
OWNER and CONOCOPHILLIPS have not agreed upon a cost sharing agreement within ninety
(90) days of Notice by either party to the other of the presence of the Other Contamination,
CONOCOPHILLIPS or OWNER may terminate this Agreement at Its sole discretion.
3. Property Access. OWNER hereby grants to CONOCOPHILLIPS a license for
access, ingress and egress onto, over and from the Property to permit CONOCOPHILLIPS, its
employees, consultants, contractors and agents, at no cost to OWNER, to conduct such
Environmental Work as deemed necessary by CONOCOPHILLIPS or as may be required from
time-to-time by the NCDENR. The Environmental Work may include, without limitation,
investigation/assessment activities, installation, maintenance and sampling of groundwater
monitor wells and remediation activities. Except as otherwise required by the NCDENR,
CONOCOPHILLIPS or its consultant(s) or contractor(s} shall Inform OWNER at least twenty~
four (24) hours in advance of all such actions to be undertaken on the Property. Except as
otherwise provided herein, in the event OWNER, its employees, consultants, contractors,
suppliers, agents, lessees or invitees directly or indirectly damage or destroy any equipment,
fixtures or materials associated with the Environmental Work, OWNER shall pay the removal,
replacement and re-installation costs of same.
4. Performance ·Of Activities. Except as otherwise provided hereby, any
Environmental Work conducted or caused to be conducted by CONOCOPHILLIPS on the
Property in accordance with this Agreement shall be performed without any cost or expense to
OWNER.
5. Mutual Coo per9tion. The Parties agree to cooperate in good faith with each
other with respect to the matters covered hereby. Such cooperation shall Include, without
limitation, reasonable advance notice and coordination of any activities on the Property that may
impact or affect the Parties and further:
5.1 CONOCOPHILLIPS agrees to conduct or cause to be conducted any
Environmental Work on the Property in such a way as to minimize any inconvenience or

interruption of business operations (including any demolition, construction, and commercial land
development actfvities) conducted on the Property.
5.2 OWNER agrees to not interfere with or Impede the Environmental Work.
Further, OWNER shall cause its employees, consultants, contractors, agents, invitees and
lessees to abide by same.
6. Restoration . Within sixty (60) days of completion of the Environmental Work on
the Property, CONOCOPHILLIPS shall, at no cost to OWNER, repair any damage to and
restore those portions of Property damaged or disturbed by such Environmental Work to the
condition substantially similar to the condition that it was in immediately prior to the
commencement of same. Such restoration activities shall include, without limitation, proper
abandonment and plugging of any monitoring wells installed by, or on behalf of,
CONOCOPHILLIPS on the Property. Notwithstanding the foregoing, the Parties understand and
agree that CONOCOPHILLIPS' ability to make such repairs and restoration may be limited by
NCDENR's review and approval.
7. Reports. CONOCOPHILLIPS shall provide OWNER with copies of final results
related to the Environmental Work on the Property.
8. Assi gnment. This Agreement may not be assigned by any Party without the
prior written consent of the non-assigning Party, which consent shall not be unreasonably
with held.
9. Change in Property Ownership. OWNER shall notify CONOCOPHILLIPS of
any change in ownership within five (5) days of the sale of the Property.
10. Termination. CONOCOPHILLIPS makes no representation or warranty
regarding the length of time required for CONOCOPHILLIPS to complete Its requirements under
this Agreement. Any Environmental Work arising from the Pre-Closing Contamination on the
Property shall continue until the NCDENR or until the governmental entity with jurisdiction over
the Environmental Work, agrees to a risk-based closure and provides a statement in writing
indicating that "no further action" is required at this time. At such time that CONOCOPHILLIPS
provides to OWNER a copy of the "no further action" letter or similar letter evidencing same,
CONOCOPHILLIPS shall have no further Environmental Work obligations under this
Agreement.
11. Notices. Any . and all notices, requests, consents, results, demands, or other
communications or documents required or permitted to be made or given under this Agreement
shall be in writing and shall be given to a Party at its address or facsimile number set forth in
this paragraph or at such other address or facsimile number as such Party may hereafter
specify for such purpose by written notice to the other Parties. Notices will be deemed to have
been made or given (i) If given by facsimile, when sent, and the appropriate confirmation Is
received, and (Ii) If given by any other means, when delivered. Unless changed in accordance
with this paragraph, the address and facsimile numbers for notices are as follows:

12. Effective Date. This Agreement shall immediately and automatically become
effective and fully-enforceable in all respects on the date first written above.
13. Execution of Ag reement. Each of the undersigned hereby represents and
warrants that It is authorized to execute this Agreement on behalf of the respective Parties to
the Agreement and that this Agreement, when executed by those Parties, shall become a valid
and binding obligation, enforceable in accordance with Its terms. Upon execution, this
Agreement shall be binding as to the Parties' respective parent companies, subsidiaries,
affiliates, successors, heirs and assigns .
14. Governing Law, This Agreement Is governed by the laws of the State of North
Carolina.
15. I nteroretation.
15.1 This Agreement supersedes any prior agreements and contains the entire
agreement of the Parties on the matters covered herein . No other agreement, statement or
promise made by any party or agent of any Party that is not in writing and signed by all the
Parties shall be binding. Any amendments to this Agreement must be in writing and signed by
any authorized representative of each of the Parties.
15.2 This Agreement may be executed in counterparts, each of which shall be
deemed to be an original, but such counterparts when taken together shall constitute but one
agreement.
15.3 The captions ln this Agreement are for convenience and reference only.
The words contained herein shall not be held to expand, modify, amplify, or aid in the
interpretation, construction, or meaning of this Agreement.
If any clause or provision of this Agreement is declared illegal, invalid, or
unenforceable by a court of competent jurisdiction, then the Parties intent that the validity and
enforceability of the remaining clauses and provisions of this Agreement shall not be affected
thereby and shall nonetheless remain in full force and effect to the greatest extent permitted by
law.
