NOTE: Direct push or Geoprobe wells are considered wells and require construction (GW-1) and abandonment forms (GW-30). DESCRIPTION OF PROPOSED INJECTION ACTIVITIES -Provide a briefnarrative regarding the purpose, scope, and goals of the proposed injection activity. This should include the rate, volume, and duration of injection over time. A TC prop oses to remediate im pacted groundwater via in jection of Ivey -sol® Surfactant Enhanced Remediation (Ivey-Sol). Ive y-Sol a pp lication will cause contaminants in the subsurface to become more miscible in e.roundwater making them more available for ph vsical mass extraction. Ivev-sol® will be gravi tv fed into ten existing wells (IW-L IW-2. IW-3 . IW-4 . IW-5 . IW-6 . RW-1. RW-3 . RW-5 . and MW- 53 ). For each well. a total of 250 gallons of in jectate will be fed into the well (5 gallons of Ivey-Sol and 245 gallons of water). Following injection oflve -Sol. the surfactant will remain in place for the prescribed 24-48 hours . after which an extraction event will be p erformed on the injection point. During the extraction. a pp roximatel y 375 gallons of fluid will be removed from the subsurface (1.5 times the amount in jected ). This will be performed three times for each injection point. The goal of the injection event will be to reduce groundwater concentrations to below the North Carolina Groundwater Oualitv Standards. J. APPROVED INJECT ANTS-Provide a MSDS for each injectant. DESCRIPTION OF PROPOSED INJECTION ACTIVITIES -Provide a brief narrative regarding the purpose, scope, and goals of the proposed injection activity. This should include the rate, volume, and duration of injection over time. ATC pro poses to remediate im pacted groundwater via in jection of Ivey -sol® Surfactant Enhanced Remediation (Ivev-Sol). Ive v-Sol a pplication will cause contaminants in the subsurface to become more miscible in groundwater making them more available for ph sical mass extraction. Ivey -sol® will be gravity fed into ten existing wells (I W-1, IW-2. IW-3 , IW-4 . IW-5 , IW-6 . RW-1, RW-3 , RW-5 , and MW- 53 ). For each well , a total of 250 e.allons of in jectate will be fed into the well (5 e.allons of Ivev-Sol and 245 gallons of water). Following injection oflvey-SoL the surfactant will remain in place for the prescribed 24-48 hours . after which an extraction event will be performed on the injection point. During the extraction. a pp roximately 375 gallons of fluid will be removed from the subsurface (1.5 times the amount in jected). This will be performed three times for each injection point. Insert Project Name Page 2of7 - ❑nst a Agr RMRO v.1.don 2.4 OWNER shat! furnish copies of any correspondence to or from the NCDENR, or any governmental agency with jurisdiction over the Other Contamination, or any third party with an interest in the Other Contamination, within fifteen (15) days of receipt from the governmental agency or third party. 2.5 CONOCOPHILLIPS may require OWNER to conduct a tank and/or line test, whichever is appropriate, within fifteen (15) days of a suspected release at their (or its) sole expense and furnish the results of such testing to CONOCOPHILUPS within fifteen (15) days of receipt of the final report unless OWNER can reasonably demonstrate that the tank(s) and/or lines are not the source of the Other Contamination. 2.6 In the event of a suspected release, and at the request of CONOCOPHILLIPS, OWNER will furnish CONOCOPHILLIPS with copies of tank inventory records, tank and/or line testing and any other available Inventory monitoring information for the previous twelve (12) months from the date of the suspected release. 2.7 If the occurrence is such that OWNER is unable to completely isolate and remove the Other Contamination or the Other Contamination becomes commingled with the Pre-Closing Contamfnation, then OWNER and CONOCOPHILLIPS shalf conduct good faith negotiations to develop a cost sharing arrangement concerning joint remediation efforts. If OWNER and CONOCOPHILLIPS have not agreed upon a cost sharing agreement within ninety (90) days of Notice by either party to the other of the presence of the Other Contamination, CONOCOPHILLIPS or OWNER may terminate this Agreement at Its sole discretion. 3. Property Access. OWNER hereby grants to CONOCOPHILLIPS a license for access, ingress and egress onto, over and from the Property to permit CONOCOPHILLIPS, its employees, consultants, contractors and agents, at no cost to OWNER, to conduct such Environmental Work as deemed necessary by CONOCOPHILLIPS or as may be required from time-to-time by the NCDENR. The Environmental Work may include, without limitation, investigation/assessment activities, installation, maintenance and sampling of groundwater monitor wells and remediation activities. Except as otherwise required by the NCDENR, CONOCOPHILLIPS or its consultant(s) or contractor(s} shall Inform OWNER at least twenty~ four (24) hours in advance of all such actions to be undertaken on the Property. Except as otherwise provided herein, in the event OWNER, its employees, consultants, contractors, suppliers, agents, lessees or invitees directly or indirectly damage or destroy any equipment, fixtures or materials associated with the Environmental Work, OWNER shall pay the removal, replacement and re-installation costs of same. 4. Performance ·Of Activities. Except as otherwise provided hereby, any Environmental Work conducted or caused to be conducted by CONOCOPHILLIPS on the Property in accordance with this Agreement shall be performed without any cost or expense to OWNER. 5. Mutual Coo per9tion. The Parties agree to cooperate in good faith with each other with respect to the matters covered hereby. Such cooperation shall Include, without limitation, reasonable advance notice and coordination of any activities on the Property that may impact or affect the Parties and further: 5.1 CONOCOPHILLIPS agrees to conduct or cause to be conducted any Environmental Work on the Property in such a way as to minimize any inconvenience or Insert Project Name Page 3 of7 - Onslte R&I Agr RMR08v.1.doc interruption of business operations (including any demolition, construction, and commercial land development actfvities) conducted on the Property. 5.2 OWNER agrees to not interfere with or Impede the Environmental Work. Further, OWNER shall cause its employees, consultants, contractors, agents, invitees and lessees to abide by same. 6. Restoration . Within sixty (60) days of completion of the Environmental Work on the Property, CONOCOPHILLIPS shall, at no cost to OWNER, repair any damage to and restore those portions of Property damaged or disturbed by such Environmental Work to the condition substantially similar to the condition that it was in immediately prior to the commencement of same. Such restoration activities shall include, without limitation, proper abandonment and plugging of any monitoring wells installed by, or on behalf of, CONOCOPHILLIPS on the Property. Notwithstanding the foregoing, the Parties understand and agree that CONOCOPHILLIPS' ability to make such repairs and restoration may be limited by NCDENR's review and approval. 7. Reports. CONOCOPHILLIPS shall provide OWNER with copies of final results related to the Environmental Work on the Property. 8. Assi gnment. This Agreement may not be assigned by any Party without the prior written consent of the non-assigning Party, which consent shall not be unreasonably with held. 9. Change in Property Ownership. OWNER shall notify CONOCOPHILLIPS of any change in ownership within five (5) days of the sale of the Property. 10. Termination. CONOCOPHILLIPS makes no representation or warranty regarding the length of time required for CONOCOPHILLIPS to complete Its requirements under this Agreement. Any Environmental Work arising from the Pre-Closing Contamination on the Property shall continue until the NCDENR or until the governmental entity with jurisdiction over the Environmental Work, agrees to a risk-based closure and provides a statement in writing indicating that "no further action" is required at this time. At such time that CONOCOPHILLIPS provides to OWNER a copy of the "no further action" letter or similar letter evidencing same, CONOCOPHILLIPS shall have no further Environmental Work obligations under this Agreement. 11. Notices. Any . and all notices, requests, consents, results, demands, or other communications or documents required or permitted to be made or given under this Agreement shall be in writing and shall be given to a Party at its address or facsimile number set forth in this paragraph or at such other address or facsimile number as such Party may hereafter specify for such purpose by written notice to the other Parties. Notices will be deemed to have been made or given (i) If given by facsimile, when sent, and the appropriate confirmation Is received, and (Ii) If given by any other means, when delivered. Governing Law, This Agreement Is governed by the laws of the State of North Carolina. 15. I nteroretation. 15.1 This Agreement supersedes any prior agreements and contains the entire agreement of the Parties on the matters covered herein . No other agreement, statement or promise made by any party or agent of any Party that is not in writing and signed by all the Parties shall be binding. Any amendments to this Agreement must be in writing and signed by any authorized representative of each of the Parties. 15.2 This Agreement may be executed in counterparts, each of which shall be deemed to be an original, but such counterparts when taken together shall constitute but one agreement. 15.3 The captions ln this Agreement are for convenience and reference only. The words contained herein shall not be held to expand, modify, amplify, or aid in the interpretation, construction, or meaning of this Agreement. If any clause or provision of this Agreement is declared illegal, invalid, or unenforceable by a court of competent jurisdiction, then the Parties intent that the validity and enforceability of the remaining clauses and provisions of this Agreement shall not be affected thereby and shall nonetheless remain in full force and effect to the greatest extent permitted by law.
