original certificate remain unchanged and in full effect. This modification is issued under the requirements
of North Carolina General Statutes 143-215.1 and the Memorandum of Agreement between North Carolina
and the U.S. Environmental Protection Agency.

BILL OF SALE
This BILL OF SALE ("Bill of Sale") is made as of this 31 ay of December, 2007, by
OWENS CORNING ROOFING AND ASPHALT, LLC, a Delaware limited liability company
(the "Company"), to SEMMATERIALS, L.P., an Oklahoma limited partnership ("Buyer").
Capitalized terms used and not otherwise defined herein shall have the meanings ascribed thereto
in the Asset Purchase Agreement (the 'Purchase Agreement"), dated as of December 14, 2007,
by and among the Company and Buyer.
WHEREAS, the Company and Buyer entered into the Purchase Agreement providing,
among other things, that the Company shall sell to Buyer the Acquired Assets, subject to the
terms and conditions set forth in the Purchase Agreement.
NOW, THEREFORE, the Company, for and in consideration of the Purchase Price, does
hereby grant, bargain, sell, assign, alienate, remise, release, convey, transfer, set over and
confinn unto Buyer, its successors and assigns forever, all right, title and interest in and to the
Acquired Assets, free and clear of all Liens.
TO HAVE AND TO HOLD its Acquired Assets unto Buyer, its successors and assigns, to
and for its and their use and benefit forever.
In the event of any conflict or inconsistency between this Bill of Sale and the Purchase
Agreement, the terms of the Purchase Agreement shall control, it being understood that the
Acquired Assets are being conveyed with and are subject to all applicable warranties, covenants,
representations and Iimitations set forth in the Purchase Agreement.
The provisions hereof shall inure to the benefit of and be binding upon the successors and
assigns of the Company and Buyer.
This Bill of Sale will be governed by and construed under the laws of the State of New
York without regard to conflicts -of -laws principles that would require the application of any
other law.

Dear Sir/Madam:
On January 1, 2008, SemMaterials, LP purchased the Owens Corning Roofing and Asphalt,
LLC (Owens Corning) facility in Morehead City, North Carolina (Morehead City facility). The
Morehead City facility is authorized to discharge under North Carolina Division of Water Quality
Permit No. NCG500354. As of the sale date, SemMaterials assumed responsibility for
compliance with the provisions of the permit. SemMaterials is submitting this permit transfer
change form which includes the signature of the Responsible Officials for both the buyer and
seller. The submittal also includes a Bill of Sale documenting the official transfer of ownership.
