Ranch LLC, a North Carolina limited liability company (the "Company"), does hereby adopt the
following resolution by signing his written consent hereto:
INITIAL MEMBER
RESOLVED, that the following trust is identified as the initial member of the Company,
subject to all provisions as contained in the Company's operating agreement:
D. Ralph Huff III, Trustee of the D. Ralph Huff III Revocable Trust dated July 8, 2008,
as amended and restated
(a 100% membership interest therein)
This action and resolution is effective as of the 23`d day of July, 2020.
