(TLG) is pleased to submit this proposal to Wayne Farms, LLC (Owner) for professional engineering services related to replacement of the existing WWTP effluent force main at the Dobson, NC chicken processing plant. This Proposal is presented in followup to discussions and correspondence between Kevin Heath, F.E. of this office and yourself. A detailed description of the project and the proposed scope of services follow: DESCRIPTIC?N OF TIIE PROJECT Wayne Farms, LLC owns and operates a chicken processing plant in Dobson, NC. The facility includes a 0.7 MGD wastewater treatment plant with effluent discharge to the Fisher River. Treated effluent is pumped #o the discharge location through a 6" force main located within NCDOT highway right-of-ways. The existing 6" force main is approximately 45 +/- years old and the pipe's size is restricting the amount of flow that can be discharged from the WWTP. Accordingly, Wayne Farms desires to replace the existing effluent force main with a larger pipe in order to improve operations at the existing WWTP and enable the processing facility to expand capacity. In 2018, Wayne Farms initiated discussions with NCDOT regarding replacement of the force main and learned that Route 601 is a controlled access roadway, that NCDOT is in the planning phase of a project to widen the roadway to 4-lanes, and that NCDOT's preference would be for Wayne Farms to relocate the force main off of NCDOT right -of --way entirely. Accordingly, Wayne Farms began contacting adjacent private landowners to inquire about easements but was unable to secure the easements that would be needed to relocate the force main off of NCDOT right-of=way. Wayne Farms subsequently met with NCDOT again on March 5 and March 19, 2019 and Iearned that NCDOT is now willing to issue Wayne Farms an Encroachment Agreement to replace the existing force main within NCDOT right -of. way, provided that the force main location and construction are compatible with NCDOT's Route 601 widening plans. The proposed effluent force main replacement project would include approximately 12,800 LF of 12" force main and related improvements from the Wayne Farms WWTP to the existing permitted discharge location at the Fisher River. Construction is desired to be completed in 2019. Page 2 SCOPE OF SERVICES The Lane Group, Inc. proposes to provide the following professional engineering services to Wayne Farms, LLC for the proposed project: Task 1: PROJECT DEVELOPMENT/COORDINATION MEETINGS: The Lane Group, Inc. will attend meetings as required and necessary to complete the project. It is anticipated that meeting(s) could be required with Wayne Farms, NCDOT, and potentially others. Task 2: BASE MAPPING: Base mapping of the project area will be prepared. A new 2019 flight aerial survey will be completed for the corridor and then supplemented with a field ground survey. Preliminary Route 601 widening plans provided by NCDOT will be imported into the drawing. The aerial survey, the field survey data, and NCDOT plan information will be combined into a single completed base map. The completed base mapping will then be used for subsequent design purposes. Task 3: PRELIIvIII�TARY DESIGN: A draft set of plans, specifications, and contracfi documents will be prepared for review by Wayne Farms and NCDOT. The preliminary design information is to be reviewed by representatives from both parties prior to regulatory permit submittal. All plan sheets will be prepared using AUTOCAD. The contract documents will be prepared using EJCDC format. The Preliminary Design submission will be provided with a project development cost estimate. Task 4: REGULATORY PERMITS: Following receipt of any Preliminary Design review comments, TLG will revise the plans as needed and prepare the permit application forms for those permits necessary to complete construction. It is anticipated that permits may be required from NCDEQ Division of Water Resources (Authorization to Construct), NCDEQ Land Quality Section (Erosion Control Permit), US Army Corps of Engineers (Any in -stream work), and the North Carolina Department of Transportation (Encroachment Agreement). The appropriate permit forms will be prepared and provided to Wayne Farms for signatures. The regulatory permitting packages will be submitted to the respective agencies for review and approval. Any regulatory agency permit issuance/review fees charged by the respective agencies are to be paid by Wayne Farms. Any review comments received from the respective agencies will be addressed by TLG until the permits are issued. This Task shall be considered to be complete when all of the necessary regulatory permits are issued. Task 5: PROJECT BIDDING ASSISTANCE: TLG will assist Wayne Farms in procuring a contractor to complete construction. Project bidding assistance includes development of a Iist of contractors to invite to bid, preparation and distribution of bid sets, answering Contractors' questions and issuing Addendums (if required), attending the Bid Opening, tabulating the bid results, evaluating the bids, and making a recommendation of award to Wayne Farms. Task 6: CONSTRUCTION ADMINISTRATION: Construction Administration services to be provided include preparation and review of construction contract documents (Notice of Award, Agreement forms, bonds, certificates of insurance), conducting a preconstruction conference, review and approval of shop drawings, interpretation of plans and specifications during the construction period, attend monthly progress meetings to review the work progress made, review/approve Contractor pay requests, and prepare any necessary Contract Change Order forms for approval. This task also includes preparation of As -Built Record Drawings using field sketches and/or markups completed by the RPR and/or the Contractor. Task 7: RESIDENT PROJECT REPRESENTATIVE SERVICES: During the construction period, TLG will provide full- time project representative (RPR) services. The RPR assigned to the project will monitor construction at time intervals and frequencies determined to be necessary to reasonably assure Contractor compliance with the plans, specifications, and permit requirements. Following completion of construction, a final inspection will be held with representatives of Wayne Farms, NCDOT, The Lane Group, Inc., the Contractor, and other agencies as appropriate. A statement of Substantial Completion will be issued to Wayne Farms once all work is completed in conformance with the plans and specifications. For budgeting purposes, a total time allocation of twenty-six 40- hour work weeks (1,040 man-hours total) has been estimated for construction inspections, corresponding to an estimated 6-month construction period. Any Standard General Conditions, Contract Provisions, and/or special reporting requirements that are required by Wayne Farms to be incorporated into the Construction Contract Documents. 2. Obtaining/negotiating for any necessary right -of --way easements required to construct the work is to be completed by others. It is recognized that it will be Wayne Farms' preference to maintain the construction within NCDOT r/w to the extent possible. 3. Payment of any necessary permit issuance and/or plan review fees charged by the respective regulatory agencies is to be made by Wayne Farms. 4. Copy of current NPDES discharge permit for the existing Fisher River discharge. 5. WWTP effluent discharge flow records for the most recent twelve consecutive months as well as information pertaining to the anticipated future discharge rate. SCHEDULE OF COMPLETION The Lane Group, Inc. will begin work immediately upon written acceptance of this Proposal and receipt of those items to be provided by others. It is anticipated that Work Tasks 1-3 (Preliminary Design) will be completed within one hundred twenty (120) calendar days following receipt of written acceptance of this Proposal. The amount of time required for Work Task 4 (Regulatory Approval and Permit Issuance) is beyond the control of The Lane Group, Inc. as this is dependent upon outside regulatory agencies. Work Task 5 (Bidding Assistance) will be initiated upon request by Wayne Farms. It is understood that Wayne Farms reserves the right to delay authorization of Work Tasks 6 and 7 until after bidding is completed and construction is authorized. Work Task 6 -- Construction Administration will be provided following receipt of bids and during the construction period. The timetable for completion of Work Task 7 — RPR Services is dependent upon the construction completion schedule. Engineer means The Lane Group company, the company's employees, and the company's subcontractors. 1.2 The "Client" is the other party to this Agreement. 1.3 The "Project' is the collective sum of all services and deliverables for which the Client has commissioned the Engineer to complete. 2 --SCOPE OF SERVICES 2.1 The Agreement between the Engineer and the Client consists of the Proposal, these Standard Contract Terms and Conditions, and any other Exhibits or Attachments referenced in and included with the Proposal. 2.2 Together these elements constitute the Agreement in its entirety. The Agreement shall not be considered binding unless and until executed by both parties. 2.3 The executed Agreement supersedes all prior written or oral correspondence, statements, representations, and/or agreements. 2.4 The executed Agreement establishes the scope of services to be provided by the Engineer, anticipated schedule, deliverables, compensation, items to be provided by others, and other information relevant to the Project. Any changes to the Agreement must be mutually acknowledged, in uniting, by both parties. 3 --STANDARD OF CARE 3.1 The ENGINEER will strive to perform the services under this Agreement in a manner consistent with the level of care and skill ordinarily exercised by members of the same profession currently practicing in the same locality as the Project under similar conditions during the same time period. 3.2 No other representation and no warranty or guarantee, either expressed or implied, is included or intended by this Agreement. 4--DISCLOSURES 4.1 The provisions ofthe Agreement have been established based upon information known or assumed by both parties prior to execution of said Agreement. 4.2 Both the Engineer and the Client shall £ally disclose to each other, prior to executing the Agreement, all information pertinent to completion of the Project. 4.3 Both the Engineer and the Client agree to disclose to each other, any information relevant to completion of the Project, which becomes known during the course of the work and could have a potential impact upon the provisions ofthe Agreement. 5 —INFORMATION PROVIDED BY OTHERS 5.1 The Agreement between the Engineer and the Client identifies those items which are to be provided to the Engineer by other parties, outside of the Engineer's control, if any, and incorporated into the Engineer's work. S.2 Client agrees to waive any claim of liability against the Engineer resulting in errors, omissions, or inaccuracies due to defects and/or deficiencies in the information that is provided to the Engineer by .atl ,and outside of the Engineer's control_ 6 — OWNERSHIP OF DOCUMENTS 5.1 The Agreement between the Engineer and the Client identifies those documents and/or deliverables which the Engineer is to provide to the Client, if any, upon completion of the Project. 6.2 The Engineer shall retain ownership and properly interests of all deliverable documents and other relevant preparatory information developed by the Engineer in completion of the Project. Relevant preparatory information includes those items generated by the Engineer in the course of completing the project; and could include calculations, worksheets, field measurements, survey data, photographs, product brochures, financial records, and other related items which are not customarily included in the deliverable documents provided to the Client. 6.3 The Engineer shall furnish the Client with the number and format of deliverable documents as designated in the Agreement. The Client may retain the deliverable documents and make copies of them for the CIient's sole use in relation to the Project. It is understood that the Client shalI not sell or otherwise convey the deliverable documents to any other party for any other purpose without first obtaining written authorization from the Engineer. 6.4 The Engineer shall retain exclusive ownership of all other relevant preparatory information generated in the course of completing the Project and shall not provide these materials to any party unless specifically designated otherwise in the Agreement and/or without written authorization from the Engineer. tj ' the f: - GROUP w.wvA hplanegroupinc.co m 6.5 The Client agrees to indemnify and hold harmless the Engineer from any claims, damages, and/or liabilities arising from any unauthorized use, re -use, or modifications of the deliverable documents made by any party. 7 ASSIGNMENT OF AGREEMENT 7.1 Neither the Engineer nor the Client may delegate, transfer, or otherwise reassign this Agreement to any other party without the written consent of the other party. 7.2 The Engineer may subcontract portions of the Project work tasks at the Engineer's sole discretion. ARTICLE 8—TERAI%NATION OR SUSPENSION $.1 Either the Engineer or the Client may terminate or suspend the Agreement for material breach or convenience. The party effecting the termination or suspension shall so notify the other party in writing and said termination or suspension shall become effective seven (7) calendar days following receipt of notice. 8.2 Iri the event of Agreement termination or suspension, the Engineer shall furnish the Client with those portions of the Project which have been completed and the Client shall compensate the Engineer for those services which have been performed in accordance with the provisions of the Agreement. ARTICLE 11—DISPUTE RESOLUTION 11.1 If either the Engineer or the Client believes that the other party has materially breached this Agreement, written notification shall be delivered to the offending party within five (5) business days identifying such cause. Both parties shall then bargain promptly and in good faith to cure such cause. 1F.2 All claims, disputes, or controversies between Engineer and Client caused by or in any way related to the Agreement and which cannot be remedied by good faith negotiation between the parties, shall be submitted to non- binding mediation as a condition precedent to litigation. The mediator may be selected by either party but shall be acceptable to both parties. The mediator's costs shall be borne equally by each party and each party shall bear all of its own other costs related to mediation. 11.3 Should good faith negotiation and mediation fail to resolve any dispute related to this Agreement, the Engineer and the Client agree that litigation may be brought by either Ply 11.4 Unless prohibited by law and notwithstanding any statute that may provide additional protection, both the Engineer and the Client agree that any claim by either party arising out of the Agreement shall be initiated not more than eighteen (18) months from the date that the party knew, or should have known, of the condition giving rise to the claim -a X der nopp,circumstance shall any claim be made ovc �€donths following the date that the Engineer's services are substantially complete under the Agreement. ARTICLE 12—GOVERNING LAW 12.F Both the Engineer and the Client agree that the governing taws of the locality in which the project is located shall prevail in all matters related to the performance and/or dispute remediation related to the Agreement. Wayne Farms LLC — Master Service Agreement This Master Agreement is made and entered into this 3rd day of APlll 20 19 between Wayne Farms LLC, a Delaware limited liability corporation, including all locations, affiliates and operations (hereinafter "Wayne Farms") and Lane Engineering, Inc. (hereinafter "Contractor"). WITNESSETH: In consideration of the promises and mutual agreements hereinafter contained, the parties hereby agree to the terms set forth below and in any attachments now or hereafter made a part of this Master Agreement. 1. MASTER AGREEMENT —This Master Agreement, the terms of which shall apply to work, if any, undertaken by the Contractor pursuant to any purchase orders issued by Wayne Farms hereunder (collectively, "Purchase Orders"), schedule or schedules of work (collectively, "Schedule A") executed by Wayne Farms and the Contractor. Execution of this Master Agreement creates no obligation on either party unless and until a Purchase Order or Schedule A has been fully executed by both parties hereto. This Master Agreement and Purchase Order or Schedule A are hereinafter collectively referred to as the "Agreement' unless otherwise indicated. 2. SCOPE OF WORK— The Contractor shall furnish all the equipment, labor, material and work necessary to fully assemble, install, maintain, repair and deliver to Wayne Farms the work or equipment as more fully described in Schedule A, attached hereto, or included in each Purchase Order issued by Wayne Farms hereunder. The time for performance of any work shall be set forth in this Agreement and Schedule A or in Purchase Orders. In addition, the Contractor shall provide to Wayne Farms all associated manuals, procedures, instructions and other data required for the operation and repair of the equipment. 3. AUTHORIZATION OF PURCHASE ORDERS —Purchases under this Agreement shall be made only w th Purchase Orders issued by Wayne Farms. Contractor agrees that Wayne Farms has made no guarantee or commitment that Wayne Farms will purchase any minimum quantity of equipment or work under this Agreement, and it is understood that the quantities of individual work and equipment may vary. 4. CHANGE ORDERS —In the event Wayne Farms requests any changes in the scope of work, Wayne Farms shall provide Contractor a written not fication of such requested change. Within five (5) business days, Contractor shall provide Wayne Farms, a written change order detailing the scope of the change, an estimate of the effect, if any, on the completion date and the cost of such change order ("Change Order"). The form to be used for the Change Order is attached as Exhibit 1. Upon written acceptance of such Change Order by Wayne Farms, this Agreement shall be amended accordingly. Unless Wayne Farms accepts such Change Order in writing, no change in the scope of work shall result in an increase in the cost of the work beyond the price specified in this Agreement. 5. BUYER RESPONSIBILITY —Wayne Farms will not be responsible for equipment delivered or work rendered without a valid Purchase Order or Schedule A. No substitution of the work and/or equipment from those specified will be accepted without the prior written consent of a revised Purchase Order, Schedule A or Change Order. 6. TIME FOR PERFORMANCE —This Agreement shall extend for three (3) years from the date first above written. The time for performance of any work shall be as set forth in a valid Purchase Order and/or Schedule A. 7. CONTRACT PRICE — In consideration of the completion of the work described herein, and the fulfillment of all stipulations of this Agreement including compliance with paragraph 18 herein to the satisfaction and Page 1 of 10 :2Ai[�xgF.Ui(7 Wayne Farms LLC — Master Service Agreement acceptance of Wayne Farms. Wayne Farms shall pay, or cause to be paid, to Contractor the amount due to Contractor as set forth in a valid Purchase Order and/or Schedule A. 8. TERMS OF EMPLOYMENT — Wayne Farms reserves no control whatsoever over the employment, discharge, compensation of or work rendered by Contractor's employees, and it is the intention of the parties to this Agreement that Contractor shall be and remain an independent contractor, and that nothing in this Agreement shall be construed as inconsistent with that status. Contractor agrees to pay the contributions measured by the wages of its employees required to be made under the Unemployment Compensation Insurance, Social Security and Retirement Laws or similar laws, State and Federal, applicable to the work hereunder performed by Contractor, and to accept exclusive liability for said contributions; Contractor further promises and agrees to indemnify and hold harmless Wayne Farms, its successors and assigns, subsidiaries and related companies from any and all liability arising therefrom. 9. PERMITS AND INSURANCE — Before doing any work under this Agreement, Contractor at its own expense shall secure and keep in effect, until the entire work is completed and accepted, the following items: A. All permits, licenses, authorizations of a temporary nature, fees, charges, assessments, taxes and inspections required by federal, state, county or municipal authorities including payment of salaries and expenses of any public inspectors, policemen or officers which may be required in connection therewith; B. Statutory Worker's Compensation Insurance (statutory limits); C. Commercial General Liability Insurance (including Contractual Insurance) of $3,000,000.00 combined single limit per occurrence for bodily injury and property damage to include completed operations; and D. Automobile Insurance of $3,000,000.00 combined single limit per occurrence for bodily injury and property damage. Contractor shall submit to Wayne Farms, prior to the commencement of work, certificates evidencing insurance in form and with companies reasonably satisfactory to Wayne Farms, in the amounts and for the coverage as above stated. With respect to the insurance specified in paragraph 9C and 9D hereof, Wayne Farms shall be named as an additional insured on each policy. The insurance provided for herein shall not be in derogation or limitation of the liability assumed by Contractor under the terms of this Agreement. 10. DEFECTIVE WORK OR MATERIAL — All work and material shall at all times be open to the inspection, acceptance or rejection of Wayne Farms or its authorized representative. Wayne Farms shall have power to reject or condemn all work or material, which does not conform to this Agreement and any omissions or failure on the part of Wayne Farms to disapprove or reject any defective work or material shall not be construed to be an acceptance thereof. 11. FAILURE OF PERFORMANCE BY CONTRACTOR: A. If Wayne Farms shall at any time be of the opinion that Contractor is neglecting to remedy any imperfection in the work or is not progressing with the work as fast as necessary to insure its completion within the time and as required by this Agreement, or is otherwise violating any of the provisions of this Agreement, Wayne Farms shall have the power to notify Contractor in writing to remedy such imperfections, proceed more rapidly with said work, or otherwise comply with the provisions of this Agreement. B. If on the expiration of ten (10) days after the serving of such written notice upon Contractor, Contractor shall continue to neglect the work and shall fail to satisfy Wayne Farms of its efforts, ability and intentions, to remedy the specified deficiencies, Wayne Farms may terminate the employment of Contractor and may take possession of the work and of all materials, tools and appliances thereon, and employ such means as may be, in Wayne Farms' judgment, necessary to finish the work. In such case, Contractor shall receive no further payment until the work shall be finished, when, if the unpaid balance that would be due under this Agreement exceeds the cost to Wayne Farms of finishing the Page 2 of 10 Rev. 10.31.2016 Wayne Farms LLC — Master Service Agreement work, such excess shall be paid to Contractor; but if such cost exceeds such unpaid balance, Contractor shall pay the difference to Wayne Farms. C. Upon failure of Contractor to comply with any notice given in accordance with the provisions herein, Wayne Farms shall have the alternative right, instead of assuming charge of the entire work, to place additional forces, tools, equipment and materials on parts of the work for the purpose of carrying on such parts of the work. Contractor shall only be entitled to the Agreement price less the cost of placing such additional forces, tools, equipment and material on parts of the work, with five (5) percent added, which amount shall be retained by Wayne Farms, 12. NOTICE —HOW SERVED —All notices to Contractor shall be deemed given if the same is in writing and if delivered to the office used by Contractor or deposited in the post office, postage prepaid, addressed to Contractor at its last known place of business. Any notice to be given to Wayne Farms shall be in writing and must be delivered or deposited in the post office or overnight mail, postage prepaid, addressed to the Project Manager (what dept will this go to), Wayne Farms LLC, 4110 Continental Drive, Oakwood, GA 30566, phone # needed for overnight delivery. 13. COMPLIANCE AND SAFETY RULES —Contractor, for itself, all employees, subcontractors and any others under Contractor's authority, acknowledges receipt and understanding of plant safety rules and procedures, and agrees to fully comply with such rules and procedures; including where applicable, emergency evacuation procedures, welding or cutting procedures, confined space entry, hazard communication, electrical lockout, and all safe practices necessary to avoid hazards such as grain dust explosions, and ammonia leaks or releases. 14. SAFETY CONTACT —Contractor shall designate a primary contact person ("PCP") on site at each Wayne Farms location where work is being performed. Said PCP shall coordinate with Wayne Farms' Project Manager to ensure that all required safety training is performed, and that all of Contractor's sub -contractors are approved in advance. Contractor will be expected to review, complete, and execute such documents as may be requested, evidencing review, receipt, and acknowledgement of Wayne Farms' Contractor Safety Program, as will any approved subcontractors. 15. FEDERAL CONTRACTOR COMPLIANCE — If at any time Wayne Farms becomes a Federal Contractor it may require Contractor abide by the following: Contractor represents and warrants to Wayne Farms, its customers and assigns, and agrees, that as of the date of the Agreement that Contractor is and shall continue to be in compliance with all equal employment and affirmative action provisions of Executive Order 11246, the Vietnam Era Veterans' Readjustment Assistance Act ("VEVRAA"), Section 503 of the Rehabilitation Act of 1973, as amended, Executive Order 12138, Section 8 of the Small Business Act, as amended (15 USC § 637), and all implementing regulations under those Orders, VEVRAA and those sections. If Wayne Farms will use the equipment or work in connection with a contract with the United States or other government, then all terms and conditions that the government contract or any law or regulation requires to be included in any contract formed pursuant to the order ("Government Terms") are incorporated in the order by reference. If any provision of the order is inconsistent with any Government Terms, then the Government Terms shall control. Upon Wayne Farms' request, Contractor shall execute a Certificate of Compliance evidencing compliance with this paragraph. 16. SPECLAI, PERMISSION —Contractor agrees that specific consent of Wayne Farms is required where work includes gas and electric arc welding, cutting or other spark producing activities covered by Wayne Farms hot work policy, confined space entry, de -energizing equipment or systems to facilitate sale, inspection repair or replacement, or hazardous materials. In an emergency affecting safety of persons or property, Contractor shall act, at Contractor's discretion, to prevent threatened damage, injury or loss. HAZARDOUS WASTE — Contractor represents that no toxic or hazardous waste material as defined by any local, state or federal law shall be used in the performance of this Agreement without written notice to Wayne Farms that such material is toxic or hazardous and without Wayne Farms written consent to such use. Should Wayne Farms consent to Contractor's use of such material, Contractor agrees to handle, store, treat, use and dispose of all such material in full accordance with all local, state, and federal laws to include the furnishing of material safety data sheets and other available hazard information. 18. INDEMNTTY —Contractor hereby agrees to protect, ndemnify and hold Wayne Farms harmless against and from any and all liability of any and every kind, nature or description for injury to or death of any person or persons whomsoever and for loss or damage to any property whatsoever, together with all costs and expenses incident thereto arising in any manner, directly or indirectly, out of or in connection with the performance of this Agreement, provided such indemnification shall not extend to injury, death, loss or damage caused by the gross negligence or willful misconduct of Wayne Farms or its employees. 19. LIENS — Upon the request of Wayne Farms and upon any payment excluding any down payments being made to Contractor, Contractor shall furnish Wayne Farms with (a) waivers and releases of all liens, claims, potential claims or rights of the Contractor or subcontractors on or against Wayne Farms property for all work and material rendered in connection with any improvements of Wayne Farms property on or before the date of such waiver, and (b) an affidavit of an authorized officer of Contractor to the effect that all accounts for work and material have been satisfied in full. Such affidavit shall also state that as of such date, there are no existing change orders related to the work that have not been submitted in writing to Wayne Farms and signed by Wayne Farms and that the Contractor shall not submit any additional change orders for work performed or materials furnished through and including the date hereof. If at any time there shall be evidence of any lien or claim for which Wayne Farms might become liable and which is chargeable to Contractor, Wayne Farms shall have the right to retain, out of any payment then due or thereafter becoming due, an amount sufficient to completely indemnify Wayne Farms against such lien or claim, and if such lien or claim be valid, Wayne Farms may pay and discharge the same, and deduct the amount so paid from any amounts which may be due or become due and payable to Contractor. 20. APPLICABLE LAW — This Agreement is deemed to be made under and shall be construed according with the laws of the State of Georgia 21. DISPUTES —Contractor agrees that any disputes arising out of this Agreement shall be litigated in the state or federal courts located in Hall County, Georgia. Contractor specifically submits to the jurisdiction of said court for the purpose of such litigation. The parties hereby waive any challenges based upon venue or lack ofjurisdiction. 22. ACCEPTANCE —The work shall be inspected for acceptance by Wayne Farms promptly upon receipt of notice in writing from Contractor that the work is ready for such inspection. 23. GUARANTEE — From the commencement of the work, Contractor guarantees that materials and other work supplied or performed hereunder shall be: new, of a kind and quality consistent with modern manufacturing, engineering and construction practices, free from defects in workmanship and materials, and shall be suitable for the use intended. Said guarantee shall be in full force and effect for twelve (12) months from the date the work is accepted by Wayne Farms. If, during said guarantee period, any of the work shall not be as guaranteed, Contractor shall remedy at no cost to Wayne Farms, by repair or as otherwise required, any failure of the work to meet said guarantee. Contractor further agrees to comply with all federal, state and local laws regarding equal opportunity or affirmative action. The following federal regulations are specifically incorporated by reference: A. Unless this Agreement is exempted by rules and regulations of the Secretary of Labor, pursuant to Section 204 of Executive order 11246, Section 202 of Executive order 11246; B. Unless this Agreement is exempted by the regulations set forth in 41 CFR 60-250, Section 60-250.4 of 41 CFR 60-250; and C. Unless this Agreement is exempted by the regulations set forth in 41 CFR 60-741, Section 60-741.4 of 41 CFR 60-741, 25. OSHA CERTIFICATION —Contractor certifies that all work performed under this Agreement shall be in full compliance with the rules and regulations promulgated under the Occupational Safety and Health Act which are in effect at the time the work is performed. 26. ASSIGNMENT —This Agreement is not assignable by either party except with the written consent of the other party. With the prior written consent of Wayne Farms, Contractor may sub -contract any part of the work, but such sub -contractor shall not relieve Contractor from any liability or obligation under this Agreement. Contractor shall be responsible for the acts and omissions of any sub -contractor, supplier, agent or employee as if they were the acts and omissions of Contractor. Sub -Contractors must abide by the terms of the required Sub -Contractors Provisions as attached in Exhibit 2. 27. ENTIRE AGREEMENT —This Agreement, it attachments, schedules and exhibits, in combination with any Purchase Orders or Change Orders issued pursuant hereto, constitutes the entire agreement between the parties, and supersedes all prior or contemporaneous agreements, written or oral, between the parties regarding the subject of this Agreement. Any addition to or modification of this Agreement shall not be binding unless in writing signed by an authorized representative of both parties. In the event of any conflict among the various contract documents, the following order of priority shall apply: This Agreement; attached Exhibits and Schedule A; Purchase Order terms. Our current Agreement and Purchase Order with Wayne Farms includes a number of individual Work Tasks with corresponding fee amounts. Work Task 7 — Resident Inspection has an hourly -not -to -exceed budgeted dollar amount of $62,400. This amount was based upon the assumption of an Inspector assigned to the project for 40 hours/week for the duration of an allotted 6-month construction period. Based upon the discussions held with the selected Contractor, it is anticipated that this full amount may not be required. The amount of time/expense anticipated to be incurred to secure USACE approval is not known, but I would anticipate it being under $5,000 unless something unforeseen is encountered. Accordingly, I am fine to proceed with the USACE permitting if agreeable for us to charge our time/expenses to the HNTE Work Task 7 budget line item, if that is agreeable to Wayne Farms.
