The Site is currently managed under the Division of Waste Management, Inactive Hazardous Sites Branch, Registered Environmental Consultant (REC) Program. On June 25, 2015, GHD submitted a certified Remedial Action Plan - Groundwater (Groundwater RAP) for the site that proposed treatment of impacted groundwater using chemical injection. There are two areas of impacted groundwater at the Site and are located on separate parcels with different owners. The first area is identified as the Dowtherm A Area and is located on the 1245 Atlantic Avenue parcel for which this Notification is being submitted. The second area is identified as the Former Landfill Area and is located on the 1301 Atlantic Avenue parcel for which a separate Notification has been provided. Groundwater in the Dowtherm A Area is impacted with diphenyl ether and/or 1,1-biphenyl. The areas demonstrating the greatest concentrations of these compounds will be addressed through the injection of an injectable liquid activated carbon (PlumeStop by Regenesis) to adsorb contaminants and the injection of oxygen (ORC-Advanced by Regenesis) that will be released over time to stimulate aerobic biodegradation. Both injectants have been approved by the North Carolina Department Human and Health Services for injection into groundwater; however, PlumeStop was approved with stipulations. As required by the stipulations, a potable well survey has been included as Attachment D of this submittal which indicates there are no public or private water wells within 2,000 feet downgradient of the application area. Additionally, there are no designated surface water supplies within 1,500 feet downgradient of the application area and Figure 1 included in Attachment C provides the location of the monitoring well network present at the Site. The enclosed notification and attachments are for small-scale injections operations for an area less than 10,000 square feet. The injection will be performed in accordance with the rules specified in 15A NCAC 02C .0225. An individual permit shall be required for test or treatment areas exceeding 10,000 square feet. 3) Pilot Tests - Preliminary studies conducted for the purpose of evaluating the technical feasibility of a remediation strategy in order to develop a full scale remediation plan for future implementation, and where the surface area of the injection zone wells is located within an area that does not exceed five percent of the land surface above the known extent of groundwater contamination. An individual permit shall be required to conduct more than one pilot test on any separate groundwater contaminant plume. 4) Air Injection Wells - Used to inject ambient air to enhance in -situ treatment of soil or groundwater. 5) In -Situ Thermal Wells (IST) — Used to `heat' contaminated groundwater to enhance remediation. DESCRIPTION OF PROPOSED INJECTION ACTIVITIES AT THE SITE — Provide a brief narrative regarding the cause of the contamination, and purpose, scope, goals of the proposed injection activity: The purpose of the proposed injection is to treat localized areas of groundwater contaminated with 1, 1 -biphenyl, and/or diphenyl ether. The proposed injection of ORC-Advanced and P1umeStop is expected to stimulate aerobic biodegradation of the contaminants to concentrations below the 2L Standards. Twenty-two (22) Gallons of a 30% ORC Advanced® solution will be injected into the subsurface (8 to 15 feet below grade) into each of 6 DPT boreholes and approximately 200 pounds of P1umeStop (295 ,gallons of solution) will be injected into each of 14 DPT boreholes in the vicinity of well MW-20. The injection area near MW-20 is 30 feet x 20 feet. The injectants will be delivered at low pressure (less than 20 psi) and at less than 10 gpm in a single application. Quarterly post -injection groundwater monitoring will be performed on MW-20 to assess performance. J. Licensee, in cooperation with the North Carolina Department of Environment and Natural Resources ("NCDENR"), now desires to enter the Property to continue its various environmental investigation and/or remediation activities, including, but not limited to, the following; as may be shown on the Site Location Map labeled as Exhibit "A," attached hereto and incorporated herein (the "Work"); 1. Continued periodic monitoring, sampling, and maintenance of eight (8) previously installed groundwater monitoring wells, "MW-1, MW-4, MW-9, MW-10, MW-181 LF-6, LF-71), and LF- 18;" 2. Soil removal, and other remediation activities, as may be required; and 3. Eventual proper well abandonment in accordance with state and/or municipal protocols. C. The Patties desire to enter into this Agreement so that the soil and/or groundwater can continue to be assessed and/or remediated pursuant to environmental laws and regulations; NOW THEREFORE, in consideration of the granting of the foregoing, the mutual premises, covenants, conditions and agreements hereinafter set forth, and other good and valuable consideration, the receipt and adequacy of which are acknowledged, the Parties hereby agree as follows: 1. Grant of License - Licensor hereby grants to Licensee, and its employees, representatives and/or contractors a non-exclusive license (the "License") to enter upon the Property from time to time in accordance with Paragraph 2 below to conduct the activities described in Recitals Paragraph B and C above. Further, Licensor shall cause any lessees of the Property, not a party hereto, to provide Licensee, including its consultant(s), and/or contractor(s), same License. This License shall commence on March 28, 2014 (Effective Date), and shall end on March 28, 2024, unless the Parties agree in writing to extend the term of the License. Notwithstanding the foregoing sentence, Licensor may terminate this License at any time by providing Licensee with at least sixty (60) days written notice of Licensor's intent to terminate. In any event, prior to the expiration or termination of this License, Licensee shall, at no cost or expense to Licensor, (a) cause any excavations to be returned to the original gradient, (b) remove all equipment placed on the Property (except for any permanent monitoring wells still being used for data collection at the direction of the NCDENR, or its successor in function), (c) fill and level all ditches, ruts and depressions, if any, caused by the closure of the Licensee's excavation operations on the Property and (d) remove all debris resulting therefrom. 2. Access to Property — Licensee shall provide Licensor with at least forty-eight (48) hours advance notice prior to entering the Property by notifying by telephone or email either Bill Whitford (252-391-8373; billw@sepro.com) or John Gardner (252-406-5954; johng@sese rn o.com), or such substitute person as Licensor may identify by providing written notice to Licensee. Licensee shall inform Licensor of the nature of the Work to be performed and shall coordinate its activities with Licensor in accordance with Paragraph 6 below. Licensor's consent to allow Licensee's requested access to the Property during normal business days/hours (Monday through Friday, 8:00 a.m. until 5:00 p.m.) will not be unreasonably withheld; provided, however, Licensee acknowledges and agrees that Licensor shall have no obligation to provide Licensee with access to the Property on weekends, federal holidays, from December 23 through January 1, or on a normal business day at a time other than between 8:00 a.m. and 5:00 p.m. (weekends, federal holidays etc. hereinafter collectively "Business Closure Time"). If Licensee's access to the Property includes access during any Business Closure Time, then Licensee shall promptly pay Licensor the sum of Five Hundred Dollars ($500.00) for each day, or part of a day, of access during Business Closure Time. 3. Compliance with Laws - Licensee shall conduct all operations which are the subject of this License in compliance with all federal, state, and municipal statutes and ordinances, and with all regulations, orders, and directives of appropriate governmental agencies, as such statutes, ordinances, regulations, orders and directives now exist or provide. 4. Permits - Licensee, at no cost or expense to Licensor, shall be responsible for obtaining any and all governmental permits and approvals which may be necessary for it to conduct any work or activities under this Agreement. Licensor, at no cost or expense to itself, shall coordinate and cooperate with Licensee in Licensee's activities to obtain all necessary government permits and permissions to perform the Work. 5. Liens and Claims - Licensee will not permit any mechanics', materialmen's, or similar liens or claims to stand against the Property for labor or material furnished in connection with any work performed by Licensee under this Agreement. Upon reasonable and timely notice of any such lien or claim delivered to Licensee, Licensee may bond and contest the validity and the amount of such lien, but in all cases Licensee will immediately pay any judgment rendered, will pay all proper costs and charges, and will have the lien or claim released at its sole expense. (b) Licensor understands and acknowledges that should Licensor assign this Agreement, to an assignee ("Licensor's Assignee") without the prior written consent of Licensee, acceptance of this Agreement by Licensor's Assignee is with recourse to Licensor, and failure of Licensor's Assignee to fulfill its obligations under this Agreement will constitute a material breach of this Agreement by Licensor and Licensor's Assignee. 10. Change in Ownership - Licensor shall notify Licensee of any change in Property ownership within ten (10) days of the close of Property's escrow or the recordation of a deed indicating Licensor has transferred the Property to another person(s) or entity(ies) by providing Licensee at a minimum, the new Property owner's name and contact information. Should Licensor fail to notify Licensee of Licensor's transfer of the Property, Licensor agrees to indemnify Licensee for any cause of action asserted against Licensee for trespass to the Property. 11. Governing Law - This Agreement shall be construed and interpreted and governed by and in accordance with the local law of the State of North Carolina reference to any choice of law, rules or policies which may refer the resolution of any dispute arising hereunder to the laws of any other jurisdiction. 12. Entire Agreement — Except as expressly provided herein to the contrary, this Agreement represents the full, complete and entire agreement between the Parties with respect to the subject Page 4 of 5 License Agreement PTRRC12v.1 AOCSite #: 0020 Acquisition #: 0020 matter hereof, and the rights and remedies of the Parties shall be solely and exclusively those herein contained, and in lieu of any remedies otherwise available at law or in equity. 13. Execution of Agreement - Each of the undersigned hereby represents and warrants that they are authorized to execute this Agreement on behalf of the respective Parties to the Agreement, and that this Agreement, when executed by those Parties, shall become a valid and binding obligation, enforceable in accordance with its terms. Upon execution, this Agreement shall be binding as to the Parties' respective parent companies, subsidiaries, affiliates, successors, heirs and assigns. 14. Counterparts,- This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, and all of which, taken together, shall constitute one and the same Agreement.
