Thanks Garry.
Do you have any documentation regarding Mr. Sosne's title as a member/manager of Bell Meade Development Partners
LLC? The corporation was formed in February 2015 and has not filed an annual report yet. The only folks listed on the
creation filing are Mr. Jeff Zimmer as the organizer and a Mr. Michael Lee as the registered agent. Before I can issue the
permit, I need verification of Mr. Sosne's status as a manager in that LLC.

email will help explain.
I don't mean to confuse you. I was simply letting you know that I found the offsite drainage area amount that needs to
be reported on the 150508 application. The 19.15 acre drainage area for Pond #1 is comprised of anon -site component
(i.e., the part being developed by Belle Meade Development Partners) and an offsite component, i.e., the part being
developed by SHP Bellemeade, LLC. I just need you to confirm.
Then, I also provided a bit more explanation in the way of the SA/DA ratio calculation for Pond #1. 1 initially thought that
the 2.4% you reported was an error held over from the previous versions of the 050214 permit where Pond #1 used to
reside, but a check of the file indicates that the SA/DA ratio used in all previous calculations is 2.8%. In addition, the
wet pond supplement form for the May 5, 2014 permit modification that was done by David Luke Menius, PE with
Stroud Engineering, shows an SA/DA of 2.8%. Pond #1 has been removed from the 050214 permit and will be placed
onto the 150508 permit, but nothing about the design of the pond has changed. It's still 7 feet deep, 67.9% impervious
and being designed for 90% TSS. So, the 2.4% SA/DA ratio you report in your May 7, 2015 calculations and on the May
7, 2015 wet pond supplement form needs to be corrected to 2.8%.

Garry- I found the offsite DA on the 050214 application -- 254,903 sf? Please confirm and if that is the number,
then, you can report that number in the upper half of Section IV.10 on the application, where it asks for offsite drainage
area. Then you would reduce the 834,113 on -site drainage area down to 579,210 sf. The total drainage area remains
unchanged at 834,113 sf.
In regards to the SA/DA ratio, the 2.4% currently reported on the supplement corresponds to a 7 foot deep, 60%
impervious site at 90% TSS.

3. Since a portion of the 19.15 acre drainage area to Pond #1 is now considered "offsite", please breakdown the
19.15 acre drainage area into its onsite and offsite conponents. The drainage area map submitted on July 24,
2015 only references the 19.15 acre total drainage area; the 12.99 acre total BUA; and the 4.66 acre offsite BUA
to Pond #1. Please add the offsite DA acreage for Pond #1 to that map.
4. On the application, please split the 19.15 acre drainage area into its onsite acreage and its offsite acreage. Based
on the site data table shown on the proposed site development plan cover sheet, the "onsite" tract appears to
be 629,853 square feet, leaving 204,260 square feet for the offsite drainage area. Please confirm.
Please provide the requested information by October 16, 2015.

Here are my review comments for SW8 150508 and SW8 050214:
First for SW8 150508 (the Mixed Use site)
1. This'permit application is just high density. None of the BUA affiliated with this property to be permitted under
SW8 150508 drains to anybody else's pond, so there is no offsite permit component here.
2. The proposed impervious area listed on the application should be 566,013 sf. I don't understand where the
495,471 sf number comes from. Pond #1 will treat 566,013 sf, so that is the "proposed" BUA. Instead of saying
"Proposed Impervious Area" on the application, it would probably make better sense to you if it said, "Total
Impervious area to be treated in the BMP". Your client is proposing to construct the old SW8 050214 future
BUA allocation of 363,000 sf broken down as 281,649 sf now and 81,351 sf of future, and account for the offsite
BUA from SW8 050214 of 203,013 sf that will still be treated in Pond #1 .
3. Please provide 2 copies of new drainage area map that depicts and labels the onsite DA and what is now
offsite DA. A portion of the total 834,113 drainage area to Pond #1 is now "offsite" drainage area containing 18
of the 23 lots fronting on Sikes Drive and Atwater Court.
For the not yet submitted modification to Belle Meade Village under SW8 050214 as discussed at our meeting:
1. Since SHP Bellmeade, LLC no longer owns the project, it may be best to go ahead and transfer the permit to the
current project owner first and then process the modification. I hesitate to issue a modified permit to someone
who no longer owns any property there, even though the modified permit will be transferred to the HOA
pending a compliance inspection.
2. There must be 2 drainage area columns completed on this application. One column will be for the DA to Pond #2
which is unchanged from the current application. The second column will be for the "Offsite" drainage area and
BUA breakdown draining to Pond #1. This is not for the entire DA of Pond #1— it's just for the offsite DA/BUA
from this permit that Pond #1 will treat. That 203,013 of offsite BUA will now be broken down into its more
specific parts - 95,798 sf of existing BUA (covers Matteo Drive, Sikes Drive and adjacent sidewalks) plus 107,215
sf associated with the subdivision streets (12,402 sf), sidewalks (4813 sf) and 18 lots at 5,000 sf each (90,000 sf).
3. Please provide an offsite supplement form for SW8 050214. In Section I of the supplement form, the project
name is Belle Meade Village. in Section II, the permit number of the offsite system that will treat this runoff is
SW8 150508. That offsite project name is Belle Meade Mixed Use and the type of system is Wet Pond #1. The
total BUA allocated to this offsite drainage area under SW8 150508 is 203,013 sf.
4. I'm still looking for a copy of the recorded deed restrictions which limit the BUA on each subdivision lot to a
maximum of 5,000 sf. The required language to be recorded can be found in Section 11.14 of the May 5, 2014
renewed permit.

Please note that my notes from our meeting on March 10, 2015 indicate that we needed:
1. A "modification" from SHP to remove Pond #1 from their permit;
2. An allocation of BUA to the subdivided tract out of the 363000 sf future allocation;
3. A completed offsite supplement for the modified project.
I'm not sure how you came up with the idea that a signed letter from Mr. Burnham was all that we needed to process
that modification. We might be able to do it as a plan revision, but due to all the deficiencies that I found, I feel that a
modification is best. My notes further say that the new permit application for Belle Meade Development Partners
needed a new wet pond supplement if something about the pond was changing, and a signed 0&M agreement for Pond
#1.
A couple of concerns about this new application:
1. Please submit a copy of the recorded deed wherein the property was sold / conveyed to Belle Meade
Development Partners.
2. You do not need an offsite supplement form since the pond that is treating this runoff is located on property
allegedly now owned by Belle Meade Development Partners and will be permitted under the new Mixed Use
tract permit. You should include the Offsite supplement form in Mr. Burnham's modified permit application for
SW8 050214.
3. Pond #1 will now be treating a total of 203,013 sf of "Offsite" BUA from Belle Meade Village under SW8 050214.
This amount is currently listed on the new application as Existing BUA. Please place that 203,013 sf into the
"Offsite" box on your application.
In addition, this permit can't be issued until the SW8 050214 permit is modified to remove Pond #1. A letter requesting
this modification is on its way to Mr. Burnham. As part of the modification, Mr. Burnham will need to submit a copy of
the recorded deed restrictions for the permitted lots. As we discussed on the phone earlier today, Mr. Burnham's permit
prohibited the subdivision and sale of the project area without the prior approval of the Division. Mr. Burnham failed to
comply with his permit, so we are now left to clean up the mess, make sure everyone has a recorded maximum BUA
limit and straighten out the permits.

VII. DEED RESTRICTIONS AND PROTECTIVE COVENANTS
For all subdivisions, outparcels, and future development, the appropriate property restrictions and protective
covenants are required to be recorded prior to the sale of any lot. If lot sizes vary significantly or the proposed
BUA allocations vary, a table listing each lot number, lot size, and the allowable built -upon area must be
provided as an attachment to the completed and notarized deed restriction form. The appropriate deed
restrictions and protective covenants forms can be downloaded from httl2:(Iportal.ncdenr.orzZweb/Ir/state-
stormwater- forms does. Download the latest versions for each submittal.
In the instances where the applicant is different than the property owner, it is the responsibility of the property
owner to sign the deed restrictions and protective covenants form while the applicant is responsible for ensuring
that the deed restrictions are recorded.
By the notarized signature(s) below, the permit holder(s) certify that the recorded property restrictions and
protective covenants for this project, if required, shall include all the items required in the permit and listed
on the forms available on the website, that the covenants will be binding on all parties and persons claiming
under them, that they will rudwith the land, that the required covenants cannot be changed or deleted

DECLARATION OF STORMWATER RESTRICTIVE COVENANTS
THIS DECLARATION OF RESTRICTIVE COVENANTS (the
"Declaration") is made and entered into as of this _ day of , 2015, by SHP
BELLEMEADE, LLC, a North Carolina limited liability company ("SHP"), BELLE
MEADE DEVELOPMENT PARTNERS, LLC, a North Carolina limited liability
company ("BMDP"), BILL CLARK HOMES OF WILMINGTON, LLC, a North
Carolina limited liability company ("BCH"), and BELLE MEADE VILLAGE
HOMEOWNER'S ASSOCIATION, INC., a North Carolina non-profit corporation
("HOA" ). For the purposes of this Declaration, capitalized terms, unless otherwise
defined herein, shall have the meanings ascribed to them in the Drainage Agreement,
defined below.
WITNESSETH:
WHEREAS, SHP and HOA entered into that certain Drainage Easement and
Maintenance Agreement dated October 30, 2014 and recorded in Book 5849 at Page 830
of the New Hanover County Registry ("Drainage Agreement") which provided for,
among other things, the right of the Phase 2 Lots, to discharge stormwater through the
Drainage Easement into the Stormwater Management Area located on the SHP Drainage
Property; and
WHEREAS, BCH is now the fee simple owner of the Phase 2 Lots and
improvements, as described in that certain deed recorded in Book 5848 at Page 1482 of
the New Hanover County Registry; and
WHEREAS, BMDP is now the fee simple owner of the SHP Drainage Property
and SHP Future Development Property and improvements, as described in that certain
deed recorded in Book 5888 at Page 1734 of the New Hanover County Registry; and
WHEREAS, SHP is the Permittee, pursuant to that certain State Stormwater
Management Permit No. SW8050214 (the "Permit"), the North Carolina Department of
Environment and Natural Resources Division of Water Quality ("NCDENR"); and
WHEREAS, NCDENR requires certain covenants to burden the SHP Future
Development Property and the Phase 2 Lots (SHP Future Development Property and
Phase 2 Lots, sometimes collectively referred to as the "Property").
NOW, THEREFORE, SHP, BMDP, BCH and HOA hereby declares that
Property be held, sold, and conveyed subject to the following restrictions, covenants, and
conditions, all of which shall run with the Property, shall be binding upon all parties
having or acquiring any right, title or interest in the Property, or any part thereof.
1. This Declaration is intended to ensure ongoing compliance with the Permit
and shall enure to the benefit of the State of North Carolina, as beneficiary, to the extent
necessary to maintain compliance with the Permit.
2. The terms of this Declaration associated with the Permit and the drainage
system provided in the approved plans subject to the Permit (the "Drainage System")
shall not be altered or rescinded without the express written consent of the State of North
Carolina, Division of Water Quality or any successor agency thereof.
3. The maximum built -upon area of the SHP Future Development Property
(as defined under the Permit) shall not exceed the built upon area of 363,000 square feet
as more particularly described in the Permit and all runoff from the Property shall drain
into the Drainage System. Any built -upon area of the SHP Future Development Property
in excess of the foregoing restrictions shall require modification of the Permit.
4. The maximum built -upon area of the Phase 2 Lots (as defined under the
Permit) shall not exceed the built upon area of 90,000 square feet as more particularly
described in the Permit and all runoff from the Property shall drain into the Drainage
System. Any built -upon area of the Phase 2 Lots in excess of the foregoing restrictions
shall require modification of the Permit.
5. Each owner of the Property, other than SHP, shall submit an Offsite
Stormwater Management Permit application package to the North Carolina Division of
Water Quality and receive a stormwater permit prior to any construction on the Property.
In the event permeable pavement credit is requested, the Property owner shall submit a
request for the same, with supporting documentation, to the permittee under the Permit
and receive approval prior to construction of any built upon area on the property.
6. The provision of this Declaration shall run with the land and continue to
burden the Property as provided herein until such time as the Permit expires.

JOINDER AND SUBORDINATION BY LENDER
Bank of North Carolina, a North Carolina corporation, (the "Lender"), is the
beneficiary under (i) that certain Deed of Trust, Assignment of Leases and Rents,
Security Agreement and Fixture Filing from BMDP, recorded in the Office of the
Register of Deeds for New Hanover County, North Carolina Records, in Deed Book
5888, page 1740 ("Deed of Trust") and (i) that certain Assignment of Leases and Rents
from BMDP to Lender recorded in the Office of the Register of Deeds for New Hanover
County, North Carolina Records, in Deed Book 5888, page 1781 ("Assignment of Rents"
together with the Deed of Trust, collectively, the "Mortgage").
Grantor has requested that the Lender join in the execution of the foregoing

VI. SUBMITTAL REQUIREMENTS
Only complete application packages will be accepted and reviewed by the Division of Energy, Mineral and
Land Resources (DEMLR). A complete package includes all of the items listed below. A detailed application
instruction sheet and BMP checklists are available from

submitted to the appropriate DEMLR Office. (The appropriate office maybe found by locating project on the

VII. DEED RESTRICTIONS AND PROTECTIVE COVENANTS
For all subdivisions, outparcels, and future development, the appropriate property restrictions and protective
covenants are required to be recorded prior to the sale of any lot. If lot sizes vary significantly or the proposed
BUA allocations vary, a table listing each lot number, lot size, and the allowable built -upon area must be
provided as an attachment to the completed and notarized deed restriction form. The appropriate deed
restrictions and protective covenants forms can be downloaded from littl2:Hl2ortal.ncdenr.org/web/1rLstate-
stormwater-forms dots. Download the latest versions for each submittal.
In the instances where the applicant is different than the property owner, it is the responsibility of the property
owner to sign the deed restrictions and protective covenants form while the applicant is responsible for ensuring
that the deed restrictions are recorded.
By the notarized signature(s) below, the permit holder(s) certify that the recorded property restrictions and
protective covenants for this project, if required, shall include all the items required in the permit and listed
on the forms available on the website, that the covenants will be binding on all parties and persons claiming
