As you requested, we are providing a written summary of the information necessary to support a determination that KLP may continue to permit placement of manufactured homes at all currently existing lots at the Property. The Property is approximately 71.38 acres and consists of two separate adjacent parcels, both of which were already existing manufactured home communities when KLP purchased the Property in 1988 (see Attachment 1, deed dated November 16, 1988 from Opportunities Unlimited, Inc. to KLP regarding Parcel 1 below, and deed dated November 16, 1988 from Hubert and Joan Montague to KLP regarding Parcel 2 below). The two parcels will be discussed separately because the facts supporting KLP's vested right are slightly different for each parcel. Parcel 1 Parcel 1, which is approximately 54.63 acres, was developed as Kingsborough Estates manufactured home park in the mid to late 1980s. Long before July 22, 1997, the effective date of the Neuse River Buffer Rule, Parcel 1 was operating as a manufactured home park with 268 lots, each of which contained a paved driveway and utility service. Other improvements, such as paved streets and a clubhouse had also been in place for several years prior to July 1997. In March, 1985 a plat map for Parcel 1 that depicted 255 separate manufactured home lots was filed with the Wake County of Register of Deeds (see Attachment 2). Some slight design changes were subsequently implemented as reflected in a June 29, 1993 survey prepared by John A. Edwards & Company that shows 268 existing lots on Parcel 1 (see Attachment 3). Karoly June 6, 2008 Page 2 owned and was operating a 268 lot manufactured home park on Parcel 1 several years before the Neuse River Buffer Rules went into effect. Like an apartment building with multiple units, not all of the 268 lots that existed prior to July 22, 1997 have remained constantly occupied with manufactured homes, but the existing use of the parcel has remained unchanged and each lot remains vital to KLP's investment in the parcel. The facts clearly demonstrate that KLP's expenditure in 1988 to purchase an existing, operating manufactured home park, and its subsequent expenditures for improvements such as expanding the clubhouse, replacing the swimming pool, installing a playground and resurfacing of roads and driveways, were substantial and long before July, 1997, so they were in good faith rather than in anticipation of, or in an effort to avoid, the buffer rule. KLP's purchase of, and improvements to, Parcel 1, occurred well prior to any potential notice of a pending buffer rule applicable to the Property. Also, without question, any governmental approval(s) necessary to operate a 268 lot manufactured home park on Parcel 1 had been obtained prior to July 22, 1997, since by that time Parcel 1 had already been operating as a manufactured home park for a number of years. Parcel 1 was zoned by the City of Raleigh for manufactured homes, and KLP's operation of that property conformed with all applicable requirements. Accordingly, the facts demonstrate that KLP has a vested right to continue to operate all 268 lots without application of the Neuse River Buffer Rule to preclude the use of any of those lots. Parcel 2 Parcel 2, which is to the east of Parcel 1, consists of approximately 16.76 acres has been in use as a manufactured home park since the early 1970 formerly known as Shady Knowls. KLP also purchased this parcel in November 1988, and a John A. Edwards & Company survey (Attachment 3) confirms 59 existing lots on Parcel 2 in June, 1993. However, subsequent plans for sanitary sewer improvements for Parcel 2 that were initially dated April 23, 1997 by Bass, Nixon & Kennedy, Inc. depict 58 numbered homesites (see Attachment 4). It appears that the lot identified as # 14 in the Edwards & Company survey is being lost due to the proposed location of Outfall A and easement to be conveyed to the City as depicted on the Bass, Nixon & Kennedy drawing. The 58 of the homesite locations on Parcel 2 that existed prior to the Neuse River Buffer Rule remain in use today. Accordingly, for the same reasons noted above in reference to Parcel 1, KLP clearly has a vested right to continue using at least those same 58 lots that were in use for many years prior to July 1997 without application of the Neuse River Buffer Rule to preclude the use of any of those lots. Besides the 58 lots noted above, there are an additional 24 lots currently located on Parcel 2 that we also believe are vested, or otherwise should not be subject to the Neuse River Buffer Rule, to the extent any of those lots contain a regulated buffer under the rule. Those lots are highlighted in yellow on Attachment 5, which is a map prepared by KLP that depicts the current site layout. Karoly June 6, 2008 Page 3 depicted on Attachment 4, the Bass, Nixon & Kennedy, Inc. sanitary sewer improvement plans, with the exception of one additional lot. The sanitary sewer improvement plans were prepared by KLP in conjunction with an agreement with the City of Raleigh pertaining to providing sewer service to Parcel 2 and constructing a sewer outfall line, to be owned by the City, through Parcel 2. As part of the agreement, KLP agreed to be responsible for design and construction of a gravity outfall line and sewer extensions within Parcel 2, and agreed to pay the City $50,000 to assist with the cost of extending the City's existing sewer line to Parcel 2. In order to justify incurring the significant cost of making the transition from septic systems to central sewer for Parcel 2, KLP also sought assurance from the City that KLP could add additional lots to Parcel 2. It appears that the details were being negotiated with City during the time the Neuse River Buffer rules were adopted. The City's Board of Adjustment voted on August 11, 2007 to grant KLP a Special Use Permit to add an additional 13 sites in the Residential-4 portion of Parcel 2, and also required a rezoning application be promptly filed which would rezone that portion of Parcel 2 zoned Resdential-4 to MH District. KLP's agreement with the City pertaining to providing municipal sewer service to Parcel 2 is dated September 16, 1997, and is contingent upon KLP being able to add fourteen additional sites to its Property - thirteen in the area still zoned R-4 at the time, and one in the area currently zoned MH District (see Attachment 6). It is our understanding that because the portion of Parcel 2 zoned Residential-4 was considered a non-conforming use (the remaining smaller portion was already zoned MH District), the City initially agreed to approve 13 additional sites for the Residential-4 portion, which was a permissible expansion of the non-conforming use allowed under the City's Ordinance, and therefore did not require rezoning to approve. Assurance of those additional lots was necessary for KLP to agree to incur the costs associated with the sewer line design and installation. However, once the remainder of Parcel 2 was rezoned to MH District, KLP was able to add an additional 11 homesites (making 24 total new lot locations)' depicted on Attachment 5, resulting in the current total of 82 lots on Parcel 2. Prior to July 22, 1997 KLP had incurred design expenditures and negotiated with the City to undertake installments of sewer service for Parcel 2 with the good faith expectation that KLP would be permitted to add 23 lots to Parcel 2 to offset its cost in installing the required sewer infrastructure. KLP was unaware of the enactment of the Neuse River Buffer Rule as it finalized arrangements with the City that led to installation of municipal sewer service on Parcel 2 in conjunction with the addition of 23 homesites upon completion of the sewer project. Since KLP 1 Parcel 2 had 59 existing lots when the Neuse River Buffer Rule went into effect. However, since it appears one homesite location was lost after the buffer rule went into effect due to construction of the sewer outfall, there are 24 new locations of homesites on Parcel 2, but only an increase of 23 homesites. WITNESSETH: WHEREAS, Kingsborough Limited Partnership owns the manufactured home community known as Kingsborough Estates located in Raleigh, North Carolina; and WHEREAS, the City of Raleigh provides water service to Kingsborough Estates and sewer service to a portion of the community; and WHEREAS, the parties have agreed to the terms and conditions under which municipal sewer service would be extended to and through the remainder of the community; NOW, THEREFORE, in consideration with the mutual promises contained herein, and for other good and valuable consideration, receipt of which is hereby acknowledged, the parties do hereby agree as follows: 1. Kingsborough will be responsible for the design and construction of a gravity outfall line and all gravity sewer extensions within its property and to the southern and northern boundary of its property, and as needed to serve its property. Construction will be according to plans approved by the City and the main outfall line will be conveyed to the City upon completion along with the necessary easements. Following acceptance of this line and easements by the City, the City will be responsible for maintenance of the outfall line. 2. During such construction, Kingsborough is authorized to use the City's grinding/mulching facility on Patriot Drive for disposal of trees, tree limbs, stumps and other similar debris without charge. This authorization is only for debris which results from the on-site construction of the gravity outfall line and sewer line extension described in Paragraph 1. The total of such debris will not exceed 200 cubic yards, unless agreed to by both parties. 3. Kingsborough will be responsible for the design of the gravity outfall from its southern property line to the City's existing gravity sanitary sewer line in Turf Grass Drive. This will include preparation of recordable sanitary sewer easement maps and preparation of contract documents in accordance with City standards to allow for public bid. A copy of the proposed contract for engineering design is attached to this Agreement. 4. The City will be responsible for securing the necessary sanitary sewer easements for the area in Paragraph 3 above, securing the construction bids, and awarding a contract for construction of the gravity outfall line from Kingsborough's southern property line to the City's existing sewer line in Turf Grass Drive. t 5. Kingsborough will pay to the City $50,000 to assist in the cost of extending the sanitary sewer line identified in Paragraph 3 above. 6. Upon execution of this agreement and the City's receipt of an executed contract for the design of the sewer line described in Paragraph 3, Kingsborough will be given a permit to pump and haul the septage from any malfunctioning septic tanks serving Sites U-1 through U-44 and Sites 1-15 in Kingsborough Estates to the City's public sewer adjacent to and within Kingsborough 2 This hauling will be allowed until the gravity line is constructed and connected to the City's existing gravity line. Kingsborough will be responsible for the proper handling of such septage as required by the City and as necessary to avoid complaints by residents. 7. At the time the pump and haul activity begins as noted above, Kingsborough agrees that the water service only account will be changed to a water and sewer account with the City. 8. Prior to connecting to the gravity sewer line, Kingsborough will be responsible for paying the sewer acreage fees for each manufactured home space permitted in the community under the current land use zoning regulations. The outside sewer connection fee is not applicable to this project, in that Kingsborough has submitted a petition for annexation of the property which encompasses Sites U-1 through U-44 and Sites 1-15 in Kingsborough Estates. 9. The parties anticipate that the bid documents will be delivered to the City by February J', _ 15, 1998. The parties agree each will use their best efforts thereafter to complete construction and connection of the lines described in Paragraph 1, 3 and 4 within six months of the date that bid documents are delivered to the City. 10. Kingsborough agrees to make its required payment of $50,000 by February 15, 1998 or the date that the bid documents are delivered to City, whichever date is earlier. In the event that, for any reason, the City decides not to proceed with construction of the gravity outfall line described in paragraph 3 and 4 above, the City will refund $50,000 to Kingsborough. 11. - This Agreement is contingent upon Kingsborough being able to add fourteen (14) additional homesites to the Community - 13 sites in the area currently zoned R4, and 1 site in the area currently zoned MH District.
