Please see the attached Letter of Intent (LOI) for the purchase of available filutrient Offset Credits (Nitrogen)
from Restoration Systems, LLC. As previously discussed, the Town will need confirmation from NCDEQ that
the credits will be considered permanent when applied to our NPDES permit with the appropriate transport
factor applied. Our new Water Reclamation Facility (WRF) project has an aggressive schedule due to our
existing facility reaching its useful life, and growth pressures, therefore we would like to get this resolved as
soon as possible. The Town's financial consultants are prepared to move forward with obtaining financing for
the total purchase price as soon as we can get confirmation from the state. If you would like us to attend any
meetings to assist in discussions with NCDEQ staff, or others, we will be happy to.

This letter serves as a statement of mutual intent of the Town of Clayton (Buyer) and Restoration
Systems (Seller) to enter into an agreement for the purchase of nitrogen offset credits. The provisions of
this letter do not constitute and will not give rise to any legally binding obligation on the part of the
parties to this letter. Absent the execution by the parties of a definitive agreement, the parties shall have
no obligations to each other.
Seller has identified permanent buffer restoration projects that generate approximately 750,000
lbs. of annual nitrogen offset credits, equivalent to 25,000 lbs per year of permanent offset credit located
in the 100% TN delivery zone of the Neuse River Basin as defined in the 1999 Neuse TMDL.
Buyer is interested in purchasing these nitrogen offset credits to offset nitrogen loading to the
Neuse Estuary as required under their NPDES permit. The credits must be permanent and equate to
approximately 50,000 lbs. of offset credit at Clayton's discharge point in the 50% delivery zone as
defined by the 1999 Neuse TMDL. The credits and corresponding estuary pounds must be verified with
the North Carolina Division of Water Resources by Restoration Systems.
Based upon information available at this time, the purchase price for the nitrogen offset credits
will btlll�orMper permanent estuary pound of credit, pending approval of North Carolina
Division of Water Resources. The parties contemplate a deposit payment will be made at execution of a
definitive agreement, which will include all customary terms, and that payment in full will be made no
later than February 29, 2020, or when confirmation of permitting is complete.
Upon execution of this letter, Seller will work with the North Carolina Division of Water
Resources and the Neuse River Compliance Association to permit the transaction and use of the offset
credits in the applicable permits prior to completing the transaction.

Re: Availability of Nutrient Offset Credits
This document confirms that 715,858.18 lbs (or 23,861.941bs/yr for 30 years) of nitrogen nutrient
offsets (Credits) from the Flat Swamp nutrient offset Bank are currently available and on hold
specifically for The Town of Clayton (Applicant) for NPDES Permit # NCO02543 and/or their new
wastewater treatment facility. These credits will remain on hold for the Applicant until July 31, 2020.
However, the Applicant and RS Flat Swamp, LLC (Bank Sponsor) may enter into an agreement to
further extend the length of time Credits can remain on hold. The Bank Sponsor is authorized to sell
these Credits under their approved Mitigation. Banking Instrument, which became effective
December 20, 2019.
The Applicant may purchase all or some of the Credits on hold depending on the total amount of
Nitrogen and/or Phosphorus required for NPDES permit compliance. The Applicant may purchase
these Credits at any time prior to July 31, 2020. The Applicant may purchase these Credits by July
31, 2020 only upon written confirmation that the draft NPDES permit has been placed on public
notice by the Division of Water Resources (DWR). Should the Applicant purchase the Credits, we
will complete and execute the Nutrient Offset Credit Transfer Certificate (Certificate) within five (5)
days of receipt of the full purchase price.
Additionally, we will provide copies of the completed and executed Certificate to the Applicant, the
DWR NPDES Permitting Staff and, if needed, other regulatory agencies. In addition, we will provide
DWR with an updated copy of the Bank's Nutrient Offset Ledger, reflecting the transaction.
Transaction information in the updated Bank Ledger will include relevant Permit and Applicant
information as well as the number and resource type of the debited Credits.

You have elected to fulfill your permitted nutrient offset requirements by participating in the RS Flat Swamp
Mitigation Bank.
The Bank has received full payment towards the nutrient offset requirement for the above referenced project. This
project is located at the Little Creek Water Reclamation Facility, Durham Street Extension, Clayton, Johnston
County in the 8-digit HUC 03020201. The project has the option of using nutrient offset credits to offset permitted
wastewater discharges as part of the Neuse River Nutrient Sensitive Waters Management Strategy. Participation in
a private mitigation bank is acceptable per this nutrient strategy rule. The Division of Water Resources specified
and verified the amount of the offset necessary for permit approval for Town of Clayton in the permit # NC0025453.
