BILL OF SALE
KNOW ALL MEN BY THESE PRESENTS, that on this 1111 day of September, 2020,
Continental Structural Plastics, Inc., a Delaware corporation, Continental Structural
Plastics of North Carolina, Inc., a Delaware corporation, and CSP Composites LLC, a
Delaware limited liability company (collectively, "Seller"), for full consideration paid
by RMC Advanced Technologies Inc., a Tennessee corporation ("Purchaser"), the
receipt and sufficiency of which are hereby acknowledged, do hereby grant, bargain,
sell, transfer and deliver unto Purchaser the following assets of Seller:
All furniture, fixtures, equipment and other tangible
personal property included in the Purchased Assets, as
such term is defined in the Asset Purchase Agreement
(the "Purchase Agreement") between Seller and
Purchaser, dated as of February 7, 2020, as amended,
(the "Tangible Personal Property").
TO HAVE AND TO HOLD the same unto Purchaser, its successors and assigns
forever.
The terms of the Purchase Agreement are incorporated herein by this
reference. In the event of any conflict or inconsistency between the terms of the
Purchase Agreement and the terms hereof, the terms of the Purchase Agreement shall
govern.
Seller covenants and agrees, without further consideration, to take all steps
necessary or reasonably desirable to establish the record of Purchaser's title to the
Tangible Personal Property and, at the request of Purchaser, to execute and deliver
further instruments of sale, transfer and assignment and take such other action as
Purchaser may reasonably request to more effectively sell, transfer and assign to and
vest in Purchaser the Tangible Personal Property.
