BILL OF SALE
This BILL OF SALE (this "Bill of Sale") is made and entered this 31s1 day of July, 2020
(the "Effective Date"), by Structural Steel of Carolina, LLC, a North Carolina limited liability
company ("Seller"), in favor of Division 5, LLC, a Georgia limited liability company ("Bum"),
pursuant to that certain Asset Purchase Agreement, dated July 17, 2020, by and among Buyer and
Seller (the "Asset Purchase Agreement"). Capitalized terms used but not otherwise defined herein
have the respective meanings assigned to such terms in the Asset Purchase Agreement.
WHEREAS, pursuant to the Asset Purchase Agreement, Seller agreed to sell, transfer,
assign, convey and deliver to Buyer all of Seller's rights, title and interests in, to and under the
Purchased Assets for the consideration described in the Asset Purchase Agreement.
NOW, THEREFORE, in consideration for the consideration set forth in the Asset
Purchase Agreement and such other good and valuable consideration, the receipt and sufficiency
of which are hereby acknowledged, Seller agrees as follows:
1. Convey. Upon the terms and subject to the conditions set forth in the Asset
Purchase Agreement, Seller hereby sells, transfers, assigns, sets over, conveys and
delivers to Buyer all of Seller's rights, title and interests in, to and under the
Purchased Assets, free and clear of any Liens.
2. Further Assurances. Seller further covenants and agrees that it will do, execute and
deliver, or will cause to be done, executed and delivered, all such further acts,
transfers, assignments and conveyances, confirmations, assurances and consents as
Buyer requires, to further assure, convey and confirm unto Buyer all of Seller's
rights, title and interests in, to and under the Purchased Assets.
3. Governing Law. This Bill of Sale shall be governed by and construed in accordance
with the substantive laws of the State of North Carolina, without regard to its
conflicts or choice of law provisions.
4. Effective Time. The effective time of this Bill of Sale is 11:59 p.m. on the Effective
Date.
Counterparts; Electronic Delivery. This Bill of Sale may be executed (by original,
facsimile or .pdf signature) in any number of counterparts, each of which shall be
deemed an original, but all of which, when taken together, shall constitute one and
the same instrument.
