Jersey 07512, and THE CITY OF EDEN, NORTH CAROLINA ("Grantee") whose address

herein, shall include said parties, their heirs, successors and assigns, and shall include
singular, plural, masculine, feminine or neuter, as required by context.
This is not the personal residence of Grantor.
WITNESSETH:
That Grantor, for a valuable consideration paid by Grantee, the receipt of which is
hereby acknowledged, has and by these presents does grant, bargain, sell and convey unto

Grantee in fee simple, all that certain lot or parcel of land situated in Rockingham County,
North Carolina and more particularly described on Exhibit A, attached hereto and
incorporated herein by reference (the "Property").

TO HAVE AND TO HOLD the Property and all privileges and appurtenances thereto
belonging to Grantee in fee simple.
And Grantor covenants with Grantee, that Grantor has done nothing to impair such
title as Grantor received, and Grantor will warrant and defend the title against the lawful
claims of all persons claiming by, under or through Grantor, except for the exceptions
hereinafter stated.
Title to the Property is subject to the following exceptions:
All easements, restrictions and rights of way, of record, and the lien for ad valorem
taxes for the current and subsequent years.

Have the ownership change documents sent directly to me. Include the date on which the Town takes over the plant.
This modification is done after the sale is complete, as we need a new deed or other documentation of when the facility
changed owners.

It looks like the MGM property on New Street in Eden, North Carolina will finally be reverting to us. I have passed along
these documents that you sent me last year to our interim City Manager to pass along to the sellers. Is there anything
else that needs to be done at this time?

Ms. Ward — attached please find an NPDES permit Change of Ownership form; also a copy of the active permit.
Please emphasize to the sellers that they must maintain the facility in compliance with the permit until DWR approves
documents validating the sale and transfer of ownership. Be sure to copy Mr. Lon Snider at the regional office (WSRO).
After our review, the Division will issue the same permit with the new owner name, and the sellers will no longer be
liable.
