RENT LESSEE shall pay rent ("RENT") for the Leased Premises of $3,500.00 per month. Said Rent shall be due and payable on the first (1') day of each and every month beginning on April 1, 2012 and continuing until Lease Termination. Said Rent shall be payable to Commercial Ready Mix Products, Inc. at P O Box 189, Winton, NC, 27986, OPTION TO EXTEND; TERMINATION RIGHTS LESSEE has the option to extend this Lease on a month to month basis for a period of (1) one year. No extension option may be exercised by the LESSEE if LESSEE is in monetary default under this Lease until the default is cured. if the term of this Lease is so extended, the lease shall remain in full force, and the Rent shall remain $3.500.00 per month as set forth in Section 2. Notwithstanding anything in this Lease to the contrary, either party may terminate this Lease at any time, with cause, upon the provision of not less than ninety (90) days prior written notice to the other party. 4. USE The LESSEE shall use the Leased Premises only for the purpose of operating an Asphalt Production Plant ("Permitted Use"), and related raw material storage as required by their construction activities. 5. ACCESS LESSEE may access the Leased Premises at LESSEE'S convenience to preform site preparation and equipment mobilization activities. RM PERMITS AND COMPLIANCE WITH LAW LESSEE at LESSEE'S expense shall obtain any and all necessary permits required for the operation of an Asphalt Production Plant by any local, state or federal entity or organization. LESSEE shall comply with and maintain compliance, during the term of this Lease, with all applicable federal, state and local environmental laws and regulations in connection with its possession and use of the Leased Premises. Further, LESSEE shall indemnify, hold harmless and defend LESSOR, its officers, directors, employees, agents, and any successors thereto against all claims, losses, liabilities, costs and expenses, including attorney's fees, arising out of or in connection with any breach of the foregoing representation. 7. SUBLEASE AND ASSIGNMENT LESSEE shall not sublease any or all portion of the Leased Premises or assign this Lease in whole or in part without the LESSOR'S prior written consent. LESSOR shall have the right, without LESSEE'S consent, to assign this Lease to any purchaser of the Leased Premises. 8. UTILITIES LESSEE shall provide, at LESSEE'S expense, utilities, including but not limited to electricity and water, to the leased premises. ALTERATIONS AND IMPROVEMENTS LESSEE, at LESSEE'S expense, shall have.the right to place and install personal property, trade fixtures, equipment and other temporary installations in and upon the Leased Premises, and fasten the same to the Leases Premises. All personal property, equipment, machinery, trade fixtures and temporary installations, whether acquired by LESSEE at the commencement of the Lease Term or placed or installed on the Leased Premises by LESSEE thereafter, shall remain LESSEE'S property free and clear of any claim by LESSOR. LESSEE shall have the right to remove the same at any time during the term of this Lease provided that all damage to the Leased Premises caused by such removal shall be repaired by LESSEE at LESSEE'S expense. LESSEE shall maintain the Leased Premises in a condition satisfactory to LESSOR. LESSEE shall restore the Leased Premises to substantially the original condition upon termination of this Lease, and LESSOR shall have no liability for any costs of equipment removal or property restoration, or for any associated loss of business. 10, TAXES LESSOR shall pay any and all property taxes assessed to Real Property (Land and Building) located at Leased Premises. LESSEE shall pay all property taxes assessed to Personal Property (Machinery and Equipment) located at the Leased Premises. 11. INSURANCE LESSEE shall, at its own expense, maintain policies of comprehensive general liability, automobile liability and worker's compensation liability insurance. Each insurance policy to afford minimum coverage of not less than $2,000,000 combined single limit coverage of bodily injury, property damage or combination thereof. LESSOR shall be named as an additional insured on LESSEE'S policies and LESSEE shall provide LESSOR with current Certificates of Insurance, 12.
