The Stormwater Permitting Unit received a complete Stormwater Management Permit Application to modify
Permit No. SW3120701 on October 31, 2012. Staff review of the plans and specifications has determined that
the project, as proposed, will comply with the Stormwater Regulations set forth in Title 15A NCAC 2H .1000
and Session Law 2006-246. We are forwarding modified Permit No. SW3120701, dated November 2, 2012, for
the construction, operation and maintenance of the subject project and the stormwater BMPs.
This permit shall be effective from the date of issuance until August 17, 2020 and shall be subject to the
conditions and limitations as specified therein, and does not supersede any other agency permit that may be
required. Please pay special attention to the conditions listed in this permit regarding the Operation and
Maintenance of the BMP(s), recordation of deed restrictions, procedures for changes of ownership,
transferring the permit, and renewing the permit. Failure to establish an adequate system for operation and
maintenance of the stormwater management system, to record deed restrictions, to follow the procedures for
transfer of the permit, or to renew the permit, will result in future compliance problems.
If any parts, requirements, or limitations contained in this permit are unacceptable, you have the right to
request an adjudicatory hearing by filing a written petition with the Office of Administrative Hearings (OAH).
The written petition must conform to Chapter 150B of the North Carolina General Statutes. Per NCGS 143-
'215(e) the petition must be filed with the OAH within thirty (30) days of receipt of this permit. You should
contact the OAH with all questions regarding the filing fee (if a filing fee is required) and/or the details of the
filing process at 6714 Mail Service Center, Raleigh, NC 27699-6714, or via telephone at 919-431-3000, or visit
their website at www.NCOAH.com. Unless such demands are made this permit shall be final and binding.

construction, operation and maintenance of a sand filter in compliance with the provisions of
Session Law 2006-246 and 15A NCAC 2H .1000 (hereafter referred to as the "stormwater rules' and
the approved stormwater management plans and specifications and other supporting data as
attached and on file with and approved by the Division of Water Quality and considered a part of this
permit.
This permit shall be effective from the date of issuance until August 17, 2020, and shall be subject to
the following specified conditions and limitations:
I. DESIGN STANDARDS
1. This permit is effective only with respect to the nature and volume of stormwater described
in the application and other supporting data.
2. This stormwater system has been approved for the management of stormwater runoff as
described in Section 1.7 of this permit. The stormwater control has been designed to handle
the runoff from 99,316 square feet of impervious area.
3. The tract will be limited to the amount of new built -upon area as indicated in Section 1.7 of
this permit, and per the application documents and as shown on the approved plans. Prior
to the construction of the future street extensions shown on the approved plans, this permit
must be modified.
4. All stormwater collection and treatment systems must be located in either dedicated
common areas or recorded easements. The final plats for the project will be recorded
showing all such required easements, in accordance with the approved plans.
5. The runoff from all built -upon area within the permitted drainage area of this project must
be directed into the permitted stormwater control system.
6. The built -upon areas associated with this project shall be located at least 30 feet landward of
all perennial and intermittent surface waters.

1. The stormwater management system shall be constructed in its entirety, vegetated and
operational for its intended use prior to the construction of any built -upon surface.
2. During construction, erosion shall be kept to a minimum and any eroded areas of the system
will be repaired immediately.
3. The permittee shall at all time provide the operation and maintenance necessary to assure
the permitted stormwater system functions at optimum efficiency. The approved Operation
and Maintenance Plan must be followed in its entirety and maintenance must occur at the
scheduled intervals including, but not limited to:
a. Semiannual scheduled inspections (every 6 months).
b. Sediment removal.
C. Mowing and re -vegetation of slopes and the filter strip.
d. Immediate repair of eroded areas.
e. Maintenance of all slopes in accordance with approved plans.
f. Debris removal and unclogging of all drainage structures, level spreader, filter media,
planting media, underdrains, catch basins and piping.
g. Access to the cell and outlet structure must be available at all times.
4. Records of maintenance activities must be kept for each permitted BMP. The reports will
indicate the date, activity, name of person performing the work and what actions were taken.
5. The permittee shall submit to the Division of Water Quality an annual summary report of the
maintenance and inspection records for each BMP. The report shall summarize the
inspection dates, results of the inspections, and the maintenance work performed at each
inspection.
6. The stormwater treatment system shall be constructed in accordance with the approved
plans and specifications, the conditions of this permit, and with other supporting data.

7. Upon completion of construction, prior to issuance of a Certificate of Occupancy, and prior to
operation of this permitted facility, a certification must be received from an appropriate
designer for the system installed certifying that the permitted facility has been installed in
accordance with this permit, the approved plans and specifications, and other supporting
documentation. Any deviations from the approved plans and specifications must be noted
on the Certification. A modification may be required for those deviations.
8. If the stormwater system was used as an Erosion Control device, it must be restored to
design condition prior to operation as a stormwater treatment device, and prior to
occupancy of the facility.
9. Access to the stormwater facilities shall be maintained via appropriate recorded easements
at all times.
10. The permittee shall submit to the Director and shall have received approval for revised
plans, specifications, and calculations prior to construction, for any modification to the
approved plans, including, but not limited to, those listed below:
a. Any revision to any item shown on the approved plans, including the stormwater
management measures, built -upon area, details, etc.
b. Project name change.
C. Transfer of ownership.
d. Redesign or addition to the approved amount of built -upon area or to the drainage
area.
e. Further subdivision, acquisition, lease or sale of all or part of the project area. The
project area is defined as all property owned by the permittee, for which
Sedimentation and Erosion Control Plan approval was sought.
f. Filling in, altering, or piping of any vegetative conveyance shown on the approved
plan.
11. The permittee shall submit final site layout and grading plans for any permitted future areas
shown on the approved plans, prior to construction.
12. A copy of the approved plans and specifications shall be maintained on file by the Permittee
for a minimum of ten years from the date of the completion of construction.
13. The Director may notify the permittee when the permitted site does not meet one or more of
the minimum requirements of the permit. Within the time frame specified in the notice, the
permittee shall submit a written time schedule to the Director for modifying the site to meet
minimum requirements. The permittee shall provide copies of revised plans and certification
in writing to the Director that the changes have been made.
III. GENERAL CONDITIONS
1. This permit is not transferable except after notice to and approval by the Director. In the
event of a change of ownership, or a name change, the permittee must submit a completed
Name/Ownership Change form signed by both parties, to the Division of Water Quality,
accompanied by the supporting documentation as listed on page 2 of the form. The approval
of this request will be considered on its merits and may or may not be approved.
2. The permittee is responsible for compliance with all permit conditions until such time as the
Division approves a request to transfer the permit.
3. Failure to abide by the conditions and limitations contained in this permit may subject the
Permittee to enforcement action by the Division of Water Quality, in accordance with North
Carolina General Statute 143-215.6A to 143-215.6C.
4. The issuance of this permit does not preclude the Permittee from complying with any and all
statutes, rules, regulations, or ordinances, which may be imposed by other government
agencies (local, state, and federal) having jurisdiction.

5. In the event that the facilities fail to perform satisfactorily, including the creation of nuisance
conditions, the Permittee shall take immediate corrective action, including those as may be
required by this Division, such as the construction of additional or replacement stormwater
management systems.
6. The permittee grants DENR Staff permission to enter the property during normal business
hours for the purpose of inspecting all components of the permitted stormwater
management facility.
The permit issued shall continue in force and effect until revoked or terminated. The permit
may be modified, revoked and reissued or terminated for cause. The filing of a request for a
permit modification, revocation and re -issuance or termination does not stay any permit
condition.
8. Unless specified elsewhere, permanent seeding requirements for the stormwater control
must follow the guidelines established in the North Carolina Erosion and Sediment Control
Planning and Design Manual.
Approved plans and specifications for this project are incorporated by reference and are
enforceable parts of the permit.
10. The issuance of this permit does not prohibit the Director from reopening and modifying the
permit, revoking and reissuing the permit, or terminating the permit as allowed by the laws,
rules and regulations contained in Session Law 2006-246, Title 1SA NCAC 2H.1000, and
NCGS 143-215.1 et.al.
11. The permittee shall notify the Division in writing of any name, ownership or mailing address
changes at least 30 days prior to making such changes.
12. The permittee shall submit a renewal request with ,all required forms and documentation at
least 180 days prior to the expiration date of this permit.

the system.
4. All roof drains are located such that the runoff is directed into the system.

As a fallow up to the conference call between you, Glen Morris, and myself oil
Thursday, August 30, 2012, l would like to reiterate Midland staff's stance on the issues
presented in your Memo dated August 27, 2012 regarding Tractor Supply - Midland,
Storm water Management.
It is stated in your memo that this site is not subject to any North Carolina water
quality provisions and that only Town Ordinances apply. To clarify, EPA Phase I1
stormwater regulations administered by the State are in effect for all of Cabarrus
County, including Midland. Town Ordinances are supplemental to State requirements
until such time as we have full local review authority.
Your memo implies that a decision was made to eliiinate the sand filter located
along Highway 601. To clarify, town staff encourages (and has since the beginning of
the project) the developer to utilize landscaping islands as bioretention facilities to the
greatest degree possible to minimize, and possibly eliminate, the need for a sand filter
along Highway 601 to meet the Town's Zoning requirement to achieve 50% of
stormwater treatment on site. Town staff is not aware of and has not endorsed plans to
eliminate the sand filter along Highway 601. Please note that any revision to the
approved siormwater plan must be resubmitted and approved by both the Town of
Midland and NCDENR DWQ.
Your memo goes on to mention the possibility of the Town executing an
amendment to the approved State of North Carolina stormwater permit (SW3120701).

As a subdivision of the North Carolina State Govermnent, the Town of Midland cardlot
legally amend a North Carolina stormwater permit.
Plan revisions as depicted in the construction drawing which accompanied your
Met -no dated August 27, 2012, signed and sealed on the same date, are rejected without
review due to issues cited above.

The proposed sand filter 413 was designed to provide water quality for a portion of the site. In
addition, there are proposed tree pits with rain gardens located within islands in the parking
area that would provide additional treatment for most of the parking areas at the Front of the
building.
This particular site is not subject to any of the State of North Carolina water quality provisions,
therefore only the Town Ordinance would be applicable.
In light of the decision to eliminate the sand filter located along Hwy 601, our client has
requested that we comply with the Town Ordinance for tree pits (even though they are not
required by the NCDMI).
These tree pits/rain gardens alone would not provide the full removal rate as prescribed by the
NCDWQ BMP Manual. As this design modification is a Town ordinance issue, and not a State
requirement we will need to have Town approval for an amendment to the approved State of
North Carolina storm water permit (SW3120701). We can assist in the preparation of the
amendment we would be pleased to do so.
Enclosed with this memo are new site drawings indicating the modifications to the stony water
system and other items discussed by Mr. Allen last week. The final drawings will be sealed by
our firm before they are submitted to the Town.

The Division of Water Quality Central Office received a Stormwater Management Permit Application for
modification of the subject permit on October 23, 2012. A preliminary review of that information has
determined that the application is not complete. The following information is needed to continue the
stormwater review:
1. Since the site plan appears to have been revised, please submit 2 copies of the revised site plan
sheet.
2. The revised forebay bottoms are now sloped. However, the bottom surface area, and resulting
volume is overestimated for sand filter #2. The calculations for sand filter #2 are based on a flat
forebay bottom. Please revise. Sand filter #3 appears correct though.
Please note that this request for additional information is in response to a preliminary review. The requested
information should be received by this Office prior to November 28, 2012, or the application will be
returned as incomplete. The return of a project will necessitate resubmittal of all required items, including the
application fee.
If you need additional time to submit the information, please mail or fax your request for a time extension to
the Division at the address and fax number at the bottom of this letter. The request must indicate the date by
which you expect to submit the required information. The Division is allowed 90 days from the receipt of a
completed application to issue the permit.
Any revised calculations or plans must be sealed, signed, and dated. Please reference the State assigned
permit number SW3120701 on all correspondence. If you have any questions concerning this matter please

The Stormwater Permitting Unit received a complete Stormwater Management Permit Application for Tractor
Supply - Midland, NC on August 17, 2012. Staff review of the plans and specifications has determined that the
project, as proposed, will comply with the Stormwater Regulations set forth in Title 15A NCAC 2H.1000 and
Session Law 2006-246. We are forwarding Permit No. SW3120701, dated August 17, 2012, for the
construction, operation and maintenance of the subject project and the stormwater BMPs.
This permit shall be effective from the date of issuance until rescinded and shall be subject to the conditions
and limitations as specified therein, and does not supersede any other agency permit that may be required.
Please pay special attention to the conditions listed in this permit regarding the Operation and Maintenance of
the BM P(s), recordation of deed restrictions, procedures for changes of ownership, transferring the permit,
and renewing the permit. Failure to establish an adequate system for operation and maintenance of the
Stormwater management system, to record deed restrictions, to follow the procedures for transfer of the
permit, or to renew the permit, will result in future compliance problems.
If any parts, requirements, or limitations contained in this permit are unacceptable, you have the right to
request an adjudicatory hearing upon written request within thirty (30) days following receipt of this permit.
This request must be in the form of a written petition, conforming to Chapter 150B of the North Carolina
General Statutes, and filed with the Office of Administrative Hearings, P.O. Drawer 27447, Raleigh, NC 27611-
7447. Unless such demands are made this permit shall be final and binding.

construction, operation and maintenance of a sand filter in compliance with the provisions of
Session Law 2006-246 and 15A NCAC 2H .1000 (hereafter referred to as the "stormwater rules') and
the approved stormwater management plans and specifications and other supporting data as
attached and on file with and approved by the Division of Water Quality and considered a part of this
permit.
This permit shall be effective from the date of issuance until August 17, 2020, and shall be subject to
the following specified conditions and limitations:
1. DESIGN STANDARDS
This permit is effective only with respect to the nature and volume of stormwater described
in the application and other supporting data.
2.. This stormwater system has been approved for the management of stormwater runoff as
described in Section 1.7 of this permit. The stormwater control has been designed to handle
the runoff from 104,283 square feet of impervious area.
The tract will be limited to the amount of new built -upon area as indicated in Section 1.7 of
this permit, and per the application documents and as shown on the approved plans. Prior
to the construction of the future street extensions shown on the approved plans, this permit
must be modified.
4. - All stormwater collection and treatment systems must be located in either dedicated
common areas or recorded easements. The final plats for the project will be recorded
showing all such required easements, in accordance with the approved plans.
The runoff from all built -upon area within the permitted drainage area of this project must
be directed into the permitted stormwater control system.
6. The built -upon areas associated with this project shall be located at least 30 feet landward of
all perennial and intermittent surface waters.

The stormwater management system shall he constructed in its entirety, vegetated and
operational for its intended use prior to the construction of any built -upon surface.
During construction, erosion shall be kept to a minimum and any eroded areas of the system
will be repaired immediately.
The permittee shall at all time provide the operation and maintenance necessary to assure .
the permitted stormwater system functions at optimum efficiency. The approved Operation
and Maintenance Plan must be followed in its entirety and maintenance must occur at the
scheduled intervals including, but not limited to:
a. Semiannual scheduled inspections (every 6 months).
b. Sediment removal.
C. Mowing and re -vegetation of slopes and the filter strip.
d. Immediate repair of eroded areas.
e. Maintenance of all slopes in accordance with approved plans.
f. Debris removal and unclogging of all drainage structures, level spreader, filter media,
planting media, underdrains, catch basins and piping.
g. Access to the cell and outlet structure must be available at all times.
4. Records of maintenance activities must be kept for each permitted BMP. The reports will
indicate the date, activity, name of person performing the work and what actions were taken.
5. The permittee shall submit to the Division of Water Quality an annual summary report of the
maintenance and inspection records for each BMP. The report shall summarize the
inspection dates, results of the inspections, and the maintenance work performed at each
inspection.
6. The stormwater treatment system shall be constructed in accordance with the approved
plans and specifications, the conditions of this permit, and with other supporting data.

7. Upon completion of construction, prior to issuance of a Certificate of Occupancy, and prior to
operation of this permitted facility, a certification must be received from an appropriate
designer for the system installed certifying that the permitted facility has been installed in
accordance with this permit, the approved plans and specifications, and other supporting
documentation. Any deviations from the approved plans and specifications must be noted
on the Certification. A modification may be required for those deviations.
8. If the stormwater system was used as an Erosion Control device, it must be restored to
design condition prior to operation as a stormwater treatment device, and prior to
occupancy of the facility.
9. Access to the stormwater facilities shall be maintained via appropriate recorded easements
at all times.
10. The permittee shall submit to the Director and shall have received approval for revised
plans, specifications, and calculations prior to construction, for any modification to the
approved plans, including, but not limited to, those listed below:
a. Any revision to any item shown on the approved plans, including the stormwater
management measures, built -upon area, details, etc.
b. Project name change.
C. Transfer of ownership.
d. Redesign or addition to the approved amount of built -upon area or to the drainage
area.
e. Further subdivision, acquisition, lease or sale of all or part of the project area. The
project area is defined as all property owned by the permittee, for which
Sedimentation and Erosion Control Plan approval was sought.
f. Filling in, altering, or piping of any vegetative conveyance shown on the approved
plan.
11. The permittee shall submit final site layout and grading plans for any permitted future areas
shown on the approved plans, prior to construction.
12. A copy of the approved plans and specifications shall be maintained on file by the Permittee
for a minimum often years from the date of the completion of construction.
13. The Director may notify the permittee when the permitted site does not meet one or more of
the minimum requirements of the permit. Within the time. frame specified in -the notice, the
permittee shall submit a written time schedule to the Director for modifying the"site to meet
minimum requirements. The permittee shall provide copies of revised plans and certification
in writing to the Director that the changes have been made.
III. GENERAL CONDITIONS
This permit is not transferable except after notice to and approval by the Director. In the
event of a change of ownership, or a name change, the permittee must submit a completed
Name/Ownership Change form signed by both parties, to the Division of Water Quality,
accompanied by the supporting documentation as listed on page 2 of the form. The approval
of this request will be considered on its merits and may or may not be approved.
The permittee is responsible for compliance with all permit conditions until such time as the
Division approves a request to transfer the permit.
Failure to abide by the conditions and limitations contained in this permit may subject the
Permittee to enforcement action by the Division of Water Quality, in accordance with North
Carolina General Statute 143-215.6A to 143-215.6C.
4. The issuance of this permit does not preclude the Permittee from complying with any and all
statutes, rules, regulations, or ordinances, which may be imposed by other government
agencies [local, state, and federal] having jurisdiction.

5. In the event that the facilities fail to perform satisfactorily, including the creation of nuisance
conditions, the Permittee shall take immediate corrective action, including those as may be
required by this Division, such as the construction of additional or replacement stormwater
management systems.
b. The permittee grants DENR Staff permission to enter the property during normal business
hours for the purpose of inspecting all components of the permitted stormwater
management facility.
7. The permit issued shall continue in force and effect until revoked or terminated. The permit
may be modified, revoked and reissued or terminated for cause. The filing of a request for a
permit modification, revocation and re -issuance or termination does not stay any permit
condition.
Unless specified elsewhere, permanent seeding requirements for the stormwater control
must follow the guidelines established in the North Carolina Erosion and Sediment Control
Planning and Design Manual.
9. Approved plans and specifications for this project are incorporated by reference and are
enforceable parts of the permit.
10. The issuance of this permit does not prohibit the Director from reopening and modifying the
permit, revoking and reissuing the permit, or terminating the permit as allowed by the laws,
rules and regulations contained in Session Law 2006-246, Title 15A NCAC 2H.1000, and
NCGS 143-215.1 et.al.
11.. The permittee shall notify the Division in writing of any name, ownership or mailing address
changes at least 30 days prior to making such changes.
12. The permittee shall submit a renewal request with all required forms and documentation at
least 180 days prior to the expiration date of this permit.

subject project on July 24, 2012. A preliminary review of that information has determined that the application
is not complete. The following information is needed to continue the stormwater review:
�1. The company shown in III.1.a. of SWU-101, Midland -Durban Retail Investors, LLC, does not exist in
the NC Secretary of State database. Please revise to show the actual legal name of the company the
permit will be issued to. Also, William Allen is shown as the Agent. A Manager or Member -
Manager for the LLC must sign the application and 0&M Agreements. Mr. Allen could sign if an
original letter is signed and submitted by a Manager or Member -Manager of the LLC grants him
signature authority to do so.

The construction of any impervious surfaces, other than a construction entrance under an approved
Sedimentation Erosion Control Plan, is a violation of NCGS 143-215.1 and is subject to enforcement action
pursuant to NCGS 143-215.6A.
All revised original signed documents must he returned or new originals must be provided. Copies are not
acceptable. Any revised calculations or plans must be sealed, signed, and dated. Please reference the State

The applicable state stormwater management permit supplement and operation and maintenance (O&M) forms
must be submitted for each BMP specified for this project. The latest versions of the forms can be downloaded

VI. SUBMITTAL REQUIREMENTS
Only complete application packages will be accepted and reviewed by the Division of Water Quality (DWQ).
A complete package includes all of the items listed below. A detailed application instruction sheet and BMP
checklists are available from dogs. The complete
application package should be submitted to the appropriate DWQ Office. (The appropriate office may be
found by locating project on the interactive online map at http://portal ncda nr.or„/wek?/wq/tvs/su/maw.)
Please indicate that the following required information have been provided by initialing in the space provided
for each item. All original documents MUSTbe signed and initialed in blue ink. Download the latest versions
for each submitted application package from does.

impounded structures, the banks of streams and rivers, the MHW or NI-lW line of tidal
waters, and any coastal wetlands landward of the MHW or NHW lines.

elevations in addition to depths) as well as a map of the boring locations with the existing

VII. DEED RESTRICTIONS AND PROTECTIVE COVENANTS
For all subdivisions, outparcels, and future development, the appropriate property restrictions and protective
covenants are required to be recorded prior to the sale of any lot. If lot sizes vary significantly or the proposed

violation of any federal. state. local or administrative order or requirement relating ro enviroriniental conditions or hazardous materials;
(ii) Meither Seller nor any third party has used. manufactured. generated, treated, stored, disposed ol. or released any hazardous materials
on. under or about the Property: (iii) there is, -are no storage tarlk(s) or well(s) (whether existing or abandoned) located on, under or about
the Property; and (iv) Seller has received no correspondence or notice(s) From any govemmental department or avency regarding aewal or
suspected presence of hazardous materials on the Property. Seller shall keep Buyer promptly informed at all times during the; term of this
Agreement with regard to any actual or suspected contamination of the Property by any hazardous niaterials. and will inmlediately
fi El ward to Buver any and all con'espondence, reports and,'or documents Seller receives witli respect to the same. In the event (lilt Buyer
discovers anv hazardous materials on the Property prior to Closing. Buyer, shall have the right to ternlinare this .' orcenici,t and receive a
Cull refund of the Earliest lfonev. In the event any aUo-e�round storage ranks (":SST's") underground storage tangs ("UST's") and/or
related contamination are discovered on, in or under the Property. Seller shall immediately (no later than ClosinY) and properly remove
and dispose of such AST's. UST's and all contaminated soil and groundwater (as applicable). and such removal and disposal shall be a
condition precedent to Buyer's Closing obligations.
Section 6. lush of Loss/17:,mane/Condition/Repair. Until the Closing, the risk of loss or damage to the Property, except as otherwise
provided herein. shall be borne by Seller. if at arty time prior to Closing the Property is not in the same condition as it was on the
Effective Date, or the Property is damaged or altered. or the condition thereof becomes such that the Property cannot be conveyed in a
manner that would reasonably allow Buyer to develop the Property for the Intended Use, Buyer may, in its sole: discretion; either: (a)
terminate this Agreement. upon which Buyer shall be entitled to all l;arnest i lonev and shall have no ftirther obligations or liabilities
hereunder; (b) proceed to Closing and have the right to require Seller to repair such change, damage of alterations to the Property.
Section 7. Earnest \•[oney Disbursement/Default.
(a) hit iile event this .agreement is terminated by the Buyer within the Examinaiion Period or as otherwise periniiied in this
Agreemeril. Seller and Buyer hereby authorize and direct Escrow Agent to refund the: Earnest Nloney dircctly to Buyer alter any and all
repair to property, if any. by Buyer has been completed. Escrow Agent shall be entitled to rely on (i) a receipt from Buyer and accepted
by seller or the written notice of termination of this Agreerent dated on or before the last day or Elie Hxaminalion Period. or (ii) a ewritlen
notice of permitted termination, in accordarice +with Elie terms contained herein, for purposes of disbursing the Earnest iMoney to Buyer and
Escrow Agent ,hall be absolved of any further responsibility or liability liereunder.
(b) In (lie event that Bayer defaults in any of its obligations undertaken in this Agreement and Seller is not in default of

and a non-forei_ i affidavit. The Closing shall take place at the office of Buyer's attorney or such other place as the parties hereto may

trovennnental laws or regulations; civil commotion. riots, insurrection; war, acts of God, file, unavoidable casualty, the discovery and,'or
removal of any Hazardous Materials on or from the Property or any other reason of a like nature not the fault of. or within the reasonable
::ontrol of, Buyer or Seller ("Force Majeure"), then perforinauce of such act shall be excused for the period of the delay and the period
allowed for the performance of such act shall be extended for a period equivalent to the period of such delay.
(g) Assignment. Buyer may freely assign this Agreement at any time or times without the consent or Seller. Buyer is to notify
Seller. in writbig, or any assignment within 5 business days of such assignment.
(h) Counterparts; Signatures. This Agreement may be executed in counterparts andior with counterpart signature pages, all of
which together shall constitute a single agreement. Electronic facsimiles of signatures shall be acceptable and bindin'g,.
Section 12. Confidentiality. Seller to the best of its ability hereby agrees that, during the terin of this Agreement. Seller. its aaeitts,
employees, directors, officers. maii—mers and shareholders/members, shall keep all details or this transaction conlldential, including
without limitation the Purchase Price and any ;Ind all tenant information; provided that Seller may disclose such inromalion only as

Section 13. Offer/Execution Necessary. This agreement shall be regarded as an offer by Buyer to Seller and is open for acceptance by
Seller until 5 p.in. on the 30th day of September, 2011, by which time a copy of this Agreement executed by Seller must have actually
been received by Buyer. In the event that Buyer does not receive a cony of [his Agrzennent executed by Seller by said tinhc and date, this
