In compliance with the provision of North Carolina General Statute 143-215.1, other lawful standards
and regulations promulgated and adopted by the North Carolina Environmental Management
Commission, and the Federal Water Pollution Control Act, as amended,

is hereby authorized to discharge stormwater from a facility located at
Newton Division
1400 Burris Road
Newton
Catawba County
to receiving waters designated McLin Creek, a class C water, in the Catawba River Basin in accordance
with the effluent limitations, monitoring requirements, and other conditions set forth in Parts 1, 11, III,
and IV of the General Permit No. NCG050000 as attached.
This certificate of coverage shall become effective August 25, 2014.
This Certificate of Coverage shall remain in effect for the duration of the General Permit.

facilities from Magna Composites L.L.C. located at Salisbury, Lenoir and Newton (all in
North Carolina) on August 2, 2014. For this reason I have enclosed the required NCDENR
Permit Name/Ownership Change Form for each facility for your review. Legal
documentation of the transfer (Assignment of Membership Interest) is also enclosed.
I hereby request you to change the ownership on the existing stormwater Permit for all three
listed facilities to CSP Composites, LLC (Continental Structural Plastics) and issue them to
me at our corporate office located in Auburn Hills, Michigan.

ASSIGNMENT OF MEMBERSHIP INTEREST
For valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, LEXAMAR CORPORATION, a Delaware corporation ("Assignor"), being the
sole member of and owning one hundred percent (100%) of the issued and outstanding
membership units (the "Magna Composites Units") of Magna Composites L.L.C., a Delaware
limited liability company ("Magna Composites"), hereby sells, conveys, assigns, transfers, and
delivers to CONTINENTAL STRUCTURAL PLASTICS OF NORTH CAROLINA, INC., a
Delaware corporation ("Assignee"), all of Assignor's right, title, and interest in and to the Magna
Composites Units, free and clear of all Encumbrances.
The undersigned hereby grants power -of -attorney to Magna Composites to transfer, or
cause to be transferred, all of such membership interest on the books of Magna Composites, with
full power of substitution.
