WHEREAS, the terms of the Agreement were approved and adopted as part of the Order
Confirming Plan of Reorganization dated August 9, 2012 and issued in connection with the
Bankruptcy Proceeding;
WHEREAS, Arbor Park Development, Inc., has not filed for bankruptcy but owns a portion
of the property to be conveyed hereunder and in accordance with the Agreement.
WITNESSETH:
NOW THEREFORE, Grantor, for and in consideration of the sum of Ten Dollars
($10.00) and other good and valuable considerations to it in hand paid by Grantee, the receipt
and sufficiency whereof are hereby acknowledged, has bargained and sold, and by these presents
does hereby bargain, sell and convey unto Grantee, its successors and assigns forever, in fee
simple, all of that certain real property and improvements located in Pender County, North
Carolina and being more particularly described on EXHIBIT A attached hereto.
This conveyance is made subject to the following Deed of Trust (the "Deed of Trust"):
Deed of Trust recorded in Book 3005, Page 4 of the Pender County Registry, which has been
assigned to Grantee by that certain Assignment of Deed of Trust and Other Loan Documents
recorded in Book 41Page ;( � I of the Pender County Registry. It is the express
intention of Grantor and of Grantee that, notwithstanding this conveyance, (a) the Deed of Trust
shall remain in full force and effect and shall constitute a lien against the property being
conveyed, with priority over subsequently recorded liens and encumbrances, (b) Grantee fully
intends to keep the liens of the Deed of Trust alive for its own protection as against other liens or
encumbrances, and (c) this Deed not result in a merger of the estates created by the Deed of
Trust and this Deed.
This conveyance is also made subject to (i) ad valorem taxes for current and all
subsequent years, and (ii) all governmental land use statutes, ordinances and regulations,
including building and subdivision regulations.
This deed is an absolute conveyance, the Grantor having sold the Property to the Grantee for
a fair and adequate consideration, such consideration, in addition to any above recited, being a credit
against certain indebtedness of Grantor to Grantee evidenced by the Deed of Trust referenced
above.
Grantor declares that this conveyance is freely and fairly made, and that there are no
agreements, oral or written, with respect to said Property other than this deed and the Agreement
between Grantor and Grantee with respect to said Property. The Grantor herein further
understands that it does not have to make this deed, that under the law the Grantor is entitled to
due process and a hearing before a foreclosure can be allowed, and that, fully understanding this,
the Grantor voluntarily and knowingly executes this deed to the Grantee, and hereby expressly
waives his rights to such notice and hearing. The Grantor herein further states that it feels the
execution of this deed is in its best interest and that Grantor is desirous of the credit against the
indebtedness as stated above.

In accordance with your application for a discharge permit received on March 7, 2012, we
are forwarding herewith the subject certificate of coverage to discharge under the subject state —
NPDES general permit. This permit is issued pursuant to the requirements of North Carolina
General Statute 1.43-21.5.1 and the Memorandum of Agreement between North Carolina and the US
Environmental Protection Agency dated October 15, 2007 (or as subsequently amended).
Please take notice that this certificate of coverage is not transferable except after notice to
the Division of Water Quality. The Division of Water Quality may require modification or
revocation and reissuance of the certificate of coverage.
Please be aware that mine dewatering at your site has the potential to impact adjacent
wetlands. The specific requirements for mine dewatering at facilities near wetlands can be found in
Part III, Section E of your permit. You must have an approved Operation and Monitoring Plan
before mine dewatering discharges occur at your facility. Discharging mine dewatering
wastewater without Plan approval will be subject to enforcement action. An Operation and
Monitoring Plan for your facility must be submitted to the Wilmington Regional Office within 60
days of your receipt of this permit. Contact Linda Willis at the Wilmington Regional Office at
[phone] for more information about the approval process.
Please note that mine dewatering wastewater includes wet pit overflows caused solely
by direct_rainfall_and groundwater seepage for this type of mining operation. Any discharge of this
water (and any stormwater commingled with it) is subject to the effluent limitations in this permit.
This general permit allows the discharge of stormwater and certain types of wastewater
from your facility. In your application, you specified that only mine dewatering water would be
discharged from this facility. If separate point -source discharges of stormwater occur (i.e.,
stormwater not combined with mine dewatering water), you will be required to adhere to the
conditions in this permit for stormwater discharges.
